Press Release: GDI Reminds Shareholders to Vote FOR the Announced Plan of Arrangement Ahead of the Proxy Voting Deadline and Announces Obtention of Regulatory Approvals

LASALLE, QC, Feb. 17, 2026 /CNW/ - GDI Integrated Facility Services Inc. ("GDI" or the "Company") (TSX: GDI) reminds its shareholders (the "Shareholders") about the proxy voting deadline for the Company's upcoming special meeting of Shareholders (the "Meeting") scheduled to be held in person on February 23, 2026 at 9:30 a.m. (Eastern time) at St. James Club, Room Midway, located at 1145 Union Avenue, Montréal, Québec to consider the previously-announced plan of arrangement (the "Arrangement"), pursuant to which an entity affiliated with Birch Hill Equity Partners Management Inc. ("Birch Hill") and Gestion Claude Bigras Inc. will acquire all the issued and outstanding subordinate voting shares of the Company (other than those beneficially owned by Birch Hill) for $36.60 in cash per share, subject to customary closing conditions.

OBTENTION OF REGULATORY APPROVALS

GDI also announces that it has received all required regulatory approvals in connection with the proposed Arrangement. An advance ruling certificate pursuant to the Competition Act (Canada) has been issued and early termination of the applicable waiting period under the United States Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, has been granted.
