Aptiv Says Aptiv Swiss Unit Increases Cash Tender Offer to $1.37 Billion

Aptiv (APTV) said Friday its Aptiv Swiss subsidiary has increased its cash tender offer to purchase outstanding notes to $1.37 billion from $1.35 billion.

The tender offer covers multiple series of senior notes, including 3.25% due 2032; 5.15% due 2034; 5.75% due 2054; 5.4% due 2049; 4.4% due 2046; 4.15% due 2052, and 3.1% due 2051.

The company said early results showed that $447.6 million of the notes due 2032, $367 million of the notes due 2034, and $302.3 million of the notes due 2054 have been validly tendered.

The tender offer is subject to certain conditions, including completion of the spin-off of Aptiv's electrical distribution systems business into a new independent publicly traded company named Versigent, as well as receipt of at least $1.7 billion special dividend from Versigent in connection with the spin-off, the company added.
