The Chiba Kogyo Bank (TYO:8337) and Chiba Bank (TYO:8331) agreed to form a joint holding company, Chiba Financial Group, through a share transfer effective April 1, 2027, according to a Wednesday filing on the Tokyo Stock Exchange.

The banks signed a definitive agreement following earlier discussions, aiming to strengthen their regional presence and respond to rising competition and changing customer needs.

The integration will combine resources while maintaining operational independence, with a focus on expanding services, improving efficiency and enhancing digital capabilities.

Shareholder approvals are expected in December, with both banks set to delist ahead of the holding company's listing in April 2027.
