Abivax Prices $45 Million ADS Offering, Moves to Repurchase Royalty Certificates; Shares Up Pre-Bell

Abivax (ABVX) has priced a $45 million offering of its shares and executed an agreement to repurchase certain royalty certificates, the company said Tuesday.

The offering comprises 403,347 shares represented by American depositary shares priced at $111.57 apiece.

Abivax said it has agreed to purchase the royalty certificates for a price equal to $90 million, $45 million of which will be paid in cash on the closing date, expected by Thursday. The certificate holders have agreed to grant an interest-free vendor's loan equal to the remaining $45 million, to be reinvested in the company's securities, Abivax said.

The company's shares were up 4.5% in premarket activity.
