Travere Therapeutics (TVTX) said Tuesday it has signed an exclusive agreement to license civorebrutinib, a potential treatment for immune-mediated kidney diseases, including primary membranous nephropathy, from Everest Medicines.

Under the agreement, Everest will receive an upfront payment of $112.5 million for granting Travere exclusive development and commercialization rights to civorebrutinib outside China and certain East and Southeast Asian countries, Travere said.

Travere said that Everest can receive up to an additional $1.03 billion upon meeting certain clinical development, regulatory and commercial milestones across up to five indications.

Travere said it will also pay tiered royalties on future sales in its licensed territories, ranging from high single-digit to double-digit percentages based on annual net sales thresholds.
