Constellation Energy shares turned lower after the company priced its underwritten public offering of 11 million shares at $281 a share.

The stock declined 5.9% to $270.68 Monday morning. Shares are down 24% this year.

The energy company doesn't plan to sell any shares of common stock in the offering and won't receive any proceeds from selling shareholders' sales.

The offering is expected to close Tuesday.

Constellation has agreed to buy 2 million shares from underwriters that are subject to the offering price. Underwriters have a 30-day option to buy up to an additional 1.35 million shares.

Morgan Stanley and JPMorgan are acting as underwriters.
