Carlyle (CG) secured conditional European Commission approval for its acquisition of BASF Coatings, contingent on the divestiture of Nouryon's global polysulfides business, the company said Wednesday.
The Commission said the deal raised competition concerns in aerospace sealants and key raw materials, which Carlyle addressed by agreeing to divest Nouryon's global polysulfides business, including its Greiz plant and related assets.
The divestiture resolves its competition concerns, allowing the deal to proceed in the European Economic Area, subject to full implementation of the agreed commitments, the Commission added.
