Amaero Secures ASX Waiver for Delaware Re-Domiciliation

Amaero International (ASX:3DA) said the Australian Securities Exchange (ASX) has granted a waiver from listing rule, allowing the company to cancel certain options without shareholder approval as part of its proposed re-domiciliation from Australia to Delaware in the US, according to a Tuesday statement by the company after market hours.

The waiver allows the company to cancel 107.3 million existing options and replace them with equivalent options in Amaero US without requiring separate shareholder approval.

The arrangement requires full disclosure in the scheme booklet and approval of the share scheme and option scheme by shareholders, option holders, and the court.

ASX stated that the waiver is a standard exemption that enables the corporate restructuring while maintaining option holders' economic value through the issuance of replacement securities.
