Nova Minerals Reports Implementation of Schemes of Arrangement for New US Holding Entity

Nova Minerals (ASX:NVA) said schemes of arrangement for Nova Minerals Corp to become the group's new US-based holding entity have now been implemented, according to a Tuesday filing with the Australian bourse.

All of Nova Minerals' shares and Nasdaq-listed warrants have been transferred to Nova Minerals Corp.

Holders of Nova's ASX shares received one Nova Minerals Corp Chess depositary interest for each share held, while holders of Nasdaq-listed warrants received three Nova Minerals Corp warrants listed on the New York Stock Exchange for every warrant held.

Nova Minerals' shares on the ASX were suspended at the close of trading on June 3, and the company plans to seek its removal from the ASX official list effective from the close of trading on Wednesday, per the filing.

Meanwhile, the trading of Nova Minerals Corp's shares and warrants on the NYSE American is also expected to start on Wednesday.
