Jazz Pharmaceuticals and AbCellera agreed to a deal worth up to $876 million to discover and develop treatments for gastrointestinal cancers and other solid tumors.
The agreement includes plans for preclinical research collaboration, options and licensing of T-cell engaging multispecific antibodies.
AbCellera, which has a T-cell engager platform, will perform discovery and early-stage research for two initial programs, with a commitment to start a third program within 12 months.
Jazz is granted an option in connection with each research program and, once it exercises its option, will have exclusive, global rights to develop and commercialize each program.
AbCellera will receive $56 million in total upfront payments for the first two research programs, plus an additional $28 million due when the third program starts.
If Jazz exercises its option for development, AbCellera will also be eligible to receive up to $792 million per program in option fees and development, regulatory and commercial sales milestone payments.
AbCellera will also be eligible to receive tiered royalties on net sales ranging from the mid-single digits to the low double digits.
Jazz and AbCellera can also agree to start up to two additional programs. AbCellera can conduct certain activities for investigational new drug-enabling studies and can manufacture clinical supplies for any program under the collaboration.
