VivoPower said it will refocus the company on its artificial intelligence data center business and move ahead with separating two non-core units, Tembo and Caret Digital, in line with that strategy.
For Tembo, VivoPower said its previously announced business combination with Cactus Acquisition Corp. 1 remains in process. If completed, the combined company is expected to be named Tembo Group N.V. and list on Nasdaq, with VivoPower retaining a minority stake. VivoPower said any special dividend and record date plans it announced in June 2025 are discontinued and will be superseded by the business combination documents once effective. Nasdaq has approved the ticker TEMB.
For Caret Digital, VivoPower plans a full separation. If it gets the needed sign-offs, it intends to distribute all Caret Digital shares to VivoPower shareholders on a pro rata basis. The prior indicative dates, ratios and other parameters for a Caret dividend are no longer operative. The company cautioned there is no assurance on final structure, timing or terms.
