Qyuns Therapeutics Partner Caldera to Merge with Synlogic

Qyuns Therapeutics (HKG:2509) said its partner, Caldera Therapeutics, has agreed to merge with Synlogic in an all-stock transaction, according to a Wednesday Hong Kong bourse filing.

The combined company is expected to list on the Nasdaq Capital Market under the ticker "CALD."

The deal is backed by a $278 million concurrent private placement to fund the development of QX030N/CLD-423 for ulcerative colitis, Crohn's disease and other immune-mediated diseases.

Qyuns said it licensed global development and commercialization rights for QX030N/CLD-423 to Caldera in 2025 and currently holds about an 11.48% stake in the company.

The merger is expected to close by early 2027, subject to shareholder, regulatory and other customary approvals.
