Doosan Board OKs Acquisition of Controlling Stake in SK Siltron in KRW 2.3 Trillion Cash Deal

Doosan's (KRX:000150) board approved the acquisition of a 70.61% stake in SK Siltron from SK (KRX:034730) for 2.3 trillion won in cash, with plans for separate talks to acquire the remaining 29.39% stake from SK Group Chairman Chey Tae-won, according to a bourse filing on Friday.

The smart machine manufacturer said an external valuation by Deloitte Anjin estimated the 70.61% stake or 47.3 million shares between 2.09 trillion won and 2.47 trillion won, deeming the agreed price appropriate.

The transaction, estimated to close by Jan. 31 2027, valued at 6.98% of Doosan's total assets and 18.8% of its equity, aims to secure a foundation for mid-to-long-term growth through business diversification.

The deal includes an excess profit-sharing mechanism tied to SK Siltron's EBITDA targets through 2034, quality certification milestones, and asset sale proceeds.
