Agriculture & Natural Solutions Acquisition Corp. will liquidate and redeem about $11.47 per share after the special purpose acquisition company determined it cannot complete a merger by Aug. 12.
The company said its sponsor decided to stop making extension payments, ending the completion window on Aug. 12. The board said the company will stop normal operations and focus on winding up.
The company expects to pay the redemption amount on or around Aug. 19.
Record holders will send shares to the transfer agent, Continental Stock Transfer & Trust Co. Most investors who hold shares at a brokerage will not need to take action.
The last day the company's securities will trade on Nasdaq will be Aug. 12. As of the close of business on Aug. 13, the public shares will be canceled, and will only represent the right to receive the redemption amount.
The company said Nasdaq will file to delist its securities, and it will file to suspend SEC reporting after the delisting.
