SK Inc. to Sell Controlling Stake in SK Siltron to Doosan For KRW2.3 Trillion

SK Inc. (KRX:034730) agreed to transfer 47.3 million shares it holds in SK Siltron to Doosan Corp. (KRX:000150) for 2.3 trillion won by Jan. 31, 2027, pending regulatory approvals and conditions precedent.

The disposal includes 34.2 million shares currently held plus 13.1 million shares to be acquired through Total Return Swap agreements, according to a bourse filing on Monday.

The transaction incorporates an excess profit-sharing mechanism tied to SK Siltron's EBITDA targets through 2034, quality certification milestones, and asset sale proceeds exceeding book value.

SK Inc.'s shares fell 4%, while Doosan jumped over 4% in recent trade.
