Teleflex (NYSE: TFX) reported Q2 2026 revenue from continuing operations of $570.3 million, up 28.9% year over year, while GAAP diluted EPS fell to $0.96 from $1.54. Adjusted diluted EPS edged up to $1.76, and pro forma adjusted constant-currency revenue growth was 4.7%, showing that the acquisition of Biotronik’s Vascular Intervention business accounted for much of the reported expansion. The company lowered its 2026 revenue outlook because integration is taking longer than expected, but raised adjusted EPS guidance following debt repayment and share repurchases.
Core earnings data
The results cover the quarter ended June 30, 2026, and exclude the Acute Care, Interventional Urology, and OEM businesses classified as discontinued operations. On a reported basis, revenue increased by $127.8 million, but acquisition and other comparison adjustments contributed 23.8 percentage points of the 28.9% growth rate, while currency contributed 0.4 percentage points.
Profitability was mixed. GAAP diluted EPS declined by approximately 37.7%, whereas adjusted diluted EPS increased by approximately 1.7%, making the distinction between reported and adjusted earnings particularly important this quarter.
| Metric | Q2 2026 | Q2 2025 | Year-over-year change |
|---|---|---|---|
| Revenue from continuing operations | $570.3 million | $442.5 million | 28.9% |
| Pro forma adjusted constant-currency revenue growth | 4.7% | — | — |
| GAAP diluted EPS from continuing operations | $0.96 | $1.54 | Approx. (37.7%) |
| Adjusted diluted EPS from continuing operations | $1.76 | $1.73 | Approx. 1.7% |
The pro forma adjusted comparison treats the Vascular Intervention acquisition as if it had occurred on January 1, 2025, while excluding discontinued products, the Italian payback measure, and foreign-exchange effects.
Business and product category performance
Vascular and Surgical delivered similar reported and comparable growth rates. Interventional showed the largest reported increase, but its comparable revenue declined slightly after incorporating the acquired business into the prior-year base.
| Product category | Q2 2026 revenue | Q2 2025 reported revenue | Reported growth | Pro forma adjusted constant-currency growth |
|---|---|---|---|---|
| Vascular | $246.3 million | $225.9 million | 9.0% | 8.0% |
| Interventional | $211.9 million | $113.8 million | 86.1% | (1.0%) |
| Surgical | $112.1 million | $102.8 million | 9.1% | 9.2% |
Interventional produced most of the increase in reported revenue because the 2025 reported figure did not include a full comparable contribution from the acquired Vascular Intervention business. Its pro forma adjusted 2025 revenue was $214.2 million, slightly above the current quarter’s $211.9 million.
Teleflex also reported product development milestones. The FDA approved EZPLAZ freeze-dried plasma in late July for certain adult bleeding-related conditions when plasma replacement is required and other plasma products are unavailable. In Interventional, Teleflex presented four-year Freesolve data, completed BIOMAG-II enrollment ahead of schedule, and began patient procedures in the U.S. BIOMAG-III pivotal trial.
Acquisition boosted headline growth, but delayed integration cut the revenue outlook
The gap between 28.9% reported revenue growth and 4.7% pro forma adjusted constant-currency growth is central to interpreting the quarter. The acquired Vascular Intervention business increased reported scale, but it did not generate comparable growth during Q2.
Management said integration is progressing more slowly than expected and attributed the delay to elongated integration timelines rather than the underlying product portfolio. Teleflex reduced both reported and pro forma adjusted constant-currency revenue guidance as a result.
At the same time, the company raised adjusted EPS guidance. That increase incorporates the Q2 share repurchase and repayment of the approximately $700 million Term Loan A-2, meaning capital allocation is supporting per-share earnings even as the operating revenue outlook has weakened. The latest adjusted EPS range does not include the separately announced $250 million accelerated share repurchase or other anticipated future repurchases.
Balance sheet and capital allocation
At June 30, 2026, Teleflex held $316.9 million in cash, cash equivalents, and restricted cash equivalents, down from $402.7 million at the end of 2025. Accounts receivable increased to $364.6 million from $345.6 million, while inventory declined to $351.9 million from $404.4 million.
During Q2, Teleflex repurchased 1.9 million shares for $250 million at an average price of $130.85 per share. That left $750 million available under its $1 billion authorization as of quarter-end. The company also announced an additional $250 million accelerated share repurchase effective August 7, 2026.
Teleflex subsequently reported completing the OEM divestiture for $1.5 billion in cash, with estimated after-tax proceeds of approximately $1.25 billion. It used part of its financial capacity to repay the $700 million Term Loan A-2 associated with the Vascular Intervention acquisition.
The company also issued $500 million of 5.875% senior notes due in 2032 and used the proceeds, together with cash, to redeem its 4.625% notes due in 2027. This extended the maturity but carried a higher stated coupon.
2026 guidance
Teleflex lowered its full-year revenue and GAAP EPS outlook while increasing adjusted EPS guidance. The revenue revision reflects the slower Vascular Intervention integration, while the adjusted EPS increase includes completed capital allocation actions.
| Metric | Latest 2026 guidance | Direction versus prior outlook |
|---|---|---|
| GAAP revenue | $2.26 billion-$2.28 billion | Reduced |
| GAAP revenue growth | 13.4%-14.4% | Reduced |
| Pro forma adjusted constant-currency revenue growth | 3.5%-4.5% | Reduced |
| GAAP diluted EPS from continuing operations | $2.54-$2.84 | Reduced |
| Adjusted diluted EPS from continuing operations | $6.90-$7.20 | Increased |
| Adjusted operating margin assumption | Approximately 19% | Current assumption |
The GAAP revenue outlook includes an estimated positive foreign-exchange impact of approximately 0.7%. Adjusted EPS guidance excludes potential IEEPA tariff refunds, benefits from transition and manufacturing services agreements that would begin after the Acute Care and Interventional Urology divestiture closes, and the newly announced accelerated repurchase.
Risks investors should monitor
- Vascular Intervention integration: Longer integration timelines have already caused Teleflex to reduce its revenue outlook. Additional delays could continue to limit comparable Interventional growth.
- Wide GAAP and adjusted earnings gap: Full-year adjusted EPS guidance of $6.90-$7.20 is well above GAAP guidance of $2.54-$2.84. The reconciliation includes $2.74 per share of intangible amortization, $0.98 of restructuring and optimization items, and $0.73 of acquisition, integration, and divestiture-related items.
- Divestiture and transition execution: The outlook includes transition services associated with the OEM sale but excludes expected benefits from agreements tied to the Acute Care and Interventional Urology divestiture. Closing and separation timing therefore remain relevant to the company’s future cost and margin structure.
- Operating growth versus capital allocation: Adjusted EPS guidance increased despite lower revenue growth guidance, partly because of share repurchases and debt repayment. Investors will need to distinguish operating improvement from changes driven by financing and share count.
Summary
Teleflex’s Q2 2026 reported revenue growth was primarily acquisition-driven, while Vascular and Surgical delivered the clearest underlying gains and Interventional declined slightly on a comparable basis. Slower Vascular Intervention integration led management to reduce the revenue outlook, even as debt reduction and share repurchases supported higher adjusted EPS guidance. The key issues ahead are the pace of integration, the conversion of reported scale into comparable growth, and execution of the remaining divestiture and capital allocation plans.
