LivePerson (LPSN) said Wednesday that proxy advisory firm Institutional Shareholder Services has recommended LivePerson shareholders vote in favor of the company being acquired by SoundHound AI (SOUN).
In April, SoundHound AI announced that it would acquire LivePerson for $43 million.
Proxy advisory firm Glass Lewis has already recommended shareholders approve the deal.
LivePerson shareholders will vote on the transaction at the company's special meeting of stockholders on August 20.
"The sales process appears to have been thorough, the strategic rationale seems sound, and the stock form of consideration gives shareholders the opportunity to participate in the potential upside of a larger entity," ISS said in a statement, according to LivePerson.
Shares of LivePerson were down 1.8% pre-bell.
