Why Is Boxlight Stock Plunging Today?

Boxlight Corporation (NASDAQ:BOXL) shares are trading lower on Thursday as investors digest the company’s newly announced financing package and second-quarter results, while weighing potential dilution and balance-sheet risks.

The pullback follows a 223.55% surge on Wednesday, when Boxlight shares closed at $9.48 after investors cheered the liquidity boost from the financing deal.

Financing Package Draws Focus

Boxlight completed the initial closing of a private placement of Series D Convertible Preferred Stock. The closing generated $5.5 million in gross proceeds toward a total target of up to $7.5 million.

It also established a 36-month equity line of credit with Secure Net Capital LLC, providing access to up to $15 million.

The remaining $2 million of the private placement is contingent on the effectiveness of a resale registration statement.

Q2 Revenue Misses Estimate

Boxlight reported second-quarter 2026 earnings of 34 cents per share.

Revenue was $25.918 million, missing the $30.852 million estimate, and declined 16.0% from $30.9 million a year earlier.

Profitability Improves

Net income was $0.5 million, compared with a $4.7 million net loss. Gross profit increased 19.7% to $12.9 million, while gross margin improved to 49.8% from 35.0%, reflecting $2.8 million in tariff refunds.

Adjusted EBITDA rose to $4.1 million from $1.3 million.

Balance Sheet and Outlook

Boxlight ended June with $4.3 million in cash, negative $4.0 million in working capital and $34.1 million in debt. An August equity raise generated $4.8 million net, with about $2.25 million used to repay principal.

Management said global trade policies continue to affect component costs and build timelines and expects spending to recover as deferred demand returns.

BOXL Price Action: Boxlight shares were down 18.68% at $6.40 at the time of publication on Thursday. The stock is trading near its 52-week low of $2.59, according to Benzinga Pro data.
