Breeze Acquisition Corp. II Loses Compliance with NASDAQ Listing Rule

Breeze Acquisition Corp. II lost compliance with a Nasdaq listing rule after it failed to file its last two quarterly reports on time.

The company said Friday it now has 30 calendar days, or until Sept. 21, to submit a plan to regain compliance. If the Nasdaq accepts the plan, it may grant the company an exception of up to 180 calendar days from the initial delinquent filing's due date, or until Dec. 28, to regain compliance.

The company said it plans to take the steps necessary to regain compliance as soon as practicable, or submit a plan to Nasdaq within the required time frame.

The company said it lost compliance with the stock exchange's listing rule because it hasn't filed its quarterly reports for the periods ending March 31 and June 30. The rule requires all listed companies to timely file all required financial reports with the Securities and Exchange Commission.
