PBIT would obtain its price exposure through derivatives and maintain a separate portfolio of cash and fixed-income instruments.\nUnder the SEC registration statement, the fund expects to hold three overlapping groups of Bitcoin-linked options. Each group, known as a tranche, would normally begin at a different point during a calendar quarter.\nThe fund intends to buy call options with exercise prices below the reference asset’s value when a tranche begins. It would sell other call options at higher exercise prices, collecting premiums that help offset the cost of the purchased contracts.\nThe purchased calls are intended to provide exposure when Bitcoin-linked assets rise and a measure of protection if their prices decline below a specified level. Selling the higher-priced calls limits the gains available from the same tranche.\nBlackRock’s filing sets out a typical arrangement where the purchased options have an exercise price approximately 10% below the starting value of the reference asset. The company calls this the protection start value, which establishes an initial loss exposure of approximately 10% before fees and other expenses.\nThe prospectus makes clear that these figures are not permanent guarantees. BlackRock can adjust the exercise prices, change its holdings and use options with different expiration dates as market conditions develop.\nAn investor purchasing PBIT shares would own an interest in the fund’s combined portfolio, not one fixed options tranche. Consequently, the investor’s actual downside exposure may differ from the initial protection level described for a single tranche.\nPBIT will use options without holding Bitcoin directly\nA key detail in the registration statement is that PBIT does not intend to invest directly in Bitcoin or Bitcoin exchange-traded products.\nInstead, the fund plans to use options that reference IBIT or similar Bitcoin exposure, alongside money market instruments, short-term government obligations and other eligible fixed-income securities.\nThe distinction separates the proposed product from BlackRock’s flagship IBIT fund, which began trading in January 2024. IBIT holds Bitcoin and seeks to track the cryptocurrency’s price, less applicable expenses.\nFor PBIT, the value of the options would determine how much of Bitcoin’s movements reach shareholders. Investors could experience different returns from those earned by holding Bitcoin or IBIT directly, even when the cryptocurrency moves substantially in one direction.\nThe fund expects to use flexible exchange options, commonly called FLEX options, which permit parties to establish certain customized contract terms. Standardized exchange-traded options may be used as well.\nUnder the proposed strategy, one options tranche would ordinarily expire each month while another would be added. The resulting portfolio would hold positions created at different reference prices and subject to different upside limits.\nBlackRock plans to invest part of the fund’s assets in fixed-income securities to generate interest income. The filing says those returns could help cover options costs and partly offset losses, although the income would not eliminate investment risk.\nThe prospectus does not specify a single upside cap for all shareholders. It states that the maximum gains available from individual tranches will depend on option prices and market conditions when each position is established.\nDownside protection will not guarantee a 10% loss limit\nThe proposed fund’s protection mechanism comes with several qualifications that are important for investors evaluating its structure.\nFor a typical tranche, BlackRock expects to purchase call options with an exercise price near 90% of the reference asset’s starting value. This produces an initial exposure to approximately the first 10% of losses in that reference asset before the purchased options begin providing the intended protection.\nConsider a hypothetical tranche established when its Bitcoin reference asset is worth $100. If the purchased option has a $90 exercise price, the initial difference between the reference value and that level is $10.\nHowever, the same $90 protection level would not automatically rise after the reference asset gains value. If its price climbs to $120, a subsequent decline to $90 would represent a $30 fall, or 25% from the higher price.\nBlackRock specifically warns that potential losses measured from a later, higher reference value can exceed the initial floor. The calculation illustrates why a stated protection level at the beginning of an options period should not be interpreted as permanent insurance against price declines.\nThe overlapping options periods create another complication. Each tranche can have its own starting value, protection level and limit on gains, while the fund’s portfolio weights can change.\nFees and operating expenses would further reduce returns and increase effective losses. The prospectus cautions that the fund’s options positions and fixed-income investments may not perform as intended during periods of unusual volatility.\nBlackRock has not disclosed the proposed management fee. The registration document leaves the annual fund operating expense figure blank, along with the fund’s listing exchange.\nBlackRock adds another strategy to its Bitcoin ETF lineup\nPBIT would become another Bitcoin-focused investment product developed around BlackRock’s existing IBIT fund.\nThe asset manager launched the iShares Bitcoin Premium Income ETF, known as BITA, in June 2026. That product is designed to generate income through an options strategy while maintaining exposure to Bitcoin-related price movements.\nAs crypto.news previously covered BITA’s trading launch, the fund began trading on Nasdaq on June 16 after completing its regulatory registration process. Its strategy involves selling call options to collect premiums, creating a different investment objective from the proposed protection-focused PBIT.\nBlackRock’s earlier Bitcoin income ETF filing disclosed a 0.65% sponsor fee for BITA and identified IBIT-related options as part of the strategy. The same fee should not be assumed for PBIT because the new filing does not disclose its management charge.\nThe growth of options trading around IBIT has been another development in BlackRock’s Bitcoin business. In July, the SEC approved higher IBIT options limits, permitting an increase in certain position and exercise limits from 250,000 to 1 million contracts.\nThe new filing arrives after several years of investment products offering different ways to gain Bitcoin exposure. These include spot funds, income-oriented strategies and funds that attempt to limit losses over specified periods.\nBloomberg Intelligence analyst James Seyffart identified PBIT as another Bitcoin ETF filing from BlackRock and said investors would give up part of the possible gains in exchange for some downside protection.\nIn a separate comment, Seyffart noted that BlackRock’s cryptocurrency ETF lineup remains focused on Bitcoin and Ethereum. He described PBIT as a product that would use options around IBIT through a fund registered under the Investment Company Act of 1940.\n\nNotably, this is the third Bitcoin ETF filing from them. The preliminary prospectus states that securities cannot be sold until the registration becomes effective.\nBlackRock selected an effective-date provision allowing the amendment to become effective 75 days after filing, subject to applicable regulatory requirements and subsequent changes.
