Omnicom (NYSE: OMC) reported Q3 2026 revenue of $6.42 billion, up about 59% from $4.04 billion a year earlier, while diluted GAAP EPS rose to $2.38 from $1.75. The IPG acquisition drove much of the reported increase, but the more comparable core-operations view showed 7.2% organic growth and a 200-basis-point expansion in adjusted EBITA margin to 18.2%.
Core Earnings Data
Reported and core results measure different aspects of the quarter. The reported comparison reflects Omnicom’s acquisition of IPG, which closed on November 26, 2025, while the 2025 core comparison combines Omnicom and IPG and excludes businesses disposed of or held for sale.
Core revenue increased 7.3% to $6.01 billion. Organic growth contributed $400.8 million, or 7.2%, of the $407.4 million increase, while foreign currency translation added $3.4 million.

The reported 2025 figures represent legacy Omnicom, whereas the core figures use a combined Omnicom-plus-IPG basis. As a result, the core comparison provides a clearer view of underlying growth after the acquisition.
Business and Discipline Performance
Integrated Media remained the largest core discipline, contributing approximately $3.2 billion, or 53.0% of core revenue. Advertising generated $935.4 million, followed by Public Relations at $678.3 million, Experiential & Other at $644.3 million, and Health at $566.6 million.
Omnicom did not disclose discipline-level growth rates, so these figures show the revenue mix rather than which discipline grew fastest. The company did state that growth in Integrated Media, together with the IPG acquisition, contributed to a $552.4 million increase in third-party service costs to $1.51 billion.
Geographically, the United States contributed $3.6 billion, or 60.2% of core revenue. Euro Markets & Other Europe accounted for $721.1 million, Asia Pacific for $573.1 million, and the United Kingdom for $555.7 million.
Profitability and Cost Structure
Core adjusted EBITA grew substantially faster than core revenue, raising its margin from 16.2% to 18.2%. Omnicom attributed the improvement primarily to cost-reduction synergies and organic revenue growth.
Reported operating expenses rose to $5.43 billion from $3.51 billion, mainly because IPG was included in the 2026 results. The quarter included $40.4 million of integration and transaction costs and $84.7 million of repositioning costs, primarily related to real estate and other exit activities. These expenses were partly offset by a $106.8 million gain on the disposition of a subsidiary, resulting in a net $18.3 million reduction to operating income and a $0.03 reduction to diluted EPS.
The effective tax rate declined to 24.3% from 27.2%, including the benefit of favorable settlements of uncertain tax positions. On an adjusted basis, the tax rate was 25.0%, compared with 26.0% a year earlier.
IPG Lifts Scale, While Share Dilution and Interest Costs Temper Per-Share Gains
The acquisition explains why reported revenue and net income grew much faster than the underlying core business. Core revenue growth of 7.3% is the more comparable operating measure, while the 21.1% increase in core adjusted EBITA indicates that revenue growth and merger synergies translated into higher profitability.
However, the acquisition also changed Omnicom’s financing and share structure. Net interest expense increased by $61.0 million to $104.2 million because of debt assumed with IPG and refinancing activity. Weighted-average diluted shares rose about 41% to 275.4 million from 194.9 million, primarily due to shares issued for the transaction and partly offset by repurchases. Consequently, attributable net income increased about 92%, but diluted GAAP EPS increased by a smaller 36%.
Management’s View
Chairman and CEO John Wren said Omnicom is on track to deliver $900 million in cost-reduction synergies during 2026. He described the integration as nearly complete and said the combined company has streamlined its portfolio and operations.
Management plans to focus on higher-demand services while continuing to invest in employees and agentic technology. The quarter’s core margin expansion provides evidence of synergy realization, although the company did not provide broader quantitative revenue or EPS guidance.
Risks Investors Need to Monitor
- Integration and synergy execution: Omnicom’s margin improvement depends partly on cost reductions from the IPG combination. Delays, higher costs, employee turnover, or disruption to client relationships could limit the expected benefits.
- Higher financing costs: Net interest expense reached $104.2 million following the assumption of IPG debt and refinancing, creating an additional burden on earnings below the operating-income line.
- Ongoing portfolio changes: Businesses disposed of or held for sale contributed $412.1 million of reported revenue. Further exits may continue to affect reported comparisons and the company’s revenue mix.
- Client spending and economic conditions: Omnicom identified economic uncertainty, inflation, tariffs, interest-rate policies, and potential reductions in client spending as factors that could affect demand across markets and disciplines.
- Remaining integration expenses: The quarter still included $40.4 million of integration costs and $84.7 million of repositioning charges. More costly or prolonged integration activity could reduce the earnings benefit from synergies.
Summary
Omnicom’s Q3 2026 reported growth primarily reflected the addition of IPG, while the core results showed 7.2% organic growth and meaningful adjusted margin expansion. Cost synergies supported profitability, but investors still need to track integration execution, interest expense, portfolio disposals, and whether the combined company can sustain growth as acquisition-driven comparisons become less significant.
