SNDL Inc. (NASDAQ/CSE: SNDL) reported record quarterly free cash flow and returned to positive adjusted operating income in the third quarter of 2026, even as lower revenue and weakness in Cannabis Operations weighed on consolidated gross profit. The company also said it is reviewing strategic and operational alternatives for the challenged production segment.
SNDL generated C$20.0 million of free cash flow, a non-IFRS measure, up C$3.3 million or 19.5% from a year earlier. The record result was partially driven by initial one-time contributions from the dissolution of a captive insurance arrangement. Adjusted operating income rose by C$14.8 million to C$5.2 million, supported in part by valuation gains from equity-accounted investees.
Consolidated net revenue declined 2.5% to C$238 million. Gross profit fell 9.8% to C$57.9 million, while gross margin contracted by 2.0 percentage points to 24.3%, reflecting the deterioration in Cannabis Operations despite record margins in both retail segments.
Retail margins offset softer demand
Liquor Retail revenue decreased 3.3% to C$134.8 million as demand pressure reduced same-store sales, outweighing contributions from three Wine & Beyond locations opened during the preceding 12 months. The segment nevertheless achieved a record gross margin of 27.0%, up 0.7 percentage points, as pricing, product mix, procurement productivity and private-label offerings helped offset weaker sales.
Liquor Retail gross profit slipped 0.9% to C$36.4 million, while adjusted operating income declined 8.4% to C$6.0 million. SNDL attributed the earnings decrease partly to higher selling, general and administrative expenses associated with new stores. The company opened a Wine & Beyond location in Saskatoon and closed its third unprofitable liquor store of the year during the quarter. Private-label sales growth exceeded that of national-brand products by 8.5 percentage points.
Cannabis Retail delivered record quarterly net revenue of C$85.6 million, an increase of 0.7%. New stores and conversions to the Value Buds banner offset a 3.8% decline in same-store sales, which the company linked to cannabis market contraction in Alberta and Ontario.
The segment’s gross margin reached a record 27.0%, up 0.6 percentage points, supported by promotional efficiencies and pricing and mix management. Gross profit rose 2.9% to C$23.1 million, while adjusted operating income increased 4.7% to C$5.3 million. Higher data revenue also contributed to the result, despite a tougher comparison with asset-impairment reversals recorded in the prior year.
SNDL added one Value Buds store in Alberta and converted five Cost Cannabis locations to the banner during the quarter. Management expects further Value Buds expansion in Alberta and Saskatchewan in 2027. The company had 358 liquor and cannabis retail stores as of October 26, 2026.
Cannabis Operations remains under pressure
Cannabis Operations was the main drag on the quarter. Revenue fell 27.7% to C$27.0 million, largely because SNDL exited the unprofitable domestic dried-flower category as it shifted toward higher-value products.
The segment recorded a C$1.6 million gross loss, compared with positive gross profit a year earlier, and gross margin declined by 19.4 percentage points to negative 6.0%. Its adjusted operating loss widened by C$1.2 million to C$11.4 million, primarily due to inventory adjustments associated with the dried-flower exit and cost variances.
SNDL has initiated a strategic review of Cannabis Operations to assess ways to improve its financial performance. The review will consider alternatives ranging from potential asset divestitures to broader productivity initiatives. Separately, the company is optimizing processes at its Kelowna facility and seeking to reduce the segment’s selling, general and administrative costs.
The business retained a leading position in Canadian cannabis edibles, with 49 products accounting for a 23% market share on a rolling three-month basis, according to the presentation.
Capital deployment and U.S. investments
SNDL reported C$132 million of unrestricted cash and no debt as of September 30. The company repurchased more than 23 million shares during the first nine months of 2026, equivalent to about 9% of shares outstanding at the beginning of the year, and has announced a potential C$50 million substantial issuer bid.
The company also increased its indirect debt and equity interests in U.S. cannabis operator Parallel and funded investment in a new cultivation facility intended to improve Parallel’s cost structure. SNDL said it is assessing the feasibility of moving toward direct ownership and consolidation. Its cannabis-industry investments had a total book value of C$485.2 million at quarter-end, including C$467.7 million held through the SunStream portfolio.
Execution of the Cannabis Operations review, continued weakness in consumer demand, regulatory and licensing requirements, competition and the outcome of U.S. investment restructurings remain important uncertainties. The presentation also cautioned that any potential equitization or ownership transition involving U.S. assets would depend on transaction approvals, documentation, listing compliance and applicable cannabis regulations.
