NextDC (ASX:NXT) said it does not know the outcome of a Wednesday share raid on the company by Ackland Investments No.1, a vehicle owned by Goodman Group (ASX:GMG) and US-listed Digital Realty Trust, according to a Thursday filing with the Australian bourse.
NextDC understands that Ackland conducted a book build with the aim of acquiring its shares at AU$9.50 each, up to a maximum holding of 9.9% of NextDC's ordinary shares.
The company noted a statement Goodman and Digital Realty made to investors, in which the parties said they have "no intention of submitting a control proposal or making a takeover bid for the company at this time, but reserve their right to do so."
NextDC said the book build, which was open only to institutional investors, appears to be an opportunistic move by Goodman and Digital Realty. It added that the board has not received any takeover proposal so far.
The company has appointed Barrenjoey Advisory and UBS Securities Australia as its joint lead financial advisers, and Cadence Advisory as its independent financial adviser.
NextDC shares surged 42% in recent Thursday trade, while Goodman Group gained 4%.
