if i am a seller, i will prefer someone who is willing to pay all cash given that I can have immediate/guaranteed access to my sales proceed without having to wait for the buyer to repay based on the agreed upon credit terms. Correspondingly, this means that there is a higher chance for $Netflix(NFLX)$ to win the deal of purchasing $Warner Bros. Discovery(WBD)$

WB has rejected Paramount despite an all cash offer because it is a LBO which will bring debt to WB. Netflix has just beaten Paramount at its own game with same all cash but no LBO.

The world is dark, we don’t know if someone will activate their friend to throw in some law and stop the deal
