And so I think that SPACs will survive even once we’re past the current manic stage.</p>\n<p>First, understand that IPOs and SPACs are really just two ways of getting a private company from point A (in need of capital) to point B (capital needs satisfied and trading publicly). As you'll see, it's really a matter of putting the wagon before the horse, or the horse before the wagon. And the same model doesn’t work for every private company in every situation.</p>\n<p><b>The IPO</b></p>\n<p>The traditional IPO, or Initial Public Offering, has been around since the beginning. This is what investment bankers, among other things, do for a living. As a former senior New York Stock Exchange floor trader who worked as part of the IPO team for what was considered the hottest investment bank during the internet bubble of the late 1990's, early 2000's, I have a great deal of experience in both supporting and in running the execution end of traditional IPOs, either from the booth, or in the crowd at the point of sale.</p>\n<p>In simplified form, IPOs involve private companies working with an investment bank or several investment banks to raise capital by “going public.\" The investment banks place a value on the private firm through a strenuous level of fundamental analysis, all the while gauging or trying to drum up demand. That part of the job is often referred to as a \"road show.\"</p>\n<p>The private company must also register with the exchange where it plans to list, as well as the Securities and Exchange Commission. There is a lengthy process that must be followed, as well as numerous requirements, such as compliance around transparency in financial reporting, that must be met.</p>\n<p>The investment bank or banks, also known as the underwriters, may guarantee the IPO by purchasing the offering in a firm commitment and then selling the shares themselves in the secondary market. Without this \"firm\" commitment, the IPO is considered to be a \"best effort\" agreement, in which the underwriter sells the shares with no guarantee.</p>\n<p>In my experience, the vast majority of IPOs are indeed “firm commitments” in which the underwriter takes on either the profit or loss (the risk) when selling shares after having priced the IPO. In the case of a \"best effort'' IPO, the investment bank is really more like a broker and advisor than a trader, and passes on to the formerly private company's shareholders the proceeds of those initial sales.</p>\n<p><b>The SPAC</b></p>\n<p>The SPAC, or Special Purpose Acquisition Company, has become increasingly popular lately. Some of you may have heard of \"Blank Check Companies.\" This is another term for basically the same thing as a SPAC. The whole idea is simply to raise funds first and then target private companies to merge with afterwards.</p>\n<p>In this way, the private firm is able to get in position to quickly merge with an already-public company, greatly simplifying the process of going public. At that point, the shareholders or owners of the private company can either redeem their stakes at the offering price, or accept stock in the newly-merged company, depending on their preference.</p>\n<p>Why would a private company choose this route over a traditional IPO? There are several good reasons. The first is speed to market. By foregoing the whole \"road show\" process and merging with an already public firm, the company can now bypass all of the registrations and regulatory requirements. In addition, the risk of allowing investment bankers to price the deal is removed once the merger is agreed to.</p>\n<p>What makes SPACs so attractive to private companies that might be in need of capital? It’s pretty simple --<i>in a traditional IPO, the private company chases the capital, but with a SPAC, the capital chases the private company</i>.</p>\n<p>Notably, the SPAC structure is less risky to the owners of the targeted private company. The private company negotiates and agrees to a deal. Their work is now done, and the risk is transferred to the SPAC. This is great -- if you happen to run a highly sought-after private company in a suddenly hot industry. That is another reason why speed matters. No one ever knows how long the iron (or industry) stays hot.</p>\n<p>Now, for the less highly sought-after private business, there will always be a need for a traditional investment banker since these companies still need to raise capital and will need help finding investors. However, in the IPO model, the workload and the risk are more on the private company than they are on the bank -- at least until the issue is priced and regardless of whether a firm commitment has been made.</p>\n<p><b>The Bottom Line</b></p>\n<p>In my opinion, there will always be room in this marketplace for both traditional investment bankers as well as SPACs. For now, amid a pandemic, which has largely taken the \"road show\" aspect out of the IPO, and as certain industries have taken off seemingly overnight, SPACs have taken as much as half of the market for new issues.</p>\n<p>That is the current environment and it is not only subject to change, it<i>will</i>change. As some SPACs fail to attract potentially hot new private companies, their ranks will thin. In a market that’s tougher than the current bull one, raising money ahead of a deal becomes more difficult, and the pendulum will swing back toward traditional investment bankers who provide access to a broader array of potential investors.</p>\n<p>That said, these are two ways of going about doing the same thing. Neither is going away. Quality will succeed where success is deserved, and so quality investment bankers will outperform lower-quality SPACs and vice versa. Where quality is less obvious, there will be failure to last, or to find the right dance partner. According to the Atlanta Federal Reserve's GDPNow tracker, the U.S. is on track for a 10% gain to start 2021.\n\"The labor market continues to post a sluggish recovery across the board,\" said Nela Richardson, chief economist at ADP. \"We're seeing large-sized companies increasingly feeling the effects of COVID-19, while job growth in the goods producing sector pauses.\"\nAll of the net job growth came from the services side.\nTrade, transportation and utilities led sectors last month with the addition of 48,000 positions. Armstrong owns 11% of the Class A shares and 22% of the Class B shares, while Ehrsam owns 11.4% of the Class A and 9% of the Class B.</p>\n<p>According to Forbes, Armstrong’s networth is currently $6.5 billion based on his ownership in the company, which is likely to increase if the direct listing goes off successfully.</p>\n<p>Coinbase bills itself as a bet on the rapidly growing cryptoeconomy, which starts with the No. 1 crypto asset bitcoin but goes well beyond that, Armstrong and company argue.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/67e611f71f8557b80e1863da93d753c9\" tg-width=\"1260\" tg-height=\"639\"><span>COINBASE S-1</span></p>\n<p>Bitcoin prices&nbsp;have gained attention as it has soared to repeated records, most recently touching a recent peak above $58,000 over the weekend before beginning to give up some gains in recent trade.</p>\n<p>Last week, bitcoin hit a market value of $1 trillion and even though the asset created by a person or persons known as Satoshi Nakamoto represents about 70% of the total crypto market, there are still a number of other popular crypto assets trading on Coinbase, including ether&nbsp;on Ethereum’s blockchain, Bitcoin Cash&nbsp;and Litecoin,to name a few.</p>\n<p><b>Who else owns Coinbase?</b></p>\n<p>Venture-capital firm Andreessen Horowitz, is the largest owner of Coinbase, boasting about 25% of Class A shares and14% of Class B. And Marc Andreessen, head of the venture capital outfit, sits on Coinbase’s board.</p>\n<p>Coinbase has an ambitions echo those of Robinhood Markets</p>\n<p>“Coinbase is company with an ambitious vision: to create more economic freedom for every person and business,” Armstrong wrote in a letter appended to the company’s public-filing paperwork with the SEC.</p>\n<p><b>Biggest risk factor</b></p>\n<p>No doubt the biggest risk factor in Coinbase is that it is a bet on an unproven asset class that was created just over a decade ago. Coinbase attempts to make it clear that its fate is linked to the prospects for Bitcoin and ethereum and the thousands of other alternative coins that have been written into existence.</p>\n<p>But a decline in interest and tough regulations in the U.S. and elsewhere could wallop the exchange platform.</p>\n<p>Here’s now Coinbase explains it:</p>\n<p>“<i>There is no assurance that any supported crypto asset will maintain its value or that there will be meaningful levels of trading activities. In the event that the price of crypto assets or the demand for trading crypto assets decline, our business, operating results, and financial condition would be adversely affected. A majority of our net revenue is from transactions in Bitcoin and ethereum. If demand for these crypto assets declines and is not replaced by new demand for crypto assets, our business, operating results, and financial condition could be adversely affected</i>,” Coinbase writes in its S-1 filing.</p>\n<p><b>How large is Coinbase?</b></p>\n<p>The crypto exchange platform ranks No. 3 among the largest digital asset exchanges in the world, according to data site CoinMarketCap.com. Historically, three months after that spread moved this wide, the VIX fell 11 points and the market rallied an average 12% with a move higher 87% of the time, they said.</p>\n<p>“Given the VIX is at a near-record premium to actual equity volatility, we think selling the ‘VIX bubble’ represents a good market opportunity,” the strategists wrote.</p>\n<p><img src=\"https://static.tigerbbs.com/090b90671c410c2de55d41f9901794b4\" tg-width=\"1200\" tg-height=\"675\"></p>\n<p>The VIX jumped a year ago as the Covid-19 pandemic began to spread and affect the global economy, sending markets into a tailspin. The gauge, which has a lifetime average around 19.5, has largely remained above 20 even as stocks hit record highs on encouraging pandemic news. It has also stayed high relative to measures of swings in&nbsp;other asset classes&nbsp;like credit and rates.</p>\n<p>There is one potential caveat for equity volatility investors. Michael Purves, the CEO of Tallbacken CapitalAdvisorsLLC, said there are fewer participants willing to bet on declining swings after the culling of the short-volatility industry via VIX spikes in 2018 and March 2020. That’s probably keeping the gauge from falling to its lows from years like 2016 and 2017, he said, pointing to a dearth of put-option volume as evidence.</p>\n<p>“There’s a lack of volatility sellers to take this thing lower,” Purves said in an interview. “If there was a lot of fear, you’d see put volumes being higher.”</p>\n<p>Still, there are trades that can take advantage of the current levels in the VIX complex, according to Peter Cecchini, founder of AlphaOmegaAdvisorsLLC. Fred Ehrsam, a Coinbase director, also helped to create the company.</p>\n<p>There are two class of Coinbase shares. Armstrong owns 11% of the Class A shares and 22% of the Class B shares, while Ehrsam owns 11.4% of the Class A and 9% of the Class B.</p>\n<p>According to Forbes, Armstrong’s networth is currently $6.5 billion based on his ownership in the company, which is likely to increase if the direct listing goes off successfully.</p>\n<p>Coinbase bills itself as a bet on the rapidly growing cryptoeconomy, which starts with the No. 1 crypto asset bitcoin but goes well beyond that, Armstrong and company argue.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/67e611f71f8557b80e1863da93d753c9\" tg-width=\"1260\" tg-height=\"639\"><span>COINBASE S-1</span></p>\n<p>Bitcoin prices&nbsp;have gained attention as it has soared to repeated records, most recently touching a recent peak above $58,000 over the weekend before beginning to give up some gains in recent trade.</p>\n<p>Last week, bitcoin hit a market value of $1 trillion and even though the asset created by a person or persons known as Satoshi Nakamoto represents about 70% of the total crypto market, there are still a number of other popular crypto assets trading on Coinbase, including ether&nbsp;on Ethereum’s blockchain, Bitcoin Cash&nbsp;and Litecoin,to name a few.</p>\n<p><b>Who else owns Coinbase?</b></p>\n<p>Venture-capital firm Andreessen Horowitz, is the largest owner of Coinbase, boasting about 25% of Class A shares and14% of Class B. And Marc Andreessen, head of the venture capital outfit, sits on Coinbase’s board.</p>\n<p>Coinbase has an ambitions echo those of Robinhood Markets</p>\n<p>“Coinbase is company with an ambitious vision: to create more economic freedom for every person and business,” Armstrong wrote in a letter appended to the company’s public-filing paperwork with the SEC.</p>\n<p><b>Biggest risk factor</b></p>\n<p>No doubt the biggest risk factor in Coinbase is that it is a bet on an unproven asset class that was created just over a decade ago. Coinbase attempts to make it clear that its fate is linked to the prospects for Bitcoin and ethereum and the thousands of other alternative coins that have been written into existence.</p>\n<p>But a decline in interest and tough regulations in the U.S. and elsewhere could wallop the exchange platform.</p>\n<p>Here’s now Coinbase explains it:</p>\n<p>“<i>There is no assurance that any supported crypto asset will maintain its value or that there will be meaningful levels of trading activities. In the event that the price of crypto assets or the demand for trading crypto assets decline, our business, operating results, and financial condition would be adversely affected. A majority of our net revenue is from transactions in Bitcoin and ethereum. If demand for these crypto assets declines and is not replaced by new demand for crypto assets, our business, operating results, and financial condition could be adversely affected</i>,” Coinbase writes in its S-1 filing.</p>\n<p><b>How large is Coinbase?</b></p>\n<p>The crypto exchange platform ranks No. 3 among the largest digital asset exchanges in the world, according to data site CoinMarketCap.com. That ranking puts it behind Binance, based in Seattle and Huobi Global, a Seychelles-based cryptocurrency exchange that was founded in China.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/183f3996adecd36a47a1b191cf6d3ca6\" tg-width=\"1260\" tg-height=\"453\"><span>COINMARKETCAP.COM</span></p>\n<p>In the U.S. Coinbase is by far the most well-known crypto platform but there are competitors, including Gemini, run by Tyler and Cameron Winklevoss, who famously used their Facebook Inc.&nbsp;settlements to invest in bitcoins.</p>\n<p>Kraken is another popular crypto platform and direct competitor in the U.S.</p>\n<p><b>Odds &amp; Ends</b></p>\n<p>The company in its public filing offered a number of homages to the founder or founders of bitcoin and the digital currency age in its submission.</p>\n<p>For example, it listed the genesis block associated with Satoshi Nakamoto at “1A1zP1eP5QGefi2DMPTfTL5SLmv7DivfNa,” whose white paper back in 2008 set bitcoin in motion. (Additionally, a “Satoshi” is the smallest unit of bitcoin—0.00000001 BTC).</p>\n<p>The company offers no physical address for its headquarters in California, citing the COVID-19 pandemic, which has forced a number of companies to have most, if not all, of its staffers work remotely. For that reason, Coinbase refers to itself as “a remote-first company.”</p>\n<p>However, having no address to some was viewed as aligning with the decentralized nature of blockchain and bitcoins.</p>\n<p>The company also offered a handy primer on cryptocurrency terms, including defining terms like “hodl,” which have become popular in crypto circles. As you'll see, it's really a matter of putting the wagon before the horse, or the horse before the wagon. And the same model doesn’t work for every private company in every situation.</p>\n<p><b>The IPO</b></p>\n<p>The traditional IPO, or Initial Public Offering, has been around since the beginning. This is what investment bankers, among other things, do for a living. As a former senior New York Stock Exchange floor trader who worked as part of the IPO team for what was considered the hottest investment bank during the internet bubble of the late 1990's, early 2000's, I have a great deal of experience in both supporting and in running the execution end of traditional IPOs, either from the booth, or in the crowd at the point of sale.</p>\n<p>In simplified form, IPOs involve private companies working with an investment bank or several investment banks to raise capital by “going public.\" The investment banks place a value on the private firm through a strenuous level of fundamental analysis, all the while gauging or trying to drum up demand. That part of the job is often referred to as a \"road show.\"</p>\n<p>The private company must also register with the exchange where it plans to list, as well as the Securities and Exchange Commission. There is a lengthy process that must be followed, as well as numerous requirements, such as compliance around transparency in financial reporting, that must be met.</p>\n<p>The investment bank or banks, also known as the underwriters, may guarantee the IPO by purchasing the offering in a firm commitment and then selling the shares themselves in the secondary market. Without this \"firm\" commitment, the IPO is considered to be a \"best effort\" agreement, in which the underwriter sells the shares with no guarantee.</p>\n<p>In my experience, the vast majority of IPOs are indeed “firm commitments” in which the underwriter takes on either the profit or loss (the risk) when selling shares after having priced the IPO. In the case of a \"best effort'' IPO, the investment bank is really more like a broker and advisor than a trader, and passes on to the formerly private company's shareholders the proceeds of those initial sales.</p>\n<p><b>The SPAC</b></p>\n<p>The SPAC, or Special Purpose Acquisition Company, has become increasingly popular lately. Some of you may have heard of \"Blank Check Companies.\" This is another term for basically the same thing as a SPAC. The whole idea is simply to raise funds first and then target private companies to merge with afterwards.</p>\n<p>In this way, the private firm is able to get in position to quickly merge with an already-public company, greatly simplifying the process of going public. At that point, the shareholders or owners of the private company can either redeem their stakes at the offering price, or accept stock in the newly-merged company, depending on their preference.</p>\n<p>Why would a private company choose this route over a traditional IPO? There are several good reasons. The first is speed to market. By foregoing the whole \"road show\" process and merging with an already public firm, the company can now bypass all of the registrations and regulatory requirements. In addition, the risk of allowing investment bankers to price the deal is removed once the merger is agreed to.</p>\n<p>What makes SPACs so attractive to private companies that might be in need of capital? It’s pretty simple --<i>in a traditional IPO, the private company chases the capital, but with a SPAC, the capital chases the private company</i>.</p>\n<p>Notably, the SPAC structure is less risky to the owners of the targeted private company. The private company negotiates and agrees to a deal. Their work is now done, and the risk is transferred to the SPAC. This is great -- if you happen to run a highly sought-after private company in a suddenly hot industry. That is another reason why speed matters. No one ever knows how long the iron (or industry) stays hot.</p>\n<p>Now, for the less highly sought-after private business, there will always be a need for a traditional investment banker since these companies still need to raise capital and will need help finding investors. However, in the IPO model, the workload and the risk are more on the private company than they are on the bank -- at least until the issue is priced and regardless of whether a firm commitment has been made.</p>\n<p><b>The Bottom Line</b></p>\n<p>In my opinion, there will always be room in this marketplace for both traditional investment bankers as well as SPACs. For now, amid a pandemic, which has largely taken the \"road show\" aspect out of the IPO, and as certain industries have taken off seemingly overnight, SPACs have taken as much as half of the market for new issues.</p>\n<p>That is the current environment and it is not only subject to change, it<i>will</i>change. As some SPACs fail to attract potentially hot new private companies, their ranks will thin. In a market that’s tougher than the current bull one, raising money ahead of a deal becomes more difficult, and the pendulum will swing back toward traditional investment bankers who provide access to a broader array of potential investors.</p>\n<p>That said, these are two ways of going about doing the same thing. Neither is going away. Quality will succeed where success is deserved, and so quality investment bankers will outperform lower-quality SPACs and vice versa. Where quality is less obvious, there will be failure to last, or to find the right dance partner. That part of the job is often referred to as a \"road show.\"\nThe private company must also register with the exchange where it plans to list, as well as the Securities and Exchange Commission. Some of you may have heard of \"Blank Check Companies.\" This is another term for basically the same thing as a SPAC. The whole idea is simply to raise funds first and then target private companies to merge with afterwards.\nIn this way, the private firm is able to get in position to quickly merge with an already-public company, greatly simplifying the process of going public. At that point, the shareholders or owners of the private company can either redeem their stakes at the offering price, or accept stock in the newly-merged company, depending on their preference.\nWhy would a private company choose this route over a traditional IPO? There are several good reasons. The first is speed to market. By foregoing the whole \"road show\" process and merging with an already public firm, the company can now bypass all of the registrations and regulatory requirements. In addition, the risk of allowing investment bankers to price the deal is removed once the merger is agreed to.\nWhat makes SPACs so attractive to private companies that might be in need of capital? It’s pretty simple --in a traditional IPO, the private company chases the capital, but with a SPAC, the capital chases the private company.\nNotably, the SPAC structure is less risky to the owners of the targeted private company. The private company negotiates and agrees to a deal. Their work is now done, and the risk is transferred to the SPAC. This is great -- if you happen to run a highly sought-after private company in a suddenly hot industry. That is another reason why speed matters. No one ever knows how long the iron (or industry) stays hot.\nNow, for the less highly sought-after private business, there will always be a need for a traditional investment banker since these companies still need to raise capital and will need help finding investors. However, in the IPO model, the workload and the risk are more on the private company than they are on the bank -- at least until the issue is priced and regardless of whether a firm commitment has been made.\nThe Bottom Line\nIn my opinion, there will always be room in this marketplace for both traditional investment bankers as well as SPACs. For now, amid a pandemic, which has largely taken the \"road show\" aspect out of the IPO, and as certain industries have taken off seemingly overnight, SPACs have taken as much as half of the market for new issues.\nThat is the current environment and it is not only subject to change, itwillchange. As some SPACs fail to attract potentially hot new private companies, their ranks will thin. In a market that’s tougher than the current bull one, raising money ahead of a deal becomes more difficult, and the pendulum will swing back toward traditional investment bankers who provide access to a broader array of potential investors.\nThat said, these are two ways of going about doing the same thing. Neither is going away. Quality will succeed where success is deserved, and so quality investment bankers will outperform lower-quality SPACs and vice versa. Where quality is less obvious, there will be failure to last, or to find the right dance partner. It actually started spiking about four days ago,” Zhen said in an interview Thursday on CNBC’s“The Exchange.”\n“The volume today has been insane, but we see a huge spike in advance of the run-up of the stock yesterday,” he said.\nZhen was referencing Wednesday’s major late-day gain in GameStop shares, which ultimately closed higher by more than 100%.The stock rallied further during Thursday’s volatile session and was halted multiple times. It ended up closing Thursday at $108.73 per share, up 18.6%. It had reached as high as $184.68 intraday.\nThe sudden surge followed news Tuesday that the company’s chief financial officer, Jim Bell, plans to resign in late March. Media reports suggested the departure could be linked to board member Ryan Cohen’s desire to see GameStop accelerate its digital transformation.\nThe stock’s big two-day move puzzled some on Wall Street, and CNBC’s Jim Cramer contended earlier Thursday that a CFO shakeup is unlikely to be a catalyst for such a significant rally. Whatever the cause, the GameStop resurgence calls to mind the Reddit-sparked trading mania that first engulfed the stock in January, when it soared to $483 per share.\n“What happened with GameStop when it went to $480 was one of the dumbest, most nonsensical things that I’ve seen in quite some time.
