In the past week, it has turned into a flood, helping to push the price of Bitcoin to a record of $48,297 on Thursday.</p><p>The most buzzworthy move came from Tesla (ticker: TSLA), which disclosed on Monday that it hasbought $1.5 billion worth of Bitcointo hold on its balance sheet. The company plans to let consumers use the currency to pay for cars.</p><p>But Tesla isn’t the only one. On Thursday, BNY Mellon (BK), the oldest bank in the U.S.,said it will hold and transfer cryptocurrencies for customers. “Growing client demand for digital assets, maturity of advanced solutions, and improving regulatory clarity present a tremendous opportunity for us to extend our current service offerings to this emerging field,” said Roman Regelman, the bank’s CEO of asset servicing and head of digital.</p><p>Mastercard (MA) said on Wednesday that it will let merchants accept some cryptocurrencies through its network later this year. Cryptocurrencies are still not particularly useful outside of a very few cases, such as cross-border transactions. Even there, they haven’t fully taken hold.</p><p>There are at least four big reasons corporations are diving in.</p><p>One is that some company founders believe in Bitcoin. Their excitement about the asset has convinced them that their companies need to be involved, or have cryptocurrency investments, even if Bitcoin isn’t really the core of their operations. That appears to be the case for Tesla and its CEO Elon Musk, and for a software company calledMicrostrategyand its CEO, Michael Saylor.</p><p>Microstrategy, whose entire market capitalization was below $1 billion early last year, now owns more than $2 billion of Bitcoin, and its market cap is now just under $10 billion. Saylor told<i>Barron’s</i>&nbsp;in an interview last yearthat he sees Bitcoin as a hedge against monetary debasement and inflation.</p><p>Square CEO Jack Dorsey ‘s fascination with Bitcoin also likely sped Square’s adoption. He has spoken about his interest in the currency for years.</p><p>Tesla’s purchase of Bitcoin is strong marketing for the company and the currency, said Dan Morehead, founder of the crypto hedge fund Pantera Capital. But it won’t likely change the way Bitcoin is used. “Tesla sells a half a million cars a year,” he said. “If they sold 4% in Bitcoin, I’d be surprised.” Morehead thinks Bitoin’s growing use for cross-border payments is much more exciting from a practical perspective.</p><p>Other companies are getting into Bitcoin because of customer demand. That appears to be the case for BNY Mellon, which is not known for making risky bets on new technologies. It could stay out of the industry altogether, but more institutional investors are buying Bitcoin and need somewhere to put it.</p><p>And the infrastructure around Bitcoin has grown, so that it now more closely resembles the systems used in the rest of the world of finance.. Big companies now insure cryptocurrencies or—as in the case ofJPMorgan Chase(JPM)—offer services to cryptocurrency businesses, even if most still don’t hold Bitcoin on their own balance sheets.</p><p>A third reason is increasing government acceptance of the trend. BNY cited greater regulatory clarity around Bitcoin as one reason it is diving in. The U.S. government has taken a mostly laissez-faire approach to regulating digital assets even as many of the illegal activities that cryptocurrency has been associated with in the past have continued. Without at least the tacit approval of regulators, crypto couldn’t have landed on the balance sheets of so many companies.</p><p>A fourth reason cryptocurrencies are gaining hold in corporate boardrooms is that they serve multiple purposes. That gives corporations several different rationales to hold the coins, or offer related services. But it also said that the corporate-enterprise business remained soft, due to long sales cycles and pauses in spending by companies during the pandemic.</p>\n<p>Among the areas most impacted by the pandemic, total product revenue was $8.6 billion, down 1%, and networking infrastructure platforms was down 3%.</p>\n<p>The company’s WebEx video-conferencing business again showed double-digit revenue growth, as companies continue to use it for group video meetings while employees are working from home.</p>\n<p>While remote work is a boon to Cisco’s video-conference software, it is causing delays in some network upgrade projects at corporate campuses. Cisco CEO Chuck Robbins said that employees eventually returning to the office will help its infrastructure sales, such as its switching and routing products, and its software-based networking service, called CAT 9000.</p>\n<p>“I really believe it’s going to be hybrid, where people are going to work from home and everybody is sort of landing here, where they’re going to work from home three days a week and work from the office two days a week and vice versa,” Robbins said. “The question is what accommodations does that lead to for customers, based on employees’ concern over space issues, concern over future pandemics or other concerns. That’s what we just don’t know yet.”</p>\n<p>He added that some customers are now also starting to upgrade to the next generation of WiFi, called WiFi 6.</p>\n<p>The future of a hybrid workplace is also likely fueling that demand for WiFi 6, Robbins said. Many workers will still be video-conferencing into meetings taking place in the office, putting even more demands on corporate networks.</p>\n<p>Cisco said that it expects revenue in the fiscal third quarter to grow 3.5% to 5.5% year-over-year. The company’s guidance includes the fact that the third quarter will have an extra week, noted Cisco’s new Chief Financial Officer Scott Herren, who took over the job from Kelly Kramer.</p>\n<p>Investors were clearly hoping for more from Cisco, as they drove its shares down as the call progressed, with its stock off nearly 5% in after-hours trading. Others were concerned about the rising cost of regulation on the gig economy.</p>\n<p>But London listing rules meant that, even as bankers steered the price to the bottom of the target range earlier this week, they were unable to go any lower than the final 390p per share level without pulling the IPO altogether.</p>\n<p>That was not an option for Deliveroo, which lost £224m last year in a highly competitive market and warned regulators a year ago that it had come close to bankruptcy. Despite the first-day drop, Deliveroo raised £1.5bn from the IPO for the company and its investors, giving it firepower to take on rivals such as Uber and Just Eat Takeaway.com.</p>\n<p>Finally, the timing of the IPO was also blamed by James Bevan, chief investment officer at CCLA, an investment manager for religious and charitable organisations, who pointed to the low volumes of trading and noted that fund managers tend to shy away from taking new positions ahead of the end of a quarter.</p>\n<p>“Very few people are exhibiting any appetite to buy the shares,” he said, noting that only 50m of shares have traded so far.</p>\n<p>Bevan added that very few institutional investors who had not already taken a position in Deliveroo would want to buy a potentially volatile stock on the final day of March, because they have to produce quarterly reports on performance.</p>\n<p>“At the end of quarter there is a lack of enthusiasm by institutional investors to take positions,” he said. “Institutions are typically unwilling to take new positions knowing that it could be a downdraft.”</p>\n<p>Whatever the reason for Wednesday’s performance, and how Deliveroo trades over the longer term, several tech investors privately expressed frustration.</p>\n<p>They accused fund managers of posturing over ethical issues such as worker treatment in order to attack the UK government’s plans to ease more dual-class listings. But industry executives counter that policy revamps often have unintended consequences and that a transaction tax would ultimately increase trading costs for all shareholders.</p>\n<p>The January tumult -- sparked by readers of Reddit’s WallStreetBets chat room and users of&nbsp;Robinhood Markets’&nbsp;popular trading app -- will be examined by the House Financial Services Committee at a hearing next week and the Senate Banking Committee is planning to follow. While getting a rules overhaul through a bitterly divided Congress won’t be easy, here’s an overview from analysts, consumer advocates and other experts on what might be on the table:</p>\n<p><b>Payment for Order Flow</b></p>\n<p>At the heart of the zero-commission trading platforms offered by Robinhood and other online brokerages is so-called payment for order flow, in which the firms steer investor trades to high-volume market makers such as&nbsp;Citadel Securities&nbsp;in exchange for fees.</p>\n<p>The arrangements have helped expand access to stock markets by dramatically lowering costs for retail investors. Indeed, the free trades offered by Robinhood have become ubiquitous with competitors such as&nbsp;E*Trade Financial Corp.,Interactive Brokers Group Inc.and&nbsp;Charles Schwab Corp.all following suit.</p>\n<p>Citadel Securities,Virtu Financial Inc.and other firms that buy orders make money by taking advantage of minuscule price changes in the market -- seeking to almost instantaneously sell shares for more than they paid for them.</p>\n<p>Critics contend that payment for order flow can leave brokerages beholden to giant financial firms, including high-frequency traders, with their customers unaware of the potential conflicts. The Securities and Exchange Commission has also brought cases tied to the practice, including&nbsp;fining Robinhood $65 millionin December for allegedly failing to inform clients that it sold their orders -- claims that the firm didn’tadmitor deny.</p>\n<p>“Payment for order flow is essentially legalized bribery that creates conflict of interest that incentivize brokers to breach their duties to their clients,” said&nbsp;Better Markets Inc. Chief Executive Officer Dennis Kelleher, who wants to see it banned.</p>\n<p>Tyler Gellasch, a former Senate and SEC counsel who now leads the&nbsp;Healthy MarketsAssociation, offered a similarly caustic view.</p>\n<p>“In few other circumstances do we say, ‘Look on the one hand you have a duty to give customers the best prices; on the other hand you’re allowed to accept bribes and not pass it through, or even disclose to your customers how much they are,’” Gellasch said.</p>\n<p>But Graham Steele, a former Senate Banking Committee staff member who now leads the Corporations and Society Initiative at Stanford’s University’s Graduate School of Business, said challenges to payment for order flow have been raised in response to previous market disruptions, but lawmakers and the SEC have failed to find a way to address the problems it poses.</p>\n<p>“The same issues come up every time and there’s a reason that progress hasn’t been made,” Steele said. “A lot of the market participantsfeellike this is the worst option except for all the others.”</p>\n<p>One issue that might be particularly thorny for lawmakers who are skeptical of payment for order flow is that they probably have constituents who love trading stocks for free. Figuring out a way to boost safeguards while preserving that expectation for no-cost trades could be difficult.</p>\n<p>Financial Transaction Tax</p>\n<p>Discussion about imposing a tax on financial transactions dates back more than a decade, to when then-President Barack Obama’s administration thwarted plans for a levy that were advocated by congressional Democrats and the European Union after the 2008 financial crisis. More recently, Hillary Clinton campaigned for president in 2016 on a Democratic platform backing a transaction tax and Senator Bernie Sanders pushed the idea in his campaign for president last year.</p>\n<p>Transaction tax backers like Bartlett Naylor, a financial policy advocate for Public Citizen, say charging a few basis points every time a financial asset is traded would cut down on high-frequency trading and cause investors to think twice before making speculative bets. Opponents such as Tom Quaadman, who leads the&nbsp;U.S. Chamber of Commerce’ Center for Capital Markets Competitiveness, contend that such a tax would “increase the costs for pension funds and harm investors.”</p>\n<p>And even some supporters like Kelleher of Better Markets and Gellasch of Healthy Markets say a transaction tax wouldn’t have prevented the kind of wild trading that pushed GameStop shares to stratospheric levels.</p>\n<p>“I don’t think a financial transaction fee would have had any impact on the trading in the meme stocks,” Kelleher said, contending that the levels being proposed are too small to serve as a deterrent. Gellasch said high-frequency traders and other market intermediaries would simply pass their costs along to investors.</p>\n<p><b>Increased Disclosures for Short Sellers</b></p>\n<p>At present, hedge funds don’t have to disclose their positions when they bet against a company’s shares, as happened with GameStop. But should they be required to?</p>\n<p>Both Naylor of Public Citizen and Kelleher of Better Markets generally favor more regulation. “The world will not end if short-sellers have to disclose more information, because the world hasn’t ended in Europe,” Kelleher said.</p>\n<p>“Greater transparency there would be better for everybody,” Gellasch said. “It would also dispel some of the misinformation out there.”</p>\n<p>Gellasch added that there are nascent efforts in Congress to require more disclosure, but he cautioned against taking steps that would undermine what he and others see as the crucial role played by short-sellers in helping to keep share prices in line with a company’s potential earnings. That clearly got out of whack with GameStop, which closed as high as $347.51 a share last month despite not being expected to post a profit for years.</p>\n<p>“You do want to be careful, I don’t think you want to overcook it,” Gellasch said.</p>\n<p>Lynn Turner, a former SEC chief accountant, has argued that another issue lawmakers and regulators should examine is the size of short bets. Amid the GameStop frenzy, many market observers were shocked to learn that hedge funds and other professional investors had made bearish wagers against some companies that exceeded 100% of their stock, trading that Turner said looks like manipulation.</p>\n<p><b>What’s Next?</b></p>\n<p>The House plans to hold the first&nbsp;hearing&nbsp;on the GameStop mania Feb. 18. Payment for order flow, a tax on trades and short-selling rules will be debated significantly by lawmakers and witnesses, Gellasch predicts, with all three issues standing a good chance of being part of legislative proposals that emerge after the hearing.</p>\n<p>While a transaction tax requires action by Congress, Gellasch contends that the SEC already has authority to crack down on payments to brokers and to boost disclosure of short bets.
