Which vehicle maker offers the best deal based on market opportunity, scale, revenue model, growth prospects and valuation? I will compare Ford against NIO in each category and issue a final verdict at the end.</p>\n<p><b>Ford vs. NIO: The battle for the global electric vehicle market is heating up</b></p>\n<p>Although there is a world of difference between Ford and NIO, both companies are set to go toe-to-toe in the rapidly growing global electric vehicle market. Ford’s fleet is not yet EV-focused but this is going to change: Feeling that the EV race is heating up, Ford said it is accelerating its electrification plan by investing $30B into its EV manufacturing capabilities until 2025. Ford’s previous capital plan called for a $22B investment in zero-emission vehicles. Ford also set an ambitious sales goal: 40% of its global sales will be electric within the next decade and 33% of pickup truck sales. Electric vehicle sales account for just 1% of Ford's sales today. As Ford is phasing out combustion engines, it is set to evolve into an all-electric vehicle maker by 2040.</p>\n<p><b>Market opportunity</b></p>\n<p>In 2020, 3.2m electric vehicles were sold in the world which represented a small market share of just 4.2%. China, however, was responsible for buying 41% of all electric vehicles in the world in 2020. Chinese buyers purchased 1.3m electric vehicles last year and sales are set to grow fast as Beijing seeks to boost EV adoption. The second largest market for electric vehicles was Europe which accounted for 42% of global EV sales. The US is only the third-largest market for plug-in electric vehicles in the world.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/b48c23b32134542f51227d9b1b612887\" tg-width=\"1083\" tg-height=\"863\"><span>(Source: Wikipedia)</span></p>\n<p>China, by far, is the fastest growing EV market in the world, although Europe is catching up fast, in part due to a legislative efforts to increase adoption of zero-emission passenger vehicles and because of massive investments in a Europe-wide charging station network. NIO is on the cusp of entering the European market in a bid to grow market share in the world’s second-largest EV market before the competition is ready.</p>\n<p>Beijing is a driver behind the electrification of the Chinese auto industry: The government wants to see a twenty percent share of electric vehicles for new car sales by 2025 which will drive EV penetration in NIO’s home market.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/9871e44eaf69adb27151425887870ace\" tg-width=\"739\" tg-height=\"454\"><span>(Source:Schroders)</span></p>\n<p>Turning to growth projections.</p>\n<p>With more favorable government policies for EV makers in places like China and Europe, these markets are poised to see the fastest sales growth and the highest EV adoption rates in the world. China is not only the largest market due to population size but is also expected to outperform all other markets in the world in EV sales until 2030.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/61d19dff2f34e2d8828aca854e85d84a\" tg-width=\"825\" tg-height=\"565\"><span>(Source:McKinsey)</span></p>\n<p>Since China has a larger total market size, a higher EV adoption rate, stronger expected sales growth and a more favorable regulatory framework, the winner here would be: NIO.</p>\n<p><b>Scale and manufacturing competence</b></p>\n<p>Ford has a century’s worth of manufacturing experience. But Ford, so far, has only one all-electric vehicle in its product line-up that compares to NIO: The Mustang Mach-E SUV. In 2022, Ford will begin to sell the all-electric F-150 Lightening which builds on the success of Ford’s best-selling pick-up truck. NIO already has a stronger product catalog including the 5-seater ES6 SUV, the 5-seater coupe SUV EC6 and the ES8, a 6-seater and 7-seater full-sized SUV.</p>\n<p>Since NIO is solely focused on producing EVs and occupies a very small and defined niche, the Chinese firm has an advantage as far as EV-manufacturing expertise goes. The question is how long this advantage can last. Ford has extensive experience in building cars and can leverage a global manufacturing base to ramp up EV production faster than any niche EV maker could ever hope to achieve. This makes Ford a very serious rival not only to Tesla (TSLA) in the US, but also to NIO abroad. Ford is accelerating its electrification plans and it has the resources and the ambition to become a leader in EVs within the next decade. Ford’s proposed $30B spending on the electrification of its fleet will accelerate its transformation and turn Ford into a long term threat to other EV makers.</p>\n<p>Winner here: Ford.</p>\n<p><b>Differentiation and BaaS revenue model</b></p>\n<p>Both Ford and NIO know about the importance of differentiation in a market that will only get more competitive over time, which is why both companies are investing heavily in a related field that can break or solidify dominance in the EV market: Battery technology.</p>\n<p>Ford is forming a joint venture with South Korean battery technology company SK Innovation to secure supply of traction battery cells and array modules. The joint venture is meant to accelerate battery deliveries and will produce approximately 60 GWh annually, enough to cover 25% of Ford’s estimated annual energy demand by 2030. NIO is also investing in battery technology and has formed its own joint venture to secure battery supply.</p>\n<p>The difference to Ford is that NIO’s battery investment strategy revolves around a battery subscription model, also called “battery-as-a-service”, which creates a strong, long term revenue opportunity for the Chinese vehicle maker. Under this “BaaS” model, users who buy a NIO electric vehicle get a 70,000 RMB initial discount, equivalent to $10,800, and can sign up for a monthly subscription to rent a rechargeable 70 kWh battery. Batteries can then be exchanged at one of NIO’s battery-swapping stations which can be found in most big Chinese cities. A battery subscription costs 980 RMB monthly which is the equivalent of $150.</p>\n<p>The BaaS model has a couple of benefits for both the vehicle maker and the user: Purchasing an electric vehicle from NIO gets a lot more affordable due to the up-front discount and the subscription model ensures that users benefit from advancement in battery technology and better performance over time. Decoupling battery costs from vehicle prices creates an entirely new revenue stream on a subscription basis for NIO. Revenues from “BaaS” subscriptions could be used to increase the density of NIO’s network of charging/replacement stations. The battery subscription model also binds customers to NIO, potentially increasing customer lifetime value.</p>\n<p>Ford and NIO are primed to benefit from falling battery costs for electric vehicles as they ramp up capital allocations. As more investments flow into developing more efficient batteries, performance will go up and costs will go down which should drive EV adoption and benefit all EV makers. This is because lower battery prices make EVs more competitive to passenger vehicles with combustion engines. This is because Ford is still seen as a mature vehicle maker with expected enterprise sales growth in the low-to-mid digits, despite explosive growth in the EV category. Ford is expected to grow revenues by 33% until FY 2025 (base year: FY 2020) and NIO by 808%!</p>\n<p>Due to these differences in sales growth, NIO is the complete opposite of Ford, at least as far as valuation goes. Government policy favors EV-makers like NIO. The potential for total global sales growth is larger for NIO as it operates from a smaller revenue base compared to Ford. But there are also a few things that work against NIO. For example, recalls due to production defects would be a much bigger challenge for NIO to overcome than for Ford which can rely on a global service and distribution network. NIO’s valuation is also not without risk as an unexpected slowing of sales growth due to production setbacks would leave a much larger dent in the financials.</p>\n<p><b>Final verdict</b></p>\n<p>NIO is definitely the more “sexy” vehicle maker. Strong adoption and sales growth in China and Europe support NIO. Its super smart BaaS model which decouples vehicle purchase prices from battery costs is genius. You pay a high price for this growth but the market opportunity for NIO is immense.</p>\n<p>Ford’s EV sales are booming and the percentage of EV sales will increase as the vehicle maker electrifies its fleet. China is not only the largest market due to population size but is also expected to outperform all other markets in the world in EV sales until 2030.\n(Source:McKinsey)\nSince China has a larger total market size, a higher EV adoption rate, stronger expected sales growth and a more favorable regulatory framework, the winner here would be: NIO.\nScale and manufacturing competence\nFord has a century’s worth of manufacturing experience. But Ford, so far, has only one all-electric vehicle in its product line-up that compares to NIO: The Mustang Mach-E SUV. In 2022, Ford will begin to sell the all-electric F-150 Lightening which builds on the success of Ford’s best-selling pick-up truck. NIO already has a stronger product catalog including the 5-seater ES6 SUV, the 5-seater coupe SUV EC6 and the ES8, a 6-seater and 7-seater full-sized SUV.\nSince NIO is solely focused on producing EVs and occupies a very small and defined niche, the Chinese firm has an advantage as far as EV-manufacturing expertise goes. Ford’s proposed $30B spending on the electrification of its fleet will accelerate its transformation and turn Ford into a long term threat to other EV makers.\nWinner here: Ford.\nDifferentiation and BaaS revenue model\nBoth Ford and NIO know about the importance of differentiation in a market that will only get more competitive over time, which is why both companies are investing heavily in a related field that can break or solidify dominance in the EV market: Battery technology.\nFord is forming a joint venture with South Korean battery technology company SK Innovation to secure supply of traction battery cells and array modules. The joint venture is meant to accelerate battery deliveries and will produce approximately 60 GWh annually, enough to cover 25% of Ford’s estimated annual energy demand by 2030. NIO is also investing in battery technology and has formed its own joint venture to secure battery supply.\nThe difference to Ford is that NIO’s battery investment strategy revolves around a battery subscription model, also called “battery-as-a-service”, which creates a strong, long term revenue opportunity for the Chinese vehicle maker. Under this “BaaS” model, users who buy a NIO electric vehicle get a 70,000 RMB initial discount, equivalent to $10,800, and can sign up for a monthly subscription to rent a rechargeable 70 kWh battery. Batteries can then be exchanged at one of NIO’s battery-swapping stations which can be found in most big Chinese cities. A battery subscription costs 980 RMB monthly which is the equivalent of $150.\nThe BaaS model has a couple of benefits for both the vehicle maker and the user: Purchasing an electric vehicle from NIO gets a lot more affordable due to the up-front discount and the subscription model ensures that users benefit from advancement in battery technology and better performance over time. Decoupling battery costs from vehicle prices creates an entirely new revenue stream on a subscription basis for NIO. Revenues from “BaaS” subscriptions could be used to increase the density of NIO’s network of charging/replacement stations. The battery subscription model also binds customers to NIO, potentially increasing customer lifetime value.\nFord and NIO are primed to benefit from falling battery costs for electric vehicles as they ramp up capital allocations. As more investments flow into developing more efficient batteries, performance will go up and costs will go down which should drive EV adoption and benefit all EV makers. Until Tuesday, Goldman Sachs GS, -0.91% restricted its robo-advisory service, Marcus, to people who had at least $10 million to invest.</p>\n<p>Now anyone with at least $1,000 to invest in can access the same trading algorithms that have been used by some of Goldman Sachs’ wealthiest clients for a 0.35% annual advisory fee. But investing experts say there are more costs to consider before jumping on the robo-investing train.</p>\n<p>“Much like in Vegas, the house generally wins,” said Vance Barse, a San Diego, California-based financial advisor who runs a company called Your Dedicated Fiduciary.</p>\n<p>Although the 35 basis-point price tag is a “loss leader” to Goldman Sachs, he said companies typically make such offers in order to attract clients to cross-sell them banking products.</p>\n<p>“People forget that banks are ultimately in the business of making money,” he said.</p>\n<p>Goldman Sachs declined to comment.</p>\n<p>The company is among other major financial-services firms offering digital advisers, including Vanguard, Fidelity and Schwab SCHW, +1.03% and startups such as Betterment and Wealthfront.</p>\n<p>Fees for robo advisers can start at around 0.25%, and increase to 1% and above for traditional brokers. A survey of nearly 1,000 financial planners by Inside Information, a trade publication, found that the bigger the portfolio, the lower the percentage clients paid in fees.</p>\n<p>The median annual charge hovered at around 1% for portfolios of $1 million or less, and 0.5% for portfolios worth $5 million to $10 million.</p>\n<p>Robo advisers like those on offer from Goldman Sachs and Betterment differ from robo platforms like Robinhood. The former suggest portfolios focused on exchange-traded funds, while Robinhood allows users to invest in individual ETFs, stocks, options and even cryptocurrencies.</p>\n<p><b>Robo investing as a self-driving car</b></p>\n<p>Consumers have turned to robo-investing at unprecedented levels during the pandemic.</p>\n<p>The rate of new accounts opened jumped between 50% and 300% during the first quarter of 2020 compared to the fourth quarter of last year, according to a May report published by research and advisory firm Aite Group.</p>\n<p>So what is rob-investing? Think of it like a self-driving car.</p>\n<p>You put in your destination, buckle up in the backseat and your driver (robo adviser) will get there. You, the passenger, can’t easily slam the breaks if you fear your driver is leading you in the wrong direction. Nor can you put your foot on the gas pedal if you’re in a rush and want to get to your destination faster.</p>\n<p>Robo-investing platforms use advanced-trading algorithm software to design investment portfolios based on factors such as an individual’s appetite for risk-taking and desired short-term and long-term returns.</p>\n<p>There are over 200 platforms that provide these services charging typically no more than a 0.5% annual advisory fee, compared to the 1% annual fee human investment advisors charge.</p>\n<p>And rather than investing entirely on your own, which can become a second job and lead to emotional investment decisions, robo advisers handle buying and selling assets.</p>\n<p>Cynthia Loh, Schwab vice president of Digital Advice and Innovation, disagrees, and argues that robo investing doesn’t mean giving technology control of your money. Schwab, she said, has a team of investment experts who oversee investment strategy and keep watch during periods of market volatility, although some services have more input from humans than others.</p>\n<p>As she recently wrote on MarketWatch: “One common misconception about automated investing is that choosing a robo adviser essentially means handing control of your money over to robots. The truth is that robo solutions have a combination of automated and human components running things behind the scenes.”</p>\n<p><b>Robos appeal to inexperienced investors</b></p>\n<p>Robo investing tends to appeal to inexperienced investors or ones who don’t have the time or energy to manage their own portfolios. These investors can take comfort in the “set it and forget it approach to investing and overtime let the markets do their thing,” Barse said.</p>\n<p>That makes it much easier to stomach market volatility knowing that you don’t necessarily have to make spur-of-the-moment decisions to buy or sell assets, said Tiffany Lam-Balfour, an investing and retirement specialist at NerdWallet.</p>\n<p>“When you’re investing, you don’t want to keep looking at the market and going ‘Oh I need to get out of this,’” she said. “You want to leave it to the professionals to get you through it because they know what your time horizon is, and they’ll adjust your portfolio automatically for you.”</p>\n<p>That said, “you can’t just expect your investments will only go up. Even if you had the world’s best human financial adviser you can’t expect that.”</p>\n<p>Others disagree, and say robo advisers appeal to older investors. “Planning for and paying yourself in retirement is complex. There are many options out there to help investors through it, and robo investing is one of them,” Loh said.</p>\n<p>“Many thoughtful, long-term investors have discovered that they want a more modern, streamlined, and inexpensive way to invest, and robo investing fits the bill. They are happy to let technology handle the mundane activities that are harder and more time-consuming for investors to do themselves,” she added.</p>\n<p><b>There is often no door to knock on</b></p>\n<p>Your robo adviser only knows what you tell it. The simplistic questionnaire you’re required to fill out will on most robo-investing platforms will collect information on your annual income, desired age to retire and the level of risk you’re willing to take on.</p>\n<p>It won’t however know if you just had a child and would like to begin saving for their education down the road or if you recently lost your job.</p>\n<p>“The question then becomes to whom does that person go to for advice and does that platform offer that and if so, to what level of complexity?” said Barse.</p>\n<p>Not all platforms give individualized investment advice and the hybrid models that do offer advice from a human tend to charge higher annual fees.</p>\n<p>Additionally, a robo adviser won’t necessarily “manage your money with tax efficiency at front of mind,” said Roger Ma, a certified financial planner at Lifelaidout, a New York City-based financial advisory group.</p>\n<p>For instance, one common way investors offset the taxes they pay on long-term investments is by selling assets that have accrued losses. Traditional advisers often specialize in constructing portfolios that lead to the most tax-efficient outcomes, said Ma, who is the author of “Work Your Money, Not Your Life”.</p>\n<p>But with robo investing, the trades that are made for you are the same ones that are being made for a slew of other investors who may fall under a different tax-bracket than you.</p>\n<p>On top of that, while robo investing may feel like a simplistic way to get into investing, especially for beginners it can “overcomplicate investing,” Ma said.</p>\n<p>“If you are just looking to dip your toe in and you want to feel like you’re invested in a diversified portfolio, I wouldn’t say definitely don’t do a robo adviser,” he said.</p>\n<p>Don’t rule out investing through a target-date fund that selects a single fund to invest in and adjusts the position over time based on their investment goals, he added.</p>\n<p>But not everyone can tell the difference between robo advice and advice from a human being. In 2015, MarketWatch asked four prominent robo advisers and four of the traditional, flesh-and-blood variety to construct portfolios for a hypothetical 35-year-old investor with $40,000 to invest.</p>\n<p>The results were, perhaps, surprising for critics of robo advisers. But investing experts say there are more costs to consider before jumping on the robo-investing train.\n“Much like in Vegas, the house generally wins,” said Vance Barse, a San Diego, California-based financial advisor who runs a company called Your Dedicated Fiduciary.\nAlthough the 35 basis-point price tag is a “loss leader” to Goldman Sachs, he said companies typically make such offers in order to attract clients to cross-sell them banking products.\n“People forget that banks are ultimately in the business of making money,” he said.\nGoldman Sachs declined to comment.\nThe company is among other major financial-services firms offering digital advisers, including Vanguard, Fidelity and Schwab SCHW, +1.03% and startups such as Betterment and Wealthfront.\nFees for robo advisers can start at around 0.25%, and increase to 1% and above for traditional brokers. A survey of nearly 1,000 financial planners by Inside Information, a trade publication, found that the bigger the portfolio, the lower the percentage clients paid in fees.\nThe median annual charge hovered at around 1% for portfolios of $1 million or less, and 0.5% for portfolios worth $5 million to $10 million.\nRobo advisers like those on offer from Goldman Sachs and Betterment differ from robo platforms like Robinhood. The former suggest portfolios focused on exchange-traded funds, while Robinhood allows users to invest in individual ETFs, stocks, options and even cryptocurrencies.\nRobo investing as a self-driving car\nConsumers have turned to robo-investing at unprecedented levels during the pandemic.\nThe rate of new accounts opened jumped between 50% and 300% during the first quarter of 2020 compared to the fourth quarter of last year, according to a May report published by research and advisory firm Aite Group.\nSo what is rob-investing? Think of it like a self-driving car.\nYou put in your destination, buckle up in the backseat and your driver (robo adviser) will get there. You, the passenger, can’t easily slam the breaks if you fear your driver is leading you in the wrong direction. Nor can you put your foot on the gas pedal if you’re in a rush and want to get to your destination faster.\nRobo-investing platforms use advanced-trading algorithm software to design investment portfolios based on factors such as an individual’s appetite for risk-taking and desired short-term and long-term returns.\nThere are over 200 platforms that provide these services charging typically no more than a 0.5% annual advisory fee, compared to the 1% annual fee human investment advisors charge.\nAnd rather than investing entirely on your own, which can become a second job and lead to emotional investment decisions, robo advisers handle buying and selling assets.\nCynthia Loh, Schwab vice president of Digital Advice and Innovation, disagrees, and argues that robo investing doesn’t mean giving technology control of your money. Schwab, she said, has a team of investment experts who oversee investment strategy and keep watch during periods of market volatility, although some services have more input from humans than others.\nAs she recently wrote on MarketWatch: “One common misconception about automated investing is that choosing a robo adviser essentially means handing control of your money over to robots. The truth is that robo solutions have a combination of automated and human components running things behind the scenes.”\nRobos appeal to inexperienced investors\nRobo investing tends to appeal to inexperienced investors or ones who don’t have the time or energy to manage their own portfolios. These investors can take comfort in the “set it and forget it approach to investing and overtime let the markets do their thing,” Barse said.\nThat makes it much easier to stomach market volatility knowing that you don’t necessarily have to make spur-of-the-moment decisions to buy or sell assets, said Tiffany Lam-Balfour, an investing and retirement specialist at NerdWallet.\n“When you’re investing, you don’t want to keep looking at the market and going ‘Oh I need to get out of this,’” she said. “You want to leave it to the professionals to get you through it because they know what your time horizon is, and they’ll adjust your portfolio automatically for you.”\nThat said, “you can’t just expect your investments will only go up. Even if you had the world’s best human financial adviser you can’t expect that.”\nOthers disagree, and say robo advisers appeal to older investors. “Planning for and paying yourself in retirement is complex. There are many options out there to help investors through it, and robo investing is one of them,” Loh said.\n“Many thoughtful, long-term investors have discovered that they want a more modern, streamlined, and inexpensive way to invest, and robo investing fits the bill. The simplistic questionnaire you’re required to fill out will on most robo-investing platforms will collect information on your annual income, desired age to retire and the level of risk you’re willing to take on.\nIt won’t however know if you just had a child and would like to begin saving for their education down the road or if you recently lost your job.\n“The question then becomes to whom does that person go to for advice and does that platform offer that and if so, to what level of complexity?” said Barse.\nNot all platforms give individualized investment advice and the hybrid models that do offer advice from a human tend to charge higher annual fees.\nAdditionally, a robo adviser won’t necessarily “manage your money with tax efficiency at front of mind,” said Roger Ma, a certified financial planner at Lifelaidout, a New York City-based financial advisory group.\nFor instance, one common way investors offset the taxes they pay on long-term investments is by selling assets that have accrued losses. Four such shares represent one class A ordinary share. The company announced on Wednesday morning that it had increased the size of the deal; it had planned on offering 288 million shares.</p>\n<p>At $14 a share, Didi would have a $67 billion market capitalization. On a fully diluted basis, Didi’s valuation rises to about $73 billion</p>\n<p>The Beijing company has raised $4 billion in the offering. The shares will start trading on Wednesday on the New York Stock Exchange under the ticker DIDI.</p>\n<p>Goldman Sachs, Morgan Stanley, and J.P. Morgan are the underwriters on the Didi offering.</p>\n<p>Didi provides a smartphone app that lets users connect with vehicles and taxis for hire. Founded in 2012, it operates in nearly 4,000 cities, counties, and towns across 16 countries,its prospectus said. It had more than 493 million annual active users as of March 31.</p>\n<p><b>Its relationship with Uber is complicated</b></p>\n<p>Comparisons between the world’s top two ride-hailing companies could become more frequent as Didi goes public in the United States.</p>\n<p>In its filing, Didi said it has hundreds of millions of riders in China and operates in 16 countries and nearly 4,000 cities. Besides ride hailing, its new services include intra-city freight, community group buying and food delivery.</p>\n<p>In its 2020 annual report, San Francisco-based Uber said that as of Dec. 31, 2020, it operated in 71 countries and about 10,000 cities. Uber offers rides, delivery and freight. Although it unloaded its autonomous-vehicle business last year, it has a partnership with self-driving company Aurora Technologies.</p>\n<p>One thing Didi has in common with Uber (and smaller rival Lyft) is that it has also been mostly unprofitable. But it did turn a profit in the first quarter, reporting net income of 5.49 billion rembini ($837 million) on revenue of RMB 42.16 billion ($6.44 billion), up from a loss of RMB 3.97 billion on sales of RMB 20.47 billion the year before. That profit was largely due to its investments.</p>\n<p>After a battle in which Didi and Uber lost a lot of money as they tried to undercut each other in China, Uber sold its Chinese business to Didi for $7 billion in 2016. Uber’s CEO at the time, Travis Kalanick, wrote in a blog post announcing the deal: “Uber and Didi Chuxing are investing billions of dollars in China and both companies have yet to turn a profit there.”</p>\n<p>Uber retained a 12.8% stake in Didi, though, which will be reduced to a 12% stake after the IPO. That’s the second-largest stake in the company behind SoftBank Group’s 21.5% in equity ahead of the IPO. At the midpoint of Didi’s expected selling price, the number of shares Uber holds could be worth about $1.94 billion.</p>\n<p>Didi sold all the shares it held in Uber last year for a gain of RMB 2.8 million ($427,417), according to its filing.</p>\n<p><b>Insiders will have control</b></p>\n<p>Following the trend of many recent IPOs, especially in the tech world, Didi will have a dual-class stock structure. Each Class A share (equal to four ADS) will have one vote, and each Class B share will have 10 votes.</p>\n<p>Founder and Chief Executive Will Wei Cheng, co-founder and President Jean Qing Liu and CEO of the international business group Stephen Jingshi Zhu, who all sit on the board, will own all issued and outstanding Class B ordinary shares. These shares will comprise 9.8% of the company’s total issued shares and 52% of the voting power immediately after the public offering.</p>\n<p>Cheng, 38, is also the chairman of the board. The former Alibaba and Alipay manager will have 6.5% equity in the company but 35.5% of the voting power after the IPO.</p>\n<p>Cheng brought on Liu two years after he founded Didi. She will have 1.6% equity in the company after the offering.</p>\n<p>The other top stakeholder in Didi besides its top executives, SoftBank and Uber is Tencent Holdings, which will have a 6.4% stake post-IPO.</p>\n<p><b>‘Darkest days’</b></p>\n<p>In summer 2018, two female passengers were killed by drivers on Didi’s Hitch platform. “These shook us to our core,” Cheng and Liu wrote in their founders’ letter under a section they called “Our darkest days.”</p>\n<p>They said the company changed how it onboarded drivers and expanded background checks, as well as redesigned its technology with safety in mind. Didi also established what it calls a “SWAT team” to respond to safety incidents. In places where it is allowed, the company has installed video cameras in its ride-hailing vehicles.</p>\n<p>The changes led to what the company said was “a massive drop in the number of criminal incidents per million rides on our platform as well as significant declines in the number of in-car disputes and traffic accidents.”</p>\n<p>The company says that although the number of incidents have gone down, safety remains a risk factor.</p>\n<p><b>Risk factors</b></p>\n<p>Other big risk factors for the company include the Chinese government’s recently stepped-up antitrust crackdown on tech companies, including Didi. In its filing, Didi said that while it has completed a self-inspection and has tried to correct or improve in certain areas, it can’t be sure the government will be satisfied with that.</p>\n<p>The company also said government regulators are concerned about driver income, pricing, and fairness to all platform participants, including riders and drivers. Like its biggest competitors, Didi treats its drivers as independent contractors, not employees. “Our business would be adversely affected if drivers were classified as employees, workers or quasi-employees,” Didi said in its filing.</p>\n<p>As for how the COVID-19 pandemic has affected and continues to affect Didi’s business, the company said its core platform’s gross transaction value fell 4.8% in 2020 compared with 2019. In China, its mobility business’ GTV decreased 6.6% in the same period, while international GTV actually rose 11.4%. Didi cited increasing coronavirus cases in certain parts of the world as continuing risk factors.</p>\n<p><b>Other businesses</b></p>\n<p>Didi says it has the world’s largest network of electric vehicles on its platform: 1 million, including hybrids, as of the end of last year. Those EVs account for nearly 40% of the electric vehicle miles traveled in China, the company said, citing a study it commissioned. Didi has designed an EV itself, called the D1. It also says it has built China’s largest charging network, with more than 30% market share of total public charging volume in the first quarter of 2021.</p>\n<p>As for autonomous vehicles, Didi says it has a team of more than 500 members working on Level 4 AVs for its fleet. The company announced on Wednesday morning that it had increased the size of the deal; it had planned on offering 288 million shares.</p>\n<p>At $14 a share, Didi would have a $67 billion market capitalization. On a fully diluted basis, Didi’s valuation rises to about $73 billion</p>\n<p>The Beijing company has raised $4 billion in the offering. The shares will start trading on Wednesday on the New York Stock Exchange under the ticker DIDI.</p>\n<p>Goldman Sachs, Morgan Stanley, and J.P. Morgan are the underwriters on the Didi offering.</p>\n<p>Didi provides a smartphone app that lets users connect with vehicles and taxis for hire. Founded in 2012, it operates in nearly 4,000 cities, counties, and towns across 16 countries,its prospectus said. It had more than 493 million annual active users as of March 31.</p>\n<p><b>Its relationship with Uber is complicated</b></p>\n<p>Comparisons between the world’s top two ride-hailing companies could become more frequent as Didi goes public in the United States.</p>\n<p>In its filing, Didi said it has hundreds of millions of riders in China and operates in 16 countries and nearly 4,000 cities. Besides ride hailing, its new services include intra-city freight, community group buying and food delivery.</p>\n<p>In its 2020 annual report, San Francisco-based Uber said that as of Dec. 31, 2020, it operated in 71 countries and about 10,000 cities. Uber offers rides, delivery and freight. Although it unloaded its autonomous-vehicle business last year, it has a partnership with self-driving company Aurora Technologies.</p>\n<p>One thing Didi has in common with Uber (and smaller rival Lyft) is that it has also been mostly unprofitable. But it did turn a profit in the first quarter, reporting net income of 5.49 billion rembini ($837 million) on revenue of RMB 42.16 billion ($6.44 billion), up from a loss of RMB 3.97 billion on sales of RMB 20.47 billion the year before. That profit was largely due to its investments.</p>\n<p>After a battle in which Didi and Uber lost a lot of money as they tried to undercut each other in China, Uber sold its Chinese business to Didi for $7 billion in 2016. Uber’s CEO at the time, Travis Kalanick, wrote in a blog post announcing the deal: “Uber and Didi Chuxing are investing billions of dollars in China and both companies have yet to turn a profit there.”</p>\n<p>Uber retained a 12.8% stake in Didi, though, which will be reduced to a 12% stake after the IPO. That’s the second-largest stake in the company behind SoftBank Group’s 21.5% in equity ahead of the IPO. At the midpoint of Didi’s expected selling price, the number of shares Uber holds could be worth about $1.94 billion.</p>\n<p>Didi sold all the shares it held in Uber last year for a gain of RMB 2.8 million ($427,417), according to its filing.</p>\n<p><b>Insiders will have control</b></p>\n<p>Following the trend of many recent IPOs, especially in the tech world, Didi will have a dual-class stock structure. Each Class A share (equal to four ADS) will have one vote, and each Class B share will have 10 votes.</p>\n<p>Founder and Chief Executive Will Wei Cheng, co-founder and President Jean Qing Liu and CEO of the international business group Stephen Jingshi Zhu, who all sit on the board, will own all issued and outstanding Class B ordinary shares. These shares will comprise 9.8% of the company’s total issued shares and 52% of the voting power immediately after the public offering.</p>\n<p>Cheng, 38, is also the chairman of the board. The former Alibaba and Alipay manager will have 6.5% equity in the company but 35.5% of the voting power after the IPO.</p>\n<p>Cheng brought on Liu two years after he founded Didi. She will have 1.6% equity in the company after the offering.</p>\n<p>The other top stakeholder in Didi besides its top executives, SoftBank and Uber is Tencent Holdings, which will have a 6.4% stake post-IPO.</p>\n<p><b>‘Darkest days’</b></p>\n<p>In summer 2018, two female passengers were killed by drivers on Didi’s Hitch platform. “These shook us to our core,” Cheng and Liu wrote in their founders’ letter under a section they called “Our darkest days.”</p>\n<p>They said the company changed how it onboarded drivers and expanded background checks, as well as redesigned its technology with safety in mind. Didi also established what it calls a “SWAT team” to respond to safety incidents. In places where it is allowed, the company has installed video cameras in its ride-hailing vehicles.</p>\n<p>The changes led to what the company said was “a massive drop in the number of criminal incidents per million rides on our platform as well as significant declines in the number of in-car disputes and traffic accidents.”</p>\n<p>The company says that although the number of incidents have gone down, safety remains a risk factor.</p>\n<p><b>Risk factors</b></p>\n<p>Other big risk factors for the company include the Chinese government’s recently stepped-up antitrust crackdown on tech companies, including Didi. In its filing, Didi said that while it has completed a self-inspection and has tried to correct or improve in certain areas, it can’t be sure the government will be satisfied with that.</p>\n<p>The company also said government regulators are concerned about driver income, pricing, and fairness to all platform participants, including riders and drivers. Like its biggest competitors, Didi treats its drivers as independent contractors, not employees. “Our business would be adversely affected if drivers were classified as employees, workers or quasi-employees,” Didi said in its filing.</p>\n<p>As for how the COVID-19 pandemic has affected and continues to affect Didi’s business, the company said its core platform’s gross transaction value fell 4.8% in 2020 compared with 2019. In China, its mobility business’ GTV decreased 6.6% in the same period, while international GTV actually rose 11.4%. The company operates the popular language-learning app of the same name, and as such will be <a href=\"https://laohu8.com/S/AONE\">one</a> of the very few publicly traded language learning apps on the market (Pimsleur Language Programs -- a division of a division of <b>ViacomCBS</b> (NASDAQ:VIAC) -- can be owned by investors, but as part of a big media company it's far from a pure-play in the segment).</p>\n<p>With that in mind, here are three things potential investors in this language-learning-focused tech company should be aware of about its upcoming IPO.</p>\n<h2>1. Certain investors could get a jump on the IPO</h2>\n<p>Much has yet to be determined for the Duolingo IPO. The company hasn't yet set the price of its stock nor the number of shares it is issuing. It also hasn't fixed an IPO date.</p>\n<p>That's not stopping it from releasing some shares to the public, albeit in a limited way. Duolingo revealed in its prospectus that it will release some of the shares to the online trading platform Robinhood, for sale through the brokerage's recently launched IPO Access service, under which its users can request to buy shares of upcoming IPOs. According to Duolingo, these sales will close \"at the same initial public offering price, and at the same time, as any other purchases in this offering.\"</p>\n<p>Robinhood won't be an underwriter of the IPO (more on those entities in a moment). Rather, it's simply acting as an early-stage broker of Duolingo shares. As with other elements of the language learning company's IPO, though, no details have yet been provided.</p>\n<h2>2. It's basically an early-stage tech growth stock</h2>\n<p>Most consumers are familiar with Duolingo through its mobile app, which is readily available for free download through <b>Apple</b>'s App Store and <b>Alphabet</b>'s Google Play. It hews to the good old freemium model, with a stepped-up pay offering called Duolingo Plus. This confers a set of premium user features and ranges in cost from $6.67 to $12.99 per month (depending on platform and subscription length).</p>\n<p>Like a great many young tech companies that have listed on the stock market, Duolingo has been posting robust growth numbers but consistent bottom-line losses in its recent past. In 2020, revenue more than doubled from the previous year, landing at nearly $162 million. Growth wasn't as robust in the first three months of this year but still shot 97% higher (to nearly $55.4 million).</p>\n<p>Duolingo uses two metrics favored by social media and other online operators to gauge its app's popularity -- daily and monthly average users (MAUs). The MAU count rose by 34% in 2020 (to 36.7 million) and by 19% year over year in the first quarter (to 39.9 million).</p>\n<p>As for profitability -- or the lack thereof -- the 2020 net loss was $15.7 million, not appreciably deeper than the 2019 shortfall of $13.6 million. In Q1 of this year, due in no small part to a dramatic ramp-up in sales and marketing costs, the company's shortfall deepened considerably to almost $13.5 million from the year-ago $2.2 million deficit.</p>\n<h2>3. It'll be a rare company from its segment on the market</h2>\n<p>If it were a pure-play tech or, more specifically, social media site operator, Duolingo's slowing top-line numbers and MAU counts might leave investors somewhat cold.</p>\n<p>But there's no real significant pure-play stock in the language instruction category; again, Pimsleur is under the control of ViacomCBS -- which, needless to say, has far larger assets than the language instruction unit. Rosetta Stone was a publicly traded company for over a decade, but shortly after a nearly 40% pop on the stock's first day of trading in 2009, its price sank and never meaningfully recovered. The company ultimately went private in a 2020 transaction.</p>\n<p>So I think Duolingo will see some investor interest at the beginning, due to that uniqueness and the still-rising trajectory of its revenue and user base. That free publicity from the popular Robinhood -- an ambitious brokerage just getting started in the IPO realm -- won't hurt either. Shareholders will not be tolerant of losses for too long, though, so the company would do well to start flipping those bottom-line numbers into the black as soon as it can.</p>\n<h2>The details so far</h2>\n<p>To repeat, no IPO price, amount of shares, or issue date has yet been set for Duolingo. The company has applied for a <b>Nasdaq</b> listing under the ticker symbol DUOL. The company operates the popular language-learning app of the same name, and as such will be one of the very few publicly traded language learning apps on the market (Pimsleur Language Programs -- a division of a division of ViacomCBS (NASDAQ:VIAC) -- can be owned by investors, but as part of a big media company it's far from a pure-play in the segment).\nWith that in mind, here are three things potential investors in this language-learning-focused tech company should be aware of about its upcoming IPO.\n1. Certain investors could get a jump on the IPO\nMuch has yet to be determined for the Duolingo IPO. The company hasn't yet set the price of its stock nor the number of shares it is issuing. It also hasn't fixed an IPO date.\nThat's not stopping it from releasing some shares to the public, albeit in a limited way. Duolingo revealed in its prospectus that it will release some of the shares to the online trading platform Robinhood, for sale through the brokerage's recently launched IPO Access service, under which its users can request to buy shares of upcoming IPOs. According to Duolingo, these sales will close \"at the same initial public offering price, and at the same time, as any other purchases in this offering.\"\nRobinhood won't be an underwriter of the IPO (more on those entities in a moment). Rather, it's simply acting as an early-stage broker of Duolingo shares. As with other elements of the language learning company's IPO, though, no details have yet been provided.\n2. It's basically an early-stage tech growth stock\nMost consumers are familiar with Duolingo through its mobile app, which is readily available for free download through Apple's App Store and Alphabet's Google Play. It hews to the good old freemium model, with a stepped-up pay offering called Duolingo Plus. This confers a set of premium user features and ranges in cost from $6.67 to $12.99 per month (depending on platform and subscription length).\nLike a great many young tech companies that have listed on the stock market, Duolingo has been posting robust growth numbers but consistent bottom-line losses in its recent past. In 2020, revenue more than doubled from the previous year, landing at nearly $162 million. Growth wasn't as robust in the first three months of this year but still shot 97% higher (to nearly $55.4 million).\nDuolingo uses two metrics favored by social media and other online operators to gauge its app's popularity -- daily and monthly average users (MAUs). The MAU count rose by 34% in 2020 (to 36.7 million) and by 19% year over year in the first quarter (to 39.9 million).\nAs for profitability -- or the lack thereof -- the 2020 net loss was $15.7 million, not appreciably deeper than the 2019 shortfall of $13.6 million. In Q1 of this year, due in no small part to a dramatic ramp-up in sales and marketing costs, the company's shortfall deepened considerably to almost $13.5 million from the year-ago $2.2 million deficit.\n3. It'll be a rare company from its segment on the market\nIf it were a pure-play tech or, more specifically, social media site operator, Duolingo's slowing top-line numbers and MAU counts might leave investors somewhat cold.\nBut there's no real significant pure-play stock in the language instruction category; again, Pimsleur is under the control of ViacomCBS -- which, needless to say, has far larger assets than the language instruction unit. Rosetta Stone was a publicly traded company for over a decade, but shortly after a nearly 40% pop on the stock's first day of trading in 2009, its price sank and never meaningfully recovered. The company ultimately went private in a 2020 transaction.\nSo I think Duolingo will see some investor interest at the beginning, due to that uniqueness and the still-rising trajectory of its revenue and user base. That free publicity from the popular Robinhood -- an ambitious brokerage just getting started in the IPO realm -- won't hurt either. Shareholders will not be tolerant of losses for too long, though, so the company would do well to start flipping those bottom-line numbers into the black as soon as it can.\nThe details so far\nTo repeat, no IPO price, amount of shares, or issue date has yet been set for Duolingo. The company has applied for a Nasdaq listing under the ticker symbol DUOL.
