Palantir will also help Rubicon commercialize some of its products.</p><p>"Data has been at the center of the Rubicon story since our company's founding, and the application of data to business processes is what has enabled us to consistently drive environmental innovation in the waste and recycling category," said Rubicon CEO Nate Morris in the companies' news release.</p><p>Rubicon isn't a public company yet. It is merging with the special-purpose acquisition company <a href=\"https://laohu8.com/S/FOUN\">Founder SPAC</a> (FOUN) to raise additional capital. When the merger is complete, the combined company will trade under the stock symbol "RBT." The deal will raise about $350 million in cash for Rubicon.</p><p>The transaction values Rubicon stock at about $2 billion based on about 199 million shares outstanding when the deal closes. That is expected to happen in the second quarter of 2022 .</p><p>Since the merger was announced in mid-December, Founder stock, which will become Rubicon, is up about 1%. That isn't bad, given that the S&P 500 and Nasdaq Composite are down about 15% and 25%, respectively, over the same span. The Defiance Next Gen SPAC Derived ETF has fallen 32%.</p><p>Founder stock may have held up better than other stocks and SPAC shares because Rubicon has sales and is more modestly valued than other software companies. The company generated $583 million in 2021 and expects to generate about $736 million in 2022. That's about 26% year over year growth. The company generates gross profits, but not operating profit just yet.</p><p>Shares of Founder trade for, very roughly, three times Rubicon's sales. Software companies in the S&P 500 trade for closer to nine times sales, although those in the market benchmark have a better mix of growth and profit margins.</p><p>The software components of the S&P 500 have been growing sales at roughly 14% a year on average for the past three years. Operating profit margins are about 34% for the group. Indeed, the stock is down 77% this year. Let's look at what has caused it to fall so hard and whether it's a good value for bargain-shopping investors.</p><p class=\"t-img-caption\"><img src=\"https://g.foolcdn.com/image/?url=https%3A%2F%2Fg.foolcdn.com%2Feditorial%2Fimages%2F659097%2Fgettyimages-1172278008.jpg&w=700&op=resize\" tg-width=\"700\" tg-height=\"466\" width=\"100%\" height=\"auto\"/><span>Image source: Getty Images.</span></p><h2>Peloton management overcorrected</h2><p>The clearest reason Peloton's stock fell so much is the worldwide economic reopening. Peloton's products were in high demand when economies were in various phases of lockdowns and nonessential businesses, including gyms, were forced to close their doors to the public. That limited the ways folks could exercise, and they turned to Peloton in large numbers.</p><p>The surge in demand was so pronounced that Peloton had difficulty fulfilling orders. At one point, customers had to wait more than ten weeks to receive their exercise equipment. In response, management made investments to increase manufacturing capacity and reduce delivery times.</p><p>Unfortunately for Peloton, several effective vaccines against COVID-19 were developed, economies started reopening, and demand for in-home exercise equipment decreased. Meanwhile, Peloton is stuck with a higher expense base because of its investments to increase capacity. In its most recent quarter ended Sept. 30, Peloton reported a net loss of $367 million compared to a net profit of $69.3 million at the same time last year.</p><p>To make matters worse, Peloton had decreased the price of its bike from $1,895 to $1,495. The move did create increased purchasing from price-sensitive consumers but not enough to offset the considerable price decrease. As a result, revenue in the connected-fitness-products segment (which includes bike sales) fell from $601 million in the third quarter of 2020 to $501 million in Q3 2021. Meanwhile, supply-chain disruptions are raising input and transportation costs; the cost to fulfill sales increased by 21.1% year over year in Q3.</p><p>One potential, near-term bright spot for Peloton is the $1.27 billion of inventory it had on hand ahead of the lucrative holiday shopping season -- up from $937 million in the prior quarter. The quarter ending in December typically is the most lucrative for Peloton, coinciding with not only holiday gift-giving but also new year resolution-induced purchasing. So management is hopeful for strong sales this quarter.</p><h2>Peloton's stock is a relative bargain</h2><p>Peloton's stock has undoubtedly faced a steep price decline in 2021 -- and for clear reasons. Customer demand leveled off as economies reopened; meanwhile, management was making investments to increase capacity. All of this has shaken investor confidence. At one point in the last two years, Peloton's stock was selling at a price-to-sales ratio over 20. Poor performance, negative perception, and the fear of losing money can all cause stocks to sell off and trade at lower-than-usual prices.Peloton (NASDAQ:PTON) is one of those stocks that have sold off considerably in 2021. Indeed, the stock is down 77% this year. Let's look at what has caused it to fall so hard and whether it's a good value for bargain-shopping investors.Image source: Getty Images.Peloton management overcorrectedThe clearest reason Peloton's stock fell so much is the worldwide economic reopening. Peloton's products were in high demand when economies were in various phases of lockdowns and nonessential businesses, including gyms, were forced to close their doors to the public. That limited the ways folks could exercise, and they turned to Peloton in large numbers.The surge in demand was so pronounced that Peloton had difficulty fulfilling orders. At one point, customers had to wait more than ten weeks to receive their exercise equipment. In response, management made investments to increase manufacturing capacity and reduce delivery times.Unfortunately for Peloton, several effective vaccines against COVID-19 were developed, economies started reopening, and demand for in-home exercise equipment decreased. Meanwhile, Peloton is stuck with a higher expense base because of its investments to increase capacity. In its most recent quarter ended Sept. 30, Peloton reported a net loss of $367 million compared to a net profit of $69.3 million at the same time last year.To make matters worse, Peloton had decreased the price of its bike from $1,895 to $1,495. The move did create increased purchasing from price-sensitive consumers but not enough to offset the considerable price decrease. As a result, revenue in the connected-fitness-products segment (which includes bike sales) fell from $601 million in the third quarter of 2020 to $501 million in Q3 2021. Meanwhile, supply-chain disruptions are raising input and transportation costs; the cost to fulfill sales increased by 21.1% year over year in Q3.One potential, near-term bright spot for Peloton is the $1.27 billion of inventory it had on hand ahead of the lucrative holiday shopping season -- up from $937 million in the prior quarter. The quarter ending in December typically is the most lucrative for Peloton, coinciding with not only holiday gift-giving but also new year resolution-induced purchasing. So management is hopeful for strong sales this quarter.Peloton's stock is a relative bargainPeloton's stock has undoubtedly faced a steep price decline in 2021 -- and for clear reasons. Customer demand leveled off as economies reopened; meanwhile, management was making investments to increase capacity. All of this has shaken investor confidence. At one point in the last two years, Peloton's stock was selling at a price-to-sales ratio over 20. Block: Down 40%</h2><p><b>Block</b> (NYSE:SQ) is the business and consumer payments giant formerly known as Square. It rebranded to reflect its increasing diversification away from merchant services and into other innovative segments, including blockchain technology.</p><p>But despite this new direction, Block hasn't abandoned its most profitable segments, which are centered around payment services. For businesses, Block provides hardware that allows merchants to process credit card purchases in-store, in addition to loans and other services. And on the consumer side, Block's CashApp serves as an alternative to bank accounts for its 40 million monthly users, with instant peer-to-peer money transfers, and even a stock and cryptocurrency investing platform.</p><p>Excluding <b>Bitcoin</b>, Block's various segments have delivered a gross profit margin of 55% so far in 2021. That's compared to just 2% for the Bitcoin segment, which is mostly derived from CashApp users transacting in the cryptocurrency.</p><p>Block's stock has been crushed recently amid the tech sell-off, but there's plenty for investors to be excited about. The company is acquiring buy now, pay later giant <b>Afterpay</b>, which will allow consumers to finance small purchases through CashApp, providing a potentially enormous boost for Block's merchants within the ecosystem.</p><p>Analysts expect Block to generate $17.6 billion in revenue by the close of 2021, placing the stock at a price-to-sales multiple around 4.4. It's a significant discount to just two months ago, and since the company is now consistently profitable, it certainly warrants consideration for long-term investors -- especially given how aggressively Block is growing its umbrella of businesses.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/7292cadd6cd32ea55e1d537555082c94\" tg-width=\"700\" tg-height=\"466\" width=\"100%\" height=\"auto\"/><span>Image source: Getty Images.</span></p><h2>2. Affirm Holdings: Down 37%</h2><p><b>Affirm Holdings </b>(NASDAQ:AFRM) is the world's largest stand-alone buy now, pay later company even despite the recent sell-off. It trailed Afterpay for the last few years, and when that company was acquired by Block, it looked as though Affirm was being left in the dust. However, in a spectacular counterpunch, Affirm recently secured a deal with <b>Amazon</b>, the world's largest e-commerce company.</p><p>Affirm will be featured in the checkout of Amazon's online platform. When customers are making a purchase, they'll have the option to finance it rather than paying with their own money. When the deal was announced in August it ignited a rally in Affirm's stock from $70 to $176, eclipsing Afterpay's $29 billion deal with Block in the process.</p><p>Unsurprisingly, Amazon offers Affirm enormous growth in users and gross merchandise value (GMV). Combined with Affirm's existing deal with <b>Shopify</b>, it now has a $600 billion-per-year opportunity in front of it. That's a 7,000% increase on the GMV it processed in fiscal 2021, which ended on June 30.</p><p>Affirm is also expanding beyond standard integrations with merchants' online stores, into physical cards for consumers to use buy now, pay later's short-term financing anywhere they like.</p><p>The steep correction in Affirm's stock presents a strong long-term opportunity for investors, given its innovative approach to consumer finance, and the potential offered by its deals with Amazon and Shopify.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/6718cd8ef143a94a5336e30dcb88d6fd\" tg-width=\"700\" tg-height=\"465\" width=\"100%\" height=\"auto\"/><span>Image source: Getty Images.</span></p><h2>3. Upstart Holdings: Down 60%</h2><p>The third and final stock that's down big and worth buying now is <b>Upstart Holdings</b> (NASDAQ:UPST). It's <a href=\"https://laohu8.com/S/AONE.U\">one</a> of the best performers of 2021, with a 280% year-to-date return, even after accounting for the recent 60% collapse in its stock. At one point in October, Upstart had gained over 800% for the year with a price of $401, before tumbling to the $155 it trades at today.</p><p>The company has leveraged artificial intelligence to transform the way banks assess potential loans. Upstart's goal is to use its technology to unseat the decades-old FICO credit scoring system, by analyzing over 1,000 different data points to gain a more comprehensive perspective of potential borrowers. So far it's working exceptionally well, with Upstart-originated loans resulting in 75% fewer defaults for the same approval rate.</p><p>The company began in unsecured lending before entering its largest market yet, secured vehicle loans. It has built an impressive network of car dealerships and it has done so quickly through its acquisition of Prodigy, a car sales software platform now known as Upstart Auto Retail. In the recent third quarter, it had 291 dealers using the new sales and loan origination service, up 219% from the same period last year.</p><p>Since Upstart is a loan originator, it doesn't lend any money itself and therefore carries almost no credit risk. It earns a fee when its banking partners write a loan using its algorithm, and also sells its software to institutions that want to integrate it into their application processes.</p><p>At the beginning of 2021, Upstart estimated it would generate $500 million in revenue for the year. While shares of EV leader<b>Tesla</b>(NASDAQ:TSLA)skyrocketed last year, as the field of publicly traded names has grown, returns have been inconsistent. And investors need to be prepared for plenty of volatility along the way. The lesson is that there will be winners and losers, and EV stock moves can be quick and extreme.</p>\n<p><b>There's plenty of demand</b></p>\n<p>Just looking at share-price movement doesn't tell the full story, of course. But XPeng andNio deliveries are growing much faster, though the two Chinese companies are growing off of a much smaller base. And as both are already richly valued, with recent market capitalizations of around $36 billion and $48 billion, respectively, investors have sold off shares in recent months. Global demand is strong and growing, but that won't automatically result in growing share prices.</p>\n<p><b>Profitability will take time</b></p>\n<p>Investors in any business need to focus on the bottom line. Early stage growth companies aren't necessarily expected to become profitable quickly, however. Especially with a high-fixed-cost business like automotive manufacturing, profits will only come with scale. But its \"new energy vehicles\" -- which include plug-in hybrid electrics -- made up more than 90% of the nearly 100,000 new energy passenger vehicles it delivered in November.</p>\n<p>Lucid and <b>Rivian Automotive</b>(NASDAQ:RIVN)are getting a lot of attention recently, but they've barely started shipping product; the losses there will continue for some time until those companies reach scale. Investors hope that Nio and XPeng reach profitability soon, as both are growing sales and expanding product offerings.
