as a teenager. Born savvy, one could say. The world&#39;s most famous investor recently sold half of Berkshire Hathaway&#39;s holding in Apple and as this stock may look to go higher, there is general puzzlement among the financial world.</p><p>Does Mr. Buffett know something we don&#39;t, is he freeing up cash to diversify Berkshire&#39;s portfolio, only he will know that.</p><p>Readers who follow my analysis will be aware that I issued a buy signal for Apple (NASDAQ:AAPL) in March of last year at $160 and the reality is, compared to some of the top 10 major US equities for example, it has been a slow mover.</p><p>A snapshot technical summary before we cover this element in more detail later, Apple created a pattern to $275 by the break of $200 on the monthly chart according to my analysis in late 2023 before retreating and struggling to re break resistance in an indecisive pattern until May of this year finally saw a rejuvenated bullish buy up.</p><p>Apple, among the elite of elite that carry dominance in their sector, in this article we will look into the company going forward as well as analyzing the charts to examine where this equity may be looking to go next price wise as the stock market emperor partially sells out while the share price may look to go higher.</p><p>Berkshire&#39;s decision to sell half its stake in Apple comes with curious timing, the company is due to release their latest iPhone to their line-up on September the 9th.</p><p>The iPhone 16 will be the first smartphone in Apple&#39;s inventory that will feature AI. Also, interestingly, Apple has looked to move away from using Qualcomm&#39;s chips which they have used for over ten years into using their own organic chip modems in a bid to become more efficient and self-dependable as the AI evolution takes shape. However, this move has not come without complications, Apple has been working on manufacturing its own 5G chip since 2018. It could be that the company underestimated the complexity of its move into organic manufacturing of these key components.</p><p>Last year, Apple extended their contract to use Qualcomm&#39;s chips until 2027. The key will be a delicate balance of ensuring their own manufactured modems will power AI features sufficiently, while choosing to activate an option with Qualcomm for a further several years while continuing their in-house development.</p><p>With these types of efficiency and market evolving shifts being made by the tech giant to be self-sufficient as AI integrates through their products in the future, continued strong sales and a large cash balance. Can we perhaps observe it is the latter of the reasons that Berkshire has decided to partially sell, free up some cash and diversify their portfolio?</p><p>Let&#39;s move onwards to the charts to technically prospect where Apple may look to go next price wise.</p><p>We can see on the monthly chart below the initiation of the wave one from $125-200. Remarkably given the overall upward trajectory of the whole market, this wave started in December 2022 and contained six straight months of bullish buying eventually pausing at the $200 area to create the wave two rejections which saw the price fall off that high to settle around $165 before picking up momentum towards resistance once again.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/ebb7a09416465c27f74132e457d76a52\" tg-width=\"640\" tg-height=\"1099\"/></p><p>Apple monthly structure (C trader)</p><p></p><p>On a technical note, Apple did pip higher very slightly technically launching a third wave to $275 only to retreat back into its structure again, even piping lower from the wave two only to find traction again to re attempt for resistance that was broken through, before Apple pierced $240 so far in this third wave structure.</p><p>Sometimes financial markets can take this course, by that I mean pip through support or resistance slightly before quickly turning around in the other direction. Personally, like all my analysis when reading three wave patterns lending probability as to the future price of a financial market, I like to see tangible timeframes create three wave patterns above or below resistance to indicate that the market will actually take this course and not just pip below or above resistance.</p><p>An example below is from the Apple break of $200 on the daily chart, we can see bullish buying candles above the $200 region along with bearish selling candles that then get broken above launching a third wave on the daily that has so far bounced of the Fibonacci 161 exactly and is due to complete circa $247 (On this daily timeframe), overall, we are looking at the monthly chart in this article, I would just like to give our readers and example from timeframes within the monthly that also give different targets within the macro picture.</p><p></p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/1c0ec487c9a944749e4388e2ce5ee6f1\" tg-width=\"640\" tg-height=\"1079\"/></p><p>Apple daily chart (C trader)</p><p></p><h2 id=\"id_765590018\">Conclusion</h2><p>The upcoming launch of the iPhone 16 that will see full AI integration is an exciting moment for this tech giant. The charts suggest no immediate bearish case for this equity. It would not surprise me if we saw another month selling on the way to $275 if Apple is going to get there. Can we perhaps observe it is the latter of the reasons that Berkshire has decided to partially sell, free up some cash and diversify their portfolio?Let's move onwards to the charts to technically prospect where Apple may look to go next price wise.We can see on the monthly chart below the initiation of the wave one from $125-200. Remarkably given the overall upward trajectory of the whole market, this wave started in December 2022 and contained six straight months of bullish buying eventually pausing at the $200 area to create the wave two rejections which saw the price fall off that high to settle around $165 before picking up momentum towards resistance once again.Apple monthly structure (C trader)On a technical note, Apple did pip higher very slightly technically launching a third wave to $275 only to retreat back into its structure again, even piping lower from the wave two only to find traction again to re attempt for resistance that was broken through, before Apple pierced $240 so far in this third wave structure.Sometimes financial markets can take this course, by that I mean pip through support or resistance slightly before quickly turning around in the other direction. Personally, like all my analysis when reading three wave patterns lending probability as to the future price of a financial market, I like to see tangible timeframes create three wave patterns above or below resistance to indicate that the market will actually take this course and not just pip below or above resistance.An example below is from the Apple break of $200 on the daily chart, we can see bullish buying candles above the $200 region along with bearish selling candles that then get broken above launching a third wave on the daily that has so far bounced of the Fibonacci 161 exactly and is due to complete circa $247 (On this daily timeframe), overall, we are looking at the monthly chart in this article, I would just like to give our readers and example from timeframes within the monthly that also give different targets within the macro picture.Apple daily chart (C trader)ConclusionThe upcoming launch of the iPhone 16 that will see full AI integration is an exciting moment for this tech giant. Here&#39;s what history says could happen next.</p><h2 id=\"id_454109867\">A track record of pullbacks and rebounds</h2><p>Nvidia has fallen by double-digit percentages from its high plenty of times since its stock began trading publicly in 1999. The first one came only days after its initial public offering. However, within a few weeks, Nvidia shrugged off the temporary setback and marched to a new high.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/4e433ef21fe232d2dbdb21a6b4ae82cf\" tg-width=\"608\" tg-height=\"373\"/></p><p>NVDA DATA BY YCHARTS</p><p>Several other pullbacks of 10% or more occurred during Nvidia&#39;s first year on the market. In each case, the stock bounced back. However, Nvidia&#39;s sell-offs weren&#39;t always short-lived. Between late 2001 and October 2002, shares of the graphics processing unit (GPU) maker plunged nearly 90%. Given enough time, the stock has a 100% rebound rate historically.</p><h2 id=\"id_1257794561\">Is this time different for Nvidia?</h2><p>Investors shouldn&#39;t automatically conclude that history will repeat itself. Just because Nvidia has come back from big pullbacks in the past doesn&#39;t mean that it will necessarily do so again. Could this time be different for Nvidia?</p><p>Nvidia has never had a market cap of over $3 trillion before a double-digit percentage sell-off until now. The company is clearly at a different stage than it&#39;s ever been. Some could argue that Nvidia&#39;s valuation makes things different now than in the past.</p><p>I question that premise, though. Based on several valuation metrics (including price-to-earnings ratio and price-to-free-cash-flow), Nvidia isn&#39;t as expensive as it&#39;s been at other times in its history.</p><p>The factors that contributed to Nvidia&#39;s lengthy downturns in the past aren&#39;t problems today, either. While many tech stocks trade at a premium, valuations aren&#39;t at the excessive levels seen in the dot-com boom. There is no financial crisis like we saw in 2007 through 2009. Overall, the macroeconomic conditions are pretty good for Nvidia right now.</p><p>Nvidia&#39;s current double-digit decline is mainly due to concerns about China. Bloomberg reported last week that the Biden administration could further restrict exports of chipmaking equipment to China. Although the development is concerning for Nvidia, it don&#39;t rise to the level of the issues that have caused extended declines for the stock in the past.</p><h2 id=\"id_112821422\">Look to Nvidia&#39;s future instead of its past</h2><p>I think that history is on the side of a relatively quick rebound for Nvidia. But I&#39;d also argue that investors should look to the company&#39;s future instead of its past. Nvidia&#39;s share price won&#39;t bounce back because it&#39;s always done so. It will bounce back if investors are convinced that growth prospects present a compelling case for buying the stock.</p><p>On that front, there&#39;s reason to be optimistic. Nvidia will soon launch new chips based on its Blackwell architecture. CEO Jensen Huang believes Blackwell will be the company&#39;s &#34;most successful product&#34; in its history. A hitch has unquestionably arrived.Sure, the high-flying artificial intelligence (AI) stock is still up close to 140% year to date. However, Nvidia stock has pulled back over 10%. Here's what history says could happen next.A track record of pullbacks and reboundsNvidia has fallen by double-digit percentages from its high plenty of times since its stock began trading publicly in 1999. The first one came only days after its initial public offering. However, within a few weeks, Nvidia shrugged off the temporary setback and marched to a new high.NVDA DATA BY YCHARTSSeveral other pullbacks of 10% or more occurred during Nvidia's first year on the market. In each case, the stock bounced back. However, Nvidia's sell-offs weren't always short-lived. Between late 2001 and October 2002, shares of the graphics processing unit (GPU) maker plunged nearly 90%. Nvidia didn't climb back to its previous high until December 2006.NVDA DATA BY YCHARTSAnd that wasn't Nvidia's longest trough. The stock market sell-off that began in late 2007 sparked another huge sell-off of Nvidia. Given enough time, the stock has a 100% rebound rate historically.Is this time different for Nvidia?Investors shouldn't automatically conclude that history will repeat itself. Just because Nvidia has come back from big pullbacks in the past doesn't mean that it will necessarily do so again. Could this time be different for Nvidia?Nvidia has never had a market cap of over $3 trillion before a double-digit percentage sell-off until now. The company is clearly at a different stage than it's ever been. Some could argue that Nvidia's valuation makes things different now than in the past.I question that premise, though. Based on several valuation metrics (including price-to-earnings ratio and price-to-free-cash-flow), Nvidia isn't as expensive as it's been at other times in its history.The factors that contributed to Nvidia's lengthy downturns in the past aren't problems today, either. While many tech stocks trade at a premium, valuations aren't at the excessive levels seen in the dot-com boom. There is no financial crisis like we saw in 2007 through 2009. Overall, the macroeconomic conditions are pretty good for Nvidia right now.Nvidia's current double-digit decline is mainly due to concerns about China. Bloomberg reported last week that the Biden administration could further restrict exports of chipmaking equipment to China. Although the development is concerning for Nvidia, it don't rise to the level of the issues that have caused extended declines for the stock in the past.Look to Nvidia's future instead of its pastI think that history is on the side of a relatively quick rebound for Nvidia. But I'd also argue that investors should look to the company's future instead of its past. Nvidia's share price won't bounce back because it's always done so. It will bounce back if investors are convinced that growth prospects present a compelling case for buying the stock.On that front, there's reason to be optimistic. Nvidia will soon launch new chips based on its Blackwell architecture. CEO Jensen Huang believes Blackwell will be the company's \"most successful product\" in its history. Musk lawyers oppose that contention, claiming only a tiny fraction of that amount is justified.</p><p style=\"text-align: start;\">On Monday, Delaware Chancery Court Judge Kathaleen St. J. McCormick heard testimony from experts on both sides, but she isn’t expected to issue an immediate order. That’s because McCormick must tackle an even bigger issue — whether to reinstate Musk’s pay package now that Tesla shareholders have voted overwhelmingly to re-ratify it.</p><p style=\"text-align: start;\">The shareholder proxy vote at Tesla’s annual meeting in June doesn’t require McCormick to undo her ruling in January that Musk’s pay plan was tainted by conflicts of interest among the board members who adopted it. But she has said she will consider the vote at a separate hearing.</p><p>“We are in uncharted waters here,” said Larry Hamermesh, a retired University of Pennsylvania law professor who specializes in Delaware corporate disputes. “There’s no clear guidance in the law for a fee like this.”</p><p style=\"text-align: start;\">The unprecedented court case has drawn world-wide attention and prompted more than 8,000 Tesla shareholders to send letters to McCormick sharing their opinions on her pay ruling and the fee request.</p><p style=\"text-align: start;\">At the annual meeting, more than 70% of Tesla shareholders backed reinstating Musk’s pay plan and moving the company’s state of incorporation from Delaware to Texas. Tesla’s attorneys contend they’ve fixed the flaws in Musk’s compensation plan and McCormick should rescind her earlier decision.</p><p style=\"text-align: start;\">When McCormick issued her Jan. 30 ruling, the pay plan that was structured to deliver several rounds of options allowing Musk to buy about 304 million shares was worth almost $56 billion. At Friday’s close, the value of the package would be closer to $69 billion.</p><p style=\"text-align: start;\">Tesla shares lost about a quarter of their value during the first four months of 2024, but have come roaring back in recent weeks. The company reported second-quarter deliveries that beat Wall Street expectations, boosting its market capitalization and restoring Musk’s position as the world’s richest person.</p><p style=\"text-align: start;\">The lawyers who challenged the pay plan on behalf of Tesla shareholder Richard Tornetta argued their unusual request to be compensated in stock rather than cash would benefit Tesla because it won’t take money off the company’s balance sheet.</p><p style=\"text-align: start;\">The attorneys also said they would have gone unpaid if they lost the trial and haven’t received any pay for more than six years of work. The suit “would have gone unprosecuted absent plaintiff’s counsel’s willingness to incur substantial” risk, they said in a court filing.</p><h3 id=\"id_3026319955\" style=\"text-align: start;\">Investors Benefit</h3><p style=\"text-align: start;\">New York University law professor Robert Jackson, testifying for the Tesla investor who successfully sued, told the judge on Monday that shareholders benefited when Musk’s pay package was blocked.</p><p>Giving Musk so many vested stock options would have diluted holdings of existing investors, Jackson said. And the judge’s decision provided Tesla’s board board with guidance about improving corporate governance and eliminating the conflicts of interest that led to the controversial pay plan, he said.</p><p style=\"text-align: start;\">While it’s “challenging to value” such benefits in a financial sense, they are a boon to Tesla shareholders that provides “a positive effect” on its shares, Jackson said.</p><p style=\"text-align: start;\">But Daniel Fischel, a University of Chicago law professor testifying for Musk, said blocking the payout “saved Tesla nothing” and that there was no quantifiable benefit to investors. Fischel said the plaintiff’s lawyers were seeking an “unjustified windfall” for their victory in court, while Musk had helped to create Tesla’s “economic miracle,” which led to an increase in market value of more than $500 billion.</p><h3 id=\"id_986634649\" style=\"text-align: start;\">Cash Alternative</h3><p style=\"text-align: start;\">If McCormick doesn’t want to approve a stock-based fee award, lawyers for the plaintiff said they’d accept more than $1.4 billion in cash. By comparison, the handful of law firms that spearheaded lawsuits over the US opioid epidemic negotiated for $2.3 billion in legal fees after reaching settlements worth more than $26 billion with drugmakers, distributors and retailers.</p><p style=\"text-align: start;\">Greg Varallo, who led Tornetta’s legal team, said McCormick shouldn’t be influenced by Musk’s “clown show” moves following the judge’s ruling on his pay deal. “In Delaware, we don’t do law based on whether a company’s controller is unhappy,” Varallo told the judge.</p><p style=\"text-align: start;\">Tesla’s legal team says that even if the plaintiffs’ lawyers are credited with uncovering flaws in the process by which Musk’s pay package was adopted, the billionaire is still owed significant compensation for his leadership while shares skyrocketed over the last several years. The company’s lawyers argued in a court filing that the fee award for their adversaries should be capped at slightly more than $13.6 million.</p><p>A 29-million share payout for the plaintiffs’ lawyers would “be 17 times larger than any award in Delaware history and exceed by more than three-fold the University of Delaware’s endowment” of $1.78 billion, Tesla argued in a court filing, adding that it would also make the plaintiffs’ lawyers “the third largest non-institutional owner of Tesla common shares.”</p><p style=\"text-align: start;\">John Reed, one of Tesla’s lawyers, said the fee request by Tornetta’s lawyers was ridiculous and amounted to a “real-life lawyer joke. It should never have been submitted.”</p><p style=\"text-align: start;\">Hamermesh said McCormick will need to first resolve whether she rescinds her January ruling before she can set a reasonable fee for the lawyers. “It would take a lot of brass to say the Tesla shareholder vote is meaningless here,” Hamermesh said.</p><p style=\"text-align: start;\">But other legal experts — including retired University of Delaware professor Charles Elson — say McCormick would be within her legal rights to declare the proxy vote is irrelevant. He said she would be justified concluding the pay package was a waste of corporate assets in light of her original findings that the plan was the product of sham negotiations with directors who were not independent of Musk and that shareholders were given misleading and incomplete disclosures about it.</p><p style=\"text-align: start;\">Some Tesla shareholders have expressed outrage at the legal fee request in letters to the judge — which she is ethically bound to ignore.</p><p style=\"text-align: start;\">“It is unfathomable to suggest any financial benefit derived from this case could justify such exorbitant fees for plaintiff attorneys,” Liang Guo of Fort Lee, New Jersey, wrote to McCormick.</p><p style=\"text-align: start;\">Brian Lecher of South Carolina voiced a similar sentiment.</p><p style=\"text-align: start;\">“Instead of honoring the wishes of shareholders and rewarding the hard work of the CEO, it seems that the court is rewarding lawyers who did nothing for the company or shareholders.”</p><p>The case is Tornetta v. Musk lawyers oppose that contention, claiming only a tiny fraction of that amount is justified.On Monday, Delaware Chancery Court Judge Kathaleen St. J. McCormick heard testimony from experts on both sides, but she isn’t expected to issue an immediate order. That’s because McCormick must tackle an even bigger issue — whether to reinstate Musk’s pay package now that Tesla shareholders have voted overwhelmingly to re-ratify it.The shareholder proxy vote at Tesla’s annual meeting in June doesn’t require McCormick to undo her ruling in January that Musk’s pay plan was tainted by conflicts of interest among the board members who adopted it. But she has said she will consider the vote at a separate hearing.“We are in uncharted waters here,” said Larry Hamermesh, a retired University of Pennsylvania law professor who specializes in Delaware corporate disputes. “There’s no clear guidance in the law for a fee like this.”The unprecedented court case has drawn world-wide attention and prompted more than 8,000 Tesla shareholders to send letters to McCormick sharing their opinions on her pay ruling and the fee request.At the annual meeting, more than 70% of Tesla shareholders backed reinstating Musk’s pay plan and moving the company’s state of incorporation from Delaware to Texas. Tesla’s attorneys contend they’ve fixed the flaws in Musk’s compensation plan and McCormick should rescind her earlier decision.When McCormick issued her Jan. 30 ruling, the pay plan that was structured to deliver several rounds of options allowing Musk to buy about 304 million shares was worth almost $56 billion. At Friday’s close, the value of the package would be closer to $69 billion.Tesla shares lost about a quarter of their value during the first four months of 2024, but have come roaring back in recent weeks. The company reported second-quarter deliveries that beat Wall Street expectations, boosting its market capitalization and restoring Musk’s position as the world’s richest person.The lawyers who challenged the pay plan on behalf of Tesla shareholder Richard Tornetta argued their unusual request to be compensated in stock rather than cash would benefit Tesla because it won’t take money off the company’s balance sheet.The attorneys also said they would have gone unpaid if they lost the trial and haven’t received any pay for more than six years of work. The suit “would have gone unprosecuted absent plaintiff’s counsel’s willingness to incur substantial” risk, they said in a court filing.Investors BenefitNew York University law professor Robert Jackson, testifying for the Tesla investor who successfully sued, told the judge on Monday that shareholders benefited when Musk’s pay package was blocked.Giving Musk so many vested stock options would have diluted holdings of existing investors, Jackson said. And the judge’s decision provided Tesla’s board board with guidance about improving corporate governance and eliminating the conflicts of interest that led to the controversial pay plan, he said.While it’s “challenging to value” such benefits in a financial sense, they are a boon to Tesla shareholders that provides “a positive effect” on its shares, Jackson said.But Daniel Fischel, a University of Chicago law professor testifying for Musk, said blocking the payout “saved Tesla nothing” and that there was no quantifiable benefit to investors. Fischel said the plaintiff’s lawyers were seeking an “unjustified windfall” for their victory in court, while Musk had helped to create Tesla’s “economic miracle,” which led to an increase in market value of more than $500 billion.Cash AlternativeIf McCormick doesn’t want to approve a stock-based fee award, lawyers for the plaintiff said they’d accept more than $1.4 billion in cash. By comparison, the handful of law firms that spearheaded lawsuits over the US opioid epidemic negotiated for $2.3 billion in legal fees after reaching settlements worth more than $26 billion with drugmakers, distributors and retailers.Greg Varallo, who led Tornetta’s legal team, said McCormick shouldn’t be influenced by Musk’s “clown show” moves following the judge’s ruling on his pay deal. “In Delaware, we don’t do law based on whether a company’s controller is unhappy,” Varallo told the judge.Tesla’s legal team says that even if the plaintiffs’ lawyers are credited with uncovering flaws in the process by which Musk’s pay package was adopted, the billionaire is still owed significant compensation for his leadership while shares skyrocketed over the last several years. The company’s lawyers argued in a court filing that the fee award for their adversaries should be capped at slightly more than $13.6 million.A 29-million share payout for the plaintiffs’ lawyers would “be 17 times larger than any award in Delaware history and exceed by more than three-fold the University of Delaware’s endowment” of $1.78 billion, Tesla argued in a court filing, adding that it would also make the plaintiffs’ lawyers “the third largest non-institutional owner of Tesla common shares.”John Reed, one of Tesla’s lawyers, said the fee request by Tornetta’s lawyers was ridiculous and amounted to a “real-life lawyer joke. Born savvy, one could say. The world&#39;s most famous investor recently sold half of Berkshire Hathaway&#39;s holding in Apple and as this stock may look to go higher, there is general puzzlement among the financial world.</p><p>Does Mr. Buffett know something we don&#39;t, is he freeing up cash to diversify Berkshire&#39;s portfolio, only he will know that.</p><p>Readers who follow my analysis will be aware that I issued a buy signal for Apple (NASDAQ:AAPL) in March of last year at $160 and the reality is, compared to some of the top 10 major US equities for example, it has been a slow mover.</p><p>A snapshot technical summary before we cover this element in more detail later, Apple created a pattern to $275 by the break of $200 on the monthly chart according to my analysis in late 2023 before retreating and struggling to re break resistance in an indecisive pattern until May of this year finally saw a rejuvenated bullish buy up.</p><p>Apple, among the elite of elite that carry dominance in their sector, in this article we will look into the company going forward as well as analyzing the charts to examine where this equity may be looking to go next price wise as the stock market emperor partially sells out while the share price may look to go higher.</p><p>Berkshire&#39;s decision to sell half its stake in Apple comes with curious timing, the company is due to release their latest iPhone to their line-up on September the 9th.</p><p>The iPhone 16 will be the first smartphone in Apple&#39;s inventory that will feature AI. The key will be a delicate balance of ensuring their own manufactured modems will power AI features sufficiently, while choosing to activate an option with Qualcomm for a further several years while continuing their in-house development.</p><p>With these types of efficiency and market evolving shifts being made by the tech giant to be self-sufficient as AI integrates through their products in the future, continued strong sales and a large cash balance. Musk lawyers oppose that contention, claiming only a tiny fraction of that amount is justified.</p><p style=\"text-align: start;\">On Monday, Delaware Chancery Court Judge Kathaleen St. J. McCormick heard testimony from experts on both sides, but she isn’t expected to issue an immediate order. That’s because McCormick must tackle an even bigger issue — whether to reinstate Musk’s pay package now that Tesla shareholders have voted overwhelmingly to re-ratify it.</p><p style=\"text-align: start;\">The shareholder proxy vote at Tesla’s annual meeting in June doesn’t require McCormick to undo her ruling in January that Musk’s pay plan was tainted by conflicts of interest among the board members who adopted it. But she has said she will consider the vote at a separate hearing.</p><p>“We are in uncharted waters here,” said Larry Hamermesh, a retired University of Pennsylvania law professor who specializes in Delaware corporate disputes. “There’s no clear guidance in the law for a fee like this.”</p><p style=\"text-align: start;\">The unprecedented court case has drawn world-wide attention and prompted more than 8,000 Tesla shareholders to send letters to McCormick sharing their opinions on her pay ruling and the fee request.</p><p style=\"text-align: start;\">At the annual meeting, more than 70% of Tesla shareholders backed reinstating Musk’s pay plan and moving the company’s state of incorporation from Delaware to Texas. Tesla’s attorneys contend they’ve fixed the flaws in Musk’s compensation plan and McCormick should rescind her earlier decision.</p><p style=\"text-align: start;\">When McCormick issued her Jan. 30 ruling, the pay plan that was structured to deliver several rounds of options allowing Musk to buy about 304 million shares was worth almost $56 billion. At Friday’s close, the value of the package would be closer to $69 billion.</p><p style=\"text-align: start;\">Tesla shares lost about a quarter of their value during the first four months of 2024, but have come roaring back in recent weeks. The company reported second-quarter deliveries that beat Wall Street expectations, boosting its market capitalization and restoring Musk’s position as the world’s richest person.</p><p style=\"text-align: start;\">The lawyers who challenged the pay plan on behalf of Tesla shareholder Richard Tornetta argued their unusual request to be compensated in stock rather than cash would benefit Tesla because it won’t take money off the company’s balance sheet.</p><p style=\"text-align: start;\">The attorneys also said they would have gone unpaid if they lost the trial and haven’t received any pay for more than six years of work. The suit “would have gone unprosecuted absent plaintiff’s counsel’s willingness to incur substantial” risk, they said in a court filing.</p><h3 id=\"id_3026319955\" style=\"text-align: start;\">Investors Benefit</h3><p style=\"text-align: start;\">New York University law professor Robert Jackson, testifying for the Tesla investor who successfully sued, told the judge on Monday that shareholders benefited when Musk’s pay package was blocked.</p><p>Giving Musk so many vested stock options would have diluted holdings of existing investors, Jackson said. And the judge’s decision provided Tesla’s board board with guidance about improving corporate governance and eliminating the conflicts of interest that led to the controversial pay plan, he said.</p><p style=\"text-align: start;\">While it’s “challenging to value” such benefits in a financial sense, they are a boon to Tesla shareholders that provides “a positive effect” on its shares, Jackson said.</p><p style=\"text-align: start;\">But Daniel Fischel, a University of Chicago law professor testifying for Musk, said blocking the payout “saved Tesla nothing” and that there was no quantifiable benefit to investors. Fischel said the plaintiff’s lawyers were seeking an “unjustified windfall” for their victory in court, while Musk had helped to create Tesla’s “economic miracle,” which led to an increase in market value of more than $500 billion.</p><h3 id=\"id_986634649\" style=\"text-align: start;\">Cash Alternative</h3><p style=\"text-align: start;\">If McCormick doesn’t want to approve a stock-based fee award, lawyers for the plaintiff said they’d accept more than $1.4 billion in cash. By comparison, the handful of law firms that spearheaded lawsuits over the US opioid epidemic negotiated for $2.3 billion in legal fees after reaching settlements worth more than $26 billion with drugmakers, distributors and retailers.</p><p style=\"text-align: start;\">Greg Varallo, who led Tornetta’s legal team, said McCormick shouldn’t be influenced by Musk’s “clown show” moves following the judge’s ruling on his pay deal. “In Delaware, we don’t do law based on whether a company’s controller is unhappy,” Varallo told the judge.</p><p style=\"text-align: start;\">Tesla’s legal team says that even if the plaintiffs’ lawyers are credited with uncovering flaws in the process by which Musk’s pay package was adopted, the billionaire is still owed significant compensation for his leadership while shares skyrocketed over the last several years. The company’s lawyers argued in a court filing that the fee award for their adversaries should be capped at slightly more than $13.6 million.</p><p>A 29-million share payout for the plaintiffs’ lawyers would “be 17 times larger than any award in Delaware history and exceed by more than three-fold the University of Delaware’s endowment” of $1.78 billion, Tesla argued in a court filing, adding that it would also make the plaintiffs’ lawyers “the third largest non-institutional owner of Tesla common shares.”</p><p style=\"text-align: start;\">John Reed, one of Tesla’s lawyers, said the fee request by Tornetta’s lawyers was ridiculous and amounted to a “real-life lawyer joke. It should never have been submitted.”</p><p style=\"text-align: start;\">Hamermesh said McCormick will need to first resolve whether she rescinds her January ruling before she can set a reasonable fee for the lawyers. “It would take a lot of brass to say the Tesla shareholder vote is meaningless here,” Hamermesh said.</p><p style=\"text-align: start;\">But other legal experts — including retired University of Delaware professor Charles Elson — say McCormick would be within her legal rights to declare the proxy vote is irrelevant. He said she would be justified concluding the pay package was a waste of corporate assets in light of her original findings that the plan was the product of sham negotiations with directors who were not independent of Musk and that shareholders were given misleading and incomplete disclosures about it.</p><p style=\"text-align: start;\">Some Tesla shareholders have expressed outrage at the legal fee request in letters to the judge — which she is ethically bound to ignore.</p><p style=\"text-align: start;\">“It is unfathomable to suggest any financial benefit derived from this case could justify such exorbitant fees for plaintiff attorneys,” Liang Guo of Fort Lee, New Jersey, wrote to McCormick.</p><p style=\"text-align: start;\">Brian Lecher of South Carolina voiced a similar sentiment.</p><p style=\"text-align: start;\">“Instead of honoring the wishes of shareholders and rewarding the hard work of the CEO, it seems that the court is rewarding lawyers who did nothing for the company or shareholders.”</p><p>The case is Tornetta v. Tesla’s attorneys contend they’ve fixed the flaws in Musk’s compensation plan and McCormick should rescind her earlier decision.When McCormick issued her Jan. 30 ruling, the pay plan that was structured to deliver several rounds of options allowing Musk to buy about 304 million shares was worth almost $56 billion. Just because Nvidia has come back from big pullbacks in the past doesn&#39;t mean that it will necessarily do so again. Could this time be different for Nvidia?</p><p>Nvidia has never had a market cap of over $3 trillion before a double-digit percentage sell-off until now. The company is clearly at a different stage than it&#39;s ever been. Some could argue that Nvidia&#39;s valuation makes things different now than in the past.</p><p>I question that premise, though. Based on several valuation metrics (including price-to-earnings ratio and price-to-free-cash-flow), Nvidia isn&#39;t as expensive as it&#39;s been at other times in its history.</p><p>The factors that contributed to Nvidia&#39;s lengthy downturns in the past aren&#39;t problems today, either. Bloomberg reported last week that the Biden administration could further restrict exports of chipmaking equipment to China. Although the development is concerning for Nvidia, it don&#39;t rise to the level of the issues that have caused extended declines for the stock in the past.</p><h2 id=\"id_112821422\">Look to Nvidia&#39;s future instead of its past</h2><p>I think that history is on the side of a relatively quick rebound for Nvidia. But I&#39;d also argue that investors should look to the company&#39;s future instead of its past. Nvidia&#39;s share price won&#39;t bounce back because it&#39;s always done so. It will bounce back if investors are convinced that growth prospects present a compelling case for buying the stock.</p><p>On that front, there&#39;s reason to be optimistic.
