The company can also survive if it finds other creative ways of securing funding, like asset sales.</p><p>However, I do not believe this is a sustainable business model for the long-run, as there is simply no clear path back to consistent profitability on the horizon yet. Some would argue that AMC’s losses will eventually be substantially reduced, once interest rates ease and the Federal Reserve pivots from its hawkish monetary policy stance. Personally, I find that argument lacks merit since the Federal Reserve has clearly signaled that it would likely need to keep interest rates at restrictive levels for a prolonged period of time, especially as we have continued to see the U.S. economy perform quite well in recent quarters.</p><h2 id=\"id_1175006907\">No Respite for AMC Stock Even if Rates Fall</h2><p>And still, even in a scenario where the Federal Reserve did suddenly start cutting interest rates again and easing policy, I do not believe it would reverse the long-term prognosis for AMC completely. That’s because the core issue is that even if you exclude these debt interest payments, the AMC business itself is still burning significant cash on an operating basis annually.</p><p>In my view, this is the biggest fundamental red flag and issue here. It signals that AMC needs to make some serious adjustments to its business model and operations for any hopes of achieving consistent long-term profitability down the line. Relying on momentary hype cycles like the recent wave of Taylor Swift fans won’t be a repeatable phenomenon forever. This also extends to individual companies. Oftentimes, but not always, this irrational behavior can be traced back to some specific event or circumstance. And when that event or circumstance runs its course, you ultimately see the security or securities in question revert back to some level of normalcy. This is what I believe will transpire fairly soon when it comes to movie theater operator <strong>AMC Entertainment Holdings, Inc.</strong> (NYSE:AMC).</p><p>Over this past weekend, news broke that a court agreed to the newest settlement offer between AMC Entertainment and a group of investors who were holding up a conversion of the preferred equity units (APE) that the company had issued into common stock and a subsequent reverse stock split. It is my view that this will have profound ramifications for the speculators and investors in the firm. Ultimately, this should pave the way though for the market to finally start focusing on fundamentals and to move past the ‘meme stock’ mentality that has dominated the narrative for the business.</p><h2 id=\"id_454910456\">A look at recent developments</h2><p>According to a press release issued by AMC Entertainment on August 14th, the judge overseeing the case between AMC Entertainment and a group of shareholders who were preventing the business from forcing a conversion of the preferred equity units into common, has finally agreed to let the deal move forward. Last month, I wrote a detailed article discussing everything leading up to this point and all of the intricacies involved.</p><p>Instead of rehashing those details here, I would encourage you to check out that article here. The short version is that, for every 7.5 shares of AMC Entertainment that investors in the firm’s common stock currently own, AMC Entertainment will issue a settlement of one additional share.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/8b5b390111ad593e77838768c4ae7b57\" alt=\"Author - SEC EDGAR Data\" title=\"Author - SEC EDGAR Data\" tg-width=\"640\" tg-height=\"430\"/><span>Author - SEC EDGAR Data</span></p><p>This transaction will only occur after AMC Entertainment first engages in a reverse stock split, taking the number of common shares of the business from around 519.2 million to 51.92 million. The preferred equity units will be decreased from 995.4 million to 99.54 million before being converted into common stock on a one-for-one basis. The settlement will be adjusted for the stock split, resulting in 6.92 million shares of common being distributed to existing shareholders of the common. At the end of the day, this will take the number of common shares of the business to 158.38 million. However, the implied price will be approximately 10 times what it currently is.</p><p>In response to this development, shares of the common stock plunged 35.6%. By comparison, the preferred equity units jumped by 16.3%. The reason for this divergent movement stems from the fact that, ever since the preferred equity units were issued, there was a significant price disparity between the two enterprises. Even now, that gap persists. At present, shares of the common stock are at $3.39 each. That compares to the $2.07 that the preferred equity units can be picked up for. Economically speaking, they are the same and, as of August 25th of this year, the preferred equity units will no longer exist because they will have been converted. So you would expect the prices of these two to converge.</p><p>The big question is how this will take place. We already saw that one moved up while the other moved down. There&#39;s no doubt that AMC Entertainment is struggling financially at this time. Given the fact that the preferred equity units have been used to raise capital while the company has been restricted from offering more common stock, I believe that the preferred equity units more appropriately value the company as it stands today. If I am correct, this would mean that the common should continue to fall more than the preferred equity units rise. This doesn&#39;t mean that there is not some sort of upside for the preferred equity units. Based on closing prices as of August 14th, the common stock has baked into it that extra fraction of a share associated with the settlement. That should work out to about $0.45 per unit. If we factor this into the equation, then the spread between the preferred equity units and the common would still be approximately 41.9% if we assume that all of the extra closing of the price will be on the upside for the former.</p><p>Once this all comes to pass later this month, there should be no further catalyst to encourage rampant speculation. This doesn&#39;t mean that the volatility will die down immediately. But at some point, we should return to some degree of normalcy that prioritizes, and justifiably so, fundamentals over all else. When I last wrote about the company and rated it a &#34;sell&#34; in July of this year, I made the argument that the absolute best-case scenario for shareholders would be an enterprise that is fairly valued. In the domestic market, it has generated $526.4 million, making it the 18th highest grossing film here at home. In a space with even modest growth and without all the trouble that AMC Entertainment has, such as continued uncertainty regarding its $4.41 billion in debt, I would be drawn to these multiples. But add in all of these issues and broader economic concerns, and I believe that the company might still see some downside from here. I am more neutral on the preferred equity units, however. (NYSE:AMC).Over this past weekend, news broke that a court agreed to the newest settlement offer between AMC Entertainment and a group of investors who were holding up a conversion of the preferred equity units (APE) that the company had issued into common stock and a subsequent reverse stock split. It is my view that this will have profound ramifications for the speculators and investors in the firm. Ultimately, this should pave the way though for the market to finally start focusing on fundamentals and to move past the ‘meme stock’ mentality that has dominated the narrative for the business.A look at recent developmentsAccording to a press release issued by AMC Entertainment on August 14th, the judge overseeing the case between AMC Entertainment and a group of shareholders who were preventing the business from forcing a conversion of the preferred equity units into common, has finally agreed to let the deal move forward. Last month, I wrote a detailed article discussing everything leading up to this point and all of the intricacies involved.Instead of rehashing those details here, I would encourage you to check out that article here. The short version is that, for every 7.5 shares of AMC Entertainment that investors in the firm’s common stock currently own, AMC Entertainment will issue a settlement of one additional share.Author - SEC EDGAR DataThis transaction will only occur after AMC Entertainment first engages in a reverse stock split, taking the number of common shares of the business from around 519.2 million to 51.92 million. The preferred equity units will be decreased from 995.4 million to 99.54 million before being converted into common stock on a one-for-one basis. The settlement will be adjusted for the stock split, resulting in 6.92 million shares of common being distributed to existing shareholders of the common. At the end of the day, this will take the number of common shares of the business to 158.38 million. However, the implied price will be approximately 10 times what it currently is.In response to this development, shares of the common stock plunged 35.6%. By comparison, the preferred equity units jumped by 16.3%. The reason for this divergent movement stems from the fact that, ever since the preferred equity units were issued, there was a significant price disparity between the two enterprises. Even now, that gap persists. At present, shares of the common stock are at $3.39 each. That compares to the $2.07 that the preferred equity units can be picked up for. Economically speaking, they are the same and, as of August 25th of this year, the preferred equity units will no longer exist because they will have been converted. So you would expect the prices of these two to converge.The big question is how this will take place. We already saw that one moved up while the other moved down. There's no doubt that AMC Entertainment is struggling financially at this time. Given the fact that the preferred equity units have been used to raise capital while the company has been restricted from offering more common stock, I believe that the preferred equity units more appropriately value the company as it stands today. If I am correct, this would mean that the common should continue to fall more than the preferred equity units rise. This doesn't mean that there is not some sort of upside for the preferred equity units. Based on closing prices as of August 14th, the common stock has baked into it that extra fraction of a share associated with the settlement. That should work out to about $0.45 per unit. If we factor this into the equation, then the spread between the preferred equity units and the common would still be approximately 41.9% if we assume that all of the extra closing of the price will be on the upside for the former.Once this all comes to pass later this month, there should be no further catalyst to encourage rampant speculation. This doesn't mean that the volatility will die down immediately. But at some point, we should return to some degree of normalcy that prioritizes, and justifiably so, fundamentals over all else. High inflation makes life difficult for people and damages the functioning of the economy,” Dr Lowe said in a decidedly hawkish statement following the meeting.</p><p>“And if high inflation were to become entrenched in people’s expectations, it would be very costly to reduce later.” That means “further increases in interest rates will be needed in coming months”.</p><p>At 3.35 per cent, monthly repayments on a 25-year, $500,000 mortgage will have increased by $908 since May 2022, by $1362 for a $750,000 mortgage, and by $1816 for a $1 million loan, according to comparison website RateCity.</p><h3>Inflation is the main game</h3><p>While acknowledging the so-called “lag effect” of existing interest rate rises to date, which means many households are yet to feel the full hit to the cost of living, the bank’s No. 1 priority remained taming inflation.</p><p>“The board is seeking to return inflation to the 2-3 per cent range while keeping the economy on an even keel, but the path to achieving a soft landing remains a narrow one,” Dr Lowe said.</p><p>“In assessing how much further interest rates need to increase, the board will be paying close attention to developments in the global economy, trends in household spending and the outlook for inflation and the labour market.</p><p>The RBA governor said there was uncertainty around the timing and extent of the expected and necessary slowdown in household spending.</p><p>“Some households have substantial savings buffers, but others are experiencing a painful squeeze on their budgets due to higher interest rates and the increase in the cost of living,” he said.</p><p>Previewing the bank’s quarterly statement on monetary policy due out on Friday, Dr Lowe said on Tuesday a forecast 1.5 per cent economic growth in 2023 and 2024 was little changed from October.</p><p>“The recovery in spending on services following the lifting of COVID restrictions has largely run its course and the tighter financial conditions will constrain spending more broadly,” he said.</p><p>The central forecast for unemployment is an increase to 3.75 per cent by the end of this year and 4.5 per cent by mid-2025.</p><p>Innes Willox, chief executive of Australian Industry Group, said the prospect of further interest rate rises ahead was “sobering” news.</p><p>“There are strong signs the desired slowdown in activity is beginning to take effect and, as we get further along the path of monetary tightening, the risk of overdoing the rate rises clearly intensifies,” Mr Willox said.</p><p>“It is critical now that businesses, governments and employees exercise moderation in price setting and wages negotiations and avoid fuelling the inflation and inflation expectations.”</p><h3>Cash rate could peak higher</h3><p>A snap poll of 24 economists conducted by The Australian Financial Review on Friday showed 22 respondents expected the quarter-point increase, while the median forecast peak in the cash rate was 3.6 per cent.</p><p>That suggests just one more increase is due from the RBA, though the wording of the bank’s latest statement suggested it would peak higher.</p><p>Since May last year, the Reserve Bank has raised the cash rate on nine consecutive occasions, taking it from a record low 0.1 per cent to 3.35 per cent in the fastest monetary policy tightening cycle in a generation.</p><p>The poll also showed 18 respondents not forecasting any decrease in the cash rate this year, a view reinforced for many by the December quarter inflation data, which came in stronger than expected.</p><p>At 1.9 per cent over the quarter and 7.8 per cent over the year, the result was well above market consensus, though below the RBA’s forecasts. Superaggressive investors chatting on message boards were able to move the stock in often volatile fashion.</p><p>Management used the high stock price to issue shares; that provided the movie chain with much-needed cash to help it muddle through the pandemic hit. The survival of the business clearly trumped the dilution that shareholders experienced from the stock sales. Indeed, the stock would have likely been worthless if the company went bankrupt.</p><p>But something interesting happened in July 2021. AMC had been seeking approval to increase its share count so it could issue even more shares. It pulled the proposal because it was, presumably, getting pushback from shareholders. Still, investors need to look at all the facts and consider the bigger picture. Unfortunately, there won’t likely be a happy ending soon for AMC Entertainment’s loyal shareholders.</p><h2 id=\"id_614562496\"><em>Barbie</em> Didn’t Save AMC Stock</h2><p>There’s no denying the positive points in AMC Entertainment’s third-quarter 2023 results. For what it’s worth, the company reported revenue growth and bottom-line improvement.</p><p>Aron acknowledged AMC Entertainment’s “attendance at the domestic box office in the quarter was still 16% below comparable 2019 levels.”</p><p>The CEO warned that the “short-term impacts” of the writers’ and actors’ strikes will present “challenges for AMC in 2024.” The actors’ strike has ended, but AMC Entertainment might have to deal with the financial impact for a while.</p><p>Even if we grant that AMC Entertainment had a favorable third quarter, it wasn’t enough to prevent AMC stock from dropping sharply this year. Remember, it was a $50+ stock during the “summer of <em>Barbie</em>.”</p><p>Clearly, the much-touted <em>Barbie</em> film couldn’t rescue AMC Entertainment’s shareholders from financial losses. Even if the company captures lightning in a bottle again with new blockbuster films – which is easier said than done – there’s no assurance that AMC Entertainment’s loyal investors will return to breakeven soon.</p><h2 id=\"id_892248244\">AMC Entertainment Prepares to Issue and Sell More Shares</h2><p>AMC Entertainment has added to its pool of shares before. So, maybe it’s not surprising if the company does it again. Thus, AMC Entertainment has reportedly filed to offer as much as $350 million worth of the company’s stock shares.</p><p>AMC stock dropped upon the news. This undoubtedly happened because the current investors didn’t like the idea of AMC Entertainment diluting the value of the existing shares.</p><p>Among other things, AMC Entertainment intends to use the proceeds to “repay, refinance, redeem or repurchase our existing indebtedness.” Indeed, the company has a lot of “indebtedness.” According to Wedbush analyst Alicia Reese, AMC Entertainment “still has over $4 billion in debt.”</p><p>Frankly, you just never know when AMC Entertainment might announce another share offering. It’s a quick way to raise capital in the short term, but it certainly doesn’t make the current shareholders happy.</p><h2 id=\"id_4227245523\">AMC Stock: The Next Act Could Be Another Leg Down</h2><p>It’s fine to root for AMC Entertainment to succeed as the company strives to recover from the pandemic. The road to survival was not an easy one, and the company had to sell stock to keep the lights on.</p><p>Luckily for AMC, it became a “meme stock,” or a stock that gets a massive amount of attention from retail traders who discuss their stock picks on social media threads and try to stick it to short sellers. With such a high short interest at the time, meme traders bought up shares, squeezing institutional investors who wanted to gain from the stock’s potential decline.</p><p>The stock got as high as $33.90 in June 2021, and AMC wanted to continue selling stock in order to raise more capital. But not all shareholders were on board and AMC didn’t have the votes, so the potential additional sales of AMC stock were squashed.</p><p>AMC needed a solution to gain more cash to pay off its debt while keeping investors happy. That’s where the APEs came in.</p><h2 id=\"id_3826602794\">Explaining the APEs and the Conversion</h2><p>AMC issued about 517 million preferred equity units, or APEs, to be traded on the New York Stock Exchange in August 2022 with the intention of raising more money to pay off debt. In order to keep legacy AMC holders content, each shareholder gained one share of preferred equity units for each AMC share they owned.</p><p>After a year, the APE shares were set to convert into AMC stock, and that conversion was approved by shareholders in March, but it was held up by a case in Delaware Chancery Court.</p><p>For an explanation, we turned to Tom Bruni, senior writer at StockTwits, a social-media platform designed for sharing ideas between investors.</p><p>“All it does is change the one share of APE unit into a share of AMC, so you’re just eliminating the APE units entirely, and if you own one share of an APE unit, you’ll get one share of AMC stock,” Bruni said.</p><p>“Where it gets confusing is they’re doing this reverse split on AMC shares first. So technically, since the conversion is happening second, for every one share of APE unit you have, that converts to 1/10 of one share of AMC shares,” Bruni added.</p><p>The reverse stock split is set to take place on Thursday, and is meant to reduce the number of AMC shares outstanding, which will allow the company to issue more shares down the line. What’s important for investors to know is what happens to their stock on Friday. Essentially, if a trader owns 100 APE units, on Friday, that trader will have 10 AMC shares.</p><h2 id=\"id_2537402307\">The Reason AMC Stock Is Trading Lower</h2><p>AMC has made it clear that to continue running, it needs to earn more capital. AMC declined to provide a comment for this article, but in a letter to shareholders posted to X, formerly known as Twitter, Chief Executive Adam Aron said that by converting the APE shares to common shares, he believes “AMC will be able to raise equity capital more efficiently and on better terms in the future.”</p><p>However, AMC shares tumbled 23.1% Wednesday to $1.96, and closed at their lowest level since January 2021, according to Dow Jones Market Data. The stock has fallen 42% over the last three consecutive days, which is its worst three-day stretch since February 2021.</p><p>That likely reflects the dilution of their current shares in the conversion and the possibility that they will be diluted down the line as AMC will be able to introduce and issue more of its common stock.</p><h2 id=\"id_2607396303\">What’s Next for AMC</h2><p>“It’s a double-edged sword because in the short term, you’re diluting shareholders and you’re opening up the door for further dilution in the future because they can issue more shares,” Bruni says. “It’s painful because you’re being diluted, there’s probably going to be losses in the short-term, your investment is not looking so good. But not all shareholders were on board and AMC didn’t have the votes, so the potential additional sales of AMC stock were squashed.AMC needed a solution to gain more cash to pay off its debt while keeping investors happy. That’s where the APEs came in.Explaining the APEs and the ConversionAMC issued about 517 million preferred equity units, or APEs, to be traded on the New York Stock Exchange in August 2022 with the intention of raising more money to pay off debt. In order to keep legacy AMC holders content, each shareholder gained one share of preferred equity units for each AMC share they owned.After a year, the APE shares were set to convert into AMC stock, and that conversion was approved by shareholders in March, but it was held up by a case in Delaware Chancery Court.For an explanation, we turned to Tom Bruni, senior writer at StockTwits, a social-media platform designed for sharing ideas between investors.“All it does is change the one share of APE unit into a share of AMC, so you’re just eliminating the APE units entirely, and if you own one share of an APE unit, you’ll get one share of AMC stock,” Bruni said.“Where it gets confusing is they’re doing this reverse split on AMC shares first.
