At the time of writing, his net worth has ballooned to a little over $92 billion—and even then it’s down from its high of $119 billion earlier this summer.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/c6f740ca6e1999c821806bd6df8a4f94\" alt=\"Nvidia CEO Jensen Huang\" title=\"Nvidia CEO Jensen Huang\" tg-width=\"1440\" tg-height=\"960\"/><span>Nvidia CEO Jensen Huang</span></p><p>While Huang has worked on Nvidia for more than three decades, it has only been over the past 12 months or so that the chipmaker’s stock price has really begun to take off, and with that comes scrutiny.</p><p>Investors are largely thrilled with their bet on the Santa Clara, Calif., business, and the man Mark Zuckerberg dubbed the “Taylor Swift of tech.”</p><p>But Nvidia’s meteoric growth has led some experts to question whether the company’s corporate governance has matured as quickly.</p><p>They point to the fact that CEO Huang has been off-loading approximately $14 million worth of shares on a near-daily basis for months this summer. He still retains more than a 3.5% stake in the business.</p><p>This, inevitably, raises questions about why Huang is selling instead of holding.</p><p>And that, in turn, leads to the issue of why Huang has so many shares in the first place, and whether his compensation package incentivizes the performance shareholders want to see.</p><p>Investors want more intel on the business at the top. They want to see more transparent corporate governance, open succession planning, and a change in pay structure to motivate the next era of management, according to executive compensation experts who spoke to <em>Fortune.</em></p><h2 id=\"id_3273704826\">‘Huang selling shares doesn’t look good’</h2><p>Huang is selling his shares under a very specific plan—a Rule 10b5-1 agreement—which allows executives and employees to buy or sell stock in their own company without violating insider trading laws by using a predetermined schedule.</p><p>Rule 10b5-1 has a number of specific requirements, chief among them that a formula for the sales (not an individual) be used to determine the number, price, and date of the trade. A third party must also be employed to conduct the sales, who cannot be influenced by the client.</p><p>So while Huang is comfortably removed from any concerns about insider selling, the fact still remains that he is choosing to sell after a period of high share performance and then a dip.</p><p>This, according to Nell Minow, vice chair of corporate governance specialists ValueEdge Advisors, is not a good look.</p><p>Minow, who also owns shares in Nvidia herself, explained to <em>Fortune</em>: “What I want from an executive [is] to be very bullish on the stock. I want the executive to be thinking all the time: ‘Boy, this is really going to be worth a lot more soon’ and not, ‘Oof, I better sell some because I’m … experiencing the vertigo of having all my eggs in one basket.’</p><p>“I want all of their eggs in one basket.”</p><p>This year isn’t the first time Huang has employed a Rule 10b5-1—though it is a more tenacious selloff than previous trades.</p><p>In September last year, for example, Huang off-loaded 237,500 shares valued at just over $117 million under a 10b5-1 trading agreement. This year, by comparison, Huang sold $323 million in Nvidia stock in July alone.</p><p>Huang wasn’t the only Nvidia exec to confirm a Rule 10b5-1 trading agreement in the April filing. </p><p>Debora Shoquist, executive vice president of operations; Colette M. Kress, executive vice president and CFO; and Ajay K. Puri, executive vice president of worldwide field operations, disclosed similar plans.</p><p>“It signals that the stock has jumped tremendously and they’re getting a little nervous about it,” Minow believes. “It’s certainly concerning for investors; we ask ourselves: ‘Well, maybe I should be selling mine, too. What are they telling me? If they don’t have the confidence in the stock, then why should I?’”</p><p><em>Fortune</em> approached Nvidia for comment on how many shares in total Huang plans to off-load, and when his selloff will end. The company did not respond to the question.</p><p>Nvidia told <em>Fortune</em>: “Mr. Huang’s sales are based on a 10b5-1 plan, in which the price, amount, and dates of the sales are established in advance.”</p><h2 id=\"id_849267293\">Calming the ripple effect</h2><p>James Reda is a managing director at Chicago-based consultancy Gallagher’s HR and compensation practice. He has worked on a number of high-profile compensation cases, from Howard Schultz at Starbucks in the early 2000s to advising on Satya Nadella’s Microsoft package.</p><p>Why is Huang drip-feeding the sale of his stock, day after day, as opposed to off-loading larger sums all at once, we asked him.</p><p>“If you just dump that in the market the stock’s going to go down,” Reda told <em>Fortune</em>. “So you have to be very sensitive about it … If you have a large position that some of these founders and CEOs have, it could be a better strategy.</p><p>“I’ve seen a lot of cases where things are executed improperly and the stock tanks. Not because people think something’s going on, and all that stuff, but the excess supply. The market’s confused about what they do with it.”</p><p>The fact that Huang is selling on a near-daily basis as opposed to wider intervals is also not a surprise to Reda. The 10b5-1 plan is public, so markets will be aware of the stock influx and won’t be caught off guard.</p><p>And while some analysts like Minow want founders to be singularly focused on their own stock, Reda disagrees: “Ultimately, if you don’t sell the stock you’re gonna have to be like Elon Musk and some others that are putting stock up for collateral and getting these humongous loans.</p><p>“That just makes everybody more leveraged, why do that? Peel off a little stock on a regular basis and sell it.”</p><h2 id=\"id_318527430\">Too much stock?</h2><p>A look through the SEC filings of every Big Tech company presents a range of often complex compensation provisions. Meta’s Zuckerberg is famously paid a single dollar for his salary but takes $24.4 million in security costs. Apple’s Tim Cook has performance-based restricted stock units in a compensation package worth $49 million. Alphabet’s Sundar Pichai is given a triennial stock grant, which led to a $226 million payday in 2022.</p><p>The range of options also reveals a common practice in Silicon Valley: CEOs—particularly founders—are often continually awarded stock not only so they maintain a sense of power over a rapidly expanding empire, but also because it is a tried-and-tested method to motivate those at the top.</p><p>Nvidia’s 2024 proxy filing for fiscal year 2024 discloses that Huang was paid a salary of $996,514, with stock awards worth $26 million and additional incentivized cash compensation of $4 million. His total compensation package was worth approximately $34.17 million.</p><p>The filing also revealed Huang’s holdings in Nvidia prior to the stock sales beginning this spring, with the figure sitting at more than 93 million shares—3.79% of the business.</p><p>This is a sign that Huang has been given too much stock, Minow believes.</p><p>In her estimation, Huang’s shares should be locked in “golden handcuffs”—meaning he can’t sell until years after he leaves the business.</p><p>“Stop giving him stock. He’s clearly got too much, and that’s why he’s getting rid of it,” Minow said. “The marginal value of additional stock grants is negligible.”</p><p>Nvidia has a “pay for performance” strategy, per its SEC filing, based on revenue, operating income, and shareholder returns relative to the S&amp;P 500.</p><p>But Minow wants more detail. She said: “I would create very specific goals—and this is the job of the board—around market share, innovation, expansion, improving operations. Whatever the board decides the priorities should be.</p><p>“And let the market know what those goals are. That helps us as investors know if it’s something that we want to participate in.”</p><h2 id=\"id_4111673769\">The succession plan, or lack thereof</h2><p>The board itself presents further potential for improvement, in Minow’s opinion. Of the 12 individuals on the $2.93 trillion company’s board, only one cites experience in “corporate governance” in their official biography (although some of the others have served on other boards).</p><p>Minow also wants to see Nvidia ticking off the corporate to-do list by updating the market on a successor to the CEO. After all, CEOs can’t lead forever.</p><p>“His board of directors [is] very strong on technology, not as much on corporate governance,” Minow explains. “I would really like to see them say: ‘We have a process in place to make sure we’re cultivating our top people, making sure we have a deep bench; here’s how we’re going about it.’</p><p>“We don’t need a name, but they need to be very forthright about the value that Huang presents and that they’re taking very seriously the idea that he could just decide to go spend his money … They’ve got to be prepared for that.”</p><p>Huang, famed for his never-off work schedule and endless pushes for perfectionism, is the beating heart of Nvidia—and he has a price tag attached.</p><p>“Huang is the heart and soul of the company; his reputation is almost as important as the quality of the product,” Minow adds. “Particularly when you’re talking about the [15th] richest man in the world—how do you keep him motivated? It’s certainly not by allowing him to diversify his holdings.</p><p>“I would give him more of his compensation in cash tied to very specific, quantifiable goals.”</p><p><em>Fortune</em> asked Nvidia what its succession plan was and whether it would be more transparent with shareholders about compensation practices. Nvidia declined to comment.</p><h2 id=\"id_1633305869\">What does a post-Huang Nvidia look like?</h2><p>A push for transparency is needed across the market, says Aalap Shah, managing director at compensation and leadership consultancy Pearl Meyer.</p><p>Some of the pillars of American commerce have already learned this lesson: Just ask JPMorgan’s Jamie Dimon, who has been open about the banking behemoth’s succession planning process—even naming his “hit-by-a-bus CEO.”</p><p>Elsewhere, Morgan Stanley was subject to immense speculation prior to its selection last year of Ted Pick to replace James Gorman.</p><p>“We should be significantly more transparent than we are currently about succession planning,” Shah tells <em>Fortune</em>. “From my perspective for an incoming CEO … one of the top five things they should be doing is succession planning. At the time of writing, his net worth has ballooned to a little over $92 billion—and even then it’s down from its high of $119 billion earlier this summer.Nvidia CEO Jensen HuangWhile Huang has worked on Nvidia for more than three decades, it has only been over the past 12 months or so that the chipmaker’s stock price has really begun to take off, and with that comes scrutiny.Investors are largely thrilled with their bet on the Santa Clara, Calif., business, and the man Mark Zuckerberg dubbed the “Taylor Swift of tech.”But Nvidia’s meteoric growth has led some experts to question whether the company’s corporate governance has matured as quickly.They point to the fact that CEO Huang has been off-loading approximately $14 million worth of shares on a near-daily basis for months this summer. He still retains more than a 3.5% stake in the business.This, inevitably, raises questions about why Huang is selling instead of holding.And that, in turn, leads to the issue of why Huang has so many shares in the first place, and whether his compensation package incentivizes the performance shareholders want to see.Investors want more intel on the business at the top. They want to see more transparent corporate governance, open succession planning, and a change in pay structure to motivate the next era of management, according to executive compensation experts who spoke to Fortune.‘Huang selling shares doesn’t look good’Huang is selling his shares under a very specific plan—a Rule 10b5-1 agreement—which allows executives and employees to buy or sell stock in their own company without violating insider trading laws by using a predetermined schedule.Rule 10b5-1 has a number of specific requirements, chief among them that a formula for the sales (not an individual) be used to determine the number, price, and date of the trade. A third party must also be employed to conduct the sales, who cannot be influenced by the client.So while Huang is comfortably removed from any concerns about insider selling, the fact still remains that he is choosing to sell after a period of high share performance and then a dip.This, according to Nell Minow, vice chair of corporate governance specialists ValueEdge Advisors, is not a good look.Minow, who also owns shares in Nvidia herself, explained to Fortune: “What I want from an executive [is] to be very bullish on the stock. I want the executive to be thinking all the time: ‘Boy, this is really going to be worth a lot more soon’ and not, ‘Oof, I better sell some because I’m … experiencing the vertigo of having all my eggs in one basket.’“I want all of their eggs in one basket.”This year isn’t the first time Huang has employed a Rule 10b5-1—though it is a more tenacious selloff than previous trades.In September last year, for example, Huang off-loaded 237,500 shares valued at just over $117 million under a 10b5-1 trading agreement. This year, by comparison, Huang sold $323 million in Nvidia stock in July alone.Huang wasn’t the only Nvidia exec to confirm a Rule 10b5-1 trading agreement in the April filing. Debora Shoquist, executive vice president of operations; Colette M. Kress, executive vice president and CFO; and Ajay K. Puri, executive vice president of worldwide field operations, disclosed similar plans.“It signals that the stock has jumped tremendously and they’re getting a little nervous about it,” Minow believes. “It’s certainly concerning for investors; we ask ourselves: ‘Well, maybe I should be selling mine, too. What are they telling me? If they don’t have the confidence in the stock, then why should I?’”Fortune approached Nvidia for comment on how many shares in total Huang plans to off-load, and when his selloff will end. The company did not respond to the question.Nvidia told Fortune: “Mr. Huang’s sales are based on a 10b5-1 plan, in which the price, amount, and dates of the sales are established in advance.”Calming the ripple effectJames Reda is a managing director at Chicago-based consultancy Gallagher’s HR and compensation practice. He has worked on a number of high-profile compensation cases, from Howard Schultz at Starbucks in the early 2000s to advising on Satya Nadella’s Microsoft package.Why is Huang drip-feeding the sale of his stock, day after day, as opposed to off-loading larger sums all at once, we asked him.“If you just dump that in the market the stock’s going to go down,” Reda told Fortune. “So you have to be very sensitive about it … If you have a large position that some of these founders and CEOs have, it could be a better strategy.“I’ve seen a lot of cases where things are executed improperly and the stock tanks. Not because people think something’s going on, and all that stuff, but the excess supply. The market’s confused about what they do with it.”The fact that Huang is selling on a near-daily basis as opposed to wider intervals is also not a surprise to Reda. The 10b5-1 plan is public, so markets will be aware of the stock influx and won’t be caught off guard.And while some analysts like Minow want founders to be singularly focused on their own stock, Reda disagrees: “Ultimately, if you don’t sell the stock you’re gonna have to be like Elon Musk and some others that are putting stock up for collateral and getting these humongous loans.“That just makes everybody more leveraged, why do that? Peel off a little stock on a regular basis and sell it.”Too much stock?A look through the SEC filings of every Big Tech company presents a range of often complex compensation provisions. Meta’s Zuckerberg is famously paid a single dollar for his salary but takes $24.4 million in security costs. Apple’s Tim Cook has performance-based restricted stock units in a compensation package worth $49 million. Alphabet’s Sundar Pichai is given a triennial stock grant, which led to a $226 million payday in 2022.The range of options also reveals a common practice in Silicon Valley: CEOs—particularly founders—are often continually awarded stock not only so they maintain a sense of power over a rapidly expanding empire, but also because it is a tried-and-tested method to motivate those at the top.Nvidia’s 2024 proxy filing for fiscal year 2024 discloses that Huang was paid a salary of $996,514, with stock awards worth $26 million and additional incentivized cash compensation of $4 million. His total compensation package was worth approximately $34.17 million.The filing also revealed Huang’s holdings in Nvidia prior to the stock sales beginning this spring, with the figure sitting at more than 93 million shares—3.79% of the business.This is a sign that Huang has been given too much stock, Minow believes.In her estimation, Huang’s shares should be locked in “golden handcuffs”—meaning he can’t sell until years after he leaves the business.“Stop giving him stock. He’s clearly got too much, and that’s why he’s getting rid of it,” Minow said. “The marginal value of additional stock grants is negligible.”Nvidia has a “pay for performance” strategy, per its SEC filing, based on revenue, operating income, and shareholder returns relative to the S&P 500.But Minow wants more detail. She said: “I would create very specific goals—and this is the job of the board—around market share, innovation, expansion, improving operations. Whatever the board decides the priorities should be.“And let the market know what those goals are. That helps us as investors know if it’s something that we want to participate in.”The succession plan, or lack thereofThe board itself presents further potential for improvement, in Minow’s opinion. Of the 12 individuals on the $2.93 trillion company’s board, only one cites experience in “corporate governance” in their official biography (although some of the others have served on other boards).Minow also wants to see Nvidia ticking off the corporate to-do list by updating the market on a successor to the CEO. After all, CEOs can’t lead forever.“His board of directors [is] very strong on technology, not as much on corporate governance,” Minow explains. “I would really like to see them say: ‘We have a process in place to make sure we’re cultivating our top people, making sure we have a deep bench; here’s how we’re going about it.’“We don’t need a name, but they need to be very forthright about the value that Huang presents and that they’re taking very seriously the idea that he could just decide to go spend his money … They’ve got to be prepared for that.”Huang, famed for his never-off work schedule and endless pushes for perfectionism, is the beating heart of Nvidia—and he has a price tag attached.“Huang is the heart and soul of the company; his reputation is almost as important as the quality of the product,” Minow adds. “Particularly when you’re talking about the [15th] richest man in the world—how do you keep him motivated? It’s certainly not by allowing him to diversify his holdings.“I would give him more of his compensation in cash tied to very specific, quantifiable goals.”Fortune asked Nvidia what its succession plan was and whether it would be more transparent with shareholders about compensation practices. Nvidia declined to comment.What does a post-Huang Nvidia look like?A push for transparency is needed across the market, says Aalap Shah, managing director at compensation and leadership consultancy Pearl Meyer.Some of the pillars of American commerce have already learned this lesson: Just ask JPMorgan’s Jamie Dimon, who has been open about the banking behemoth’s succession planning process—even naming his “hit-by-a-bus CEO.”Elsewhere, Morgan Stanley was subject to immense speculation prior to its selection last year of Ted Pick to replace James Gorman.“We should be significantly more transparent than we are currently about succession planning,” Shah tells Fortune. “From my perspective for an incoming CEO … one of the top five things they should be doing is succession planning. The case eventually made its way to trial in late 2022 and on Tuesday a judge sided with Tornetta, voiding the enormous pay deal for being unfair to him and all his fellow Tesla shareholders.</p><p>Tornetta could not be reached for a comment and his attorney declined to comment.</p><p>Until Tornetta&#39;s case, Musk prevailed in a string of trials accusing him of defamation, of breaching his duty to shareholders and of violating securities laws.</p><p>Based on his online presence, Tornetta seems to have more of an interest in creating audio gear for car-customizing enthusiasts than going after corporate excess and malfeasance.</p><p>He has posted light-hearted videos about gadgets he has created or mishaps, including describing how he torched his eyebrows.</p><p>Tornetta also turned up in videos drumming at the legendary former New York club CBGB with his now-defunct metal band &#34;Dawn of Correction&#34;, which described its sound as &#34;a swift kick to the face with a steel-toed work boot.&#34;</p><p>On social media, fans of Tesla and Musk seemed to find the case a travesty of justice and speculated about Tornetta&#39;s intentions and political affiliations, asking how an investor with such miniscule holdings could wield such power.</p><p>Delaware corporate case law is full of cases bearing the names of individual investors with tiny shareholdings who wound up shaping America&#39;s corporate law.</p><p>Many law firms that represent shareholders keep a stable of investors they can work with to bring cases, says Eric Talley, who teaches corporate law at Columbia Law School. They might be pension funds with a broad range of stock holdings but they are also often individuals like Tornetta.</p><p>The plaintiff signs paperwork to file the lawsuit and then generally gets out of the way, says Talley. The investors don&#39;t pay the law firm, which takes the case on contingency, as the lawyers did in the Musk case.</p><p>Tornetta benefits from winning the case the same way other Tesla shareholders benefit: saving the company billions of dollars that a subservient board of directors paid to Musk.</p><p>Business groups have long criticized cases brought by individuals as an indication of potentially abusive litigation. Delaware 10 years ago was plagued with lawsuits led by retail investors owning a few shares challenging merger deals. The cases were often quickly resolved with meaningless settlements that always included payments to the attorneys bringing the cases. Delaware judges and lawmakers eventually reined in the practice.</p><p>Experts said people like Tornetta are vital for policing boardrooms. Lawmakers and judges have long wanted large investment firms to lead such corporate litigation since they are better equipped to keep an eye on their lawyers&#39; tactics. I upgraded TSLA stock in late October, following the weakness leading into Tesla&#39;s third quarter earnings release. The upgrade was timely, as TSLA bottomed out in early November 2023, staging a recovery toward the $265 level in late December 2023. However, the buying momentum stalled and reversed before Tesla posted its full-year deliveries in January 2024. Since then, TSLA has gone on a decline for three consecutive weeks, falling to levels last seen in mid-November 2023.</p><p>As a result, I gleaned that it&#39;s apt for me to provide a timely update to Tesla investors on whether the recent pullback should be capitalized to buy more or be more cautious.</p><p>Before we go into that, we need to take a step back and assess TSLA&#39;s recovery over the past year. Despite the recent weakness, TSLA is still up nearly 80% over the past year, significantly outperforming the S&amp;P 500 (SP500). Consequently, I&#39;m not surprised that these astute dip buyers who pulled the Buy trigger when TSLA reached peak pessimism in late 2022/early 2023 (as I also emphasized) took profits (fully or partially) and rotated.</p><p>To be fair to CEO Elon Musk and his team, they slightly exceeded their full-year deliveries guidance for 2023 with 1.81M vehicles, achieving a deliveries/production ratio of 98%. Is that good? Of course, it is. It demonstrates Tesla&#39;s ability to execute its direct-to-consumer model, which seems more complex than it looks. We don&#39;t seem to give Tesla enough credit, as Fisker (FSR) discovered when it decided recently to &#34;move away from its direct-to-consumer sales model to a traditional dealership model in the US.&#34; The company highlighted that it realized the &#34;direct sales approach is more costly and challenging than anticipated.&#34; As a result, I believe Tesla&#39;s ability to execute this model and post an incredibly high deliveries/production ratio is a testament to its execution prowess and strategy.</p><p>Therefore, investors shouldn&#39;t be unduly concerned even as TSLA has underperformed the SPX since my October update, given its remarkable execution and recovery.</p><p>The question about TSLA&#39;s high valuation has been a constant source of intense debates between Tesla Bulls and Bears. With a forward EBITDA multiple of nearly 35x against its peers&#39; median of 6.2x, let&#39;s not deny the obvious that TSLA is expensive relative to peers. Seeking Alpha Quant&#39;s &#34;F&#34; valuation grade corroborates my observation. Despite that, TSLA&#39;s market outperformance over the past year suggests that investors believe valuation isn&#39;t the most decisive factor in TSLA&#39;s thesis. The EV market leader is still a solidly profitable leader against its legacy or smaller EV peers.</p><p>BYD Company&#39;s (OTCPK:BYDDF) formidable challenge is undeniable. China&#39;s NEV leader also surpassed its <a href=\"https://laohu8.com/S/MMM\">3M</a> vehicle target (including hybrids) in 2023, as BYD demonstrated its ability to scale quickly. Bolstered by its vertical integration advantages, BYD poses a significant challenge to Tesla in China. It&#39;s also gaining traction in Europe. However, the silver lining is that BYD doesn&#39;t seem to be in a hurry to target the U.S. market yet, allowing Tesla the opportunity to consolidate its dominance for now. The recently reduced investment cadence from the legacy makers highlighted that the EV CapEx has taken a toll amid a slower EV growth cadence. While Tesla isn&#39;t immune, I assessed that the company&#39;s ability to leverage pricing levers (supported by its &#34;A+&#34; profitability grade) to force its legacy peers and smaller rivals to change their game could be instrumental to maintaining its leadership.</p><p>Given Tesla&#39;s expensive valuation, I believe it isn&#39;t rocket science to CEO Musk that the market expects nothing short of impeccable execution on its deliveries growth cadence. However, Tesla&#39;s recent price cuts in China and potentially more competitive dynamics could have led to weak investor sentiments. Investors could be concerned about Tesla&#39;s FY24 deliveries target as we await the company&#39;s Q4 earnings conference and guidance in less than two weeks.</p><p>Hence, considering recent developments, I assessed investors sitting on significant gains as they bought its lows and could have felt the need to reallocate some exposure. Therefore, some profit-taking and more cautious positioning as we head into its pivotal earnings release isn&#39;t surprising.</p><p>I assess that TSLA dip buyers could return more aggressively between the $195 and low $200 zones to lift it from its recent weakness. With eight more days to go to Tesla&#39;s earnings call, we might get there if market sentiments continue to favor Tesla Bears at the moment. Dip buyers who bought its lows likely took profit and reallocated.Tesla's price action suggests a long-term uptrend bias, with potential for aggressive dip buying in the $195-$200 range.I highlight why Tesla's market leadership in the U.S. isn't expected to change anytime soon as legacy and EV peers pull back.Tesla remains the market's most formidable EV competitor against BYD Company's ascendency, with 2024 likely proving decisive as the market shakes out the smaller players.Slaven VlasicTesla, Inc. (NASDAQ:TSLA) investors head into one of its most important earnings conferences post-market on January 24, given the recent underperformance of TSLA. I upgraded TSLA stock in late October, following the weakness leading into Tesla's third quarter earnings release. The upgrade was timely, as TSLA bottomed out in early November 2023, staging a recovery toward the $265 level in late December 2023. However, the buying momentum stalled and reversed before Tesla posted its full-year deliveries in January 2024. Since then, TSLA has gone on a decline for three consecutive weeks, falling to levels last seen in mid-November 2023.As a result, I gleaned that it's apt for me to provide a timely update to Tesla investors on whether the recent pullback should be capitalized to buy more or be more cautious.Before we go into that, we need to take a step back and assess TSLA's recovery over the past year. Despite the recent weakness, TSLA is still up nearly 80% over the past year, significantly outperforming the S&P 500 (SP500). Consequently, I'm not surprised that these astute dip buyers who pulled the Buy trigger when TSLA reached peak pessimism in late 2022/early 2023 (as I also emphasized) took profits (fully or partially) and rotated.To be fair to CEO Elon Musk and his team, they slightly exceeded their full-year deliveries guidance for 2023 with 1.81M vehicles, achieving a deliveries/production ratio of 98%. Is that good? Of course, it is. It demonstrates Tesla's ability to execute its direct-to-consumer model, which seems more complex than it looks. We don't seem to give Tesla enough credit, as Fisker (FSR) discovered when it decided recently to \"move away from its direct-to-consumer sales model to a traditional dealership model in the US.\" The company highlighted that it realized the \"direct sales approach is more costly and challenging than anticipated.\" As a result, I believe Tesla's ability to execute this model and post an incredibly high deliveries/production ratio is a testament to its execution prowess and strategy.Therefore, investors shouldn't be unduly concerned even as TSLA has underperformed the SPX since my October update, given its remarkable execution and recovery.The question about TSLA's high valuation has been a constant source of intense debates between Tesla Bulls and Bears. With a forward EBITDA multiple of nearly 35x against its peers' median of 6.2x, let's not deny the obvious that TSLA is expensive relative to peers. Seeking Alpha Quant's \"F\" valuation grade corroborates my observation. Despite that, TSLA's market outperformance over the past year suggests that investors believe valuation isn't the most decisive factor in TSLA's thesis. The EV market leader is still a solidly profitable leader against its legacy or smaller EV peers.BYD Company's (OTCPK:BYDDF) formidable challenge is undeniable. China's NEV leader also surpassed its 3M vehicle target (including hybrids) in 2023, as BYD demonstrated its ability to scale quickly. Bolstered by its vertical integration advantages, BYD poses a significant challenge to Tesla in China. It's also gaining traction in Europe. However, the silver lining is that BYD doesn't seem to be in a hurry to target the U.S. market yet, allowing Tesla the opportunity to consolidate its dominance for now. The recently reduced investment cadence from the legacy makers highlighted that the EV CapEx has taken a toll amid a slower EV growth cadence. While Tesla isn't immune, I assessed that the company's ability to leverage pricing levers (supported by its \"A+\" profitability grade) to force its legacy peers and smaller rivals to change their game could be instrumental to maintaining its leadership.Given Tesla's expensive valuation, I believe it isn't rocket science to CEO Musk that the market expects nothing short of impeccable execution on its deliveries growth cadence. However, Tesla's recent price cuts in China and potentially more competitive dynamics could have led to weak investor sentiments. Investors could be concerned about Tesla's FY24 deliveries target as we await the company's Q4 earnings conference and guidance in less than two weeks.Hence, considering recent developments, I assessed investors sitting on significant gains as they bought its lows and could have felt the need to reallocate some exposure. Despite that, let me help TSLA holders assess why TSLA's price action suggests we should keep hanging on and consider buying further downside volatility.TSLA price chart (monthly, long-term) (TradingView)TSLA's price action suggests that its long-term uptrend bias has remained undefeated, notwithstanding the negative media sentiments. Therefore, some profit-taking and more cautious positioning as we head into its pivotal earnings release isn't surprising.I assess that TSLA dip buyers could return more aggressively between the $195 and low $200 zones to lift it from its recent weakness. With eight more days to go to Tesla's earnings call, we might get there if market sentiments continue to favor Tesla Bears at the moment. With the numbers now in, bulls are swiftly calculating the stock’s new price-to-earnings ratio, or how much investors are paying for future growth.</p><p>“Some investors have been scared to buy because they think the stock is too expensive, but that’s been a huge mistake,” said James Demmert, chief investment officer at Main Street Research. “Every time it reports, the P/E shrinks because the E ends up being so much stronger than people expect.”</p><p>Put another way, Nvidia’s earnings have been growing even faster than the stock.</p><p>Nvidia has seen its valuation slide since the middle of 2023, even amid a record-breaking rally for the shares, because of its massive earnings growth. In the fiscal fourth quarter, the chipmaker reported a whopping 486% year-over-year growth in earnings per share excluding certain items, with the $5.16 figure handily beating analyst estimates of $4.60. Its forecast for first quarter revenue of about $24 billion was also a big beat.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/505e79ecf9938a1967e7f5b7a8a70722\" tg-width=\"1200\" tg-height=\"675\"/></p><p>The numbers mean Wall Street estimates are set to be revised higher, which will likely bring down the valuation once again if the share price doesn’t keep pace. The stock jumped as much as 15% in morning trading, hitting a record intraday high.</p><p>While some investors have been concerned about a possible bubble forming around AI-related stocks, others noted that Nvidia is still less expensive than peers. The stock trades at about 32 times forward earnings, compared with rival Advanced Micro Devices Inc. at 45 times. The shares are also cheaper than those of Amazon.com Inc. and Microsoft Corp., while the Nasdaq 100 Index trades at a 25 times multiple.</p><p>“Nvidia continues to be one of the cheapest AI-oriented stocks even after its year-to-date run up,” said David Wagner, portfolio manager at Aptus Capital Advisors LLC.</p><p>Bullish comments from Nvidia Chief Executive Officer Jensen Huang are also likely to boost sentiment about the longer-term valuation. At the time of writing, his net worth has ballooned to a little over $92 billion—and even then it’s down from its high of $119 billion earlier this summer.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/c6f740ca6e1999c821806bd6df8a4f94\" alt=\"Nvidia CEO Jensen Huang\" title=\"Nvidia CEO Jensen Huang\" tg-width=\"1440\" tg-height=\"960\"/><span>Nvidia CEO Jensen Huang</span></p><p>While Huang has worked on Nvidia for more than three decades, it has only been over the past 12 months or so that the chipmaker’s stock price has really begun to take off, and with that comes scrutiny.</p><p>Investors are largely thrilled with their bet on the Santa Clara, Calif., business, and the man Mark Zuckerberg dubbed the “Taylor Swift of tech.”</p><p>But Nvidia’s meteoric growth has led some experts to question whether the company’s corporate governance has matured as quickly.</p><p>They point to the fact that CEO Huang has been off-loading approximately $14 million worth of shares on a near-daily basis for months this summer. He still retains more than a 3.5% stake in the business.</p><p>This, inevitably, raises questions about why Huang is selling instead of holding.</p><p>And that, in turn, leads to the issue of why Huang has so many shares in the first place, and whether his compensation package incentivizes the performance shareholders want to see.</p><p>Investors want more intel on the business at the top. They want to see more transparent corporate governance, open succession planning, and a change in pay structure to motivate the next era of management, according to executive compensation experts who spoke to <em>Fortune.</em></p><h2 id=\"id_3273704826\">‘Huang selling shares doesn’t look good’</h2><p>Huang is selling his shares under a very specific plan—a Rule 10b5-1 agreement—which allows executives and employees to buy or sell stock in their own company without violating insider trading laws by using a predetermined schedule.</p><p>Rule 10b5-1 has a number of specific requirements, chief among them that a formula for the sales (not an individual) be used to determine the number, price, and date of the trade. A third party must also be employed to conduct the sales, who cannot be influenced by the client.</p><p>So while Huang is comfortably removed from any concerns about insider selling, the fact still remains that he is choosing to sell after a period of high share performance and then a dip.</p><p>This, according to Nell Minow, vice chair of corporate governance specialists ValueEdge Advisors, is not a good look.</p><p>Minow, who also owns shares in Nvidia herself, explained to <em>Fortune</em>: “What I want from an executive [is] to be very bullish on the stock. I want the executive to be thinking all the time: ‘Boy, this is really going to be worth a lot more soon’ and not, ‘Oof, I better sell some because I’m … experiencing the vertigo of having all my eggs in one basket.’</p><p>“I want all of their eggs in one basket.”</p><p>This year isn’t the first time Huang has employed a Rule 10b5-1—though it is a more tenacious selloff than previous trades.</p><p>In September last year, for example, Huang off-loaded 237,500 shares valued at just over $117 million under a 10b5-1 trading agreement. This year, by comparison, Huang sold $323 million in Nvidia stock in July alone.</p><p>Huang wasn’t the only Nvidia exec to confirm a Rule 10b5-1 trading agreement in the April filing. </p><p>Debora Shoquist, executive vice president of operations; Colette M. Kress, executive vice president and CFO; and Ajay K. Puri, executive vice president of worldwide field operations, disclosed similar plans.</p><p>“It signals that the stock has jumped tremendously and they’re getting a little nervous about it,” Minow believes. “It’s certainly concerning for investors; we ask ourselves: ‘Well, maybe I should be selling mine, too. What are they telling me? If they don’t have the confidence in the stock, then why should I?’”</p><p><em>Fortune</em> approached Nvidia for comment on how many shares in total Huang plans to off-load, and when his selloff will end. The company did not respond to the question.</p><p>Nvidia told <em>Fortune</em>: “Mr. Huang’s sales are based on a 10b5-1 plan, in which the price, amount, and dates of the sales are established in advance.”</p><h2 id=\"id_849267293\">Calming the ripple effect</h2><p>James Reda is a managing director at Chicago-based consultancy Gallagher’s HR and compensation practice. He has worked on a number of high-profile compensation cases, from Howard Schultz at Starbucks in the early 2000s to advising on Satya Nadella’s Microsoft package.</p><p>Why is Huang drip-feeding the sale of his stock, day after day, as opposed to off-loading larger sums all at once, we asked him.</p><p>“If you just dump that in the market the stock’s going to go down,” Reda told <em>Fortune</em>. “So you have to be very sensitive about it … If you have a large position that some of these founders and CEOs have, it could be a better strategy.</p><p>“I’ve seen a lot of cases where things are executed improperly and the stock tanks. Not because people think something’s going on, and all that stuff, but the excess supply. The market’s confused about what they do with it.”</p><p>The fact that Huang is selling on a near-daily basis as opposed to wider intervals is also not a surprise to Reda. The 10b5-1 plan is public, so markets will be aware of the stock influx and won’t be caught off guard.</p><p>And while some analysts like Minow want founders to be singularly focused on their own stock, Reda disagrees: “Ultimately, if you don’t sell the stock you’re gonna have to be like Elon Musk and some others that are putting stock up for collateral and getting these humongous loans.</p><p>“That just makes everybody more leveraged, why do that? Peel off a little stock on a regular basis and sell it.”</p><h2 id=\"id_318527430\">Too much stock?</h2><p>A look through the SEC filings of every Big Tech company presents a range of often complex compensation provisions. Meta’s Zuckerberg is famously paid a single dollar for his salary but takes $24.4 million in security costs. Apple’s Tim Cook has performance-based restricted stock units in a compensation package worth $49 million. Alphabet’s Sundar Pichai is given a triennial stock grant, which led to a $226 million payday in 2022.</p><p>The range of options also reveals a common practice in Silicon Valley: CEOs—particularly founders—are often continually awarded stock not only so they maintain a sense of power over a rapidly expanding empire, but also because it is a tried-and-tested method to motivate those at the top.</p><p>Nvidia’s 2024 proxy filing for fiscal year 2024 discloses that Huang was paid a salary of $996,514, with stock awards worth $26 million and additional incentivized cash compensation of $4 million. His total compensation package was worth approximately $34.17 million.</p><p>The filing also revealed Huang’s holdings in Nvidia prior to the stock sales beginning this spring, with the figure sitting at more than 93 million shares—3.79% of the business.</p><p>This is a sign that Huang has been given too much stock, Minow believes.</p><p>In her estimation, Huang’s shares should be locked in “golden handcuffs”—meaning he can’t sell until years after he leaves the business.</p><p>“Stop giving him stock. He’s clearly got too much, and that’s why he’s getting rid of it,” Minow said. “The marginal value of additional stock grants is negligible.”</p><p>Nvidia has a “pay for performance” strategy, per its SEC filing, based on revenue, operating income, and shareholder returns relative to the S&amp;P 500.</p><p>But Minow wants more detail. She said: “I would create very specific goals—and this is the job of the board—around market share, innovation, expansion, improving operations. Whatever the board decides the priorities should be.</p><p>“And let the market know what those goals are. That helps us as investors know if it’s something that we want to participate in.”</p><h2 id=\"id_4111673769\">The succession plan, or lack thereof</h2><p>The board itself presents further potential for improvement, in Minow’s opinion. Of the 12 individuals on the $2.93 trillion company’s board, only one cites experience in “corporate governance” in their official biography (although some of the others have served on other boards).</p><p>Minow also wants to see Nvidia ticking off the corporate to-do list by updating the market on a successor to the CEO. After all, CEOs can’t lead forever.</p><p>“His board of directors [is] very strong on technology, not as much on corporate governance,” Minow explains. “I would really like to see them say: ‘We have a process in place to make sure we’re cultivating our top people, making sure we have a deep bench; here’s how we’re going about it.’</p><p>“We don’t need a name, but they need to be very forthright about the value that Huang presents and that they’re taking very seriously the idea that he could just decide to go spend his money … They’ve got to be prepared for that.”</p><p>Huang, famed for his never-off work schedule and endless pushes for perfectionism, is the beating heart of Nvidia—and he has a price tag attached.</p><p>“Huang is the heart and soul of the company; his reputation is almost as important as the quality of the product,” Minow adds. “Particularly when you’re talking about the [15th] richest man in the world—how do you keep him motivated? It’s certainly not by allowing him to diversify his holdings.</p><p>“I would give him more of his compensation in cash tied to very specific, quantifiable goals.”</p><p><em>Fortune</em> asked Nvidia what its succession plan was and whether it would be more transparent with shareholders about compensation practices. At the time of writing, his net worth has ballooned to a little over $92 billion—and even then it’s down from its high of $119 billion earlier this summer.Nvidia CEO Jensen HuangWhile Huang has worked on Nvidia for more than three decades, it has only been over the past 12 months or so that the chipmaker’s stock price has really begun to take off, and with that comes scrutiny.Investors are largely thrilled with their bet on the Santa Clara, Calif., business, and the man Mark Zuckerberg dubbed the “Taylor Swift of tech.”But Nvidia’s meteoric growth has led some experts to question whether the company’s corporate governance has matured as quickly.They point to the fact that CEO Huang has been off-loading approximately $14 million worth of shares on a near-daily basis for months this summer. He still retains more than a 3.5% stake in the business.This, inevitably, raises questions about why Huang is selling instead of holding.And that, in turn, leads to the issue of why Huang has so many shares in the first place, and whether his compensation package incentivizes the performance shareholders want to see.Investors want more intel on the business at the top. They want to see more transparent corporate governance, open succession planning, and a change in pay structure to motivate the next era of management, according to executive compensation experts who spoke to Fortune.‘Huang selling shares doesn’t look good’Huang is selling his shares under a very specific plan—a Rule 10b5-1 agreement—which allows executives and employees to buy or sell stock in their own company without violating insider trading laws by using a predetermined schedule.Rule 10b5-1 has a number of specific requirements, chief among them that a formula for the sales (not an individual) be used to determine the number, price, and date of the trade. A third party must also be employed to conduct the sales, who cannot be influenced by the client.So while Huang is comfortably removed from any concerns about insider selling, the fact still remains that he is choosing to sell after a period of high share performance and then a dip.This, according to Nell Minow, vice chair of corporate governance specialists ValueEdge Advisors, is not a good look.Minow, who also owns shares in Nvidia herself, explained to Fortune: “What I want from an executive [is] to be very bullish on the stock. I want the executive to be thinking all the time: ‘Boy, this is really going to be worth a lot more soon’ and not, ‘Oof, I better sell some because I’m … experiencing the vertigo of having all my eggs in one basket.’“I want all of their eggs in one basket.”This year isn’t the first time Huang has employed a Rule 10b5-1—though it is a more tenacious selloff than previous trades.In September last year, for example, Huang off-loaded 237,500 shares valued at just over $117 million under a 10b5-1 trading agreement. This year, by comparison, Huang sold $323 million in Nvidia stock in July alone.Huang wasn’t the only Nvidia exec to confirm a Rule 10b5-1 trading agreement in the April filing. Debora Shoquist, executive vice president of operations; Colette M. Kress, executive vice president and CFO; and Ajay K. Puri, executive vice president of worldwide field operations, disclosed similar plans.“It signals that the stock has jumped tremendously and they’re getting a little nervous about it,” Minow believes. “It’s certainly concerning for investors; we ask ourselves: ‘Well, maybe I should be selling mine, too. What are they telling me? If they don’t have the confidence in the stock, then why should I?’”Fortune approached Nvidia for comment on how many shares in total Huang plans to off-load, and when his selloff will end. The company did not respond to the question.Nvidia told Fortune: “Mr. Huang’s sales are based on a 10b5-1 plan, in which the price, amount, and dates of the sales are established in advance.”Calming the ripple effectJames Reda is a managing director at Chicago-based consultancy Gallagher’s HR and compensation practice. He has worked on a number of high-profile compensation cases, from Howard Schultz at Starbucks in the early 2000s to advising on Satya Nadella’s Microsoft package.Why is Huang drip-feeding the sale of his stock, day after day, as opposed to off-loading larger sums all at once, we asked him.“If you just dump that in the market the stock’s going to go down,” Reda told Fortune. “So you have to be very sensitive about it … If you have a large position that some of these founders and CEOs have, it could be a better strategy.“I’ve seen a lot of cases where things are executed improperly and the stock tanks. Not because people think something’s going on, and all that stuff, but the excess supply. The market’s confused about what they do with it.”The fact that Huang is selling on a near-daily basis as opposed to wider intervals is also not a surprise to Reda. The 10b5-1 plan is public, so markets will be aware of the stock influx and won’t be caught off guard.And while some analysts like Minow want founders to be singularly focused on their own stock, Reda disagrees: “Ultimately, if you don’t sell the stock you’re gonna have to be like Elon Musk and some others that are putting stock up for collateral and getting these humongous loans.“That just makes everybody more leveraged, why do that? Peel off a little stock on a regular basis and sell it.”Too much stock?A look through the SEC filings of every Big Tech company presents a range of often complex compensation provisions. Meta’s Zuckerberg is famously paid a single dollar for his salary but takes $24.4 million in security costs. Apple’s Tim Cook has performance-based restricted stock units in a compensation package worth $49 million. Alphabet’s Sundar Pichai is given a triennial stock grant, which led to a $226 million payday in 2022.The range of options also reveals a common practice in Silicon Valley: CEOs—particularly founders—are often continually awarded stock not only so they maintain a sense of power over a rapidly expanding empire, but also because it is a tried-and-tested method to motivate those at the top.Nvidia’s 2024 proxy filing for fiscal year 2024 discloses that Huang was paid a salary of $996,514, with stock awards worth $26 million and additional incentivized cash compensation of $4 million. His total compensation package was worth approximately $34.17 million.The filing also revealed Huang’s holdings in Nvidia prior to the stock sales beginning this spring, with the figure sitting at more than 93 million shares—3.79% of the business.This is a sign that Huang has been given too much stock, Minow believes.In her estimation, Huang’s shares should be locked in “golden handcuffs”—meaning he can’t sell until years after he leaves the business.“Stop giving him stock. He’s clearly got too much, and that’s why he’s getting rid of it,” Minow said. “The marginal value of additional stock grants is negligible.”Nvidia has a “pay for performance” strategy, per its SEC filing, based on revenue, operating income, and shareholder returns relative to the S&P 500.But Minow wants more detail. She said: “I would create very specific goals—and this is the job of the board—around market share, innovation, expansion, improving operations. Whatever the board decides the priorities should be.“And let the market know what those goals are. That helps us as investors know if it’s something that we want to participate in.”The succession plan, or lack thereofThe board itself presents further potential for improvement, in Minow’s opinion. Of the 12 individuals on the $2.93 trillion company’s board, only one cites experience in “corporate governance” in their official biography (although some of the others have served on other boards).Minow also wants to see Nvidia ticking off the corporate to-do list by updating the market on a successor to the CEO. After all, CEOs can’t lead forever.“His board of directors [is] very strong on technology, not as much on corporate governance,” Minow explains. “I would really like to see them say: ‘We have a process in place to make sure we’re cultivating our top people, making sure we have a deep bench; here’s how we’re going about it.’“We don’t need a name, but they need to be very forthright about the value that Huang presents and that they’re taking very seriously the idea that he could just decide to go spend his money … They’ve got to be prepared for that.”Huang, famed for his never-off work schedule and endless pushes for perfectionism, is the beating heart of Nvidia—and he has a price tag attached.“Huang is the heart and soul of the company; his reputation is almost as important as the quality of the product,” Minow adds. “Particularly when you’re talking about the [15th] richest man in the world—how do you keep him motivated? It’s certainly not by allowing him to diversify his holdings.“I would give him more of his compensation in cash tied to very specific, quantifiable goals.”Fortune asked Nvidia what its succession plan was and whether it would be more transparent with shareholders about compensation practices.
