Moreover, the company is gradually bringing moviegoers back to cinemas in Europe.</p>\n<p>On the other hand, AMC CEOAdam Aron has admitted that the company&nbsp; nearly filed for bankruptcy five times during the Covid-19 pandemic.</p>\n<p>As the old expression goes, we’re not out of the woods yet. The recovery process from a once-in-a-generation black-swan event won’t be easy. And that leads us to another old expression: let the buyer beware.</p>\n<p><b>A Closer Look at AMC Stock</b></p>\n<p>AMC Entertainment reported its first-quarter fiscal data on May 6, and we’ll certainly dive into the details of that.</p>\n<p>First, though, I’d like to put a microscope to the market’s reaction to the earnings report.</p>\n<p>The following trading day, AMC stock jumped 5.67%, closing at $9.51. That’s a pretty clear signal from the market that it felt good about the company’s financial results.</p>\n<p>At the same time, investors should know that the company’s trailing 12-month earnings per share is -$15.60. That’s not great, especially for a stock trading today around $10..</p>\n<p>With that in mind, let’s rewind a bit. Back in mid-January, AMC stock was trading at around $2.</p>\n<p>Then the Reddit crowd pounced on it, and the share price quickly rocketed to a 52-week high of $20.36.</p>\n<p>Sensible minds advised caution at that time, but their warnings often fell upon deaf ears. By mid-February, the stock price had declined to $5 and change.</p>\n<p>Since that time, AMC stock has wiggled and wobbled in both directions. Clearly, this isn’t a stock that anyone should pour his or her life savings into. Small position sizes should be the rule, not the exception.</p>\n<p><b>Sorry, Not a Winner</b></p>\n<p>If you only look at the market’s reaction to AMC’s first-quarter data release, you might assume that it was a winning quarter in terms of earnings.</p>\n<p>However, that’s not the case. As it turns out, AMC reported a first-quarter loss of $567.2 million, which translates to $1.42 a share. Analysts, on average, were expecting the company to lose $1.31 per share.</p>\n<p>So, that was a “miss” for AMC. The quarterly revenues were also a “miss” as the company reported $148.3 million, versus the analysts’ average forecast of $156.3 million in revenues.</p>\n<p>To use percentages instead of dollar amounts, AMC’s first-quarter revenuesfell by a whopping 84.3%on a year-over-year basis. Furthermore, the company sustained an 88.8% decline in attendance due to the Covid-19 pandemic.</p>\n<p><b>Quoting Churchill?</b></p>\n<p>Under normal circumstances, the foregoing stats should induce a share-price decline. But then, we’d be hard-pressed to find evidence that these are “normal” circumstances.</p>\n<p>Possibly, the market reacted positively to Aron’s statement during the conference call that “our market share in the United States has soared, increasing by about 25% compared to prepandemic levels.”</p>\n<p>That’s impressive, but for me, the revenues are the top line and the earnings are the bottom line.</p>\n<p>It’s fine to see butts in seats, but an investor should want to see dollars in hand. Again, recall the -$15.60 per share trailing 12-month earnings I cited earlier.</p>\n<p>I don’t know about you, but I wasn’t too pleased with the CEO quoting Winston Churchill during the conference call:</p>\n<blockquote>\n “‘This is not the end. It not even the beginning of the end. But it is perhaps the end of the beginning.’… “Sir Winston won his titanic fight. I believe that AMC will win our war too.”\n</blockquote>\n<p>I won’t dare say that Aron is arrogant, or that he’s starting to lose his mind. The company has seen massive volatility extending to its options, which means across the options chain they have high prices. As we'll see throughout this article, this, combined by the decisions that can be made by the company since the collapse, means that GameStop offers some unique opportunities to park cash.</p><p><b>GameStop Debt</b></p><p>One of GameStop's largest risks before its share price rocketed was the company's debt load.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/f1daf2fd9e10580bfada44b2b18b5f53\" tg-width=\"640\" tg-height=\"197\" referrerpolicy=\"no-referrer\"><span>Source: GameStop Long-Term Debt - YCharts</span></p><p>GameStop's long-term issue has been its significant long-term debt. It was more than $800 million going into 2019 before decreasing to just over $360 million in early-2021. That's a significant amount of debt for a company with a market cap of roughly $250 million based on its 52-week low. That was the debt that led to the original shorting and threatened to crush the company.</p><p>However, the company has been able to address this debt with the new recovery in its share price. The company has&nbsp;recently announced a voluntary $216.4 million 10% senior notes. That's enough to cut the company's debt by 70% and save the company $10s of millions worth of annual interest expenditures.</p><p><b>GameStop Equity Offering</b></p><p>GameStop is earning the money to fund this with an equity offering. This isn't surprising, it's an announcement the company made on the back of its elevated share price. The company has filed&nbsp;to sell no more than 3.5 million shares for aggregate proceeds not more than $1 billion. The company currently&nbsp;has 70 million shares&nbsp;so this is ~5% dilution maximum.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/d5b81a0201e808416a2a9ab0baba3e8b\" tg-width=\"640\" tg-height=\"167\" referrerpolicy=\"no-referrer\"><span>Source: GameStop Outstanding Shares - YCharts</span></p><p>GameStop repurchased ~30% of its outstanding shares in late-2019. The growth in the company's share price since then is a great return for the company. At current share prices that dilution for the company will be sufficient for it to raise almost $550 million. That's a significant capital raise for minimum cost.</p><p>GameStop will be able to use that capital raise to paydown its entire debt and still have ~$200 million leftover. For reference, that means, after the company's capital raise, it'll have ~$3 / share leftover in cash. That's a significant and respectable cash position.</p><p><b>GameStop Business Restructure</b></p><p>At the same time, GameStop has been able to restructure and improve its business. The company has performed well, partially due to increased pressure from COVID-19, to&nbsp;see sales increase by 11% YoY.</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/87fabf0aeaeceb519eb3adb77e9ce8f7\" tg-width=\"640\" tg-height=\"364\" referrerpolicy=\"no-referrer\"><span>Source: GameStop Stabilize, Optimize, Transform - GameStop Investor Presentation</span></p><p>GameStop has stabilized since 2019 by closing 800 stores worldwide and they anticipate closing over 1000 by YE 2020. The company's Nordic country wind down was expected to provide a $15 million EBITDA contribution and the company reduced $440 million in SG&amp;A expenses, roughly 67% of which is expected to be permanent.</p><p>The company's improved liquidity and asset sales are expected to help its business along with long-term debt reductions and share repurchases. Given the company's share repurchases that average price is incredibly intelligent. The takeaway here is that GameStop has great growth potential and its done a great job of reorienting its business.</p><p><b>GameStop Option Trade and Cash</b></p><p>Of course the title of GameStop being a great place to park cash must have turned some heads. Here's the trade we recommend.</p><p>GameStop Jan. 20, 2023 cash secured PUT options, expiring in 21 months, are currently trading from $0.21-0.22/share. These options come with a $2 strike price and, at $0.22/share, have an 11% premium for 21 months. From an annualized perspective, that comes out to an annualized premium of 6.3%.</p><p>That's an incredible return on cash. However, as visible from the discussion above, the company will have more than $2/share in cash. That means the chance of bankruptcy, when adding the restructuring and future income potential, in our view, is nearly 0. Given the additional premium, that makes it a respectable place to park cash.</p><p><b>GameStop Risk</b></p><p>It's worth highlighting that there's significant risk worth paying attention to. In our view, the company has a near 0 chance of going bankrupt, supported by its new cash position after its equity raise. Given the only 5% equity raise, the company has significant room with equity raises supported if its share price remains strong.</p><p>We see the volatility in the company's share price as causing current option prices and we see current option prices as a great deal. If something were to happen during this time, causing the company to go bankrupt, you would lose your entire investment. This is a risk worth paying close attention to.</p><p><b>Conclusion</b></p><p>GameStop has focused on an impressive reorganization of its business. The company has closed numerous stores and improved its overall portfolio significantly and its used that cash to buy back shares and repay debt. At the same time, the rapid increase in the company's share price means it's been able to issue equity and pay off even more debt.</p><p>That has combined with the overall streamlining of the company's operations allowing it to improve its portfolio. Interested investors can get a more than 6% yield in a company that'll have a net cash position higher than the strike price. It was more than $800 million going into 2019 before decreasing to just over $360 million in early-2021. This isn't surprising, it's an announcement the company made on the back of its elevated share price. The company has filed to sell no more than 3.5 million shares for aggregate proceeds not more than $1 billion. The growth in the company's share price since then is a great return for the company. At current share prices that dilution for the company will be sufficient for it to raise almost $550 million. That's a significant capital raise for minimum cost.GameStop will be able to use that capital raise to paydown its entire debt and still have ~$200 million leftover. For reference, that means, after the company's capital raise, it'll have ~$3 / share leftover in cash. That's a significant and respectable cash position.GameStop Business RestructureAt the same time, GameStop has been able to restructure and improve its business. The takeaway here is that GameStop has great growth potential and its done a great job of reorienting its business.GameStop Option Trade and CashOf course the title of GameStop being a great place to park cash must have turned some heads. Here's the trade we recommend.GameStop Jan. 20, 2023 cash secured PUT options, expiring in 21 months, are currently trading from $0.21-0.22/share. These options come with a $2 strike price and, at $0.22/share, have an 11% premium for 21 months. From an annualized perspective, that comes out to an annualized premium of 6.3%.That's an incredible return on cash. However, as visible from the discussion above, the company will have more than $2/share in cash. That means the chance of bankruptcy, when adding the restructuring and future income potential, in our view, is nearly 0. Given the additional premium, that makes it a respectable place to park cash.GameStop RiskIt's worth highlighting that there's significant risk worth paying attention to. Moreover, the company is gradually bringing moviegoers back to cinemas in Europe.</p>\n<p>On the other hand, AMC CEOAdam Aron has admitted that the company&nbsp; nearly filed for bankruptcy five times during the Covid-19 pandemic.</p>\n<p>As the old expression goes, we’re not out of the woods yet. The recovery process from a once-in-a-generation black-swan event won’t be easy. And that leads us to another old expression: let the buyer beware.</p>\n<p><b>A Closer Look at AMC Stock</b></p>\n<p>AMC Entertainment reported its first-quarter fiscal data on May 6, and we’ll certainly dive into the details of that.</p>\n<p>First, though, I’d like to put a microscope to the market’s reaction to the earnings report.</p>\n<p>The following trading day, AMC stock jumped 5.67%, closing at $9.51. That’s a pretty clear signal from the market that it felt good about the company’s financial results.</p>\n<p>At the same time, investors should know that the company’s trailing 12-month earnings per share is -$15.60. That’s not great, especially for a stock trading today around $10..</p>\n<p>With that in mind, let’s rewind a bit. Back in mid-January, AMC stock was trading at around $2.</p>\n<p>Then the Reddit crowd pounced on it, and the share price quickly rocketed to a 52-week high of $20.36.</p>\n<p>Sensible minds advised caution at that time, but their warnings often fell upon deaf ears. By mid-February, the stock price had declined to $5 and change.</p>\n<p>Since that time, AMC stock has wiggled and wobbled in both directions. Clearly, this isn’t a stock that anyone should pour his or her life savings into. Small position sizes should be the rule, not the exception.</p>\n<p><b>Sorry, Not a Winner</b></p>\n<p>If you only look at the market’s reaction to AMC’s first-quarter data release, you might assume that it was a winning quarter in terms of earnings.</p>\n<p>However, that’s not the case. As it turns out, AMC reported a first-quarter loss of $567.2 million, which translates to $1.42 a share. Analysts, on average, were expecting the company to lose $1.31 per share.</p>\n<p>So, that was a “miss” for AMC. The quarterly revenues were also a “miss” as the company reported $148.3 million, versus the analysts’ average forecast of $156.3 million in revenues.</p>\n<p>To use percentages instead of dollar amounts, AMC’s first-quarter revenuesfell by a whopping 84.3%on a year-over-year basis. Furthermore, the company sustained an 88.8% decline in attendance due to the Covid-19 pandemic.</p>\n<p><b>Quoting Churchill?</b></p>\n<p>Under normal circumstances, the foregoing stats should induce a share-price decline. But then, we’d be hard-pressed to find evidence that these are “normal” circumstances.</p>\n<p>Possibly, the market reacted positively to Aron’s statement during the conference call that “our market share in the United States has soared, increasing by about 25% compared to prepandemic levels.”</p>\n<p>That’s impressive, but for me, the revenues are the top line and the earnings are the bottom line.</p>\n<p>It’s fine to see butts in seats, but an investor should want to see dollars in hand. Again, recall the -$15.60 per share trailing 12-month earnings I cited earlier.</p>\n<p>I don’t know about you, but I wasn’t too pleased with the CEO quoting Winston Churchill during the conference call:</p>\n<blockquote>\n “‘This is not the end. It not even the beginning of the end. But it is perhaps the end of the beginning.’… “Sir Winston won his titanic fight. I believe that AMC will win our war too.”\n</blockquote>\n<p>I won’t dare say that Aron is arrogant, or that he’s starting to lose his mind. Moreover, the company is gradually bringing moviegoers back to cinemas in Europe.\nOn the other hand, AMC CEOAdam Aron has admitted that the company  nearly filed for bankruptcy five times during the Covid-19 pandemic.\nAs the old expression goes, we’re not out of the woods yet. The recovery process from a once-in-a-generation black-swan event won’t be easy. And that leads us to another old expression: let the buyer beware.\nA Closer Look at AMC Stock\nAMC Entertainment reported its first-quarter fiscal data on May 6, and we’ll certainly dive into the details of that.\nFirst, though, I’d like to put a microscope to the market’s reaction to the earnings report.\nThe following trading day, AMC stock jumped 5.67%, closing at $9.51. That’s a pretty clear signal from the market that it felt good about the company’s financial results.\nAt the same time, investors should know that the company’s trailing 12-month earnings per share is -$15.60. That’s not great, especially for a stock trading today around $10..\nWith that in mind, let’s rewind a bit. Back in mid-January, AMC stock was trading at around $2.\nThen the Reddit crowd pounced on it, and the share price quickly rocketed to a 52-week high of $20.36.\nSensible minds advised caution at that time, but their warnings often fell upon deaf ears. By mid-February, the stock price had declined to $5 and change.\nSince that time, AMC stock has wiggled and wobbled in both directions. Clearly, this isn’t a stock that anyone should pour his or her life savings into. Small position sizes should be the rule, not the exception.\nSorry, Not a Winner\nIf you only look at the market’s reaction to AMC’s first-quarter data release, you might assume that it was a winning quarter in terms of earnings.\nHowever, that’s not the case. As it turns out, AMC reported a first-quarter loss of $567.2 million, which translates to $1.42 a share. Analysts, on average, were expecting the company to lose $1.31 per share.\nSo, that was a “miss” for AMC. The quarterly revenues were also a “miss” as the company reported $148.3 million, versus the analysts’ average forecast of $156.3 million in revenues.\nTo use percentages instead of dollar amounts, AMC’s first-quarter revenuesfell by a whopping 84.3%on a year-over-year basis. Furthermore, the company sustained an 88.8% decline in attendance due to the Covid-19 pandemic.\nQuoting Churchill?\nUnder normal circumstances, the foregoing stats should induce a share-price decline. But then, we’d be hard-pressed to find evidence that these are “normal” circumstances.\nPossibly, the market reacted positively to Aron’s statement during the conference call that “our market share in the United States has soared, increasing by about 25% compared to prepandemic levels.”\nThat’s impressive, but for me, the revenues are the top line and the earnings are the bottom line.\nIt’s fine to see butts in seats, but an investor should want to see dollars in hand. Again, recall the -$15.60 per share trailing 12-month earnings I cited earlier.\nI don’t know about you, but I wasn’t too pleased with the CEO quoting Winston Churchill during the conference call:\n\n “‘This is not the end. It not even the beginning of the end. But it is perhaps the end of the beginning.’… “Sir Winston won his titanic fight. I believe that AMC will win our war too.”\n\nI won’t dare say that Aron is arrogant, or that he’s starting to lose his mind. When confronted with these metrics, they dismiss them and instead resort to accusations of short interest. And maybe some of the dissenters are short-sellers, but I have never been long or short AMC stock.</p>\n<p>Here's the unfortunate truth: Fundamentals always matter. Maybe not today, maybe not tomorrow, but eventually the stock price will reflect that. And if AMC's financial picture doesn't improve, the stock price will eventually plunge. And management knows that.</p>\n<p>In fact, in a recently filed Form 8-K, management issued this warning to shareholders: \"Under the circumstances, we caution you against investing in our [stock], unless you are prepared to incur the risk of losing all or a substantial portion of your investment.\"</p>\n<h3>2. AMC stock is wildly overvalued</h3>\n<p>The pandemic hit AMC hard last year, forcing the company to shutter theaters around the world. Not surprisingly, that sparked sharp declines in attendance, sales, and profitability. YOY: Year-over-year.</p>\n<p>Oddly, as sales have plummeted, the share price has hit new highs, driving the price-to-sales (P/S) ratio to nonsensical levels. If AMC was competing in a high-growth industry, its present valuation might not be alarming. But it competes in a slow-growing sector of the entertainment industry. P/S multiples reflect data from the last day of each quarter.</p>\n<p>I'll end with this observation: Competition from streaming services has never been greater, and AMC's financial performance has never been weaker, so why is AMC stock valued more highly than ever before? At its current price, this is a dangerous investment.</p>\n<h3>3. AMC has a liquidity problem</h3>\n<p>Before the pandemic, AMC had $265 million in cash and $4.7 billion in debt on its balance sheet. It also had $4.9 billion in operating lease liabilities (i.e., rent).</p>\n<p>When the pandemic hit, the company deferred a portion of its rent, but still couldn't cover operating expenses and interest payments. So AMC issued more debt and new shares several times during 2020, effectively digging the hole deeper.</p>\n<p>As of March 31, 2021, AMC's balance sheet was insolvent&nbsp;-- even if the company sold every last asset, it still wouldn't have enough cash to cover its liabilities.</p>\n<p>Now, in order to meet its minimum liquidity requirements, attendance must reach 85% of pre-COVID levels by the fourth quarter of this year. If that doesn't happen, management said it would likely seek a \"restructuring of [its] liabilities.\" That's a fancy phrase that means shareholders would be completely wiped out.</p>\n<p>So let's ignore the red flags raised by AMC's valuation. Investors still need to ask this question: Can attendance reach 85% of pre-pandemic levels in that time frame? If you aren't certain the answer is yes, then it's time to sell this stock. Maybe not today, maybe not tomorrow, but eventually the stock price will reflect that. And if AMC's financial picture doesn't improve, the stock price will eventually plunge. And management knows that.\nIn fact, in a recently filed Form 8-K, management issued this warning to shareholders: \"Under the circumstances, we caution you against investing in our [stock], unless you are prepared to incur the risk of losing all or a substantial portion of your investment.\"\n2. AMC stock is wildly overvalued\nThe pandemic hit AMC hard last year, forcing the company to shutter theaters around the world. Not surprisingly, that sparked sharp declines in attendance, sales, and profitability. If AMC was competing in a high-growth industry, its present valuation might not be alarming. But it competes in a slow-growing sector of the entertainment industry. At its current price, this is a dangerous investment.\n3. AMC has a liquidity problem\nBefore the pandemic, AMC had $265 million in cash and $4.7 billion in debt on its balance sheet. It also had $4.9 billion in operating lease liabilities (i.e., rent).\nWhen the pandemic hit, the company deferred a portion of its rent, but still couldn't cover operating expenses and interest payments. So AMC issued more debt and new shares several times during 2020, effectively digging the hole deeper.\nAs of March 31, 2021, AMC's balance sheet was insolvent -- even if the company sold every last asset, it still wouldn't have enough cash to cover its liabilities.\nNow, in order to meet its minimum liquidity requirements, attendance must reach 85% of pre-COVID levels by the fourth quarter of this year. If that doesn't happen, management said it would likely seek a \"restructuring of [its] liabilities.\" That's a fancy phrase that means shareholders would be completely wiped out.\nSo let's ignore the red flags raised by AMC's valuation. Investors still need to ask this question: Can attendance reach 85% of pre-pandemic levels in that time frame? If you aren't certain the answer is yes, then it's time to sell this stock. Simultaneously, we saw an increasing shift towards home viewing, helped greatly by the emergence of streaming companies.</p>\n<p>And then Covid-19 hit the industry like a ton of bricks.</p>\n<p>Movie-theater chains<b>Arclight Cinemas</b>and<b>Pacific Theaters</b>have alreadyshuttered their doorspermanently. Others are massively restructuring their operations to survive this crisis.</p>\n<p>Hence, it’s understandable why Aron praised retail investors in his recent discussion — the subreddit r/WallStreetBets essentially bailed out the company, punishing short sellers in the process. But financial realities will eventually push the stock close to its 52-week low of $1.91 per share. I’m afraid the show’s over for AMC stock.</p>\n<p><b>Share Dilution Will Continue to Hurt AMC Stock</b></p>\n<p>AMC is paying the price of survival and it’s a steep one. At the end of 2019, AMC had nearly 104 million shares. As I write this, the movie-chain operator now has some 450 million shares. That’s about a 333% rise in a year.</p>\n<p>Now, I get it. AMC needs money to survive this pandemic and beyond. Movie theaters will need several business cycles to get back on their feet.</p>\n<p>True,about 25% of the U.S. populationhas been fully vaccinated as of today. However, it will take time for movie-ticket sales to return to pre-pandemic levels. In the meantime, AMC still needs money to survive.</p>\n<p>As such, on May 4, the company is set to host its annual meeting and ask stockholders to greenlight the issue of another 500 million new shares. Aron has said that AMC will not issue any new stock this year, an announcement that pushed shares up 9%.</p>\n<p>Nevertheless, the writing is on the wall. If you remain committed to AMC stock, dilution is something that you will have to bear for the foreseeable future.</p>\n<p><b>Fundamentals Have Been Sliding For a While</b></p>\n<p>Although the pandemic has devastated movie-theater chains, the slowdown in ticket sales is a secular trend, as we touched upon earlier. In fiscal 2019, the movie-theater chain reported a net loss of $13.5 million, compared to net income of $170.6 million in the year-before quarter. Bear in mind that these figures are from before the pandemic.</p>\n<p>On top of that, out of the last eight quarters,the company has reported an earnings beat just onceaccording to&nbsp;<i>CNBC</i>data. Meanwhile, operating costs are ballooning. As my colleague Vandita Jadejahighlighted in her recent AMC piece, despite the top-line falling by over 75%, operating costs did not fall by as much.</p>\n<p>This all leaves the company vulnerable to further dilution and expensive debt raises. It’s a clear red flag for AMC stock investors that are looking for management to take more of a proactive approach with this crisis.</p>\n<p><b>Evolution Has Just Passed You By</b></p>\n<p>Even if AMC survives this crisis — which by most measures it should — it still operates a largely outdated business model.</p>\n<p>Streaming is all the rage these days.<b>Netflix</b>(NASDAQ:<b><u>NFLX</u></b>),<b>Amazon</b>(NASDAQ:<b><u>AMZN</u></b>),<b>Disney</b>(NYSE:<b><u>DIS</u></b>) and<b>AT&amp;T</b>(NYSE:<b><u>T</u></b>) are firmly entrenched in the streaming wars, pouring billions into original content. As of Q4 2020, Netflix is in first place withover 200 million paid subscribersworldwide, but others are catching up as well and using some pretty innovative techniques.</p>\n<p>Late last year, Warner Bros. announced it woulddebut all of its 2021 movies in theaters and on HBO Max simultaneouslyin the United States. Meanwhile, Netflix is set to release a new movie every week in 2021.</p>\n<p>Against this backdrop, AMC and other movie-theater chains are left to fend for themselves as streaming companies compete for attention.</p>\n<p><img src=\"https://static.tigerbbs.com/72e23fe7ed32e5b689a35813204c6b0d\" tg-width=\"908\" tg-height=\"376\">And even if these announcements did not take place, the writing has been on the wall for a while. Its pretty evident when you pit AMC stock’s performance against the<b>S&amp;P 500</b>that the company has been fighting a losing battle.</p>\n<p><b>Final Words on AMC</b></p>\n<p>I get the feeling that AMC is on its greatest-hits tour. Yes, you might want to invest in AMC stock out of a sense of nostalgia. But in my opinion, the company’s best days are behind it.</p>\n<p>Looking ahead, 5G, artificial intelligence, data analytics and the Internet of Things (IoT) are some of the subjects you need to get behind instead.
