The failure of China to OK Intel’s purchase of Tower Semicon","content":"<html><head></head><body><p style=\"text-align: start;\">There was some curious trading in shares of VMware Tuesday as the stock declined but changed hands above the cash value of the Broadcom offer for the software company.</p><p style=\"text-align: start;\">Investors apparently are betting on the possibility that the stock election period for VMware investors that ended Monday could be extended. </p><p>The companies plan to close on the transaction on Oct. 30. That is complicated by possible antitrust problems in China that may delay the closing or possibly kill the deal.</p><p>The thinking on Wall Street is that the two companies could reopen the election period if the deal gets delayed much past Oct. 30 and allow investors a fresh crack at getting the more valuable stock consideration option in the deal.</p><p>VMW shares (ticker VMW) were off 3.6% at $150.25 Tuesday but finished above the $142.50-a-share value of the Broadcom (AVGO) offer. Broadcom was up 2.1% at $880.64.</p><p>Here is the complex backdrop. When Broadcom agreed to buy VMware in May 2022 for what is now a roughly $70 billion deal, it offered VMware holders the choice of stock (0.252 a share of Broadcom for each VMware share) or $142.50 in cash. </p><p>The value of the stock and cash offered was initially about equal but the stock portion became much more valuable with Broadcom stock up more than 60% since the deal was announced. </p><p>Broadcom capped the value of the stock portion of the deal at 50% of VMware shares and as a result, VMware recently investors figured that they would get roughly 50% cash and 50% stock as consideration for the deal.</p><p>With the deal scheduled to close on Oct. 30, the two companies last week announced an election deadline of Monday for VMware holders to choose whether they wanted stock or cash. </p><p>The companies have indicated that VMware shareholders who made no election would receive the “undersubscribed” consideration which likely is cash. </p><p>The stock election was worth about $217 per VMware share on Monday’s close (0.252 times $862), way above the cash option of $142.50. The blended value of the transaction (50% cash and 50% stock) was about $180 a share on Monday’s close.</p><p>Anyone who bought VMware Tuesday, however, would appear to get the cash option of the deal, or $142.50. </p><p>So why is VMware trading above that level? </p><p>While the two companies haven’t indicated any problems, the <em>Financial Times </em>reported last week that the Chinese State Administration of Market Regulation is likely to delay signing off on the deal and there will likely be additional consultations with Chinese government authorities. The <em>FT</em> cited people familiar with the matter.</p><p>Investors are concerned that the Broadcom/VMware deal could fall victim to deteriorating U.S./China relations. A VMware spokeswoman reiterated that intention to <em>Barron’s</em> Tuesday, and Broadcom media contacts didn’t respond to a request for comment from Barron’s.</p><p>One arbitrager told <em>Barron’</em>s that if “China is withholding approval for some indeterminate amount of time, it would be really unfair (and maybe impermissible) for the parties to stick with the original election ceadline.” </p><p>He notes that making an election means you actually submit shares to the exchange agent, and then can’t sell them. Another arb points out that it is rare for an election deadline to be extended. That is complicated by possible antitrust problems in China that may delay the closing or possibly kill the deal.</p><p>The thinking on Wall Street is that the two companies could reopen the election period if the deal gets delayed much past Oct. 30 and allow investors a fresh crack at getting the more valuable stock consideration option in the deal.</p><p>VMW shares (ticker VMW) were off 3.6% at $150.25 Tuesday but finished above the $142.50-a-share value of the Broadcom (AVGO) offer. Broadcom was up 2.1% at $880.64.</p><p>Here is the complex backdrop. When Broadcom agreed to buy VMware in May 2022 for what is now a roughly $70 billion deal, it offered VMware holders the choice of stock (0.252 a share of Broadcom for each VMware share) or $142.50 in cash. </p><p>The value of the stock and cash offered was initially about equal but the stock portion became much more valuable with Broadcom stock up more than 60% since the deal was announced. </p><p>Broadcom capped the value of the stock portion of the deal at 50% of VMware shares and as a result, VMware recently investors figured that they would get roughly 50% cash and 50% stock as consideration for the deal.</p><p>With the deal scheduled to close on Oct. 30, the two companies last week announced an election deadline of Monday for VMware holders to choose whether they wanted stock or cash. </p><p>The companies have indicated that VMware shareholders who made no election would receive the “undersubscribed” consideration which likely is cash. </p><p>The stock election was worth about $217 per VMware share on Monday’s close (0.252 times $862), way above the cash option of $142.50. The blended value of the transaction (50% cash and 50% stock) was about $180 a share on Monday’s close.</p><p>Anyone who bought VMware Tuesday, however, would appear to get the cash option of the deal, or $142.50. </p><p>So why is VMware trading above that level? </p><p>While the two companies haven’t indicated any problems, the <em>Financial Times </em>reported last week that the Chinese State Administration of Market Regulation is likely to delay signing off on the deal and there will likely be additional consultations with Chinese government authorities. The <em>FT</em> cited people familiar with the matter.</p><p>Investors are concerned that the Broadcom/VMware deal could fall victim to deteriorating U.S./China relations. The failure of China to OK Intel’s purchase of Tower Semiconductor this summer prompted Intel to walk away from the deal.</p><p>In announcing the election deadline last Wednesday, the companies said they expect to close as scheduled on the deal on Oct. 30. A VMware spokeswoman reiterated that intention to <em>Barron’s</em> Tuesday, and Broadcom media contacts didn’t respond to a request for comment from Barron’s.</p><p>One arbitrager told <em>Barron’</em>s that if “China is withholding approval for some indeterminate amount of time, it would be really unfair (and maybe impermissible) for the parties to stick with the original election ceadline.” </p><p>He notes that making an election means you actually submit shares to the exchange agent, and then can’t sell them. The few times I have tried to watch ad-supported programming on Disney <a href=\"https://laohu8.com/S/DIS\">$(DIS)$</a>-controlled Hulu, Alphabet Inc.&#39;s <a href=\"https://laohu8.com/S/GOOG\">$(GOOG)$</a> <a href=\"https://laohu8.com/S/GOOGL\">$(GOOGL)$</a>YouTube and Amazon.com Inc.&#39;s <a href=\"https://laohu8.com/S/AMZN\">$(AMZN)$</a> Freevee, the commercials were so frequent and annoying that I gave up watching.</p><p>Streaming services are now counting on being able to hold long-term subscribers hostage. Their children, for example, may hardly remember watching any sort of programming with advertising. Meanwhile, the companies have a fallback, as budget-conscious consumers will have to suffer through ads by playing into a growing revenue stream for Netflix and its peers -- or else they&#39;ll have to give up watching streaming services altogether.</p><p>Netflix said in its shareholder letter that its programming costs will be rising to about $17 billion next year, up from $13 billion in 2023, assuming the Hollywood actors strike is resolved. So Netflix needs to get more revenue from its customers to cover those ever-rising costs amid a competitive market.</p><p>But consumers can always walk away. That may actually happen -- if the costs of streaming becomes too ridiculous, these services will see more departures. This isn&#39;t what consumers signed up for, but if too many leave or cancel some of their services, the prices may still go up to make up for lost customers.</p><p>Netflix isn&#39;t the only streamer chasing dollar signs through pricing moves. Earlier this month, Walt Disney Co. <a href=\"https://laohu8.com/S/DIS.UK\">$(DIS.UK)$</a> raised prices on its ad-free tiers for Disney+ and Hulu, as it&#39;s been removing some content. Amazon is also raising the price of ad-free Prime Video beginning next year, when consumers will have to pay an additional $2.99 a month to avoid commercials.</p><p>Netflix shares jumped more than 12% in after-hours trading after Wednesday&#39;s earnings report, suggesting that Wall Street likes the company&#39;s recent subscriber momentum -- it smashed expectations by adding 8.76 million in the third quarter -- and its strategic direction on pricing. Investors like revenue uplifts, to be sure. Indeed, the next Federal Open Market Committee (FOMC) meeting is scheduled for July 25 and July 26. The implications of the meeting for the health of the stock market and the economy could be significant.</p><p style=\"text-align: start;\">Many are expecting the Fed to raise rates again after it opted to pause in June, ending a 10-month streak of consecutive rate hikes. However, the decision remains a point of controversy among economists. Some believe the concern of an eventual “credit event” coming in the wake of the regional banking crisis earlier this year merits additional hesitance.</p><p style=\"text-align: start;\">That said, the CME FedWatch Tool, which tracks the implied probability of changes to the Federal Funds rate as determined by 30-day Fed Funds futures pricing data, is pricing in a 99.8% chance of a 25 basis-point rate increase in July. Indeed, the next Federal Open Market Committee (FOMC) meeting is scheduled for July 25 and July 26. The implications of the meeting for the health of the stock market and the economy could be significant.Many are expecting the Fed to raise rates again after it opted to pause in June, ending a 10-month streak of consecutive rate hikes. However, the decision remains a point of controversy among economists. Some believe the concern of an eventual “credit event” coming in the wake of the regional banking crisis earlier this year merits additional hesitance.That said, the CME FedWatch Tool, which tracks the implied probability of changes to the Federal Funds rate as determined by 30-day Fed Funds futures pricing data, is pricing in a 99.8% chance of a 25 basis-point rate increase in July. This would put the benchmark rate in the range of 5.25-5.5%, the highest level in nearly 22 years.The Fed has long maintained its monetary policy decisions are data-dependent. This time around the data says that the Fed is already succeeding at its job. In fact, the June Consumer Price Index (CPI) showed easing annual inflation of just 3%. That’s well below May’s 4% level and just a third of the peak of 9.1% recorded in June 2022.“The cooler print across the board underscores that inflation is edging lower, but the core remains ‘sticky,’ although also cooling but not fast enough for the Fed to declare victory,” said Quincy Krosby, chief global strategist for LPL Financial. “The July 26 meeting will still see a rate hike, but unless core inflation comes down at a faster pace, July 26 won’t be a one and done.”Stock Market Crash Concerns Loom LargeDespite the Fed’s success thus far, the central bank’s 2% inflation goal remains a point of controversy. The doves believe the Fed has already raised rates enough to sufficiently lower prices, hopefully without incurring an economic recession. But Tesla is soundly out-earning other EV companies, and with the exception of China’s BYD, no automaker is anywhere close to producing as many electric cars.</p><p>“Tesla has higher margins than other OEMs including GM and Ford, and cushion to lower prices even further,” John Murphy, a Bank of America analyst with the equivalent of a hold rating on the EV maker’s stock, said Tuesday. “Most OEMS are currently losing money on EVs, and these price cuts are likely to make business even more difficult, just as they are attempting to ramp production of EV offerings. OEMs will have to reevaluate investments and whether they generate sufficient returns should EV pricing prove less favorable.”</p><p>Tesla almost went bankrupt during the great recession that was getting underway roughly 15 years ago. The company then grew in part thanks to a long period of low interest rates, easy access to capital and little competition.</p><p>That’s all changed. The Federal Reserve’s rate increases have raised borrowing costs, and Tesla is no longer the only game in town. BYD is surging in China, Volkswagen is fighting to protect its turf in Europe, and Ford and General Motors doing the same in the US.</p><p>Musk is determined to position Tesla for continued expansion after the company fell short of its target for growth in vehicle deliveries last year. Cutting the prices of the Model 3 and Y will make more of those models eligible for new US tax credits introduced by the Inflation Reduction Act.</p><p>During a Twitter Spaces conversation last month, Musk predicted a serious recession this year and warned consumers will cut back on big-ticket purchases. He called higher interest rates and lower demand a “double-whammy,” and said Tesla faced a choice.</p><p>“Do you want to grow unit volume, in which case you have to adjust prices downward?
