AT&T is set to receive $43 billion in a combination of cash, debt securities and WarnerMedia's retention of certain debt, according to the press release announcing the deal.</p><p>Discovery President and CEO David Zaslav is set to lead the newly combined company following the close of the transaction, which is expected to take place in mid-2022. The combined company is targeting an annual $52 billion in sales and $14 billion in adjusted EBITDA (earnings before, interest taxes depreciation).</p><p>As for the legacy of AT&T's media foray, Moffett is clear-headed on it.</p><p>\"It is rare that you see a management team and a board actually acknowledge so clearly that they made a terrible mistake and that they're willing to undo it. So I actually give them some credit for it. Now it's not to say it doesn't leave behind a tremendous amount of wreckage, right? I mean they spent $175 billion for these assets and then three years later, they are unwinding those positions for what is kind of in theory, i guess, about $80 billion or so. The bill recently passed in the House of Representatives for the third time.\nIt has eight Republican co-sponsors in the Senate, and Balsky said she believes it has enough bipartisan support to pass. The unique technologyfinds metabolomicsbiomarkers of hard-to-detect cancers of the lung, brain, ovarian and pancreas.</p>\n<p>BioMark is pivoting into commercialization after many years in the research and development phase. On Feb. 16, the company announced it will collaborate with Phytronix Technologies Inc “to advance the development of BioMark’s early lung cancer screening applications using Phytronix-proprietary Laser Diode Thermal Desorption (LDTD) technology,” BioMark said in a press release.</p>\n<p>The collaboration will also support BioMark in setting up clinical lab services in Quebec. BioMark plans to demonstrate its technology later in 2021.</p>\n<p>BioMark’s market cap is $28.67 million and its shares are at 41 cents, up 13.17% on Tuesday morning.</p>\n<p><b>Biocept Inc</b>BIOC 0.17%is another company focusing on early cancer detection through blood-based liquid biopsy. Driving value from the now WarnerMedia portfolio will soon fall to a new partner, however.</p><p>AT&T said Monday it will spin off its media division WarnerMedia and merge it with Discovery. The move joins household name media brands such as WarnerMedia's HBO and CNN with Discovery's HGTV, Animal Planet, Food Network, and TLC under <a href=\"https://laohu8.com/S/AONE.U\">one</a> house.</p><p>\"John [CEO John Stankey] road shotgun on both of the big deals they have now unwound in the last few months [Time Warner and DirectTV]. He was very much a driver of the DirectTV deal and very much a driver of the Time Warner deal,\" explained MoffettNathanson media analyst Craig Moffett on Yahoo Finance Live.</p><p>Stankey assumed the CEO position in June 2020. Before that he worked closely with then AT&T CEO Randall Stephenson as president and COO and supporter of the splashy acquisitions of DirectTV and Time Warner. Proceeds from the deal for AT&T will go towards paying down a considerable debt-load of more than $160 billion, which will help as the soon to be pure-play telecom giant builds out its 5G network. AT&T is set to receive $43 billion in a combination of cash, debt securities and WarnerMedia's retention of certain debt, according to the press release announcing the deal.</p><p>Discovery President and CEO David Zaslav is set to lead the newly combined company following the close of the transaction, which is expected to take place in mid-2022. The combined company is targeting an annual $52 billion in sales and $14 billion in adjusted EBITDA (earnings before, interest taxes depreciation).</p><p>As for the legacy of AT&T's media foray, Moffett is clear-headed on it.</p><p>\"It is rare that you see a management team and a board actually acknowledge so clearly that they made a terrible mistake and that they're willing to undo it. So I actually give them some credit for it. Now it's not to say it doesn't leave behind a tremendous amount of wreckage, right? I mean they spent $175 billion for these assets and then three years later, they are unwinding those positions for what is kind of in theory, i guess, about $80 billion or so. So they destroyed a ton of value, but not many companies are willing to admit they made a mistake right away,\" Moffett said.</p><p>A very costly mistake. The bill recently passed in the House of Representatives for the third time.</p>\n<p>It has eight Republican co-sponsors in the Senate, and Balsky said she believes it has enough bipartisan support to pass. At this point, Balsky said the biggest question for the SAFE Act is just how long Democrat and Senate Majority Leader Chuck Schumer will wait to put the SAFE Act to a vote. She predicts the SAFE Act will be put to a vote by late 2021 or early 2022.</p>\n<p>In the meantime, House Republicans David Joyce and Don Young recently introduced legislation to remove cannabis from the federal Controlled Substances Act. Ballsy said the Republican-sponsored legalization bill is unlikely to pass at this point, but it is an important symbol that legalization is becoming a bipartisan issue.</p>\n<p><b>BWS Bill Dead In The Water?</b>At the same time, Democrats have their own Booker-Widen-Schumer legalization bill that will likely be introduced to the Senate before June. Balsky said investors should be prepared for volatility in cannabis stocks if the bill is voted down, which appears likely at this point.</p>\n<p>“Based on commentary from the senators regarding the bill’s inclusion of social justice and equity reforms, which are controversial among Republicans and some moderate Democrats, we are concerned it will not be able to get the 60 votes to pass the Senate,” Balsky said.</p>\n<p>She said the BWS bill will likely need to “run its course” in the Senate before the SAFE Act gets a vote.</p>\n<p><b>Benzinga’s Take:</b>Cannabis stock investors shouldn’t be too disappointed if the BWS cannabis bill gets voted down in the Senate given that Balsky’s commentary suggests the bill contains some controversial left-wing provisions that may not appeal even to some moderate Democrats. The bill recently passed in the House of Representatives for the third time.\nIt has eight Republican co-sponsors in the Senate, and Balsky said she believes it has enough bipartisan support to pass. At this point, Balsky said the biggest question for the SAFE Act is just how long Democrat and Senate Majority Leader Chuck Schumer will wait to put the SAFE Act to a vote. She predicts the SAFE Act will be put to a vote by late 2021 or early 2022.\nIn the meantime, House Republicans David Joyce and Don Young recently introduced legislation to remove cannabis from the federal Controlled Substances Act. Ballsy said the Republican-sponsored legalization bill is unlikely to pass at this point, but it is an important symbol that legalization is becoming a bipartisan issue.\nBWS Bill Dead In The Water?At the same time, Democrats have their own Booker-Widen-Schumer legalization bill that will likely be introduced to the Senate before June.
