This method means it won’t raise any new money, similar to approaches used by Palantir Technologies,Slack Technologies and Spotify Technology in recent years.
\n
Here’s what to know about the popular trading platform ahead of its public offering.
\n
What is Coinbase?
\n
The Silicon Valley crypto exchange was co-founded in 2012 by Brian Armstrong, 38, who runs the platform chief executive. Fred Ehrsam, a Coinbase director, also helped to create the company.
\n
There are two class of Coinbase shares. Armstrong owns 11% of the Class A shares and 22% of the Class B shares, while Ehrsam owns 11.4% of the Class A and 9% of the Class B.
\n
According to Forbes, Armstrong’s networth is currently $6.5 billion based on his ownership in the company, which is likely to increase if the direct listing goes off successfully.
\n
Coinbase bills itself as a bet on the rapidly growing cryptoeconomy, which starts with the No. 1 crypto asset bitcoin but goes well beyond that, Armstrong and company argue.
\n
COINBASE S-1
\n
Bitcoin prices have gained attention as it has soared to repeated records, most recently touching a recent peak above $58,000 over the weekend before beginning to give up some gains in recent trade.
\n
Last week, bitcoin hit a market value of $1 trillion and even though the asset created by a person or persons known as Satoshi Nakamoto represents about 70% of the total crypto market, there are still a number of other popular crypto assets trading on Coinbase, including ether on Ethereum’s blockchain, Bitcoin Cash and Litecoin,to name a few.
\n
Who else owns Coinbase?
\n
Venture-capital firm Andreessen Horowitz, is the largest owner of Coinbase, boasting about 25% of Class A shares and14% of Class B. And Marc Andreessen, head of the venture capital outfit, sits on Coinbase’s board.
\n
Coinbase has an ambitions echo those of Robinhood Markets
\n
“Coinbase is company with an ambitious vision: to create more economic freedom for every person and business,” Armstrong wrote in a letter appended to the company’s public-filing paperwork with the SEC.
\n
Biggest risk factor
\n
No doubt the biggest risk factor in Coinbase is that it is a bet on an unproven asset class that was created just over a decade ago. Coinbase attempts to make it clear that its fate is linked to the prospects for Bitcoin and ethereum and the thousands of other alternative coins that have been written into existence.
\n
But a decline in interest and tough regulations in the U.S. and elsewhere could wallop the exchange platform.
\n
Here’s now Coinbase explains it:
\n
“There is no assurance that any supported crypto asset will maintain its value or that there will be meaningful levels of trading activities. In the event that the price of crypto assets or the demand for trading crypto assets decline, our business, operating results, and financial condition would be adversely affected. A majority of our net revenue is from transactions in Bitcoin and ethereum. If demand for these crypto assets declines and is not replaced by new demand for crypto assets, our business, operating results, and financial condition could be adversely affected,” Coinbase writes in its S-1 filing.
\n
How large is Coinbase?
\n
The crypto exchange platform ranks No. 3 among the largest digital asset exchanges in the world, according to data site CoinMarketCap.com. That ranking puts it behind Binance, based in Seattle and Huobi Global, a Seychelles-based cryptocurrency exchange that was founded in China.
\n
COINMARKETCAP.COM
\n
In the U.S. Coinbase is by far the most well-known crypto platform but there are competitors, including Gemini, run by Tyler and Cameron Winklevoss, who famously used their Facebook Inc. settlements to invest in bitcoins.
\n
Kraken is another popular crypto platform and direct competitor in the U.S.
\n
Odds & Ends
\n
The company in its public filing offered a number of homages to the founder or founders of bitcoin and the digital currency age in its submission.
\n
For example, it listed the genesis block associated with Satoshi Nakamoto at “1A1zP1eP5QGefi2DMPTfTL5SLmv7DivfNa,” whose white paper back in 2008 set bitcoin in motion. This method means it won’t raise any new money, similar to approaches used by Palantir Technologies,Slack Technologies and Spotify Technology in recent years.\nHere’s what to know about the popular trading platform ahead of its public offering.\nWhat is Coinbase?\nThe Silicon Valley crypto exchange was co-founded in 2012 by Brian Armstrong, 38, who runs the platform chief executive. Fred Ehrsam, a Coinbase director, also helped to create the company.\nThere are two class of Coinbase shares. Armstrong owns 11% of the Class A shares and 22% of the Class B shares, while Ehrsam owns 11.4% of the Class A and 9% of the Class B.\nAccording to Forbes, Armstrong’s networth is currently $6.5 billion based on his ownership in the company, which is likely to increase if the direct listing goes off successfully.\nCoinbase bills itself as a bet on the rapidly growing cryptoeconomy, which starts with the No. 1 crypto asset bitcoin but goes well beyond that, Armstrong and company argue.\nCOINBASE S-1\nBitcoin prices have gained attention as it has soared to repeated records, most recently touching a recent peak above $58,000 over the weekend before beginning to give up some gains in recent trade.\nLast week, bitcoin hit a market value of $1 trillion and even though the asset created by a person or persons known as Satoshi Nakamoto represents about 70% of the total crypto market, there are still a number of other popular crypto assets trading on Coinbase, including ether on Ethereum’s blockchain, Bitcoin Cash and Litecoin,to name a few.\nWho else owns Coinbase?\nVenture-capital firm Andreessen Horowitz, is the largest owner of Coinbase, boasting about 25% of Class A shares and14% of Class B. And Marc Andreessen, head of the venture capital outfit, sits on Coinbase’s board.\nCoinbase has an ambitions echo those of Robinhood Markets\n“Coinbase is company with an ambitious vision: to create more economic freedom for every person and business,” Armstrong wrote in a letter appended to the company’s public-filing paperwork with the SEC.\nBiggest risk factor\nNo doubt the biggest risk factor in Coinbase is that it is a bet on an unproven asset class that was created just over a decade ago. Coinbase attempts to make it clear that its fate is linked to the prospects for Bitcoin and ethereum and the thousands of other alternative coins that have been written into existence.\nBut a decline in interest and tough regulations in the U.S. and elsewhere could wallop the exchange platform.\nHere’s now Coinbase explains it:\n“There is no assurance that any supported crypto asset will maintain its value or that there will be meaningful levels of trading activities. In the event that the price of crypto assets or the demand for trading crypto assets decline, our business, operating results, and financial condition would be adversely affected. A majority of our net revenue is from transactions in Bitcoin and ethereum. If demand for these crypto assets declines and is not replaced by new demand for crypto assets, our business, operating results, and financial condition could be adversely affected,” Coinbase writes in its S-1 filing.\nHow large is Coinbase?\nThe crypto exchange platform ranks No. 3 among the largest digital asset exchanges in the world, according to data site CoinMarketCap.com. That ranking puts it behind Binance, based in Seattle and Huobi Global, a Seychelles-based cryptocurrency exchange that was founded in China.\nCOINMARKETCAP.COM\nIn the U.S. Coinbase is by far the most well-known crypto platform but there are competitors, including Gemini, run by Tyler and Cameron Winklevoss, who famously used their Facebook Inc. settlements to invest in bitcoins.\nKraken is another popular crypto platform and direct competitor in the U.S.\nOdds & Ends\nThe company in its public filing offered a number of homages to the founder or founders of bitcoin and the digital currency age in its submission.\nFor example, it listed the genesis block associated with Satoshi Nakamoto at “1A1zP1eP5QGefi2DMPTfTL5SLmv7DivfNa,” whose white paper back in 2008 set bitcoin in motion. (Additionally, a “Satoshi” is the smallest unit of bitcoin—0.00000001 BTC).\nThe company offers no physical address for its headquarters in California, citing the COVID-19 pandemic, which has forced a number of companies to have most, if not all, of its staffers work remotely. For that reason, Coinbase refers to itself as “a remote-first company.”\nHowever, having no address to some was viewed as aligning with the decentralized nature of blockchain and bitcoins.\nThe company also offered a handy primer on cryptocurrency terms, including defining terms like “hodl,” which have become popular in crypto circles. Hodl was accidentally coined in a 2013 Reddit and means long-term holder of an investment.\nSEC\nArmstrong crypto charity\nBack in 2018, Armstrong kicked off GiveCrypto.org, which makes direct cash transfers to people living in poverty.\n“People who invested early in crypto have amassed an enormous amount of wealth in a relatively short amount of time. Yet the reputation of the crypto community has been dominated by images of ‘bros in Lambos,’ whose antics get a lot of attention,”wrote Armstrong in a separate blog post on Mediumin 2018.\nArmstrong has reportedly donated at least $1 million to GiveCrypto.","news_type":1},"isVote":1,"tweetType":1,"viewCount":191,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":382279100,"gmtCreate":1613459009000,"gmtModify":1704880676940,"author":{"id":"3567668858240635","authorId":"3567668858240635","name":"chunyangtoh","avatar":"https://static.tigerbbs.com/b2ddf7577dcc18a4754ac4fc71559035","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3567668858240635","authorIdStr":"3567668858240635"},"themes":[],"htmlText":"Ok","listText":"Ok","text":"Ok","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":3,"commentSize":3,"repostSize":0,"link":"https://ttm.financial/post/382279100","repostId":"1121326703","repostType":4,"isVote":1,"tweetType":1,"viewCount":472,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":382270777,"gmtCreate":1613458983099,"gmtModify":1704880676132,"author":{"id":"3567668858240635","authorId":"3567668858240635","name":"chunyangtoh","avatar":"https://static.tigerbbs.com/b2ddf7577dcc18a4754ac4fc71559035","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3567668858240635","authorIdStr":"3567668858240635"},"themes":[],"htmlText":"Ok","listText":"Ok","text":"Ok","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":3,"commentSize":1,"repostSize":0,"link":"https://ttm.financial/post/382270777","repostId":"1167258069","repostType":4,"repost":{"id":"1167258069","weMediaInfo":{"introduction":"Reuters.com brings you the latest news from around the world, covering breaking news in markets, business, politics, entertainment and technology","home_visible":1,"media_name":"Reuters","id":"1036604489","head_image":"https://static.tigerbbs.com/443ce19704621c837795676028cec868"},"pubTimestamp":1613458068,"share":"https://ttm.financial/m/news/1167258069?lang=&edition=fundamental","pubTime":"2021-02-16 14:47","market":"us","language":"en","title":"Factbox: The stocks of the Reddit-fueled trading frenzy","url":"https://stock-news.laohu8.com/highlight/detail?id=1167258069","media":"Reuters","summary":"Executives from Robinhood, Melvin Capital and Citadel Securities are due to testify before the U.S. ","content":"
Executives from Robinhood, Melvin Capital and Citadel Securities are due to testify before the U.S. House of Representatives Financial Services Committee next week following a trading frenzy that sparked wild gyrations in the shares of GameStop and other “meme stocks.”
\n
The committee is examining how an apparent flood of retail trading drove certain stocks to extreme highs, squeezing hedge funds like Melvin that had bet against those shares.
\n
Here are some of the stocks involved in the initial frenzy and how they have fared since, as of Friday’s close:
\n
Shares of GameStop - which had been heavily touted on Reddit’s WallStreetBets - rose by as much as 2,460% on the year to a high of $482.25 in January, as some institutions that had bet on declines in the stock were forced to unwind their positions amid a flood of buying. And for Baidu, it marks a further effort to diversify its business well beyond advertising.\nBaidu’s Nasdaq-traded shares jumped more than 3.5% after hours. They climbed 6.67% on Tuesday.\nBaidu’s chip company would be a subsidiary, with the search giant likely to be the majority shareholder, the person said. Venture capital firms GGV and IDG Capital are involved in early stage discussions to invest in Baidu’s chip firm, the source added. Both firms have extensive investments in China.\nBaidu declined to comment when contacted by CNBC. IDG Capital was not immediately available for comment.Calls to GGV’s offices in Singapore, Shanghai and Beijing went unanswered.\nCurrently, Baidu has an in-house chip unit that has helped to develop its Kunlun semiconductors, designed to process huge amounts of data for artificial intelligence applications. But a standalone chip company is seen helping Baidu to better commercialize its technology, the source said.\nThe semiconductor business would aim to sell chips to customers in several industries including automakers, which are currently facing a global chip shortage.\nA standalone chip maker could also tie into other parts of Baidu’s businesses, such as its driverless car software.\nDiversification flurry\nBaidu’s move is part of push by the company to diversify its broader business — an effort which since September alone has seen the Chinese technology giant raise money for a biotech firm and a standalone electric vehicle company.\nAdvertising accounts for most of Baidu’s revenue currently, but other operations are contributing a growing percentage of sales. Ad-related revenue, which the company refers to in its earnings statements as online marketing services, accounted for around 80% of total revenue in 2018. That proportion fell to 71% in the third quarter of 2020, the most recent published results.\nBaidu’s semiconductor focus comes as the Chinese government tries to boost domestic independence around that critical technology — a trend that has accelerated during China’s trade war with the United States.\nChinese internet giant Tencent, the owner of messaging app WeChat, recently invested in an AI chip start-up.\nIn 2019, e-commerce company Alibaba launched its first chip to power artificial intelligence processes.","news_type":1},"isVote":1,"tweetType":1,"viewCount":289,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0}],"hots":[{"id":382279100,"gmtCreate":1613459009000,"gmtModify":1704880676940,"author":{"id":"3567668858240635","authorId":"3567668858240635","name":"chunyangtoh","avatar":"https://static.tigerbbs.com/b2ddf7577dcc18a4754ac4fc71559035","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3567668858240635","authorIdStr":"3567668858240635"},"themes":[],"htmlText":"Ok","listText":"Ok","text":"Ok","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":3,"commentSize":3,"repostSize":0,"link":"https://ttm.financial/post/382279100","repostId":"1121326703","repostType":4,"repost":{"id":"1121326703","pubTimestamp":1613456527,"share":"https://ttm.financial/m/news/1121326703?lang=&edition=fundamental","pubTime":"2021-02-16 14:22","market":"us","language":"en","title":"The stock market rightly sees an economic rebound — but is overlooking these worrisome details","url":"https://stock-news.laohu8.com/highlight/detail?id=1121326703","media":"MarketWatch","summary":"Watch this measure of the long-term unemployed\nThe hottest question in Washington these days is how ","content":"
Watch this measure of the long-term unemployed
\n
The hottest question in Washington these days is how much more America should spend on recovery, and it’s a classic data Rorschach test. Some stare at the falling unemployment numbers and see an economy well on its way to normal. Others worry they’re not falling fast enough and fear that lingering scars will hurt long-term growth.
\n
In fact, both groups may be right. The near-term recovery looks quite strong, especially if another stimulus package extends enhanced unemployment benefits into the fall. And the stock market certainly senses that a glorious summer is coming into view.
\n
But as companies take advantage of the shock to introduce cost-saving technologies and as consumers emerge from lockdowns with new habits, the same old jobs won’t all be there to fill. Unemployment should drift lower from the current 6.3% rate, but it’s going to be tough going because the details in the labor data show something far more worrying.
\n
Specifically, the long-term unemployment rate, which counts those Americans who have been out of work for more than 27 weeks, continues to rise in absolute terms and as a percentage of the overall unemployed. The labor participation rate has also taken a sharp spike lower, after just starting to recover following the global financial crisis.
\n

\n
Many of these lost jobs may indeed re-appear when all those people head back to the mall. That growing belief is reflected in theproliferation, valuations, andperformanceof electric and hydrogen-powered vehicle stocks.

As of Tuesday, investors have another stock that is part of that story to follow and evaluate. Hydrogen fuel cell makerHyzon Motorshas agreed to merge withDecarbonization Plus Acquisition(ticker: DCRB), a special purpose acquisition company, or SPAC. The companies expect to close the transaction in the second quarter, when Hyzon will take over the SPAC’s Nasdaq listing under a to-be-determined ticker symbol.

As written, the deal values Hyzon at roughly $2.7 billion including proceeds. But rumors of the coming agreementleaked last week, sending Decarbonization stock higher than the $10 per share that valuation is based on. Shares closed at $17.76 Monday, implying about $4.8 billion for the merged entity.

It’s an attractive early valuation for a new hydrogen-technology stock.Nikola(NKLA), which became publicly traded via a SPAC merger in 2020, is currently valued at about $9 billion. Fuel cell technology companyPlug Power(PLUG) has a market capitalization of about $32 billion.

Hyzon’s business model is closer to Plug’s than Nikola’s.Nikola plansto manufacture and assemble Nikola-branded hydrogen fuel-cell powered trucks, plus it also wants to build and operate hydrogen filling stations for its customers. Plug focuses more on hydrogen fuel-cell technology and integrating its technology into multiple transportation applications.

Like Plug, Hyzon isn’t interested in building its own trucks from the ground up. The company has developed what it believes is leading hydrogen fuel-cell technology for heavy duty transportation applications. It wants to supply that powertrain to truck-makers and fleet owners to put in whatever truck or bus body they want. Hyzon wants to be like theCummins(CMI) of hydrogen.

“The core value proposition in the vehicle is actually all about the fuel cell,” Hyzon’s CEO and co-founder Craig Knight tellsBarron’s. “Historically a diesel truck has been defined by the quality and performance of its engine, and we don’t think that changes as we [move to hydrogen-powered trucks.]”

Hyzon’s fuel cell tech comes from its parent company, Asia-basedHorizon, which has been developing fuel cells for stationary and mobile power applications for two decades. Horizon will still own about 50% of the outstanding shares of Hyzon when the merger is complete.

Commercial hydrogen and electrification stocks are on fire. Several tracked byBarron’s, includingWorkhorse(WKHS) andBallard Power Systems(BLDP) are up about 68% year to date on average after rising roughly 440% in 2020. Fuel cell technology companyPlug Power(PLUG) has a market capitalization of about $32 billion.Hyzon’s business model is closer to Plug’s than Nikola’s.Nikola plansto manufacture and assemble Nikola-branded hydrogen fuel-cell powered trucks, plus it also wants to build and operate hydrogen filling stations for its customers. Plug focuses more on hydrogen fuel-cell technology and integrating its technology into multiple transportation applications.Like Plug, Hyzon isn’t interested in building its own trucks from the ground up. The company has developed what it believes is leading hydrogen fuel-cell technology for heavy duty transportation applications. It wants to supply that powertrain to truck-makers and fleet owners to put in whatever truck or bus body they want. Hyzon wants to be like theCummins(CMI) of hydrogen.“The core value proposition in the vehicle is actually all about the fuel cell,” Hyzon’s CEO and co-founder Craig Knight tellsBarron’s. “Historically a diesel truck has been defined by the quality and performance of its engine, and we don’t think that changes as we [move to hydrogen-powered trucks.]”Hyzon’s fuel cell tech comes from its parent company, Asia-basedHorizon, which has been developing fuel cells for stationary and mobile power applications for two decades. Horizon will still own about 50% of the outstanding shares of Hyzon when the merger is complete.Commercial hydrogen and electrification stocks are on fire. Several tracked byBarron’s, includingWorkhorse(WKHS) andBallard Power Systems(BLDP) are up about 68% year to date on average after rising roughly 440% in 2020. Both returns crush comparable numbers for the S&P 500.Alternative powertrain technology in the commercial vehicle space might happen faster than in personal transportation market. Commercial vehicles are driven more, on average, each day, so fuel savings pile up faster. What’s more, electrified vehicles have fewer parts to fix, so maintenance costs tend to be lower compared with diesel and gasoline powered options.“We expect unavoidable and rapid development of the hydrogen economy globally over the next 10 years,” says Robert Tichio, a Decarbonization SPAC director and partner at private-equity firmRiverstone Holdings.“It is our view that hydrogen is a very important part of the decarbonization solution especially for certain categories of transportation and mobility, and will absolutely coexist with battery electric vehicles.”Riverstone is the sponsor of another SPAC—Decarbonization Plus Acquisition Corporation II(DCRNU)—which just went public last week, raising $350 million.Decarbonization Plus I listed last fall, raising about $226 million.
