Armstrong owns 11% of the Class A shares and 22% of the Class B shares, while Ehrsam owns 11.4% of the Class A and 9% of the Class B.</p>\n<p>According to Forbes, Armstrong’s networth is currently $6.5 billion based on his ownership in the company, which is likely to increase if the direct listing goes off successfully.</p>\n<p>Coinbase bills itself as a bet on the rapidly growing cryptoeconomy, which starts with the No. 1 crypto asset bitcoin but goes well beyond that, Armstrong and company argue.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/67e611f71f8557b80e1863da93d753c9\" tg-width=\"1260\" tg-height=\"639\"><span>COINBASE S-1</span></p>\n<p>Bitcoin prices have gained attention as it has soared to repeated records, most recently touching a recent peak above $58,000 over the weekend before beginning to give up some gains in recent trade.</p>\n<p>Last week, bitcoin hit a market value of $1 trillion and even though the asset created by a person or persons known as Satoshi Nakamoto represents about 70% of the total crypto market, there are still a number of other popular crypto assets trading on Coinbase, including ether on Ethereum’s blockchain, Bitcoin Cash and Litecoin,to name a few.</p>\n<p><b>Who else owns Coinbase?</b></p>\n<p>Venture-capital firm Andreessen Horowitz, is the largest owner of Coinbase, boasting about 25% of Class A shares and14% of Class B. And Marc Andreessen, head of the venture capital outfit, sits on Coinbase’s board.</p>\n<p>Coinbase has an ambitions echo those of Robinhood Markets</p>\n<p>“Coinbase is company with an ambitious vision: to create more economic freedom for every person and business,” Armstrong wrote in a letter appended to the company’s public-filing paperwork with the SEC.</p>\n<p><b>Biggest risk factor</b></p>\n<p>No doubt the biggest risk factor in Coinbase is that it is a bet on an unproven asset class that was created just over a decade ago. Coinbase attempts to make it clear that its fate is linked to the prospects for Bitcoin and ethereum and the thousands of other alternative coins that have been written into existence.</p>\n<p>But a decline in interest and tough regulations in the U.S. and elsewhere could wallop the exchange platform.</p>\n<p>Here’s now Coinbase explains it:</p>\n<p>“<i>There is no assurance that any supported crypto asset will maintain its value or that there will be meaningful levels of trading activities. In the event that the price of crypto assets or the demand for trading crypto assets decline, our business, operating results, and financial condition would be adversely affected. A majority of our net revenue is from transactions in Bitcoin and ethereum. If demand for these crypto assets declines and is not replaced by new demand for crypto assets, our business, operating results, and financial condition could be adversely affected</i>,” Coinbase writes in its S-1 filing.</p>\n<p><b>How large is Coinbase?</b></p>\n<p>The crypto exchange platform ranks No. 3 among the largest digital asset exchanges in the world, according to data site CoinMarketCap.com. That ranking puts it behind Binance, based in Seattle and Huobi Global, a Seychelles-based cryptocurrency exchange that was founded in China.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/183f3996adecd36a47a1b191cf6d3ca6\" tg-width=\"1260\" tg-height=\"453\"><span>COINMARKETCAP.COM</span></p>\n<p>In the U.S. Coinbase is by far the most well-known crypto platform but there are competitors, including Gemini, run by Tyler and Cameron Winklevoss, who famously used their Facebook Inc. settlements to invest in bitcoins.</p>\n<p>Kraken is another popular crypto platform and direct competitor in the U.S.</p>\n<p><b>Odds & Ends</b></p>\n<p>The company in its public filing offered a number of homages to the founder or founders of bitcoin and the digital currency age in its submission.</p>\n<p>For example, it listed the genesis block associated with Satoshi Nakamoto at “1A1zP1eP5QGefi2DMPTfTL5SLmv7DivfNa,” whose white paper back in 2008 set bitcoin in motion. (Additionally, a “Satoshi” is the smallest unit of bitcoin—0.00000001 BTC).</p>\n<p>The company offers no physical address for its headquarters in California, citing the COVID-19 pandemic, which has forced a number of companies to have most, if not all, of its staffers work remotely. For that reason, Coinbase refers to itself as “a remote-first company.”</p>\n<p>However, having no address to some was viewed as aligning with the decentralized nature of blockchain and bitcoins.</p>\n<p>The company also offered a handy primer on cryptocurrency terms, including defining terms like “hodl,” which have become popular in crypto circles. Hodl was accidentally coined in a 2013 Reddit and means long-term holder of an investment.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1d3d07b595555c3cb7e307056bde87a6\" tg-width=\"1260\" tg-height=\"348\"><span>SEC</span></p>\n<p><b>Armstrong crypto charity</b></p>\n<p>Back in 2018, Armstrong kicked off GiveCrypto.org, which makes direct cash transfers to people living in poverty.</p>\n<p>“People who invested early in crypto have amassed an enormous amount of wealth in a relatively short amount of time. The crisis will leave more people settling for lower wages or dropping out of the labor force altogether, and it will take more than throwing money at the problem to heal the economic wounds.</p>\n<p>As shocking as the COVID-19 pandemic was for last year’s economy, the world’s synchronized policy response was even more surprising. Central banks cut rates, finance ministries cut checks and an astonishing effort to find a vaccine has now delivered several highly effective options.</p>\n<p>With all that money sloshing around the world, how can we not expect a sharp rebound? Even the seers at the European Commission upgraded economic forecasts last week, following a trend set by their counterparts at the International Monetary Fund and the Organization of Economic Cooperation and Development.</p>\n<p>U.S. unemployment has more than halved from its 14.7% peak last March, while household savings are healthy and debts are low. Poorer households even report slightly higher incomes with that extra government support. Larger firms are awash in cash and banks have plenty of capacity to lend. As winter turns to spring, Americans are managing their cabin fever with plans for shopping sprees and exotic travel just as soon as they get that second shot.</p>\n<p><b>Ka-BOOM!</b></p>\n<p>Our central scenario is for a steady recovery this year, with another stimulus package that will boost growth above the Congressional Budget Office’s fresh 3.7% forecast. Unemployment should drift lower from the current 6.3% rate, but it’s going to be tough going because the details in the labor data show something far more worrying.</p>\n<p>Specifically, the long-term unemployment rate, which counts those Americans who have been out of work for more than 27 weeks, continues to rise in absolute terms and as a percentage of the overall unemployed. The labor participation rate has also taken a sharp spike lower, after just starting to recover following the global financial crisis.</p>\n<p><img src=\"https://static.tigerbbs.com/34b7d431bf277dd17f778f2af110445c\" tg-width=\"981\" tg-height=\"639\"></p>\n<p>Many of these lost jobs may indeed re-appear when all those people head back to the mall. But many of these trends are part of a story that stretches back to the 1960s when men aged 25-54 (so-called “prime age”) began falling out of the workforce because of a complex brew of forces that included global competition, technological innovation and weakening labor unions. Some of these trends were only just improving when the crisis hit.</p>\n<p>Meanwhile, we are only just beginning to understand the shock delivered to working women. Even as the recovery takes hold, some 80% of those who left the workforce in January were female.</p>\n<p>All recessions aggravate the mismatch between the jobs and the jobless, but this one may be worse. The stock pared most of that rally earlier this month but remains 178% higher on the year.</p>\n<p>AMC Entertainment Holdings’ stock surged after the company said bankruptcy talks were “completely off the table.” At the rally’s apex, its shares touched $20.36, an 860% jump from Dec. 31. Friday’s closing price put the stock up 164% in 2021.</p>\n<p>Shares of Canada’s Blackberry rallied as much as 334% but had pared that to a 97% year-to-date advance as of Friday. The company announced late last month that it was expanding its partnership with China-based search platform Baidu Inc</p>\n<p>At one point, home furnishings retailer Bed Bath & Beyond’s had jumped by 204% year-to-date, but its advance has since cooled to 59%.</p>\n<p>Pharmaceutical firm CEL-SCI Corp shares hit a zenith of $40.77, a 247% advance on the year, a gain that has since shrunk to 100%.</p>\n<p>Finland-based Nokia joined the short squeeze stampede, at one point touching a 150% year-to-date gain at $9.79 per share. That advance was recently a more modest 7%.</p>\n<p>Consumer electronics company Koss Corp was also caught in the mania, soaring by 3,605% at one point. The stock is now up 330% so far in 2021.</p>\n<p>Shares of cannabis companies - which have already notched big rallies on hopes of decriminalization under U.S. President Joe Biden - have been among the latest to experience wild fluctuations. Weekly volumes in cannabis stock options soared to an all-time high by Thursday, according to CBOE Global Markets, and U.S.-listed shares of Tilray Inc and Aphria Inc, along with Sundial Growers, were at one point up on the year by 711%, 367% and 736%, respectively. The companies expect to close the transaction in the second quarter, when Hyzon will take over the SPAC’s Nasdaq listing under a to-be-determined ticker symbol.</p><p>As written, the deal values Hyzon at roughly $2.7 billion including proceeds. But rumors of the coming agreementleaked last week, sending Decarbonization stock higher than the $10 per share that valuation is based on. Shares closed at $17.76 Monday, implying about $4.8 billion for the merged entity.</p><p>It’s an attractive early valuation for a new hydrogen-technology stock.Nikola(NKLA), which became publicly traded via a SPAC merger in 2020, is currently valued at about $9 billion. Fuel cell technology companyPlug Power(PLUG) has a market capitalization of about $32 billion.</p><p>Hyzon’s business model is closer to Plug’s than Nikola’s.Nikola plansto manufacture and assemble Nikola-branded hydrogen fuel-cell powered trucks, plus it also wants to build and operate hydrogen filling stations for its customers. Plug focuses more on hydrogen fuel-cell technology and integrating its technology into multiple transportation applications.</p><p>Like Plug, Hyzon isn’t interested in building its own trucks from the ground up. The company has developed what it believes is leading hydrogen fuel-cell technology for heavy duty transportation applications. It wants to supply that powertrain to truck-makers and fleet owners to put in whatever truck or bus body they want. Hyzon wants to be like theCummins(CMI) of hydrogen.</p><p>“The core value proposition in the vehicle is actually all about the fuel cell,” Hyzon’s CEO and co-founder Craig Knight tells<i>Barron’s</i>. “Historically a diesel truck has been defined by the quality and performance of its engine, and we don’t think that changes as we [move to hydrogen-powered trucks.]”</p><p>Hyzon’s fuel cell tech comes from its parent company, Asia-basedHorizon, which has been developing fuel cells for stationary and mobile power applications for two decades. Central banks cut rates, finance ministries cut checks and an astonishing effort to find a vaccine has now delivered several highly effective options.</p>\n<p>With all that money sloshing around the world, how can we not expect a sharp rebound? Even the seers at the European Commission upgraded economic forecasts last week, following a trend set by their counterparts at the International Monetary Fund and the Organization of Economic Cooperation and Development.</p>\n<p>U.S. unemployment has more than halved from its 14.7% peak last March, while household savings are healthy and debts are low. Poorer households even report slightly higher incomes with that extra government support. Larger firms are awash in cash and banks have plenty of capacity to lend. As winter turns to spring, Americans are managing their cabin fever with plans for shopping sprees and exotic travel just as soon as they get that second shot.</p>\n<p><b>Ka-BOOM!</b></p>\n<p>Our central scenario is for a steady recovery this year, with another stimulus package that will boost growth above the Congressional Budget Office’s fresh 3.7% forecast. Unemployment should drift lower from the current 6.3% rate, but it’s going to be tough going because the details in the labor data show something far more worrying.</p>\n<p>Specifically, the long-term unemployment rate, which counts those Americans who have been out of work for more than 27 weeks, continues to rise in absolute terms and as a percentage of the overall unemployed. The labor participation rate has also taken a sharp spike lower, after just starting to recover following the global financial crisis.</p>\n<p><img src=\"https://static.tigerbbs.com/34b7d431bf277dd17f778f2af110445c\" tg-width=\"981\" tg-height=\"639\"></p>\n<p>Many of these lost jobs may indeed re-appear when all those people head back to the mall. But rumors of the coming agreementleaked last week, sending Decarbonization stock higher than the $10 per share that valuation is based on. Shares closed at $17.76 Monday, implying about $4.8 billion for the merged entity.</p><p>It’s an attractive early valuation for a new hydrogen-technology stock.Nikola(NKLA), which became publicly traded via a SPAC merger in 2020, is currently valued at about $9 billion. Fuel cell technology companyPlug Power(PLUG) has a market capitalization of about $32 billion.</p><p>Hyzon’s business model is closer to Plug’s than Nikola’s.Nikola plansto manufacture and assemble Nikola-branded hydrogen fuel-cell powered trucks, plus it also wants to build and operate hydrogen filling stations for its customers. Plug focuses more on hydrogen fuel-cell technology and integrating its technology into multiple transportation applications.</p><p>Like Plug, Hyzon isn’t interested in building its own trucks from the ground up. The company has developed what it believes is leading hydrogen fuel-cell technology for heavy duty transportation applications. It wants to supply that powertrain to truck-makers and fleet owners to put in whatever truck or bus body they want. Hyzon wants to be like theCummins(CMI) of hydrogen.</p><p>“The core value proposition in the vehicle is actually all about the fuel cell,” Hyzon’s CEO and co-founder Craig Knight tells<i>Barron’s</i>. “Historically a diesel truck has been defined by the quality and performance of its engine, and we don’t think that changes as we [move to hydrogen-powered trucks.]”</p><p>Hyzon’s fuel cell tech comes from its parent company, Asia-basedHorizon, which has been developing fuel cells for stationary and mobile power applications for two decades. Both returns crush comparable numbers for the S&P 500.</p><p>Alternative powertrain technology in the commercial vehicle space might happen faster than in personal transportation market. Commercial vehicles are driven more, on average, each day, so fuel savings pile up faster. What’s more, electrified vehicles have fewer parts to fix, so maintenance costs tend to be lower compared with diesel and gasoline powered options.</p><p>“We expect unavoidable and rapid development of the hydrogen economy globally over the next 10 years,” says Robert Tichio, a Decarbonization SPAC director and partner at private-equity firmRiverstone Holdings.“It is our view that hydrogen is a very important part of the decarbonization solution especially for certain categories of transportation and mobility, and will absolutely coexist with battery electric vehicles.”</p><p>Riverstone is the sponsor of another SPAC—Decarbonization Plus Acquisition Corporation II(DCRNU)—which just went public last week, raising $350 million.</p><p>Decarbonization Plus I listed last fall, raising about $226 million.
