overcomes all the current challenges that it faces, its upside could still be limited because of the recent poor performance of its business.</p></li></ul><p>The accounting scandal that began a few months ago has tarnished <a href=\"https://laohu8.com/S/SMCI\">Super Micro Computer</a>’s stock, which is currently trading close to its 52-week lows. Although some might think that the worst for the company is behind it, we believe that any potential upside is not worth opening a position at this stage. Super Micro still faces some major risks that in our opinion make its stock uninvestable right now.</p><h2 id=\"id_1730226959\">This Has Been A Rollercoaster</h2><p>After the impressive performance in the first half of 2024, Super Micro’s stock lost all of its momentum in the second half of the year and depreciated by over 50% in the last six months. The real troubles first started in late August when a popular research firm Hindenburg published a bearish report on the company. In the report, Hindenburg accused Super Micro of failing to comply with the sanctions and export controls and highlighted various governance-related issues. The report also stated that Super Micro is engaged in <em>continued proper revenue recognition</em>. This is something that the company was already doing in the past and it resulted in the delisting of its stock from Nasdaq in 2018 and a charge by the Security and Exchange Commission in 2020.</p><p>Shortly after the report was released, the U.S. Department of Justice opened a probe against the company that is still ongoing. After that, Super Micro’s auditor Ernst & Young resigned, which spooked the market and prevented the company from releasing its earnings report on time. This has led to Nasdaq sending Super Micro a non-compliance letter, which created a new delisting risk. Following all of that, Super Micro was also removed from the Nasdaq 100 and its stock continues to trade in a distressed territory.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/6722ddfb7b5165bd704a94eed7e38fbd\" alt=\"Super Micro’s performance\" title=\"Super Micro’s performance\" tg-width=\"640\" tg-height=\"259\"/><span>Super Micro’s performance</span></p><p>The good thing for Super Micro in all of this is that Nasdaq extended the reporting time for the company, which now needs to release all the missing quarterly and annual filings by February 25, 2025. If that doesn’t happen, then we’ll likely see a delisting of its shares from the exchange like it was a few years ago.</p><p>However, even if there have been no wrongdoings and Super Micro overcomes all the current legal and regulatory challenges, the upside for its shares could still be limited.</p><p>Last month, the company already released its preliminary Q1 earnings results, which showed that its revenues are expected to be between $5.9 billion and $6 billion. This is below the Wall Street consensus of $6.79 billion and also below the company’s initial guidance of between $6 billion and $7 billion. If the final report for the period comes out with the same numbers, then the disappointing sales numbers along with the inability to reach its own forecast might indicate that Super Micro’s growth opportunities are limited.</p><p>From the publicly available reports, we know that Elon Musk’s xAI firm recently started to pull orders for the AI servers from Super Micro to Dell (DELL). It appears that Nvidia (NVDA) has been doing the same thing recently, while Citi (C) named Dell and HP Enterprise (HPE) as the biggest winners in this situation. Even Super Micro’s preliminary outlook for Q2 indicates that the company is expected to generate only between $5.5 billion and $6.1 billion in revenues, below the consensus of $6.79 billion. There are also reports that Super Micro is now looking to raise additional capital, which suggests that the company might have liquidity issues as orders are being canceled. This is why the company’s upside indeed could be limited even if Super Micro overcomes all the challenges that it currently faces.</p><h2 id=\"id_4134804721\">Potential Upside Ahead?</h2><p>There are still several positive things that need to be considered. After the accounting scandal happened, Super Micro launched an internal investigation, which found no misconduct. More importantly, Super Micro agreed with the recommendation of the committee behind the investigation to replace its CFO and said that it doesn’t expect any restatement of its previous earnings reports.</p><p>Super Micro has also hired BDO USA as its new auditor to review the company’s financial data and approve all the necessary earnings reports before February 25. If the reports come out on time, then Super Micro would likely be able to avoid delisting, which could give a boost to the share price despite the disappointing performance of the business in the recent quarter.</p><p>In addition, as the AI-server market is expected to grow by 55% and be worth $252 billion next year, Super Micro might have an opportunity to improve its performance next year and exceed the expectations that were recently given by the company along with the preliminary data. This could also boost the share price next year.</p><h2 id=\"id_2218143786\">The Real Value of Super Micro Computer</h2><p>When it comes to valuing Super Micro, we used the currently available data that the company previously reported due to the lack of alternatives. This is something that investors need to keep in mind in light of the recent accounting scandal.</p><p>The tax rate in our model is 15%, which is below the current corporate tax rate in the United States. Given that under the Trump administration we could see another tax reform that lowers corporate taxes, we believe that it makes sense to use a rate that’s lower than today’s standard rate when forecasting the company’s performance for the next few years. The perpetual growth rate is 3%, which is similar to the historical GDP and inflation rate. We value Super Micro when it’s trading at $31.59 per share and the cash and long-term debt data was taken from the latest available earnings report.</p><p>The discount rate in the model is 7.89%. We arrived at that rate by calculating Super Micro’s after-tax cost of debt using mostly its TTM data, and the cost of equity. For the cost of equity calculation, we used the risk-free rate of 4.40%, beta of 1.28, and the market return rate of 7.69%. We then weighted the company’s debt and equity to arrive at our discount rate.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/a987e0d40ca26fc2c7ef3eb9271b03d3\" alt=\"Super Micro Computer’s valuation model\" title=\"Super Micro Computer’s valuation model\" tg-width=\"640\" tg-height=\"181\"/><span>Super Micro Computer’s valuation model</span></p><p>In the forecast table below, our sales and EBIT assumptions are mostly similar to the overall consensus for the next couple of years. After that, we expect a gradual normalization of growth rates across the semiconductor industry to more stable levels once the chip capacity issues caused by AI-related demand are resolved. The bottom part of the forecast table mostly aligns with Super Micro’s historical performance and doesn’t have a significant impact on the FCF calculation.</p><p>With all of those assumptions, our valuation model shows that Super Micro’s enterprise value is $18.91 billion, which is close to Seeking Alpha's enterprise value estimates. We then calculated Super Micro’s equity value by adding cash to the enterprise value and subtracting the long-term debt. In our case, Super Micro’s equity value is $18.80 billion. We then dividend the company’s equity value by the number of its outstanding shares and figured out that Super Micro’s intrinsic value is $29.28 per share, which is below but also fairly close to the current market price at the time of this writing.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/0974837dafcedfd5e245c0d9cc5b4280\" alt=\"Super Micro Computer’s valuation model\" title=\"Super Micro Computer’s valuation model\" tg-width=\"640\" tg-height=\"228\"/><span>Super Micro Computer’s valuation model</span></p><h2 id=\"id_3934436656\">Final Thoughts</h2><p>Our valuation model clearly shows that even if all the previously reported numbers are correct and the current outlook along with the street assumptions are realistic, Super Micro’s stock is still not a good investment. As the AI hype train appears to be losing steam while the number of growth opportunities is limited, giving Super Micro a rating of SELL is the most appropriate thing to do right now.</p><p>We also think that there are much better semiconductor names on the market right now that are not in the middle of an accounting scandal. This is something that the company was already doing in the past and it resulted in the delisting of its stock from Nasdaq in 2018 and a charge by the Security and Exchange Commission in 2020.Shortly after the report was released, the U.S. Department of Justice opened a probe against the company that is still ongoing. After that, Super Micro’s auditor Ernst & Young resigned, which spooked the market and prevented the company from releasing its earnings report on time. This has led to Nasdaq sending Super Micro a non-compliance letter, which created a new delisting risk. Following all of that, Super Micro was also removed from the Nasdaq 100 and its stock continues to trade in a distressed territory.Super Micro’s performanceThe good thing for Super Micro in all of this is that Nasdaq extended the reporting time for the company, which now needs to release all the missing quarterly and annual filings by February 25, 2025. If that doesn’t happen, then we’ll likely see a delisting of its shares from the exchange like it was a few years ago.However, even if there have been no wrongdoings and Super Micro overcomes all the current legal and regulatory challenges, the upside for its shares could still be limited.Last month, the company already released its preliminary Q1 earnings results, which showed that its revenues are expected to be between $5.9 billion and $6 billion. This is below the Wall Street consensus of $6.79 billion and also below the company’s initial guidance of between $6 billion and $7 billion. If the final report for the period comes out with the same numbers, then the disappointing sales numbers along with the inability to reach its own forecast might indicate that Super Micro’s growth opportunities are limited.From the publicly available reports, we know that Elon Musk’s xAI firm recently started to pull orders for the AI servers from Super Micro to Dell (DELL). It appears that Nvidia (NVDA) has been doing the same thing recently, while Citi (C) named Dell and HP Enterprise (HPE) as the biggest winners in this situation. Even Super Micro’s preliminary outlook for Q2 indicates that the company is expected to generate only between $5.5 billion and $6.1 billion in revenues, below the consensus of $6.79 billion. There are also reports that Super Micro is now looking to raise additional capital, which suggests that the company might have liquidity issues as orders are being canceled. This is why the company’s upside indeed could be limited even if Super Micro overcomes all the challenges that it currently faces.Potential Upside Ahead?There are still several positive things that need to be considered. After the accounting scandal happened, Super Micro launched an internal investigation, which found no misconduct. More importantly, Super Micro agreed with the recommendation of the committee behind the investigation to replace its CFO and said that it doesn’t expect any restatement of its previous earnings reports.Super Micro has also hired BDO USA as its new auditor to review the company’s financial data and approve all the necessary earnings reports before February 25. If the reports come out on time, then Super Micro would likely be able to avoid delisting, which could give a boost to the share price despite the disappointing performance of the business in the recent quarter.In addition, as the AI-server market is expected to grow by 55% and be worth $252 billion next year, Super Micro might have an opportunity to improve its performance next year and exceed the expectations that were recently given by the company along with the preliminary data. This could also boost the share price next year.The Real Value of Super Micro ComputerWhen it comes to valuing Super Micro, we used the currently available data that the company previously reported due to the lack of alternatives. This is something that investors need to keep in mind in light of the recent accounting scandal.The tax rate in our model is 15%, which is below the current corporate tax rate in the United States. Given that under the Trump administration we could see another tax reform that lowers corporate taxes, we believe that it makes sense to use a rate that’s lower than today’s standard rate when forecasting the company’s performance for the next few years. The perpetual growth rate is 3%, which is similar to the historical GDP and inflation rate. We value Super Micro when it’s trading at $31.59 per share and the cash and long-term debt data was taken from the latest available earnings report.The discount rate in the model is 7.89%. We arrived at that rate by calculating Super Micro’s after-tax cost of debt using mostly its TTM data, and the cost of equity. For the cost of equity calculation, we used the risk-free rate of 4.40%, beta of 1.28, and the market return rate of 7.69%. We then calculated Super Micro’s equity value by adding cash to the enterprise value and subtracting the long-term debt. In our case, Super Micro’s equity value is $18.80 billion. We then dividend the company’s equity value by the number of its outstanding shares and figured out that Super Micro’s intrinsic value is $29.28 per share, which is below but also fairly close to the current market price at the time of this writing.Super Micro Computer’s valuation modelFinal ThoughtsOur valuation model clearly shows that even if all the previously reported numbers are correct and the current outlook along with the street assumptions are realistic, Super Micro’s stock is still not a good investment. In the meantime, IonQ (IONQ) and PsiQuantum are working on alternative modalities such as trapped ion and photonic qubits, which give longer coherence times and higher accuracy but at slower gate rates.</p><p>Of course, RGTI's collaboration with Riverlane on quantum error correction (QEC) is a clear advance, as "QEC is key to fault-tolerant quantum computing." Similarly, its partnership with Nvidia (NVDA) at the Israeli Quantum Computing Center (IQCC) also illustrates the potential for hybrid computing applications. No need to speak of the "margin of safety" in this particular case.</p><p>So I'd not burn my hands buying into this kind of strength of the stock.</p><h3 id=\"id_4257545725\">Upside Risks To My Thesis</h3><p>I may be underestimating the larger quantum computing momentum and the company's ability to exploit the industry's expansion. The modular multi-chip design is a switch, but it fits the market and may lead to faster scaling than I'm expecting. Additionally, bipartisan approval of the $2.7 billion NQI reauthorization could offer Rigetti a much-needed cash injection, making it easier to manage expenses without shareholder dilution.</p><h2 id=\"id_651166839\">Your Takeaway</h2><p>While Rigetti's technologies and alliances look promising indeed, the company's performance, dependence on government grants, and market competition are all in play, placing uncertainty on its near-term prospects. The company remains at the forefront of the EV revolution, and the expected budget Model Q release next year will extremely likely help the company to significantly expand its reach. The Cybertruck is expanding its footprint rapidly, while market positions of legacy models like Y and 3 remain stable as table. Let us also not forget that TSLA is not a purely automotive player. There are robust positive developments in the Energy segment and the company's AI endeavors. The upside potential is not as wide as it was in September, but my valuation analysis suggests that TSLA is still attractively valued. I believe that all these reasons are strong enough to make me reiterate a 'Strong buy' recommendation.</p><h2 id=\"id_29597041\">Fundamental Analysis</h2><p>One of the most exciting 2025 catalysts that I see is the anticipated release of the budget Model Q. This is a sub-$30,000 vehicle after-tax credits, and expansion to this pricing segment cannot be underestimated. Model Q will become the direct competitor of a car that has consistently been among the world's best-selling vehicles since the 1970s. Of course, I am talking about Toyota Corolla, the legendary model that surpassed total deliveries of 50 million over twelve generations.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/e647b5fd0b649ac13954764047e8a9ee\" title=\"Statista\" tg-width=\"640\" tg-height=\"473\"/><span>Statista</span></p><p>Tesla's Model Y already proved its ability to compete with Toyota Corolla, and the cheaper Tesla model will highly likely also conquer a notable portion of Toyota's market share.</p><p>As Statista's above chart suggests, Tesla Model Y was the best-selling passenger car worldwide in 2023. This is absolutely fantastic because the model's production was launched only in 2020. Therefore, I have a firm conviction that due to targeting a large market of price-conscious customers, Model Q also has solid potential to become one of the best-selling vehicles worldwide over just a few years.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/51dcb8adb7279202e63ff0d32d864b2b\" title=\"Calculated by the author\" tg-width=\"414\" tg-height=\"125\"/><span>Calculated by the author</span></p><p>This model can become a huge contributor to the company's profits should they ramp it up as promptly as Model Y. If we assume that TSLA will achieve a million Model Q deliveries within the next couple of years, it will add approximately $3.3 billion of incremental net income. Tesla's TTM net income is $12.7 billion, meaning that Model Q has the potential to boost the bottom line by more than 20% over the next few years. My calculations are outlined in the above table.</p><p>Apart from promising prospects of aggressive expansion into the segment of budget models, there are several other reasons to remain bullish. For example, Tesla's bold move into the pickup truck market where Ford has been dominating for decades, is also developing well. Despite being a very young model, the Cybertruck has already gained a third spot in the U.S. Q3 2024 EV sales. With around 17,000 deliveries during the quarter, Tesla's pickup has outsold all main competitors including Ford's F-150 Lightning, Rivian's R1T, and Chevrolet Silverado EV. This is an extremely bullish sign for Tesla's investors because cementing its place as the leader in EV pickup sales will certainly bring long-term benefits as the industry is expected to compound with a 30.75% CAGR by 2030.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/17dbaf4cf226ba1ed74302277f4dc911\" title=\"Mordor Intelligence\" tg-width=\"417\" tg-height=\"500\"/><span>Mordor Intelligence</span></p><p>Tesla's Energy segment is another promising area that often flies under the radar of many investors and readers. According to TSLA's Q3 earnings presentation, the Shanghai Megafactory remains on track to begin shipping Megapacks in Q1 2025. This will highly likely unlock a new solid revenue growth driver for TSLA.</p><p>The industry might be volatile due to its relatively young age over the short term, but secular trends are apparently favorable in this domain as well. The renewable energy market's value is expected to almost double between 2024 and 2030, which is another strong tailwind for TSLA.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/10ff17543510e1a1805182290e21fb6b\" title=\"Statista\" tg-width=\"640\" tg-height=\"359\"/><span>Statista</span></p><p>Despite its relatively small scale (compared to Automotive), the Energy segment of Tesla is already profitable and has demonstrated robust positive trends in gross profits. With that being said, further expansion of volumes in this segment will highly likely lead to increased profitability, which will add more value for shareholders.</p><p class=\"t-img-caption\"><img src=\"https://community-static.tradeup.com/news/c2e2b7c11886dfc8994084fe8bc13e3f\" title=\"TSLA\" tg-width=\"640\" tg-height=\"644\"/><span>TSLA</span></p><p>Elon Musk would not be Elon Musk if he did not invest aggressively in Tesla's AI potential. I have said plenty about my bullishness regarding the autonomous driving FSD feature and do not want to repeat the same information. I just want to say that this project is steadily developing and the company already rolled out the brand-new V13.2 version, which is currently tested by a group of users. I have no doubt that the algorithm is consistently improving with the exponential growth in a number of miles driven with FSD and Tesla will be able to deliver an unparalleled autonomous driving experience to its customers. The stock's valuation has always been extremely growth-oriented because of the company's ability to deliver on its bold growth promises.</p><p>Therefore, I prefer to rely the most on the DCF model in Tesla's case. Tesla's WACC is 7.4%. The FY 2025-2026 revenue projection relies on consensus because it is an average opinion of more than 30 Wall Street analysts which I believe is a strong representative sample. For the years after FY 2026, I forecast a steady revenue growth deceleration by 25 basis points per year. Tesla's FCF margin average for the last five years is 5.94%, which is the base-year assumption. Moreover, experienced investors know that the FOMO effect can add up a significant premium over the fair share price.</p><h2 id=\"id_2207434010\">Mitigating Factors</h2><p>The U.S. economy is doing well. This is acknowledged by the Fed's Chairman, Jerome Powell, who recently said that the Fed might be 'cautious' about further interest rate cuts. A tight monetary environment presents a temporary yet significant headwind for Tesla, as most cars in the U.S. are purchased through leases or loans. Prolonged higher interest rates could make consumers more cautious about spending on high-ticket items, which would weigh on overall demand for new vehicles. As a company that dominates the U.S. EV market, Tesla might suffer significantly from this headwind. I think that the rally was fueled by robust fundamental factors and there is still more potential for the business to demonstrate further expansion. The company remains at the forefront of the EV revolution, and the expected budget Model Q release next year will extremely likely help the company to significantly expand its reach. The Cybertruck is expanding its footprint rapidly, while market positions of legacy models like Y and 3 remain stable as table. Let us also not forget that TSLA is not a purely automotive player. There are robust positive developments in the Energy segment and the company's AI endeavors. The upside potential is not as wide as it was in September, but my valuation analysis suggests that TSLA is still attractively valued. I believe that all these reasons are strong enough to make me reiterate a 'Strong buy' recommendation.Fundamental AnalysisOne of the most exciting 2025 catalysts that I see is the anticipated release of the budget Model Q. This is a sub-$30,000 vehicle after-tax credits, and expansion to this pricing segment cannot be underestimated. Model Q will become the direct competitor of a car that has consistently been among the world's best-selling vehicles since the 1970s. Of course, I am talking about Toyota Corolla, the legendary model that surpassed total deliveries of 50 million over twelve generations.StatistaTesla's Model Y already proved its ability to compete with Toyota Corolla, and the cheaper Tesla model will highly likely also conquer a notable portion of Toyota's market share.As Statista's above chart suggests, Tesla Model Y was the best-selling passenger car worldwide in 2023. This is absolutely fantastic because the model's production was launched only in 2020. Therefore, I have a firm conviction that due to targeting a large market of price-conscious customers, Model Q also has solid potential to become one of the best-selling vehicles worldwide over just a few years.Calculated by the authorThis model can become a huge contributor to the company's profits should they ramp it up as promptly as Model Y. If we assume that TSLA will achieve a million Model Q deliveries within the next couple of years, it will add approximately $3.3 billion of incremental net income. Tesla's TTM net income is $12.7 billion, meaning that Model Q has the potential to boost the bottom line by more than 20% over the next few years. My calculations are outlined in the above table.Apart from promising prospects of aggressive expansion into the segment of budget models, there are several other reasons to remain bullish. For example, Tesla's bold move into the pickup truck market where Ford has been dominating for decades, is also developing well. Despite being a very young model, the Cybertruck has already gained a third spot in the U.S. Q3 2024 EV sales. With around 17,000 deliveries during the quarter, Tesla's pickup has outsold all main competitors including Ford's F-150 Lightning, Rivian's R1T, and Chevrolet Silverado EV. This is an extremely bullish sign for Tesla's investors because cementing its place as the leader in EV pickup sales will certainly bring long-term benefits as the industry is expected to compound with a 30.75% CAGR by 2030.Mordor IntelligenceTesla's Energy segment is another promising area that often flies under the radar of many investors and readers. The company's energy generation and storage solutions, including solar panels, Solar Roof, and Powerwall, are gaining traction in both residential and commercial markets. According to TSLA's Q3 earnings presentation, the Shanghai Megafactory remains on track to begin shipping Megapacks in Q1 2025. This will highly likely unlock a new solid revenue growth driver for TSLA.The industry might be volatile due to its relatively young age over the short term, but secular trends are apparently favorable in this domain as well. The renewable energy market's value is expected to almost double between 2024 and 2030, which is another strong tailwind for TSLA.StatistaDespite its relatively small scale (compared to Automotive), the Energy segment of Tesla is already profitable and has demonstrated robust positive trends in gross profits. With that being said, further expansion of volumes in this segment will highly likely lead to increased profitability, which will add more value for shareholders.TSLAElon Musk would not be Elon Musk if he did not invest aggressively in Tesla's AI potential. I have said plenty about my bullishness regarding the autonomous driving FSD feature and do not want to repeat the same information. I just want to say that this project is steadily developing and the company already rolled out the brand-new V13.2 version, which is currently tested by a group of users. I have no doubt that the algorithm is consistently improving with the exponential growth in a number of miles driven with FSD and Tesla will be able to deliver an unparalleled autonomous driving experience to its customers. like to talk about buying opportunities here on Seeking Alpha, but I've noted that a lot of people have been buying Super Micro Computer (NASDAQ:SMCI) recently, post the news that they appointed BDO as auditor.</p><p>Despite this appointment having some potential good news and a sign of hope, there's way too many unknowns and risk factors that, as investors on the outside, we just don't know the answers to. Of course, when we invest, there's always some unknowns and risks to take, but for me here, there's just way too many unknowns, which makes it a very illogical investment.</p><h2 id=\"id_1452235947\">Background</h2><p>SMCI has been on a crazy ride throughout 2024, rising from $28 back in January all the way up to $115 in March, which equates to a 307% increase in 3 months.</p><p>It then dropped down to $18 by November 15th, erasing 85% of the total market cap. This drop came after Ernst & Young (SMCI's auditor) resigned on October 24th. Ernst & Young cited reasons including:</p><ul style=\"\"><li><p>Lack of trust in management</p></li><li><p>Weak internal controls</p></li><li><p>Lack of board independence</p></li></ul><p>When an auditor resigns from auditing a client the size of SMCI it's never a good sign. Auditors spend hours fighting to win over the biggest clients which allows them to rake in the huge audit fees, but when they deem the risk of being associated with a listed client to be far more negative than the huge audit fees they would receive, there's likely something out of the ordinary going on.</p><h2 id=\"id_146560957\">Here's why SMCI is not worth investing into.</h2><p>If this auditor resignation was a one-off issue, then I'd be inclined to give SMCI the benefit of doubt (though I'd still remain extremely cautious), but unfortunately this negativity around SMCI is not a one-off at all.</p><p>The past 6 years has seen:</p><ul style=\"\"><li><p>NASDAQ delisting</p></li><li><p>$17.5 million fine to SEC</p></li><li><p>Hindenburg Research (one of the most famous short sellers)</p></li><li><p>Department of Justice probe</p></li></ul><p>I'm going to go over each one of these to explain exactly what's happened and my take on them all.</p><h3 id=\"id_2241418678\">NASDAQ delisting - 2018</h3><p>SMCI was temporarily delisted from the NASDAQ stock exchange in August 2018 due to failure to comply with NASDAQ timelines of financial reports. Companies get delisted for many reasons, however the 3 main reasons are:</p><ol start=\"1\" style=\"\"><li><p>Voluntary delisting.</p></li><li><p>Falling below a certain market cap or $1.00 stock price.</p></li><li><p>Accounting issues/missed deadlines.</p></li></ol><p>Reason 3 is exactly why SMCI got delisted, and it tends to be the least common and perhaps most serious due to the internal inefficiencies. NASDAQ generally does have fairly long "grace periods" meaning SMCI failed to comply with the extended NASDAQ deadlines, something which has not happened to a company of SMCI's size in a long time.</p><h3 id=\"id_37544222\">Fine</h3><p>In 2020, SMCI paid a $17.5 million fine to the SEC for accounting violations in which they neither admitted nor denied the SEC findings. The violations were due to incorrect revenue recognition, understating expenses, and other accounting violations over a period of 3 years.</p><p>Arguably a one-off instance like this would not cause too much panic, but the continuous nature of this raises skepticism.</p><h3 id=\"id_1199563137\">Department of Justice</h3><p>On top of all this negativity, SMCI has an ongoing DoJ (Department of Justice) probe which is looking into accounting violations. DoJ probes are a big deal and are likely to have an overarching effect on the SMCI stock price even if all of all the other unknowns start to become more clear.</p><p>As I mentioned before with the Hindenburg research, we have to take their report with a pinch of salt since they are a short-seller after all. However, an investigation by the DoJ is much more serious and anything that comes up in that investigation will materially affect SMCI's future.</p><h3 id=\"id_494708400\">BDO Appointment</h3><p>The positive news after all of this is that SMCI managed to appoint BDO (the 5th largest accounting firm) after all of the above incidents, which has to be a win because it gives them hope to at least restore investor confidence, and prepare some financial statements. That's all the good news I can say about this though.</p><p>The bad news is that BDO isn't a big 4 company that SMCI would have appointed. BDO also has had poor results over recent years in terms of audit quality. To put it simply, SMCI would not have wanted to appoint an auditor outside of the Big 4. It's a shame that this is the way it is, but for a company in the S&P 500, Big 4 auditors are by far the most common. Unless there's a good reason not to appoint a Big 4 auditor, S&P 500 companies simply look a bit more questionable if they don't have a Big 4 company auditing them.</p><p>The other important thing to note is that even though SMCI has appointed a BDO, initial screening or conversations with EY (previous auditor) have not occurred. This was all disclosed in the 8-K but obviously wasn't part of the headlines. Simply what is happening is that BDO are the only company to at least consider looking at the SMCI books in the hope that everything is ok, and therefore they potentially have one of the biggest clients on the books.</p><p>In my opinion, realistically, the issues that EY found won't have been resolved and BDO will also likely find these issues, meaning they'll not sign off.</p><p>Let me take this even further. A first year audit takes a long time. It includes getting a very solid understanding of the company, the internal controls, previous period's numbers etc., etc. In my opinion, the entire process likely cannot happen before February 2025, which is when NASDAQ has granted a filing extension until.</p><p>If the BDO does manage to get all this work done, and assuming there's no issues found (unlikely in my opinion), there is still a chance of secondary reviews by regulators.</p><h2 id=\"id_4231930187\">So is SMCI a buy, sell, or hold?</h2><p>SMCI has performed well the last 3 weeks post appointment of auditor, BDO, plus a short squeeze. Whilst the share price shows some potential signs of recovery, I hope this article made it clear exactly how much risk there still is.</p><p>SMCI still has to get BDO to audit their financials by February without any findings, a potential secondary review, and also get through the DoJ investigation to essentially survive. Of course, when we invest, there's always some unknowns and risks to take, but for me here, there's just way too many unknowns, which makes it a very illogical investment.BackgroundSMCI has been on a crazy ride throughout 2024, rising from $28 back in January all the way up to $115 in March, which equates to a 307% increase in 3 months.It then dropped down to $18 by November 15th, erasing 85% of the total market cap. This drop came after Ernst & Young (SMCI's auditor) resigned on October 24th. Ernst & Young cited reasons including:Lack of trust in managementWeak internal controlsLack of board independenceWhen an auditor resigns from auditing a client the size of SMCI it's never a good sign. Auditors spend hours fighting to win over the biggest clients which allows them to rake in the huge audit fees, but when they deem the risk of being associated with a listed client to be far more negative than the huge audit fees they would receive, there's likely something out of the ordinary going on.Here's why SMCI is not worth investing into.If this auditor resignation was a one-off issue, then I'd be inclined to give SMCI the benefit of doubt (though I'd still remain extremely cautious), but unfortunately this negativity around SMCI is not a one-off at all.The past 6 years has seen:NASDAQ delisting$17.5 million fine to SECHindenburg Research (one of the most famous short sellers)Department of Justice probeI'm going to go over each one of these to explain exactly what's happened and my take on them all.NASDAQ delisting - 2018SMCI was temporarily delisted from the NASDAQ stock exchange in August 2018 due to failure to comply with NASDAQ timelines of financial reports. Companies get delisted for many reasons, however the 3 main reasons are:Voluntary delisting.Falling below a certain market cap or $1.00 stock price.Accounting issues/missed deadlines.Reason 3 is exactly why SMCI got delisted, and it tends to be the least common and perhaps most serious due to the internal inefficiencies. NASDAQ generally does have fairly long \"grace periods\" meaning SMCI failed to comply with the extended NASDAQ deadlines, something which has not happened to a company of SMCI's size in a long time.FineIn 2020, SMCI paid a $17.5 million fine to the SEC for accounting violations in which they neither admitted nor denied the SEC findings. The violations were due to incorrect revenue recognition, understating expenses, and other accounting violations over a period of 3 years.Arguably a one-off instance like this would not cause too much panic, but the continuous nature of this raises skepticism.Department of JusticeOn top of all this negativity, SMCI has an ongoing DoJ (Department of Justice) probe which is looking into accounting violations. "It is up to Nasdaq whether to accept or reject the plan."</p><p>Were the Nasdaq to accept Super Micro's plan, the company might get an extension to get current on its requirements, she added.</p><p>It seems unlikely that Super Micro will have a new auditor by the time the Nasdaq deadline comes around. The company disclosed Wednesday that it will also need time to file its quarterly filing for the most recent quarter. In doing so, Super Micro said in a filing that it "needs additional time "to select and engage a successor firm" and for that auditor to review the financial statements from last fiscal year.</p><p>Super Micro shares are down 62% in the past month, and Wall Street seems pessimistic that the company will be able to satisfy the deadline and thus keep its Nasdaq listing without an auditor. The company said in Wednesday's filing that it was "diligently working to select an independent registered public accounting firm."</p><p>"As we previously disclosed, [Super Micro] intends to take all necessary steps to achieve compliance with the Nasdaq continued listing requirements as soon as possible," a company spokesperson told MarketWatch on Thursday.</p><p>It remains to be seen if the company will be able to submit a satisfactory proposal without an auditor or whether the Nasdaq would be willing to accept a proposal if Super Micro doesn't yet have a new accountant but can show it's close to getting one.</p><p>If Super Micro shares ultimately get delisted, they would continue to trade but do so over the counter rather than on the Nasdaq exchange, and perhaps with a change to the company's ticker symbol. When electric-vehicle maker Fisker was delisted earlier this year, it moved to OTC trading, and the company's ticker symbol changed to "FSRN" from "FSR."</p><p>Super Micro was delisted already, back in 2018, which might mean that the Nasdaq has it on a shorter leash this time around.</p><p>Back in September 2017, Super Micro had delayed its annual filing and was notified by the Nasdaq that it had 60 days to submit a proposal for how it would get back in compliance. Super Micro said it could appeal if its plan didn't get accepted.</p><p>When that 60-day deadline hit in November 2017, the company said it needed more time to complete and audit review and finalize its financials. The company was then given some time to submit a revised plan.</p><p>By March 2018, Super Micro's stock had still yet to be delisted, and the company sought a hearing with the Nasdaq at which it would present a plan to get back in compliance with Nasdaq requirements. At the time, Super Micro noted in a filing that the hearings panel had the authority to grant it up to 360 days from when the original filing was due in order to regain its compliance.</p><p>That May, Super Micro said it was on track to submit the needed filings and the hearings panel granted it until August of that year to get current with filing requirements. That gets to a date of Nov. 16.</p><p>Nasdaq rules on "discipline" state that the "last day of the period so computed shall be included, unless it is a Saturday, Sunday or federal holiday, in which event the period runs until the end of the next day that is not a Saturday, Sunday or federal holiday."</p><p>A source close to the company said the effective deadline is Nov. 18 since the 60-day deadline falls on a Saturday.</p><p>Submission of a satisfactory plan has been made harder by the fact that Super Micro's last auditor, Ernst & Young, resigned last month after raising concerns about the company's accounting and saying that it wasn't willing to be associated with management's financial statements.</p><p>"To remain listed Super Micro needs to submit to Nasdaq a plan of how they are going to regain compliance," said Olga Usvyatsky, an accounting analyst and author of an accounting newsletter, Deep Quarry. "It is up to Nasdaq whether to accept or reject the plan."</p><p>Were the Nasdaq to accept Super Micro's plan, the company might get an extension to get current on its requirements, she added.</p><p>It seems unlikely that Super Micro will have a new auditor by the time the Nasdaq deadline comes around. The company disclosed Wednesday that it will also need time to file its quarterly filing for the most recent quarter. In doing so, Super Micro said in a filing that it "needs additional time "to select and engage a successor firm" and for that auditor to review the financial statements from last fiscal year.</p><p>Super Micro shares are down 62% in the past month, and Wall Street seems pessimistic that the company will be able to satisfy the deadline and thus keep its Nasdaq listing without an auditor. The company said in Wednesday's filing that it was "diligently working to select an independent registered public accounting firm."</p><p>"As we previously disclosed, [Super Micro] intends to take all necessary steps to achieve compliance with the Nasdaq continued listing requirements as soon as possible," a company spokesperson told MarketWatch on Thursday.</p><p>It remains to be seen if the company will be able to submit a satisfactory proposal without an auditor or whether the Nasdaq would be willing to accept a proposal if Super Micro doesn't yet have a new accountant but can show it's close to getting one.</p><p>If Super Micro shares ultimately get delisted, they would continue to trade but do so over the counter rather than on the Nasdaq exchange, and perhaps with a change to the company's ticker symbol. Wall Street is more skeptical.</p><p>Apple didn't even mention AI at its developers conference in June, and Needham analyst Laura Martin says the iPhone giant is "pretty far behind" its big tech peers where generative AI is concerned. That may or may not be true -- Apple does have a penchant for secrecy -- but investors would still be hard pressed to consider Apple an AI stock given the available information.</p><p>However, Berkshire does own small positions in <strong>Amazon</strong> and <strong><a href=\"https://laohu8.com/S/SNOW\">Snowflake</a></strong>, and both have defined their AI strategies more clearly. Here's why these growth stocks are worth buying.</p><h2 id=\"id_1172778612\">1. Amazon</h2><p>The investment thesis for Amazon boils down to three bullet points. One, it operates the most popular e-commerce marketplace worldwide, and its market share is still rising. Two, Amazon is the third-largest adtech company worldwide, and its market share continues to increase. Three, Amazon Web Services (AWS) is the leader in cloud computing, and its market share rivals that of <strong>Microsoft</strong> Azure and <strong>Alphabet</strong>'s Google Cloud combined.</p><p>That last point is particularly salient because it positions the company as an epicenter for artificial intelligence (AI) innovation. Indeed, consultancy <strong>Gartner</strong> recently recognized AWS as a leader in cloud AI developer services, and the company is pressing its advantage by investing heavily in AI product development. Those efforts have already borne fruit. Amazon Bedrock is a new cloud service that allows businesses to access and customize pre-trained large language models to build generative AI applications.</p><p>However, CEO Andy Jassy recently highlighted an even more compelling reason why AWS is well positioned to be a category leader in generative AI, saying: "People want to bring generative AI models to the data, not the other way around. AWS not only has the broadest array of storage, database, analytics, and data management services for customers, it also has more customers and data stores than anybody else."</p><p>Here's the upshot: Straits Research says retail e-commerce sales will increase by 8% annually through 2030, and Grand View Research says the adtech and cloud computing markets will grow 14% annually during that period. Meanwhile, Bloomberg Intelligence expects the generative AI market to compound at a 42% growth rate annually through 2033. Those figures imply low-double-digit sales growth for Amazon (at a minimum) for the foreseeable future, which makes its current valuation of 2.7 times sales look cheap. That's why this Warren Buffett stock is worth buying.</p><h2 id=\"id_1496415271\">2. Snowflake</h2><p>Data is the cornerstone of AI, and Snowflake helps businesses manage big data across public clouds and private infrastructure. Its platform supports multiple workloads that businesses have traditionally tackled with a patchwork of tools, including data engineering for ingestion, data lakes for storage, and data warehousing for analytics. But product consolidation is not its only advantage.</p><p>One of Snowflake's greatest selling points is its cloud neutrality, meaning it supports those workloads across all three major public clouds. Snowflake also allows customers to securely share, buy, and sell data, which creates a potentially powerful network effect: its platform becomes increasingly valuable as more businesses onboard data. No other company offers the same breadth of functionality and flexibility.</p><p>Snowflake reported solid financial results in the second quarter of fiscal 2024 (ended July 31). Its customer count increased 25% to 8,537, and the average customer spent 42% more over the past year. In turn, revenue soared 37% to $640 million, and non-GAAP earnings improved to $0.22 per diluted share, up from $0.01 per diluted share in the year-ago period.</p><p>Turning to the future, investors have good reason to think Snowflake can maintain its growth trajectory. CEO Frank Slootman provided the following insight during the latest earnings call: "Data sharing makes Snowflake uniquely positioned to enable AI workloads." Slootman also said enterprises cannot have an AI strategy without first developing a data strategy.</p><p>That AI tailwind, coupled with the broader benefits of developing a data strategy, should help Snowflake achieve its medium-term target of $10 billion in annual revenue by fiscal 2029 (ends Jan. 31, 2029). That implies annual revenue growth of 37% over the next four-and-a-half years.</p><p>In that context, Snowflake's current valuation of 21.4 times sales looks reasonable, and it's certainly a discount to the three-year average of 66.4 times sales. Investors should feel comfortable buying a small position in this growth stock today. But product consolidation is not its only advantage.One of Snowflake's greatest selling points is its cloud neutrality, meaning it supports those workloads across all three major public clouds. Snowflake also allows customers to securely share, buy, and sell data, which creates a potentially powerful network effect: its platform becomes increasingly valuable as more businesses onboard data. No other company offers the same breadth of functionality and flexibility.Snowflake reported solid financial results in the second quarter of fiscal 2024 (ended July 31). Its customer count increased 25% to 8,537, and the average customer spent 42% more over the past year. In turn, revenue soared 37% to $640 million, and non-GAAP earnings improved to $0.22 per diluted share, up from $0.01 per diluted share in the year-ago period.Turning to the future, investors have good reason to think Snowflake can maintain its growth trajectory.
