tg-height=\"501\"/></p><p>多年以后,马斯克在回忆自己的特斯拉生涯的时候,或许还会想起那个遥远的冬日下午,他在上海工厂激动跳舞的场景。正是中国让特斯拉度过了难关,开启了股价飙升,也解锁了他的财富密码。</p><p>那是2020年的1月7日,特斯拉上海超级工厂举办正式交付典礼,马斯克乘坐私人飞机,专程从加州赶来参加活动,与上海市领导一道向普通车主交付了10辆国产Model 3,并且正式启动了Model Y量产项目。</p><p>那个时候,特斯拉在中国的品牌定位堪比奔驰宝马。面对台下粉丝此起彼伏的尖叫声,马斯克的心情无比舒畅,一时兴起脱下外套,在台上即兴扭动了起来。他的姿势相当僵硬,舞步略显笨拙,但是兴奋之情溢于言表。</p><p><strong>上海化解了特斯拉产能危机</strong></p><p>上海是马斯克的福地,这座工厂是特斯拉的救星。在上海工厂投产之前的那两年,马斯克一直在为Model 3的产能焦头烂额,几乎睡在了唯一的硅谷弗里蒙特工厂。产能上不去,就无法交付,资金急剧消耗的特斯拉面临着严重的现金流危机。</p><p>上海超级工厂就是马斯克的救命稻草。这是中国第一个外商独资汽车组装厂,也是特斯拉在美国以外的第一条组装线。中国速度让马斯克大为惊叹:这座占地86万平方米的工厂从2019年1月破土动工,到2019年12月底投产交付,只用了11个月时间。</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/4307c66f0425e2e5479e72349e73f952\" alt=\"\" title=\"\" tg-width=\"1080\" tg-height=\"720\"/></p><p>更令马斯克感动的是上海雪中送炭的招商政策:上海政府不仅以极低的价格提供了工厂土地,更提供了低息的人民币400亿元贷款,帮助当时现金流极度吃紧的特斯拉建立起了工厂。当然,特斯拉需要在未来满足纳税目标,才能完全获得这些优惠待遇。</p><p>这是一笔多赢的项目。上海政府引进了一个门面项目,树立起了最好的招商形象;特斯拉解决了困扰许久的产能难题,更靠国产化打开了巨大的中国市场;而中国电动车产业链更是随着特斯拉的入局,开始加速增长壮大,短短三年时间就成为了全球最大的电动车生产地和出口国。</p><p>上海工厂的投产彻底解决了特斯拉的产能危机。2019年,特斯拉产量总计36.5万辆,随后的三年时间(2020-2022年)就急剧增加到50.9万、93万和137万辆。</p><p>而其中上海工厂成为绝对主力,在三年生产了15.4万、48.6万以及72.5万辆,占特斯拉全球产量比重从30%提升到53%。或许超出马斯克预期的是,上海工厂的产能不仅保障了中国市场的需求,还出口到欧洲和澳洲等市场。</p><p>此外,在上海建厂还为特斯拉解锁了中国这个全球最大的新能源车市场。2019年特斯拉中国销量仅有4万台,2020年国产化之后就达到了到了14.8万辆,其中94%来自国产Model 3。随后的三年,特斯拉中国销量更是达到了32.07万、43.98万以及60.37万辆。</p><p>正是从上海工厂投产化解特斯拉产能危机,打开巨大的中国市场之后,特斯拉的股价才开始了加速飙升。数字说明了一切,2018年底特斯拉市值仅有574亿美元,2019年底达到757亿美元,到了2020年底就达到了6689亿美元,2021年底更是突破了1.06万亿美元,成为全球车企第一股。</p><p>不难理解,在随后的日子里,马斯克一直对中国充满好感。在“中国威胁论”才是政治正确的美国舆论,马斯克多次逆流公开赞赏中国的方方面面:从新能源到航天产业,从中国的营商环境到中国工人的勤奋工作。他甚至大赞中国充满正能量,批评美国人“自以为是”。</p><p><strong>不可能实现的天价薪酬</strong></p><p>对马斯克自己来说,上海工厂的投产不仅救了特斯拉的产能危机,更是开启了他的财富密码,推动了特斯拉的股价飙升,解锁了他的天价薪酬计划,让他成为了全球首富。</p><p>马斯克的资产飙升,主要来自于他与特斯拉签订的一份天价薪酬激励协议。2018年,马斯克与特斯拉董事会达成薪资计划:马斯克自愿放弃所有工资和奖金,仅领取1美元工资(只是因为报税需求)。但如果马斯克能够带领特斯拉实现业绩和市值等诸多预期目标,则将分12期获得相当于2030万股特斯拉股票的期权(约占特斯拉流通股的12%)。</p><p>当然,特斯拉董事会为此设定了明确的业绩目标:特斯拉需要达到千亿美元市值的最低门槛,才能让这份薪酬计划正式生效。之后特斯拉市值每增长500亿美元(最高到6500亿美元),马斯克就可以获得169万股股票的期权激励,相当于特斯拉市值的1%。而且这些期权兑现之后,还有五年的禁售锁定期。</p><p>其实,当时这一薪酬并没有引起太多的争议。毕竟2018年的时候,特斯拉还处在最艰难的时候,Model 3量产遭遇困难,迟迟无法规模交付,特斯拉现金急剧消耗,甚至有资金耗尽的风险。特斯拉股票更是吸引了股市空头,成为最大的做空目标。</p><p>或许当时根本没多少人会相信马斯克居然可以一一完成这些业绩目标,从而拿到当初约定的所有激励期权。但马斯克是真的相信。2018年初他就公开表示,自己相信特斯拉市值会在未来十年超过万亿美元关口。</p><p>或许马斯克自己也没想到,仅仅三年半之后,特斯拉市值就突破了万亿美元。随着这些激励期权的依次兑现,马斯克的个人资产从200亿美元急剧膨胀至一度超过2000亿美元,他也超越贝索斯成为全球新首富。</p><p><strong>督促股东批准天价薪酬</strong></p><p>然而,在特斯拉成为全球车企第一股之后,马斯克的这份天价薪酬却面临着不确定性,需要在今年6月的股东大会上进行重新表决。上周四,特斯拉再次公开督促股东需要批准这一史上最大金额的薪酬计划。</p><p>由于遭到股东的维权诉讼,特拉华州衡平法院法官凯瑟琳·麦克考米克(Kathaleen McCormick)今年2月作出判决,认定特斯拉董事会授予马斯克薪酬协议的过程存在严重问题(Deeply Flawed),因此否决了这份价值几百亿美元的薪酬,要求特斯拉董事会重新审议授予马斯克的薪酬计划。</p><p>没有人可以否认马斯克对特斯拉的贡献。他是作为最早的投资人,加入特斯拉担任董事长,随后自己直接领导团队担任CEO,带领特斯拉连续推出Roadster、Model S、Model X、Mode 3、Mode Y、Semi卡车、Cybertruck等多款车型,在美国、中国、欧洲开设超级工厂,成为全球新能源车的领头羊。</p><p>从实际成效来说,马斯克完全有资格获得这份高达560亿美元的天价薪酬。因为他从特斯拉获得的价值数百亿美元期权,是建立在他一一实现诸多看似不可能的业绩和市值指标之上的。</p><p>但麦克考米克法官作出这一判决的理由,并不是马斯克个人对特斯拉的贡献是否配得上这份薪酬,而是特斯拉董事会当时是在马斯克主导下,没有充分履行董事会的独立制衡职责,因此她只是要求特斯拉董事会重新审议表决这份薪酬计划。</p><p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/60f60916453fe7eb3ec9d2f8bb3569e9\" alt=\"\" title=\"\" tg-width=\"1080\" tg-height=\"518\"/></p><p>马斯克显然对这一判决大为光火,他不仅在X社交平台(此前的推特)上连续吐槽和嘲讽麦克考米克法官,还公开威胁要把特斯拉的注册地从特拉华州改到得克萨斯州,未来再也不用受特拉华州衡平法院的束缚。因此,今年6月的特斯拉股东大会上,股东们除了表决是否重新授予马斯克560亿美元的天价薪酬之外,还要表决是否更改特斯拉的注册地。</p><p>然而,目前或许是马斯克向股东要求天价薪酬的最尴尬时机,因为特斯拉目前正处于前所未有的困境,股价走势持续低迷。</p><p>今年以来美国股市全线上涨,但特斯拉股价同期却下跌了超过40%,成为表现最差的标准普尔500指数成分股。曾经股价气势如虹连翻数倍,市值超过万亿美元的特斯拉,如今却成为了表现最低迷股票,市值只剩下了4600亿美元(但依然是全球车企第一股)。</p><p>特斯拉第三大个人股东、持股35亿美元的廖凯原表示,他会用自己2700万股持股,投票反对马斯克550亿美元的薪酬计划。他是第一位站出来反对马斯克的主要股东。值得一提的是,廖凯原曾经是马斯克最坚定的支持者,投资特斯拉也让他受益颇丰。</p><p>但随着特斯拉股价在过去一年陷入低迷,马斯克在推特和SpaceX以及脑神经公司Neuralink分散了太多精力,廖凯原对马斯克也各种不满。去年年初开始,他甚至公开表示,如果马斯克不能专注于领导特斯拉,就应该辞去特斯拉CEO的职位。</p><p><strong>前所未有的销售困境</strong></p><p>特斯拉股价表现低迷的主要原因是,这家新能源领头羊正处在前所未有的销售困境中。如果说此前特斯拉的危机是无法提升产能,供不应求的话,那么现在特斯拉的尴尬则是供过于求,车子卖不动了。</p><p>本月公布的初步业绩显示,特斯拉第一季度产量为43.37万辆,但交付量仅为38.68万辆,不仅同比下滑8.5%,更远远低于分析师最初预期的44.9万辆。这是2020年因为新冠疫情影响之后的首次交付量下滑。Model 3和Y这两部低价车型交付量下滑了10%,占总交付量的95.6%。Model S/Y以及CyberTruck这些高端车型加起来也只有不到4.5个百分点。</p><p>今年年初马斯克曾经表示,特斯拉新车型将在2025年底至2026年初量产,在此之前销量增长可能会大幅放缓,但并没有给出具体的增长目标。马斯克已经完全不再提此前设立的年增长50%的目标了,因为根本不可能实现。分析师当时预计特斯拉今年销量可能只会增长20%,远远低于去年的38%。</p><p>但从第一季度的情况来看,特斯拉面临的实际挑战远远超过了此前预期,不只是放缓增长,而是大幅下滑。中国和美国是特斯拉最大的两个市场,而在美国市场增长放缓的同时,特斯拉又在中国市场陷入了红海竞争。</p><p>销量大幅下滑意味着库存压力日增。过去八个季度,特斯拉有七个季度的产量都超过了交付量,第一季度又超出了4.66万辆,这意味着特斯拉面临着日益严重的库存压力。在没有新车型上市的情况下,特斯拉只能再度通过降价来刺激销售以及缓解库存压力。</p><p>Cybertruck并不能给特斯拉带来急需的销量提升。马斯克此前就表示,Cybertruck不太可能在年底带来正向现金流。目前投产的Cybertruck只是售价超过10万美元的最高端型号,而且产能也面临着问题。据美国媒体报道,特斯拉近期已经推迟了Cybertruck的交付日期。</p><p><strong>只能以降价和裁员应对</strong></p><p>在企业面临销售危机的时候,马斯克目前能想到的最直接应对手段就是降价和裁员。</p><p>上周一,马斯克发布内部备忘录,宣布需要降本增效,全球裁员10%,这是特斯拉创办以来最大规模的裁员力度。在裁员的同时,负责电池业务的高级副总裁巴格里诺(Drew Baglino)等两位高管也宣布离职。</p><p>值得一提的是,此次特斯拉全球大裁员,中国业务也成为了裁员重灾区。据中国媒体报道,特斯拉中国区的裁员比例普遍在20%左右,个别部门甚至高达50%,销售部门成为了裁员大头,几乎每个门店都有裁员。</p><p>上周四,特斯拉再次宣布全球降价,Model Y最低售价下调至4.29万美元,高级辅助驾驶FSD软件价格也从1.2万美元下调至8000美元,每月订阅价格从199美元下调至99美元。此前刚刚上调价格的特斯拉中国也全线降价1.4万元,Model 3和Model Y起售价格下调至人民币23.19万和24.99万元。</p><p>但是,降价也是一柄双刃剑:不仅会拉低特斯拉的利润率,还会严重损伤消费者未来购买电动车的动力。特斯拉新车价格大幅下调,自然也会带动二手车残余价值显著缩水,行业龙头大幅降价,还会拉低其他电动车的整体价格。</p><p>据美国汽车行业研究机构iSeeCars调查,过去一年美国车龄1-5年的二手电动车残余价值缩水了31.8%,平均一年价值减少了1.44万美元,而同期传统燃油车的价值仅仅减少了3.65%,二手混动车的价值缩水6.5%。</p><p>iSeeCars分析师鲍尔(Karl Brauer)看来,二手电车价格下滑会让更多人开上电动车,但也会挫伤消费者购买新车的意愿。“新车买了就大幅贬值,这实际上是买新车最贵的部分。越来越多的购车者了解到电动车价值会大幅缩水,他们购买新车的兴趣也会受到影响。”</p><p><strong>中国市场份额持续下滑</strong></p><p>虽然马斯克否认特斯拉已经放弃了入门车Model 2的开发计划,但他已经将未来重心转向基于Model 2打造无人出租车业务,宣布会在8月8日发布无人出租车业务。然而,无人车概念无法给特斯拉低迷股价带来有效提升。</p><p>在特斯拉产品供不应求,忙于提升产能的时候,马斯克曾经骄傲地宣布,特斯拉不需要广告,也不需要请代言人。他甚至解散了特斯拉美国的公关部门,认为不需要花费精力与媒体打交道,好产品自己会吸引媒体报道。</p><p>但到了特斯拉供过于求,为销量发愁的现在,马斯克也不得不放弃了此前的立场。特斯拉已经在他自己的X平台上投放了20万美元的社交广告,回到了他所鄙视的Facebook平台,甚至也开始为媒体负担活动的差旅费用。原来到了为销售发愁的时候,特斯拉和其他车企并没有什么不同。</p><p>美国和中国是特斯拉最大的两个市场。但特斯拉在两个市场面临着着不同的挑战:美国电动车市场已经明显降温,混动车才是消费者的最爱,而在全球最大的新能源车市场中国,在强势崛起的中国车企面前,特斯拉的产品竞争力和品牌影响力已经明显下滑。</p><p>与四年前特斯拉刚刚国产化时一枝独秀领先的时候不同,现在中国新能源车市场已经竞争白热化:不仅有比亚迪、吉利等诸多新能源巨头,有理想、蔚来等新势力车企,还吸引了华为、小米等科技巨头先后入场。(注:华为是合作造车,并没有亲自造整车。)</p><p>在国产车企不断发布新车,市场竞争日益加剧之际,迟迟未有新车型发布的特斯拉已经没有了太多产品竞争力。过去几年时间,特斯拉在中国市场的占有率不断下滑,去年年底,特斯拉中国市场份额已经从2021年的16%下滑到6.7%。</p><p>特斯拉上一次陷入产能危机,是高效运作的上海工厂拯救了马斯克。但这一次特斯拉面临的却是销售危机,中国或许真的帮不上他了。</p></body></html>","source":"lsy1635144614083","collect":0,"html":"<!DOCTYPE 3,并且正式启动了Model Y量产项目。那个时候,特斯拉在中国的品牌定位堪比奔驰宝马。面对台下粉丝此起彼伏的尖叫声,马斯克的心情无比舒畅,一时兴起脱下外套,在台上即兴扭动了起来。他的姿势相当僵硬,舞步略显笨拙,但是兴奋之情溢于言表。上海化解了特斯拉产能危机上海是马斯克的福地,这座工厂是特斯拉的救星。在上海工厂投产之前的那两年,马斯克一直在为Model 3的产能焦头烂额,几乎睡在了唯一的硅谷弗里蒙特工厂。产能上不去,就无法交付,资金急剧消耗的特斯拉面临着严重的现金流危机。上海超级工厂就是马斯克的救命稻草。这是中国第一个外商独资汽车组装厂,也是特斯拉在美国以外的第一条组装线。中国速度让马斯克大为惊叹:这座占地86万平方米的工厂从2019年1月破土动工,到2019年12月底投产交付,只用了11个月时间。更令马斯克感动的是上海雪中送炭的招商政策:上海政府不仅以极低的价格提供了工厂土地,更提供了低息的人民币400亿元贷款,帮助当时现金流极度吃紧的特斯拉建立起了工厂。当然,特斯拉需要在未来满足纳税目标,才能完全获得这些优惠待遇。这是一笔多赢的项目。上海政府引进了一个门面项目,树立起了最好的招商形象;特斯拉解决了困扰许久的产能难题,更靠国产化打开了巨大的中国市场;而中国电动车产业链更是随着特斯拉的入局,开始加速增长壮大,短短三年时间就成为了全球最大的电动车生产地和出口国。上海工厂的投产彻底解决了特斯拉的产能危机。2019年,特斯拉产量总计36.5万辆,随后的三年时间(2020-2022年)就急剧增加到50.9万、93万和137万辆。而其中上海工厂成为绝对主力,在三年生产了15.4万、48.6万以及72.5万辆,占特斯拉全球产量比重从30%提升到53%。或许超出马斯克预期的是,上海工厂的产能不仅保障了中国市场的需求,还出口到欧洲和澳洲等市场。此外,在上海建厂还为特斯拉解锁了中国这个全球最大的新能源车市场。2019年特斯拉中国销量仅有4万台,2020年国产化之后就达到了到了14.8万辆,其中94%来自国产Model 3。随后的三年,特斯拉中国销量更是达到了32.07万、43.98万以及60.37万辆。正是从上海工厂投产化解特斯拉产能危机,打开巨大的中国市场之后,特斯拉的股价才开始了加速飙升。数字说明了一切,2018年底特斯拉市值仅有574亿美元,2019年底达到757亿美元,到了2020年底就达到了6689亿美元,2021年底更是突破了1.06万亿美元,成为全球车企第一股。不难理解,在随后的日子里,马斯克一直对中国充满好感。在“中国威胁论”才是政治正确的美国舆论,马斯克多次逆流公开赞赏中国的方方面面:从新能源到航天产业,从中国的营商环境到中国工人的勤奋工作。他甚至大赞中国充满正能量,批评美国人“自以为是”。不可能实现的天价薪酬对马斯克自己来说,上海工厂的投产不仅救了特斯拉的产能危机,更是开启了他的财富密码,推动了特斯拉的股价飙升,解锁了他的天价薪酬计划,让他成为了全球首富。马斯克的资产飙升,主要来自于他与特斯拉签订的一份天价薪酬激励协议。2018年,马斯克与特斯拉董事会达成薪资计划:马斯克自愿放弃所有工资和奖金,仅领取1美元工资(只是因为报税需求)。但如果马斯克能够带领特斯拉实现业绩和市值等诸多预期目标,则将分12期获得相当于2030万股特斯拉股票的期权(约占特斯拉流通股的12%)。当然,特斯拉董事会为此设定了明确的业绩目标:特斯拉需要达到千亿美元市值的最低门槛,才能让这份薪酬计划正式生效。之后特斯拉市值每增长500亿美元(最高到6500亿美元),马斯克就可以获得169万股股票的期权激励,相当于特斯拉市值的1%。而且这些期权兑现之后,还有五年的禁售锁定期。其实,当时这一薪酬并没有引起太多的争议。毕竟2018年的时候,特斯拉还处在最艰难的时候,Model 3量产遭遇困难,迟迟无法规模交付,特斯拉现金急剧消耗,甚至有资金耗尽的风险。特斯拉股票更是吸引了股市空头,成为最大的做空目标。或许当时根本没多少人会相信马斯克居然可以一一完成这些业绩目标,从而拿到当初约定的所有激励期权。但马斯克是真的相信。2018年初他就公开表示,自己相信特斯拉市值会在未来十年超过万亿美元关口。或许马斯克自己也没想到,仅仅三年半之后,特斯拉市值就突破了万亿美元。随着这些激励期权的依次兑现,马斯克的个人资产从200亿美元急剧膨胀至一度超过2000亿美元,他也超越贝索斯成为全球新首富。督促股东批准天价薪酬然而,在特斯拉成为全球车企第一股之后,马斯克的这份天价薪酬却面临着不确定性,需要在今年6月的股东大会上进行重新表决。上周四,特斯拉再次公开督促股东需要批准这一史上最大金额的薪酬计划。由于遭到股东的维权诉讼,特拉华州衡平法院法官凯瑟琳·麦克考米克(Kathaleen Y起售价格下调至人民币23.19万和24.99万元。但是,降价也是一柄双刃剑:不仅会拉低特斯拉的利润率,还会严重损伤消费者未来购买电动车的动力。特斯拉新车价格大幅下调,自然也会带动二手车残余价值显著缩水,行业龙头大幅降价,还会拉低其他电动车的整体价格。据美国汽车行业研究机构iSeeCars调查,过去一年美国车龄1-5年的二手电动车残余价值缩水了31.8%,平均一年价值减少了1.44万美元,而同期传统燃油车的价值仅仅减少了3.65%,二手混动车的价值缩水6.5%。iSeeCars分析师鲍尔(Karl Brauer)看来,二手电车价格下滑会让更多人开上电动车,但也会挫伤消费者购买新车的意愿。“新车买了就大幅贬值,这实际上是买新车最贵的部分。越来越多的购车者了解到电动车价值会大幅缩水,他们购买新车的兴趣也会受到影响。”中国市场份额持续下滑虽然马斯克否认特斯拉已经放弃了入门车Model 2的开发计划,但他已经将未来重心转向基于Model Notably, BYD outsold Tesla in Chinese EV sales by 29% in the first half of this year.</p><h2 id=\"id_1058043381\">Tesla Has a New Class-Action Lawsuit</h2><p>TSLA stock is making headlines due to a fresh class-action lawsuit related to range accuracy.</p><p>The lawsuit accuses Tesla of exaggerating its EVs’ range in marketing and using a diversion team to avoid addressing customer complaints about range.</p><p>The legal action, represented by Milberg Coleman Bryson Phillips Grossman, involves three plaintiffs alleging Tesla didn’t address their legitimate range concerns.</p><p>Although a class-action lawsuit poses some concern for Tesla stock, its impact remains minimal for now. Shares have experienced only a slight dip on Thursday.</p><p>However, the lawsuit’s outcome might become a negative trigger, influencing stock performance. Investors in TSLA stock need to monitor the legal proceedings for potential long-term implications.</p><h2 id=\"id_265789913\">Tesla Stock Downgrades</h2><p>While I generally support long-term investment in Tesla, current valuation worries advise against immediate stock entry.</p><p>UBS analyst Patrick Hummel, like me, recognizes Tesla’s merits but recently shifted his rating from “buy” to “hold.” It appears his primary concern is the stock’s overvaluation.</p><p>Tesla leads globally in electric and autonomous mobility, though the upcoming year suggests a balanced risk/reward scenario, as noted by Hummel.</p><p>Like him, I appreciate Tesla’s strides in affordable EVs, but I also find the risk-to-reward balance for Tesla stock more “balanced” than enticingly “attractive.” </p><p>This sentiment is highlighted by Tesla’s high non-GAAP trailing 12-month price-to-earnings (P/E) ratio of 65.01x, notably surpassing the sector’s median of 13.17x.</p><h2 id=\"id_3179414297\">TSLA Valuation is Not Attractive</h2><p>Tesla has thrived by expanding manufacturing and capitalizing on low commodity costs and vehicle pricing power for improved margins.</p><p>However, this advantageous situation is shifting. Y量产项目。</p><p>那个时候,特斯拉在中国的品牌定位堪比奔驰宝马。面对台下粉丝此起彼伏的尖叫声,马斯克的心情无比舒畅,一时兴起脱下外套,在台上即兴扭动了起来。他的姿势相当僵硬,舞步略显笨拙,但是兴奋之情溢于言表。</p><p><strong>上海化解了特斯拉产能危机</strong></p><p>上海是马斯克的福地,这座工厂是特斯拉的救星。在上海工厂投产之前的那两年,马斯克一直在为Model 3的产能焦头烂额,几乎睡在了唯一的硅谷弗里蒙特工厂。产能上不去,就无法交付,资金急剧消耗的特斯拉面临着严重的现金流危机。</p><p>上海超级工厂就是马斯克的救命稻草。这是中国第一个外商独资汽车组装厂,也是特斯拉在美国以外的第一条组装线。中国速度让马斯克大为惊叹:这座占地86万平方米的工厂从2019年1月破土动工,到2019年12月底投产交付,只用了11个月时间。</p><p tg-height=\"720\"/></p><p>更令马斯克感动的是上海雪中送炭的招商政策:上海政府不仅以极低的价格提供了工厂土地,更提供了低息的人民币400亿元贷款,帮助当时现金流极度吃紧的特斯拉建立起了工厂。当然,特斯拉需要在未来满足纳税目标,才能完全获得这些优惠待遇。</p><p>这是一笔多赢的项目。上海政府引进了一个门面项目,树立起了最好的招商形象;特斯拉解决了困扰许久的产能难题,更靠国产化打开了巨大的中国市场;而中国电动车产业链更是随着特斯拉的入局,开始加速增长壮大,短短三年时间就成为了全球最大的电动车生产地和出口国。</p><p>上海工厂的投产彻底解决了特斯拉的产能危机。2019年,特斯拉产量总计36.5万辆,随后的三年时间(2020-2022年)就急剧增加到50.9万、93万和137万辆。</p><p>而其中上海工厂成为绝对主力,在三年生产了15.4万、48.6万以及72.5万辆,占特斯拉全球产量比重从30%提升到53%。或许超出马斯克预期的是,上海工厂的产能不仅保障了中国市场的需求,还出口到欧洲和澳洲等市场。</p><p>此外,在上海建厂还为特斯拉解锁了中国这个全球最大的新能源车市场。2019年特斯拉中国销量仅有4万台,2020年国产化之后就达到了到了14.8万辆,其中94%来自国产Model 3。随后的三年,特斯拉中国销量更是达到了32.07万、43.98万以及60.37万辆。</p><p>正是从上海工厂投产化解特斯拉产能危机,打开巨大的中国市场之后,特斯拉的股价才开始了加速飙升。数字说明了一切,2018年底特斯拉市值仅有574亿美元,2019年底达到757亿美元,到了2020年底就达到了6689亿美元,2021年底更是突破了1.06万亿美元,成为全球车企第一股。</p><p>不难理解,在随后的日子里,马斯克一直对中国充满好感。在“中国威胁论”才是政治正确的美国舆论,马斯克多次逆流公开赞赏中国的方方面面:从新能源到航天产业,从中国的营商环境到中国工人的勤奋工作。他甚至大赞中国充满正能量,批评美国人“自以为是”。</p><p><strong>不可能实现的天价薪酬</strong></p><p>对马斯克自己来说,上海工厂的投产不仅救了特斯拉的产能危机,更是开启了他的财富密码,推动了特斯拉的股价飙升,解锁了他的天价薪酬计划,让他成为了全球首富。</p><p>马斯克的资产飙升,主要来自于他与特斯拉签订的一份天价薪酬激励协议。2018年,马斯克与特斯拉董事会达成薪资计划:马斯克自愿放弃所有工资和奖金,仅领取1美元工资(只是因为报税需求)。但如果马斯克能够带领特斯拉实现业绩和市值等诸多预期目标,则将分12期获得相当于2030万股特斯拉股票的期权(约占特斯拉流通股的12%)。</p><p>当然,特斯拉董事会为此设定了明确的业绩目标:特斯拉需要达到千亿美元市值的最低门槛,才能让这份薪酬计划正式生效。之后特斯拉市值每增长500亿美元(最高到6500亿美元),马斯克就可以获得169万股股票的期权激励,相当于特斯拉市值的1%。而且这些期权兑现之后,还有五年的禁售锁定期。</p><p>其实,当时这一薪酬并没有引起太多的争议。毕竟2018年的时候,特斯拉还处在最艰难的时候,Model 3量产遭遇困难,迟迟无法规模交付,特斯拉现金急剧消耗,甚至有资金耗尽的风险。特斯拉股票更是吸引了股市空头,成为最大的做空目标。</p><p>或许当时根本没多少人会相信马斯克居然可以一一完成这些业绩目标,从而拿到当初约定的所有激励期权。但马斯克是真的相信。2018年初他就公开表示,自己相信特斯拉市值会在未来十年超过万亿美元关口。</p><p>或许马斯克自己也没想到,仅仅三年半之后,特斯拉市值就突破了万亿美元。随着这些激励期权的依次兑现,马斯克的个人资产从200亿美元急剧膨胀至一度超过2000亿美元,他也超越贝索斯成为全球新首富。</p><p><strong>督促股东批准天价薪酬</strong></p><p>然而,在特斯拉成为全球车企第一股之后,马斯克的这份天价薪酬却面临着不确定性,需要在今年6月的股东大会上进行重新表决。上周四,特斯拉再次公开督促股东需要批准这一史上最大金额的薪酬计划。</p><p>由于遭到股东的维权诉讼,特拉华州衡平法院法官凯瑟琳·麦克考米克(Kathaleen China-made vehicle sales dropped by 31% in July compared to June, marking the first month-to-month decline since December.</p><p>This decline coincides with a legal class action by California Tesla owners, who accuse the company of false advertising and breaching warranties.</p><p>In contrast, Chinese competitors like <strong>BYD</strong> (OTCMKTS:<strong>BYDDF</strong>), <strong>Nio</strong> (NYSE:<strong>NIO</strong>), <strong>XPeng</strong> (NYSE:<strong>XPEV</strong>), and <strong>Li Auto</strong> (NASDAQ:<strong>LI</strong>) reported significantly increased July deliveries.</p><p>In July, Tesla sold 64,285 electric vehicles (EVs) produced in China, marking a significant 128% increase compared to the same period last year when production was limited because of factory upgrades. </p><p>Chinese competitors like BYD experienced rapid growth, with a 61% YoY rise in July sales, totaling 261,105 vehicles, including EVs, hybrids, and exports.
