The news sent Tesla’s stock price plunging when markets opened the next day.

The timing of the stock sales raises a crucial question: Did Mr. Musk know that business had slowed when he sold his shares? Tesla hadn’t updated investors on its outlook in nearly two months.

“This should be of great interest to the SEC,” said James Cox, a securities-law professor at Duke University who has testified before Congress about insider trading. “The issue here is, what did he know and what was the market anticipating when he sold? That’s a critical moment.”

Mr. Musk and Tesla didn’t respond to requests for comment. The Securities and Exchange Commission declined to comment.

Mr. Musk sold nearly 22 million shares Dec. 12 -14 at an average price of about $163 a share, according to a regulatory filing. When the stock closed on Jan. 3 at just over $108, the shares Mr. Musk sold the prior month had declined in value by $1.2 billion. The stock has since rebounded to about $127.

In general, the SEC’s rules prohibit corporate insiders from trading their companies’ securities while aware of material nonpublic information. Exceptions abound.

For instance, officers and directors can avoid violating the rules when they buy or sell under a preset trading schedule, known as a 10b5-1 plan. Mr. Musk has traded under such plans before, including one that ended in December 2021. However, the disclosure form he filed with the SEC for the most recent stock sales didn’t say he was using a 10b5-1 plan for those trades. Under SEC rules at the time he didn’t have to disclose on the form whether he was using such a plan.

Mr. Musk has sold more than $39 billion of Tesla shares since the stock’s November 2021 peak, including almost $23 billion last year, in part to fund his $44 billion purchase of Twitter Inc. The December sales amounted to 37% of the shares sold in 2022, according to data compiled by Refinitiv, but only 16% of the dollar amount, reflecting the stock’s sharp drop last year, when it fell 65%.

Whether Mr. Musk was aware by mid-December that deliveries would fall short of Tesla’s guidance, signs of demand weakness for Tesla vehicles had been accumulating for weeks. On Oct. 24, news reports said Tesla cut prices in China. On Dec. 1, news reports said Tesla cut prices in the U.S.

On Dec. 5, Bloomberg News reported that Tesla planned to lower production in China. Three days later, Bloomberg reported that Tesla planned to shorten worker shifts at its Shanghai factory. By Dec. 22, eight days after Mr. Musk’s sales ended, news reports said Tesla cut prices again in the U.S. and began offering 10,000 miles of free supercharging for vehicles delivered in December.

Tesla issued the guidance for fourth-quarter deliveries on Oct. 19 during a conference call to discuss its third-quarter results. Tesla’s chief financial officer, Zach Kirkhorn, told investors on the call that Tesla expected annual growth in 2022 deliveries would be “just under 50%.”

While Tesla didn’t give a more precise figure, a 45% increase in annual deliveries would have amounted to almost 449,000 deliveries during the fourth quarter. By the time Tesla reported deliveries on Jan. 2, the average estimate of analysts surveyed by Bloomberg had declined to 420,760 vehicles. Tesla missed the reduced estimate, reporting deliveries of just 405,278 vehicles.

Whether the sales-growth decline showed up in internal figures by mid-December and whether Mr. Musk saw those figures could help determine whether he might have violated insider-trading rules.

“Is it suspicious? Yes. Is it entirely possible there are other explanations? Of course. The news sent Tesla’s stock price plunging when markets opened the next day.The timing of the stock sales raises a crucial question: Did Mr. Musk know that business had slowed when he sold his shares? Tesla hadn’t updated investors on its outlook in nearly two months.“This should be of great interest to the SEC,” said James Cox, a securities-law professor at Duke University who has testified before Congress about insider trading. “The issue here is, what did he know and what was the market anticipating when he sold? That’s a critical moment.”Mr. Musk and Tesla didn’t respond to requests for comment. The Securities and Exchange Commission declined to comment.Mr. Musk sold nearly 22 million shares Dec. 12 -14 at an average price of about $163 a share, according to a regulatory filing. When the stock closed on Jan. 3 at just over $108, the shares Mr. Musk sold the prior month had declined in value by $1.2 billion. The stock has since rebounded to about $127.In general, the SEC’s rules prohibit corporate insiders from trading their companies’ securities while aware of material nonpublic information. Under SEC rules at the time he didn’t have to disclose on the form whether he was using such a plan.Mr. Musk has sold more than $39 billion of Tesla shares since the stock’s November 2021 peak, including almost $23 billion last year, in part to fund his $44 billion purchase of Twitter Inc. The December sales amounted to 37% of the shares sold in 2022, according to data compiled by Refinitiv, but only 16% of the dollar amount, reflecting the stock’s sharp drop last year, when it fell 65%.Whether Mr. Musk was aware by mid-December that deliveries would fall short of Tesla’s guidance, signs of demand weakness for Tesla vehicles had been accumulating for weeks. On Oct. 24, news reports said Tesla cut prices in China. On Dec. 1, news reports said Tesla cut prices in the U.S.On Dec. 5, Bloomberg News reported that Tesla planned to lower production in China. Three days later, Bloomberg reported that Tesla planned to shorten worker shifts at its Shanghai factory. By Dec. 22, eight days after Mr. Musk’s sales ended, news reports said Tesla cut prices again in the U.S. and began offering 10,000 miles of free supercharging for vehicles delivered in December.Tesla issued the guidance for fourth-quarter deliveries on Oct. 19 during a conference call to discuss its third-quarter results. Tesla’s chief financial officer, Zach Kirkhorn, told investors on the call that Tesla expected annual growth in 2022 deliveries would be “just under 50%.”While Tesla didn’t give a more precise figure, a 45% increase in annual deliveries would have amounted to almost 449,000 deliveries during the fourth quarter. By the time Tesla reported deliveries on Jan. 2, the average estimate of analysts surveyed by Bloomberg had declined to 420,760 vehicles. Tesla missed the reduced estimate, reporting deliveries of just 405,278 vehicles.Whether the sales-growth decline showed up in internal figures by mid-December and whether Mr. Musk saw those figures could help determine whether he might have violated insider-trading rules.“Is it suspicious? Yes. Is it entirely possible there are other explanations? Of course. But that’s what the enforcement process is all about,” said Donald Langevoort, a securities-law professor at Georgetown University and the author of a treatise on insider trading.Tesla’s deliveries recently have tended to be loaded heavily toward the end of the quarter, potentially complicating forecasts. On the Oct. 19 call, Mr. Kirkhorn said about two-thirds of third-quarter deliveries occurred in September and one-third in the final two weeks of the quarter.Mr. Musk and the SEC have tussled for years. The metaverse and gaming company reported revenue of $568 million, which missed analysts’ expectations of $604 million by about 6%. In addition, earnings per share came in at -25 cents, which missed analysts’ expectations of -11 cents. Furthermore, Roblox remains unprofitable, posting a net loss of $143.3 million compared to a loss of $58.7 million a year ago.

Source: Miguel Lagoa / Shutterstock.com

On the bright side, while revenue came in below expectations, the figure still grew by 83% year-over-year (YOY). However, the cost to fund this growth grew as well, as operating lossesmore than doubledto $139.7 million from $68.6 million YOY. On top of that, Roblox has used these expenses to fund a very wide consumer base, boasting a Q4 daily active users (DAU) figure of 49.5 million people. However, the company’s Q4 DAU slightly missed Wall Street’s expectation of 50.1 million people.

Roblox’s CFO, Michael Guthrie, commented on the report, saying:

“The foundation we put in place that allows us to invest in our business while continuing to generate strong cash flow is one of the most unique aspects of our business. Our 2021 results demonstrate that the investments we were able to make in our technology and developer community are generating strong returns, and we will continue leaning into the business as we focus on the large, long-term growth opportunity ahead of us.”

In light of the unsatisfactory earnings, investors are wondering where RBLX stock will head next. Let’s take a look at how Wall Street feels about Roblox price predictions.

RBLX Stock: Analysts Weigh In on Roblox Price Predictions

Needham has aprice target of $136. Analyst Bernie McTernan believes that Roblox is well positioned to capitalize on a $130 billion market, ex-China. At the moment, McTernan believes that Roblox has a 1% market share. Additionally, the analyst states that Roblox’s developer-based and social aspects will attract more users to the platform. Finally, McTernan adds that he expects U.S. and Canadian bookings to grow at 25% per year until 2025.

Bank of America has aprice target of $84. Analyst Omar Dessouky believes that themetaverseis still in its early stages, with Roblox acting as a tech and product leader in that sector. The analyst estimates that the company will be able to achieve a 26% bookings compounded annual growth rate (CAGR) through 2025, “excluding potential adjacencies of $2Bn.”

Jefferies has aprice target of $70. Analyst Andrew Uerkwitz believes that Wall Street growth estimates for the company are too high. Furthermore, the analyst notes, “We are happy to sit sidelined” in regards to RBLX stock. Uerkwitz would like to see “growing new payer numbers as well as an acceleration in recurring payers growth.”

","source":"lsy1606302653667","collect":0,"html":"\n
\n
\n\n\n\n
Is RBLX Stock a Buy After Huge Earnings Plunge? 3 Analysts Weigh In on Roblox Price Predictions.
\n\n
\n
\n
\n
\n
\nIs RBLX Stock a Buy After Huge Earnings Plunge? 3 Analysts Weigh In on Roblox Price Predictions.\n
\n\n
\n\n\n2022-02-17 11:23 GMT+8 InvestorPlace\n\n\n
\n\n
\n
\n
\n
Roblox is getting no love today, as RBLX stock is down more than 20% after reportingQ4 earnings. Furthermore, Roblox remains unprofitable, posting a net loss of $143.3 million compared to a loss of $58.7 million a year ago.Source: Miguel Lagoa / Shutterstock.comOn the bright side, while revenue came in below expectations, the figure still grew by 83% year-over-year (YOY). However, the company’s Q4 DAU slightly missed Wall Street’s expectation of 50.1 million people.Roblox’s CFO, Michael Guthrie, commented on the report, saying:“The foundation we put in place that allows us to invest in our business while continuing to generate strong cash flow is one of the most unique aspects of our business. Our 2021 results demonstrate that the investments we were able to make in our technology and developer community are generating strong returns, and we will continue leaning into the business as we focus on the large, long-term growth opportunity ahead of us.”In light of the unsatisfactory earnings, investors are wondering where RBLX stock will head next. Simply put, Tesla is still valued like a growth stock—but it’s not growing and isn’t expected to grow in the near term.

Even after the carnage in Tesla’s financial results and projections, its valuation remains far richer than most other public companies’ by a host of metrics: its price-to-earnings ratio—which measures projected profits over the next 12 months compared to a company’s market value—of over 50 is about three times that of the median S&P 500 company, while its earnings yield—which compares a company’s share price and its profit per share over the last year—is the 422nd-best among S&P constituents and its PEG ratio (price/earnings ratio divided by earnings growth rate) is the worst of any S&P firm valued at over $60 billion.

To boot, analysts believe Tesla’s product roadmap is not certain, as its “balls to the wall” push into autonomous driving and reported abandonment of a much-anticipated, lower-cost electric vehicle mean it will likely be a while before Tesla can return to its path of strong earnings growth and ludicrous cash generation that made many investors fall in love with it in the first place, and consensus forecasts don’t expect Tesla to recapture 2022’s record $14 billion profit until 2026.

CRUCIAL QUOTE

“The moment of truth has now arrived for [chief executive] Elon Musk and Tesla,” Wedbush analyst Dan Ives wrote to clients Friday. “Many long-time Tesla believers are giving up,” added Ives, a long-time Tesla bull whose $300 price target for Tesla stock is the highest of any analyst tracked by FactSet.

IF THINGS REALLY ARE SO DIRE, WHY IS IT STILL VALUED SO HIGHLY?

A stock only becomes overvalued compared to its fundamentals because it reflects the market has some reason to think it’s a smart bet. In short, experts believe the thesis to invest in Tesla has shifted in recent months. While it initially appealed to an investor attracted to Tesla’s central electric vehicle business, it is now more attractive to someone who believes in the company’s long-term bid on artificial intelligence, or the carmaker’s ability to make a major breakthrough in its ambitious robotaxi program, which would set a ride-hailing fleet of self-driving Tesla cars onto the road. It’s reasonable to think Tesla can pull this off, considering it grew its EV deliveries from 50,000 cars in 2015 to 1.8 million last year while maintaining incredible capital discipline. But the timeline to stick the landing is far longer than the timeline many investors are comfortable with. To illustrate, Deutsche Bank analysts projected this week that robotaxis could bring in $15 billion in gross profits for Tesla by the end of the decade, but addressing that opportunity will require solving “significant technological, regulatory and operational challenges.”

SURPRISING FACT

ExxonMobil overtook Tesla in market cap Friday, a symbolic passing of the torch from the most valuable renewable energy car company to the U.S.’ largest oil company. At its 2021 peak, Tesla was valued about $955 billion higher than ExxonMobil.

KEY BACKGROUND

Tesla has underperformed the S&P on basically any timeframe dating back to the beginning of 2021, but its returns are significantly better than the broader market for those who got in before the company’s meteoric rise close to the onset of the Covid-19 pandemic. As Tesla’s stock market troubles escalated, so did drama involving Musk, who notoriously bought the social media platform then known as Twitter for $44 billion in 2022, selling off billions of dollars of Tesla shares to do so, undertaking various controversial changes at the site and increasingly wading into political issues rarely discussed by executives of his standing. Musk’s $181 billion net worth is nearly $140 billion lower Friday than it was at its 2021 apex of $320 billion, though he remains the third-richest person in the world, according to Forbes’ calculations. Musk is by far Tesla’s largest individual shareholder at 13%, though a compensation package up for shareholder vote would enable him to up his stake to 22%.

","source":"fors","collect":0,"html":"\n
\n
\n\n\n\n
Tesla Shares Are Down 40% This Year—Here’s Why The Stock Could Fall Further
\n\n
\n
\n
\n
\n
\nTesla Shares Are Down 40% This Year—Here’s Why The Stock Could Fall Further\n
\n\n
\n\n\n2024-04-22 17:00 GMT+8 Forbes\n\n\n
\n\n
\n
\n
\n
TOPLINE Tesla stock notched another grim milestone Friday, extending stock year-to-date dive to over 40%, and there remains plenty of cause to remain highly cautious about the stock in the near term ...
\n\nWeb Link\n\n
\n\n\n
\n
\n
\n
\n","type":0,"thumbnail":"","relate_stocks":{"TSLA":"特斯拉"},"source_url":"https://www.forbes.com/sites/dereksaul/2024/04/20/tesla-shares-are-officially-down-40-this-year-heres-why-the-stock-could-fall-further/?sh=69f5ae40ec23","is_english":true,"share_image_url":"https://static.laohu8.com/e9f99090a1c2ed51c021029395664489","article_id":"1191277133","content_text":"TOPLINE Tesla stock notched another grim milestone Friday, extending stock year-to-date dive to over 40%, and there remains plenty of cause to remain highly cautious about the stock in the near term even as it grows cheaper.Tesla CEO Elon Musk unveils the Cybertruck in 2019. KEY FACTSTesla’s 2% loss to about $147 per share Friday, spurred by the company recalling all 3,878 Cybertrucks on the road, was its sixth consecutive day of a more than 1% loss and sent its share price to 65% below its split-adjusted November 2021 peak of over $400.It’s now the cheapest it’s been since last January to buy Tesla stock, but there’s plenty of negative catalysts behind the steady losses.Tesla’s nightmarish start to the year saw its January earnings reveal significant misses for both sales and profits; a 9% year-over-year decline in first-quarter vehicle deliveries, far short of forecasts of 7% growth; and comes ahead of the company’s first batch of 2024 financial results Tuesday, which analysts expect to reveal a 5% year-over-year slip in revenues and a 42% drop in profits, according to consensus forecasts compiled by FactSet.Aside from the bad headlines, what makes Tesla stock still a difficult bet? Simply put, Tesla is still valued like a growth stock—but it’s not growing and isn’t expected to grow in the near term.Even after the carnage in Tesla’s financial results and projections, its valuation remains far richer than most other public companies’ by a host of metrics: its price-to-earnings ratio—which measures projected profits over the next 12 months compared to a company’s market value—of over 50 is about three times that of the median S&P 500 company, while its earnings yield—which compares a company’s share price and its profit per share over the last year—is the 422nd-best among S&P constituents and its PEG ratio (price/earnings ratio divided by earnings growth rate) is the worst of any S&P firm valued at over $60 billion. To boot, analysts believe Tesla’s product roadmap is not certain, as its “balls to the wall” push into autonomous driving and reported abandonment of a much-anticipated, lower-cost electric vehicle mean it will likely be a while before Tesla can return to its path of strong earnings growth and ludicrous cash generation that made many investors fall in love with it in the first place, and consensus forecasts don’t expect Tesla to recapture 2022’s record $14 billion profit until 2026.CRUCIAL QUOTE“The moment of truth has now arrived for [chief executive] Elon Musk and Tesla,” Wedbush analyst Dan Ives wrote to clients Friday. “Many long-time Tesla believers are giving up,” added Ives, a long-time Tesla bull whose $300 price target for Tesla stock is the highest of any analyst tracked by FactSet.IF THINGS REALLY ARE SO DIRE, WHY IS IT STILL VALUED SO HIGHLY?A stock only becomes overvalued compared to its fundamentals because it reflects the market has some reason to think it’s a smart bet. To illustrate, Deutsche Bank analysts projected this week that robotaxis could bring in $15 billion in gross profits for Tesla by the end of the decade, but addressing that opportunity will require solving “significant technological, regulatory and operational challenges.”SURPRISING FACTExxonMobil overtook Tesla in market cap Friday, a symbolic passing of the torch from the most valuable renewable energy car company to the U.S.’ largest oil company. At its 2021 peak, Tesla was valued about $955 billion higher than ExxonMobil.KEY BACKGROUNDTesla has underperformed the S&P on basically any timeframe dating back to the beginning of 2021, but its returns are significantly better than the broader market for those who got in before the company’s meteoric rise close to the onset of the Covid-19 pandemic. On the Oct. 19 call, Mr. Kirkhorn said about two-thirds of third-quarter deliveries occurred in September and one-third in the final two weeks of the quarter.Mr. Musk and the SEC have tussled for years. In 2018, Mr. Musk and Tesla each agreed to pay $20 million to settle an SEC lawsuit over a tweet in which he wrote that he had “funding secured” to take Tesla private at a premium price. The SEC said Mr. Musk had never discussed such a deal with any potential funders and that his statement, which sent Tesla shares soaring, constituted fraud.A trial over the same episode began this week in a class-action lawsuit filed by investors against Tesla and Mr. Musk, in which Mr. Musk is expected to testify. Since its settlement with the SEC, Tesla has accused the regulator of harassing the company and Mr. Musk by repeatedly launching new investigations. An SEC spokeswoman declined to comment.","news_type":1},"isVote":1,"tweetType":1,"viewCount":136,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":9993240456,"gmtCreate":1660696830177,"gmtModify":1676536381108,"author":{"id":"3576143480447142","authorId":"3576143480447142","name":"elvinng","avatar":"https://static.laohu8.com/default-avatar.jpg","crmLevel":8,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3576143480447142","authorIdStr":"3576143480447142"},"themes":[],"htmlText":"Yes, hope he buy palantir.

The metaverse and gaming company reported revenue of $568 million, which missed analysts’ expectations of $604 million by about 6%. In addition, earnings per share came in at -25 cents, which missed analysts’ expectations of -11 cents.
