When the stock closed on Jan. 3 at just over $108, the shares Mr. Musk sold the prior month had declined in value by $1.2 billion. The stock has since rebounded to about $127.</p><p>In general, the SEC’s rules prohibit corporate insiders from trading their companies’ securities while aware of material nonpublic information. Exceptions abound.</p><p>For instance, officers and directors can avoid violating the rules when they buy or sell under a preset trading schedule, known as a 10b5-1 plan. Mr. Musk has traded under such plans before, including one that ended in December 2021. However, the disclosure form he filed with the SEC for the most recent stock sales didn’t say he was using a 10b5-1 plan for those trades. Under SEC rules at the time he didn’t have to disclose on the form whether he was using such a plan.</p><p>Mr. Musk has sold more than $39 billion of Tesla shares since the stock’s November 2021 peak, including almost $23 billion last year, in part to fund his $44 billion purchase of Twitter Inc. The December sales amounted to 37% of the shares sold in 2022, according to data compiled by Refinitiv, but only 16% of the dollar amount, reflecting the stock’s sharp drop last year, when it fell 65%.</p><p>Whether Mr. Musk was aware by mid-December that deliveries would fall short of Tesla’s guidance, signs of demand weakness for Tesla vehicles had been accumulating for weeks. On Oct. 24, news reports said Tesla cut prices in China. On Dec. 1, news reports said Tesla cut prices in the U.S.</p><p>On Dec. 5, Bloomberg News reported that Tesla planned to lower production in China. Three days later, Bloomberg reported that Tesla planned to shorten worker shifts at its Shanghai factory. By Dec. 22, eight days after Mr. Musk’s sales ended, news reports said Tesla cut prices again in the U.S. and began offering 10,000 miles of free supercharging for vehicles delivered in December.</p><p>Tesla issued the guidance for fourth-quarter deliveries on Oct. 19 during a conference call to discuss its third-quarter results. Tesla’s chief financial officer, Zach Kirkhorn, told investors on the call that Tesla expected annual growth in 2022 deliveries would be “just under 50%.”</p><p>While Tesla didn’t give a more precise figure, a 45% increase in annual deliveries would have amounted to almost 449,000 deliveries during the fourth quarter. By the time Tesla reported deliveries on Jan. 2, the average estimate of analysts surveyed by Bloomberg had declined to 420,760 vehicles. Tesla missed the reduced estimate, reporting deliveries of just 405,278 vehicles.</p><p>Whether the sales-growth decline showed up in internal figures by mid-December and whether Mr. Musk saw those figures could help determine whether he might have violated insider-trading rules.</p><p>“Is it suspicious? Yes. Is it entirely possible there are other explanations? Of course. But that’s what the enforcement process is all about,” said Donald Langevoort, a securities-law professor at Georgetown University and the author of a treatise on insider trading.</p><p>Tesla’s deliveries recently have tended to be loaded heavily toward the end of the quarter, potentially complicating forecasts. On the Oct. 19 call, Mr. Kirkhorn said about two-thirds of third-quarter deliveries occurred in September and one-third in the final two weeks of the quarter.</p><p>Mr. Musk and the SEC have tussled for years. In 2018, Mr. Musk and Tesla each agreed to pay $20 million to settle an SEC lawsuit over a tweet in which he wrote that he had “funding secured” to take Tesla private at a premium price. But that might not be the biggest concern for Tesla investors. Musk used some debt to buy Twitter, and interest payments will need to come from either the business&#39;s cash flow or some other source. Several companies have announced a suspension in advertising on Twitter until the new direction of the social media site is more clear. That could mean lower cash flow, and Musk might need to service the debt interest payments from his own funds.</p><p>The problem for Tesla shareholders is that Musk might have to sell more Tesla stock if he needs to raise short-term cash. That could be what is now impacting Tesla stock, or it could be other shareholders trying to game that potential.</p><p>For long-term investors, however, that shouldn&#39;t be a concern. In financial services, its total payment volume climbed 111% to $4.6 billion, while the number of its paying users soared 120% from a year ago.</p><p>The performance of Sea’s video game business was less impressive, but its quarterly active user base still rose 27% from a year ago to 729 million, while its bookings increased 29% to $1.2 billion and its EBITDA, excluding certain items, rose 22% to $715 million.</p><p>So, despite the challenges to all of these businesses and the difficult year-over-year comparisons created by the easing of the pandemic, the growth of all three ranged from quite respectable to tremendous.</p><p>Overall, Sea’s sales jumped 122% from last year,reaching $2.7 billion,while its gross profit surged 148% to $1 billion.</p><p>Moreover, there are multiple signs that the company has become very adept at expanding its e-commerce business to new markets. For example, the company has already had some success in Brazil, which is, of course, quite far away and very different from Sea’s home base in Southeast Asia.</p><p>During Sea’s Q3 earnings call in November, CEO Forrest Lit said, “More than 1 million local sellers in Brazil have registered with {Sea’s e-commerce website) since we started welcoming local sellers in mid-2020.”</p><p>Meanwhile, Sea’s e-commerce unit is continuing to move into new geographic markets, as it has recently expanded to Poland, France, Spain and India, Li reported.</p><p><b>Short-Run Issues</b></p><p>Obviously, the market is currently not very enchanted with tech in general and any tech businesses seen as benefiting from the pandemic in particular these days. Unfortunately for Sea, the company’s three main businesses are all in the latter category.</p><p>Two other characteristics that the Street does not like at all these days are lack of profitability and a high valuation. Sea has both of these characteristics as well.</p><p>In Q3, for example, its net loss came in at $425.26 million. While that loss was 34% better than the $571 million it shed during the same period a year earlier, the company still obviously lost a great deal of money.</p><p>On two positive notes, the company’s operating expenses dropped to $713 million in Q3 from $1.45 billion in the year-earlier period, while its EBITDA, excluding certain items, climbed to positive $120.4 million from a loss of $165.45 million.</p><p>Nevertheless, large investors are still likely to view Sea as an unprofitable enterprise.</p><p>And on the valuation front, SE stock is changing hands for nearly 15x Sea’s trailing 12-month revenue. That’s way down from the stock’s valuation of 23.6x trailing sales as of Sept. 30, but it’s still a very high price to pay for the shares.</p><p><b>The Bottom Line on SE Stock</b></p><p>Sea is rapidly growing and has tremendous long-term potential. But as shown by the fact that its shares tumbled by 33% in the last month, it’s not a good stock to buy in the current market.</p><p>As a result, rather than try to catch this falling knife, investors should wait for the market’s attitude towards names like SE stock to improve before taking a bullish position in it. Mr. Musk has traded under such plans before, including one that ended in December 2021. Three days later, Bloomberg reported that Tesla planned to shorten worker shifts at its Shanghai factory. By Dec. 22, eight days after Mr. Musk’s sales ended, news reports said Tesla cut prices again in the U.S. and began offering 10,000 miles of free supercharging for vehicles delivered in December.</p><p>Tesla issued the guidance for fourth-quarter deliveries on Oct. 19 during a conference call to discuss its third-quarter results. Tesla’s chief financial officer, Zach Kirkhorn, told investors on the call that Tesla expected annual growth in 2022 deliveries would be “just under 50%.”</p><p>While Tesla didn’t give a more precise figure, a 45% increase in annual deliveries would have amounted to almost 449,000 deliveries during the fourth quarter. By the time Tesla reported deliveries on Jan. 2, the average estimate of analysts surveyed by Bloomberg had declined to 420,760 vehicles. Tesla missed the reduced estimate, reporting deliveries of just 405,278 vehicles.</p><p>Whether the sales-growth decline showed up in internal figures by mid-December and whether Mr. Musk saw those figures could help determine whether he might have violated insider-trading rules.</p><p>“Is it suspicious? For example, the company has already had some success in Brazil, which is, of course, quite far away and very different from Sea’s home base in Southeast Asia.</p><p>During Sea’s Q3 earnings call in November, CEO Forrest Lit said, “More than 1 million local sellers in Brazil have registered with {Sea’s e-commerce website) since we started welcoming local sellers in mid-2020.”</p><p>Meanwhile, Sea’s e-commerce unit is continuing to move into new geographic markets, as it has recently expanded to Poland, France, Spain and India, Li reported.</p><p><b>Short-Run Issues</b></p><p>Obviously, the market is currently not very enchanted with tech in general and any tech businesses seen as benefiting from the pandemic in particular these days. Unfortunately for Sea, the company’s three main businesses are all in the latter category.</p><p>Two other characteristics that the Street does not like at all these days are lack of profitability and a high valuation. Sea has both of these characteristics as well.</p><p>In Q3, for example, its net loss came in at $425.26 million. While that loss was 34% better than the $571 million it shed during the same period a year earlier, the company still obviously lost a great deal of money.</p><p>On two positive notes, the company’s operating expenses dropped to $713 million in Q3 from $1.45 billion in the year-earlier period, while its EBITDA, excluding certain items, climbed to positive $120.4 million from a loss of $165.45 million.</p><p>Nevertheless, large investors are still likely to view Sea as an unprofitable enterprise.</p><p>And on the valuation front, SE stock is changing hands for nearly 15x Sea’s trailing 12-month revenue. That’s way down from the stock’s valuation of 23.6x trailing sales as of Sept. 30, but it’s still a very high price to pay for the shares.</p><p><b>The Bottom Line on SE Stock</b></p><p>Sea is rapidly growing and has tremendous long-term potential. But as shown by the fact that its shares tumbled by 33% in the last month, it’s not a good stock to buy in the current market.</p><p>As a result, rather than try to catch this falling knife, investors should wait for the market’s attitude towards names like SE stock to improve before taking a bullish position in it.
