It&#39;s still struggling, losing $0.20 per share in the second quarter of 2022 despite vastly improved attendance and revenue.</p><p>This helps explain why AMC might want to raise additional cash. But how it&#39;s going about that process should be a big problem for investors, as the company adds to a list of actions that don&#39;t look particularly shareholder-friendly.</p><h2>Putting shareholders first</h2><p>The basic logic of investing is that shareholders own the company. They hire a board of directors to oversee the management of the company; the board of directors hires a CEO to handle the day-to-day running of the business. That CEO answers to the board, which answers to shareholders. All in all, the business is supposed to be run for the benefit of its owners -- the people and institutions holding the stock.</p><p>That&#39;s a simplification of what are complex entities. There are clearly other parties involved that need to be considered, like employees, customers, and the towns where companies operate. However, good businesses understand that taking care of those constituencies also works to the benefit of shareholders. Unfortunately, all companies don&#39;t operate in the best interest of their owners.</p><p>Right now shareholders of AMC Entertainment should be worried about the moves the company is making.</p><h2>A list of problems at AMC</h2><p>When the pandemic hit in 2020, movie theaters were basically forced to shut down. It was a brutal period, and AMC&#39;s financial performance was understandably terrible. Then it somehow got sucked into the meme stock hoopla, causing its stock to rocket higher based on emotion, not financial performance. Superaggressive investors chatting on message boards were able to move the stock in often volatile fashion.</p><p>Management used the high stock price to issue shares; that provided the movie chain with much-needed cash to help it muddle through the pandemic hit. The survival of the business clearly trumped the dilution that shareholders experienced from the stock sales. Indeed, the stock would have likely been worthless if the company went bankrupt.</p><p>But something interesting happened in July 2021. AMC had been seeking approval to increase its share count so it could issue even more shares. It pulled the proposal because it was, presumably, getting pushback from shareholders. Essentially, the company&#39;s owners said no, noting that adding more shares would dilute existing shareholders even more than they had already been diluted. Although shareholders managed to protect themselves, this was an important sign that management may not have had its their best interests in mind.</p><p>And then in March 2022, AMC bought a 22% stake in <b>Hycroft Mining Holding</b>. Hycroft is a tiny gold miner, in a business that has absolutely nothing to do with movie theaters. While it makes sense for AMC to buy movie theaters, which it <i>has</i> been doing, it&#39;s hard to understand how an investment in a speculative gold company makes any sense. Shareholders had good reason too be worried about management&#39;s use of cash.</p><p>Now, the company has announced plans to issue preferred shares to investors. Although management pitched it as a benefit for shareholders, this move effectively opens the door for the company to sell additional preferred shares on the open market to raise additional capital. Cynical types might see this as a work-around after shareholders balked at more stock sales in 2021. It&#39;s also reasonable to ask why AMC put money into a gold investment if cash is so hard to get that it had to use a tactic like this.</p><h2>Long-term investors should be upset</h2><p>The trends here are not pleasing, and investors should probably be worried. AMC has been dealing with a very difficult operating environment, but some of the decisions it has made over the past couple of years don&#39;t appear to be shareholder-friendly. Although the meme-stock crowd has again started to play with AMC&#39;s stock, sending it sharply higher, management&#39;s actions suggest that the risk here is very high.</p><p>It&#39;s also worth noting that AMC recently bought back some debt on the open market at a steep 31% discount to par value. While that was probably a good use of cash, the fact that the company&#39;s bonds are trading below what they were sold at suggests that bond investors are anxious about the movie chain&#39;s ability to pay them back. It's still struggling, losing $0.20 per share in the second quarter of 2022 despite vastly improved attendance and revenue.This helps explain why AMC might want to raise additional cash. But how it's going about that process should be a big problem for investors, as the company adds to a list of actions that don't look particularly shareholder-friendly.Putting shareholders firstThe basic logic of investing is that shareholders own the company. They hire a board of directors to oversee the management of the company; the board of directors hires a CEO to handle the day-to-day running of the business. That CEO answers to the board, which answers to shareholders. All in all, the business is supposed to be run for the benefit of its owners -- the people and institutions holding the stock.That's a simplification of what are complex entities. There are clearly other parties involved that need to be considered, like employees, customers, and the towns where companies operate. However, good businesses understand that taking care of those constituencies also works to the benefit of shareholders. Unfortunately, all companies don't operate in the best interest of their owners.Right now shareholders of AMC Entertainment should be worried about the moves the company is making.A list of problems at AMCWhen the pandemic hit in 2020, movie theaters were basically forced to shut down. It was a brutal period, and AMC's financial performance was understandably terrible. Then it somehow got sucked into the meme stock hoopla, causing its stock to rocket higher based on emotion, not financial performance. Superaggressive investors chatting on message boards were able to move the stock in often volatile fashion.Management used the high stock price to issue shares; that provided the movie chain with much-needed cash to help it muddle through the pandemic hit. The survival of the business clearly trumped the dilution that shareholders experienced from the stock sales. Indeed, the stock would have likely been worthless if the company went bankrupt.But something interesting happened in July 2021. AMC had been seeking approval to increase its share count so it could issue even more shares. It pulled the proposal because it was, presumably, getting pushback from shareholders. Essentially, the company's owners said no, noting that adding more shares would dilute existing shareholders even more than they had already been diluted. Although shareholders managed to protect themselves, this was an important sign that management may not have had its their best interests in mind.And then in March 2022, AMC bought a 22% stake in Hycroft Mining Holding. Hycroft is a tiny gold miner, in a business that has absolutely nothing to do with movie theaters. While it makes sense for AMC to buy movie theaters, which it has been doing, it's hard to understand how an investment in a speculative gold company makes any sense. Shareholders had good reason too be worried about management's use of cash.Now, the company has announced plans to issue preferred shares to investors. Although management pitched it as a benefit for shareholders, this move effectively opens the door for the company to sell additional preferred shares on the open market to raise additional capital. Cynical types might see this as a work-around after shareholders balked at more stock sales in 2021. It's also reasonable to ask why AMC put money into a gold investment if cash is so hard to get that it had to use a tactic like this.Long-term investors should be upsetThe trends here are not pleasing, and investors should probably be worried. AMC has been dealing with a very difficult operating environment, but some of the decisions it has made over the past couple of years don't appear to be shareholder-friendly. Although the meme-stock crowd has again started to play with AMC's stock, sending it sharply higher, management's actions suggest that the risk here is very high.It's also worth noting that AMC recently bought back some debt on the open market at a steep 31% discount to par value. While that was probably a good use of cash, the fact that the company's bonds are trading below what they were sold at suggests that bond investors are anxious about the movie chain's ability to pay them back. You also can't blame the widespread availability of online streaming options. <i>Candyman</i> (as well as the weekend's second-highest grossing film, <i>Free Guy</i>) are exclusive theatrical releases.</p>\n<p>An easier culprit to blame right now could be the delta variant of COVID-19. The summertime surge of the deadly virus is likely keeping people away from indoor social settings, but even that's not a viable lone scapegoat. Box office receipts are 43% below the same period -- the weekend before the Labor Day holiday weekend -- in 2019. It's a safe bet that your local bars, indoor malls, and even restaurants aren't seeing a 43% plunge in sales over the past two years.</p>\n<p>This summer was supposed to be the great rebirth of going out to the movies. Studios that had to delay 2020 and even early 2021 releases are now flooding the pipeline. Comcast's Universal Studios, for example, was originally set to put out <i>Candyman</i> 13 months ago. Here we are, a couple of delays later, and audiences failed to materialize despite saying the film title five times in front of a mirror. Here's What The Data Says","url":"https://stock-news.laohu8.com/highlight/detail?id=1159574501","media":"Benzinga","summary":"Social media meme stocks GameStop Corp.(NYSE:GME) and AMC Entertainment Holdings Inc(NYSE:AMC) took ","content":"<p>Social media meme stocks&nbsp;<b>GameStop Corp.</b>(NYSE:GME) and&nbsp;<b>AMC Entertainment Holdings Inc</b>(NYSE:AMC) took a beating this week, with GameStop on track to finish the week down 9% and AMC set to lose 20.9% in Friday afternoon trading.</p>\n<p>DataTrek Research co-founder Nicholas Colas said this week&nbsp;there is an ominous sign the&nbsp;meme stock phenomenon may be dying a slow death.</p>\n<p><b>Retail Trading Boom:</b>DataTrek has been periodically tracking the boom in retail traders triggered during the pandemic in 2020 and 2021 by monitoring U.S. Google search volume for the keywords “invest” and “buy stock.” Colas said these basic search terms are a broad way to gauge marginal retail investor interest in the stock market.</p>\n<p>The image below shows how search volume for those key phrases has changed since the beginning of 2020.</p>\n<p><img src=\"https://static.tigerbbs.com/9930646712b9790171cccf12a873f757\" tg-width=\"1199\" tg-height=\"560\" referrerpolicy=\"no-referrer\"></p>\n<p>Colas said the search volume data clearly indicates the retail stock trading fad is completely over at this point, a “very bad omen” for AMC and GameStop. In fact, Google search volume is now back down to where it was before the pandemic started in early 2020.</p>\n<p>In addition, search volumes are now down 75% from their peak levels during the initial short squeezes in AMC and GameStop back in January 2021.</p>\n<p>Colas said meme stocks like AMC need new retail stock traders to join in the buying to support their stock prices else they could be headed for more volatility like they have experienced this week.</p>\n<p>“Bubbles need fresh money, or they deflate. Quickly,” Colas wrote. “Every craze needs new adherents (i.e., not just the same crowd) to keep it relevant, and the Google chart shows those are in increasingly short supply.”</p>\n<p><b>PMP Weighs In:</b>Benzinga&nbsp;PreMarket Prep co-host Dennis Dick said&nbsp;a good story can carry a stock a long way, and some stocks can even become so hot that they become temporarily disconnected from the company’s underlying fundamentals.</p>\n<p>“We have seen that in a number of meme stocks this year. Story can drive price in the short run but stocks almost always return back to their fundamental value in the long run,” Dick said.</p>\n<p>The type of disconnect between share price and underlying value that AMC and GameStop have experienced in 2021 is certainly nothing new. Canadian cannabis stock&nbsp;<b>Tilray Inc</b>(NASDAQ:TLRY) experienced a similar disconnect back in 2018 when a retail stock mania sent the stock skyrocketing up to $300. Today, Tilray is trading back down at around $13.90.</p>\n<p>“As the stock price begins to fall, momentum traders who have been chasing the hot story will begin to exit. But if the stock trades at an extreme valuation, there may be very few traders willing to buy. This is what we are starting to see in many meme stocks today,” Dick said.</p>\n<p><b>Benzinga's Take:</b>If the story begins to get hot again, the stock prices of overvalued story stocks can always recover once again. In fact, Google search volume is now back down to where it was before the pandemic started in early 2020.\nIn addition, search volumes are now down 75% from their peak levels during the initial short squeezes in AMC and GameStop back in January 2021.\nColas said meme stocks like AMC need new retail stock traders to join in the buying to support their stock prices else they could be headed for more volatility like they have experienced this week.\n“Bubbles need fresh money, or they deflate. Quickly,” Colas wrote. “Every craze needs new adherents (i.e., not just the same crowd) to keep it relevant, and the Google chart shows those are in increasingly short supply.”\nPMP Weighs In:Benzinga PreMarket Prep co-host Dennis Dick said a good story can carry a stock a long way, and some stocks can even become so hot that they become temporarily disconnected from the company’s underlying fundamentals.\n“We have seen that in a number of meme stocks this year. Story can drive price in the short run but stocks almost always return back to their fundamental value in the long run,” Dick said.\nThe type of disconnect between share price and underlying value that AMC and GameStop have experienced in 2021 is certainly nothing new. Canadian cannabis stock Tilray Inc(NASDAQ:TLRY) experienced a similar disconnect back in 2018 when a retail stock mania sent the stock skyrocketing up to $300. Today, Tilray is trading back down at around $13.90.\n“As the stock price begins to fall, momentum traders who have been chasing the hot story will begin to exit. But if the stock trades at an extreme valuation, there may be very few traders willing to buy. His research had helped wipe as much as $115 million off Farmland's market value.</p>\n<p>The parties declined requests for comment on the exact value of the settlement.</p>\n<p>Mathews conceded that \"many of the key statements\" in a report&nbsp;he published on website Seeking Alpha targeting Farmland - including allegations of dubious related-party transactions and the risk of insolvency - were wrong.</p>\n<p>\"I regret any harm the article and its inaccuracies caused,\" Mathews said in the announcement, which was posted on <a href=\"https://laohu8.com/S/TWTR\">Twitter</a> and Seeking Alpha.</p>\n<p>Paul Pittman, Farmland's chief executive officer, said in a statement that \"investors already recognize that the company was the victim of a short and distort scheme.\"</p>\n<p>Farmland shares traded around $12.50 on Monday afternoon, up from around $5 after the short campaign. The company has produced trailing total returns of 12.5% over the last three years, about 10 percentage points lower than the specialty REIT sector, according to a Morningstar tracker.</p>\n<p>Jacob Frenkel, an attorney with Dickinson Wright who has defended companies against allegations of stock manipulation and was not involved in the Farmland case, said Mathews' apology and payment could build company confidence to pursue similar claims against short sellers.</p>\n<p>\"It's highly unusual and refreshing to see a company take on this fight, because most will take the short term blow of the attack without pursuing legal vindication,\" Frenkel said.</p>\n<p>George Moriarty, the former executive editor of Seeking Alpha, told Reuters in 2019 that courts had respected the website’s status as a neutral platform, and that its staff vetted all posts (Read more ).</p>\n<p>After the retraction, Seeking Alpha on Monday took down all articles by Mathews, including the original post on Farmland, and blocked his account, according to website representative Abby Estikangi-Carmel.</p>\n<p>Seeking Alpha's policies include author certification that they were not paid to post and, for short reports, that the assertion was run by the target company.</p>\n<p>\"Regardless of the steps you take, a bad actor may decide to defraud us by violating our policies, as evidently happened here,\" Estikangi-Carmel said. \"Thankfully, it appears to be an isolated incident.\"</p>\n<p>Mathews runs a <a href=\"https://laohu8.com/S/AONE\">one</a>-person investigative research business, Dallas area-based QKM LLC, and has published more than a dozen articles on Seeking Alpha.</p>\n<p>Farmland's litigation against a hedge fund firm that paid Mathews for research, Sabrepoint Capital Management LP, continues. If you owned the stock coming into 2021, it was a lot of fun watching the per-share price go from about $17 to the current $212.\nBut you shouldn't get lulled into buying the hype surrounding this meme stock. The run was partly fueled by a Reddit group, which promoted the stock and also created a short squeeze that led the price higher. That makes for great headlines, but there are strong reasons to avoid getting pulled in.\nTrying to transition\nGameStop, which sells video game consoles and software, was already experiencing weakening sales heading into 2020. Same-store sales (comps) fell by 19.4% in 2019, following that up with a 9.5% drop last year.\nWhile the company was experiencing strong sales growth for a long time, the last few years have been rough. It posted negative comps in four out of the last five years. That's due in no small part to a world that is changing, and people can increasingly download games from a variety of reputable companies such as Epic Games, Steam,  Microsoft, and  Sony.\nA major investor saw an opportunity to turn around GameStop's fortunes. RC Ventures, headed by Ryan Cohen, founder of the online company Chewy, built a 13% ownership in the company. He is now chairman of GameStop and has made key management changes, including hiring a new CEO and CFO who previously worked for Amazon.\nClearly, Cohen has committed his financial resources and time to making GameStop successful. While he built up impressive credentials at Chewy, which PetSmart bought for $3.4 billion (and still owns a majority stake in despite taking the company public), can he work his magic this time around?\nDon't get fooled\nIt's a tough road to get GameStop moving in the right direction. Management didn't provide a comparable sales figure, but the fiscal first quarter's top line did increase by better than 25% to $1.3 billion for the period ended on May 1. But you shouldn't get overly excited by this impressive headline figure.\nIt is difficult to make year-over-year comparisons since the company cut its store base by 12%. While this would make the sales growth seem more impressive, remember, GameStop was forced to close stores last year due to the pandemic. So this depressed the year-ago figure. Then, the current period benefited from Sony and Microsoft releasing new game consoles last year. This will prove to be a temporary lift since it's a one-time purchase.\nThe company will need to follow this up with improved game sales. However, software sales were down during the period. While the company blamed this on lower used game inventory, it has gotten a boost in the past when companies released new systems. This suggests that GameStop's hope for a multi-year bounce from the new systems is already facing hurdles.\nDetails lacking\nWhile the new management team has online e-commerce experience, details on a plan forward remain lacking. Undoubtedly, that is coming as the executives meet and figure out where they want to go.
