Because of the potential for an additional short squeeze and its aftermath, Clover Health gave an unusually stark warning to investors: \"Under the circumstances, we caution you against investing in our Class B common stock, unless you are prepared to incur the risk of losing all or a substantial portion of your investment.\" It also noted, \"Investors that purchase shares of our Class A common stock during a short squeeze may lose a significant portion of their investment.\"
\n
No fear?
\n
Clover Health explained clearly what could happen with both its Class A and Class B shares. Note the use of the past tense in that statement, though. Thanks in large part to Reddit users piling on, Clover's shares have soared in recent weeks.\nDon't think that the waters are safe to jump aboard the bandwagon for Clover Health yet, however. Here's why this hot Reddit stock just gave investors an ominous warning.\nBrutal honesty\nAll publicly traded companies want investors to buy their shares. Buying tends to beget more buying, which pushes the stock price up. It's rare that any company warns investors not to buy its stock. But that's exactly what Clover Health did recently.\nCompanies that plan to issue additional shares file a prospectus with the U.S. Securities and Exchange Commission (SEC). This prospectus gives potential investors a lot of information about the business and lays out the key reasons why they might want to buy the new shares.\nClover Health filed such a prospectus earlier this year, outlining its intent to issue additional Class B shares. These shares don't have the same level of voting rights as its Class A shares. Last week, the company submitted an amendment to the SEC for this prospectus. And that amendment contained a brutally honest message for potential investors.\nThe company acknowledged that its recent gains could be due to a short squeeze. Because of the potential for an additional short squeeze and its aftermath, Clover Health gave an unusually stark warning to investors: \"Under the circumstances, we caution you against investing in our Class B common stock, unless you are prepared to incur the risk of losing all or a substantial portion of your investment.\" It also noted, \"Investors that purchase shares of our Class A common stock during a short squeeze may lose a significant portion of their investment.\"\nNo fear?\nClover Health explained clearly what could happen with both its Class A and Class B shares. The company stated that if another short squeeze happens, once short-sellers cover their positions or if investors otherwise think the short squeeze has run its course, its stock price could fall quickly.\nYou might think that such an ominous warning would scare off many investors. Nope. Instead, it produced an opposite effect. Last week, shares of Clover Health soared by a double-digit percentage immediately after the company's amended prospectus with the serious warning was submitted to the SEC.\nThis reaction might seem counterintuitive. After all, Clover Health informed investors in no uncertain terms about the risks they face with buying the stock. So why did the shares of the company surge instead of sink? I think there are different reasons for different investors.\nSome truly believe in Clover Health and are willing to hold onto the stock regardless of what happens over the short term. Others are fully aware that the gains generated by a short squeeze could evaporate quickly but think they'll be able to sell in time to still make a big profit. Unfortunately, there could also be some who are new to investing and didn't pay attention to or didn't understand Clover Health's cautionary message.\nBusiness vs. stock\nIt's always wise to think of buying a stock as buying a part of a business. That's exactly what you're doing when you buy shares of Clover Health or any other company. When the underlying business is strong and has great prospects, you don't have to be concerned about short-term volatility with the share price.\nHowever, there are times when share prices get way out of alignment with the prospects of the underlying business. But with a pullback in Apple stock, many investors are wondering if AAPL stock is a buy right now.
\n
Apple has been an American success story several times over. First, it ignited the personal computer revolution in the 1970s with the Apple II. Then it reinvented the PC in the 1980s with the Macintosh.
\n
Co-founder Steve Jobs returned to run Apple in 1997 and oversaw a winning streak of innovations that included the iMac, iPod, iTunes, iPhone, iPad and the App Store.
\n
The biggest driver of Apple's modern success is the iPhone. The game-changing smartphone, which debuted in 2007, sparked years of massive growth and created a loyal base of customers willing to buy Apple products and services.
\n
But iPhone sales have slowed as users hold on to their handsets for longer periods between upgrades. However, the company could be in the midst of amajor upgrade cyclewith its first 5G iPhones.
\n
Apple Stock News: Privacy Initiatives
\n
The Cupertino, Calif.-based company began selling the 5G-enablediPhone 12 serieson Oct. 23. The handsets have display sizes of 5.4, 6.1 and 6.7 inches and starting prices ranging from $699 to $1,099.
\n
In addition to ultrafast 5G wireless connectivity, the 14th-generation iPhones have improved cameras, speedier processors and a new design. The Pro models of the iPhone 12 have a new rear-facing lidar scanner. Lidar, short for \"light detection and ranging,\" permits depth sensing for photo and video applications, including faster autofocus in lowlight situations. Plus, it will open up new possibilities for augmented-reality experiences.
\n
Apple debuted the iPhone 12 series at an online event on Oct. 13. However, investors were unimpressed. Apple stock fell 2.7% the day of the iPhone 12 debut. It wasWall Street's worst reception ever to an iPhone launch.
\n
Sales reports have been positive, especially for the more expensive models of the iPhone 12 series. But there aresigns of a slowdownin iPhone 12 sales, starting in the June quarter.
\n
Meanwhile, Apple introduced its first Apple Silicon-powered iMac desktop computers and new iPad Pro tablets on April 20. It also unveiled its long-awaited lost item trackers called AirTags. However, Apple stock sank 1.3% after itsspring product launch event.
\n
At the company's annualWorldwide Developers Conference, which ran June 7 to 11, Apple previewed new privacy protections for users of its devices. Apple will mask a user's location and activity in its email app and on the Safari web browser. It also will provide more detail on how apps are using personal data through its App Privacy Report. Apple stock rose modestly for the week.
\n
Apple Opportunities For Growth
\n
With the iPhone business maturing, investors are wondering what the next big growth driver will be for Apple stock.
\n
Lately, two businesses have given Apple's sales and profits a boost: services and wearables.
\n
In the March quarter, Apple's services revenue rose 27% to $16.9 billion. Services include the App Store, AppleCare, iCloud, Apple Pay, Apple Music, Apple TV+, Apple Arcade and other offerings.
\n
Meanwhile,Apple is facing antitrust scrutinyin the U.S. and Europe for its App Store policies, including its 30% commission fee. On Nov. 18,Apple cut its commission rateto 15% for small developers, possibly to appease regulators. But Apple stock trended down in the days after that news.
\n
On April 30, the antitrust commission of theEuropean Union issued preliminary charges against Applein a case initiated by a complaint from Spotify Technology(SPOT). The European Commission accused Apple of abusing its dominant position in the distribution of apps through its App Store. Apple stock fell 1.5% on the news.
\n
In May, Apple defended itself in U.S. federal court in a case brought by Epic Games, which accused the tech giant of anticompetitive business practices with its App Store. The judge in the case will make a ruling sometime in the next few months.
\n
The company'sregulatory and legal concerns are an overhang over Apple stock, Wedbush Securities says.
\n
Apple Raises U.S. Investment Spending
\n
Apple's Wearables, Home and Accessories unit saw sales increase 25% to $7.8 billion in the March quarter. This unit includes wearables like the Apple Watch, AirPods wireless earbuds and Beats headphones.
