The stock sale raised$587.4 millionin equity proceeds before fees.As a result of the sale, it now has513.3 million shares outstanding, 10 times the amount a year ago.
\n
Axios’Felix Salmon recently discussed how the Securities and Exchange Commission (SEC) preventedHertz Global Holdings(OTCMKTS:HTZGQ) fromselling sharesof its stock during bankruptcy proceedings.Salmon wrote that the SEC’s actions actually hurt the company and its investors.I say he’s wrong. Here’s why.
\n
Valuation and AMC Stock
\n
As Salmon mentioned, Bank of America has stopped covering bothGameStop(NYSE:GME) andBed Bath & Beyond(NASDAQ:BBBY) because their shares have no fundamental basis for their current valuations.
\n
GameStop has a $19 billion market capitalization and Bed Bath & Beyond’s is $3.6 billion. As I write this, AMC’s is $27.3 billion. Let’s consider AMC’s valuation for a moment.
\n
I went back through AMC’s financials through April 2, 2009. That’s 11 years of results. Its best year in terms of revenues was 2019, when it generated$5.47 billionin sales. Its highest operating profit was in 2018, when AMC made $265 million. Finally, the best operating margin was in 2015, when its operating profit of$237.1 millionwas 8% of its $2.95 billion in top-line sales.
\n
Using 2015 as AMC stock’s baseline valuation, it finished that fiscal year with97.44 millionshares — 21.61 million Class A and 75.83 million Class B. It had a market cap of $2.31 billion based on a 2015 year-end closing price of $23.71.
\n
AMC stock closed out 2015 trading at about 0.78x sales. If you assume the markets look six months ahead and use AMC’s March 2015 high of $36.13 per share, you get a market cap of $3.52 billion and a price-to-sales ratio of 1.19x.
\n
As I write this, based on a market cap of $24 billion and 2019 sales of $5.47 billion, AMC stock is trading at 4.39x sales. When you consider itstrailing 12-month salesare $450 million through first quarter 2021 and $1.24 billion for all of 2020, its P/S ratios should be 0.02x and 0.52x, respectively.
\n
It gets even worse when you look at the analysts’ perspectives. Those covering AMC stockexpect it to lose95 centsin 2022 and 61 cents in 2023. Analysts expect 2022 sales of $4.79 billion, or about 88% of its 2019 pre-pandemic top-line numbers.
\n
The Share Sale Scratches the Surface of AMC’s Debt
\n
I have a hard time believing that AMC shareholders are better off because management was able to sucker enough people into buying shares at $50.85.
\n
The sale of 11.55 million shares to raise $587 million will not cure AMC’s debt problem — a situation that’s gotten worse in recent years.
\n
At the end of 2015 — arguably the best year in its history — the company had $465 million in long-term debt, which required $21.2 million in interest payments that year. Based on a year-end market cap of $2.31 billion, its long-term debt represented 20% of AMC’s market cap.
\n
While manageable, its debt levels have skyrocketed in the years since. In part, that’s because accounting rules changed. Companies now have to list any future operating lease as a liability on the balance sheet. Still, AMC’s long-term debt rose to$4.73 billionin 2019, with an annual interest expense of $292.8 million.
\n
AMC has never generated more than $265 million in operating income in a given year. So how is it going to cover the interest on its debt?
\n
Diluted Shares Won’t Help AMC Stock Investors
\n
If nothing else, the company’s stock sale gave it room to breathe. But I find it hard to believe that this will benefit investors in the long run. For example, at the end of 2015, if you owned 10% of AMC stock, you held 9.74 million shares. Those shares today are good for a 1.9% stake.
\n
From where I sit, losing more than 80% of your ownership stake to dilution is hardly a cure. These stock sales will be the AMC shareholders’ undoing.
\n
On the date of publication, Will Ashworthdid not have (either directly or indirectly) any positions in the securities mentioned in this article. The opinions expressed in this article are those of the writer, subject to theInvestorPlace.comPublishing Guidelines.
","source":"lsy1606302653667","collect":0,"html":"\n
\n
\n\n\n\n
The AMC Stock Dilution Can’t Fix its Budget Problems
\n\n
\n
\n
\n
\n
\nThe AMC Stock Dilution Can’t Fix its Budget Problems\n
\n\n
\n\n\n2021-06-08 15:40 GMT+8 InvestorPlace\n\n\n
\n\n
\n
\n
\n
The share sale will only harm investors, as the funds raised can't cover AMC's debt.\n\nAMC Entertainment(NYSE:AMC)sold 11.55 million sharesof AMC stock on June 3 at $50.85 a share. If you assume the markets look six months ahead and use AMC’s March 2015 high of $36.13 per share, you get a market cap of $3.52 billion and a price-to-sales ratio of 1.19x.\nAs I write this, based on a market cap of $24 billion and 2019 sales of $5.47 billion, AMC stock is trading at 4.39x sales. When you consider itstrailing 12-month salesare $450 million through first quarter 2021 and $1.24 billion for all of 2020, its P/S ratios should be 0.02x and 0.52x, respectively.\nIt gets even worse when you look at the analysts’ perspectives. Those covering AMC stockexpect it to lose95 centsin 2022 and 61 cents in 2023. Analysts expect 2022 sales of $4.79 billion, or about 88% of its 2019 pre-pandemic top-line numbers.\nThe Share Sale Scratches the Surface of AMC’s Debt\nI have a hard time believing that AMC shareholders are better off because management was able to sucker enough people into buying shares at $50.85.\nThe sale of 11.55 million shares to raise $587 million will not cure AMC’s debt problem — a situation that’s gotten worse in recent years.\nAt the end of 2015 — arguably the best year in its history — the company had $465 million in long-term debt, which required $21.2 million in interest payments that year. Based on a year-end market cap of $2.31 billion, its long-term debt represented 20% of AMC’s market cap.\nWhile manageable, its debt levels have skyrocketed in the years since. In part, that’s because accounting rules changed. Companies now have to list any future operating lease as a liability on the balance sheet. Still, AMC’s long-term debt rose to$4.73 billionin 2019, with an annual interest expense of $292.8 million.\nAMC has never generated more than $265 million in operating income in a given year. So how is it going to cover the interest on its debt?\nDiluted Shares Won’t Help AMC Stock Investors\nIf nothing else, the company’s stock sale gave it room to breathe. But I find it hard to believe that this will benefit investors in the long run. For example, at the end of 2015, if you owned 10% of AMC stock, you held 9.74 million shares. Those shares today are good for a 1.9% stake.\nFrom where I sit, losing more than 80% of your ownership stake to dilution is hardly a cure. These stock sales will be the AMC shareholders’ undoing.\nOn the date of publication, Will Ashworthdid not have (either directly or indirectly) any positions in the securities mentioned in this article. The opinions expressed in this article are those of the writer, subject to theInvestorPlace.comPublishing Guidelines.","news_type":1},"isVote":1,"tweetType":1,"viewCount":267,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":9919347278,"gmtCreate":1663740035994,"gmtModify":1676537327244,"author":{"id":"3585632132174680","authorId":"3585632132174680","name":"diancik","avatar":"https://community-static.tradeup.com/news/ed8acea6794ef2106a5f6688a4e53f9b","crmLevel":3,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3585632132174680","authorIdStr":"3585632132174680"},"themes":[],"htmlText":"$Roblox Corporation(RBLX)$<v-v data-views=\"1\"></v-v>up","listText":"$Roblox Corporation(RBLX)$<v-v data-views=\"1\"></v-v>up","text":"$Roblox Corporation(RBLX)$up","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":1,"commentSize":2,"repostSize":1,"link":"https://ttm.financial/post/9919347278","isVote":1,"tweetType":1,"viewCount":285,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":9086816236,"gmtCreate":1650431900913,"gmtModify":1676534723373,"author":{"id":"3585632132174680","authorId":"3585632132174680","name":"diancik","avatar":"https://community-static.tradeup.com/news/ed8acea6794ef2106a5f6688a4e53f9b","crmLevel":3,"crmLevelSwitch":0,"followedFlag":false,"idStr":"3585632132174680","authorIdStr":"3585632132174680"},"themes":[],"htmlText":"[Like] ","listText":"[Like] ","text":"[Like]","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":8,"commentSize":0,"repostSize":0,"link":"https://ttm.financial/post/9086816236","repostId":"2228911690","repostType":4,"repost":{"id":"2228911690","weMediaInfo":{"introduction":"Dow Jones publishes the world’s most trusted business news and financial information in a variety of media.","home_visible":0,"media_name":"Dow Jones","id":"106","head_image":"https://static.tigerbbs.com/150f88aa4d182df19190059f4a365e99"},"pubTimestamp":1650409611,"share":"https://ttm.financial/m/news/2228911690?lang=&edition=fundamental","pubTime":"2022-04-20 07:06","market":"us","language":"en","title":"Netflix Shares Fell 25%, Losing Subscribers Amid Growing Competition, Account Sharing","url":"https://stock-news.laohu8.com/highlight/detail?id=2228911690","media":"Dow Jones","summary":"Netflix Inc. lost subscribers globally in the first quarter and expects to lose even more this sprin","content":"

Netflix Inc. lost subscribers globally in the first quarter and expects to lose even more this spring, as the streaming giant grapples with stiffer competition from rival services and rampant account sharing among its customers.

The company ended the first quarter with 200,000 fewer subscribers than it had in the fourth, missing on its own projection of adding 2.5 million customers in the period. Chronert wrote in a note on Friday. They expect the S&P 500 to finish this year at 4,200 -- about 7.7% higher from the latest close and a 12% drop for the full year.

This view stands in sharp contrast to that of Morgan Stanley’s Michael J. Wilson, one of Wall Street’s most vocal bears, who says that US earnings face another “massive headwind” from a surging dollar and expects the recent rally in stocks to fizzle out. So now we have two chances to be wrong about AMC: if does poorly from April 1st to October 1st and if it does poorly from June 4th to December 4th.
\n
This is also another public test of a gauge of options market sentiment we've been using to select our top names, a factor which may have peaked in February of this year. Let's talk about that factor, why the AMC's in our top ten again now, and what might happen over the next several months.
\n
Why AMC Is In Our Top Ten Now
\n
Readers might wonder what AMC has in common with our top name on Friday, First Majestic Silver Corp. (AG), or Marathon Digital Holdings, Inc. (MARA), Riot Blockchain, Inc. (RIOT), Silvergate Capital Corp. (SI), RH (RH), or the rest of our June 4th top ten. Fundamentally, nothing: they were all selected based on our system's analysis of their past returns and forward-looking options market sentiment on them. We can speculate on why options market participants seem to be bullish on them though: AG is obviously an inflation play; the next three are Bitcoin names, so in a sense also inflation plays; RH, the chain formerly known as Restoration Hardware, is a beneficiary of the COVID lockdown-fueled home improvement boom we've written about before (The Lovesac: Where We Can Get Together).
\n
But what all these names have in common is they scored highly on one particular gauge of options market sentiment we call the cash substitute adjustment factor. This comes from a cash minimization strategy we use in hedged portfolios, that turned out to select for securities that generated significant alpha -- at least until earlier this year.
\n
Cash Substitutes In Hedged Portfolios
\n
The idea behind minimizing cash in hedged portfolios is this: in a portfolio where every position is hedged according to your risk tolerance, you don't need to hold cash to minimize risk, or to provide dry powder in the event of a crash -- the hedges serve those purposes. So, since cash generates practically no returns in a low interest rate environment, we seek to minimize it, while at the same time reducing the overall hedging cost of the portfolio (we have cash in these portfolios initially because we need to round down dollar amounts into round lots of underlying securities because those are cheaper to hedge). The way we minimize the leftover cash in our hedged portfolios is by putting as much as possible into a \"cash substitute\": that's a stock or exchange-traded-product that when tightly collared, generates a significantly negative hedging cost.
\n
Specifically, we test each security in our universe by attempting to collar it against a greater-than-9% decline over the next several months while capping its upside at 1% or the current money market yield, whichever is higher. For AMC, that looked like this on Friday.
\n
Screen captures via the Portfolio Armor iPhone app.
\n
That hedging cost of -7.83% of position value was one of the ten most negative hedging costs of any of the thousands of securities in our universe on Friday.
\n
Why This Factor Matters
\n
It matters because stocks and exchange traded products that generated large net credits/negative hedging costs when collared that way have dramatically outperformed our other top names in aggregate. As of Friday's close, they've outperformed by an average of about 28.9% over six months. That average takes into account the 6-month performance of every top name we've selected daily since we started tracking this signal in August of 2019. Since then, its average out/underperformance has ranged from about 32% to -6%. It's possible ~32% was the all-time peak and it will be generating underperformance again in the near future; we update the factors we use daily though, so we will adjust our security selection process accordingly.
\n

\n
Screen capture from our site's admin panel showing how the average outperformance of the cash substitute adjustment factor has declined over the last couple of weeks. The most recent figure is the one we used in selecting our top names on June 4th.
\n
Things To Come
\n
The performance of AMC over the next several months will tell us something about whether the cash substitute adjustment factor has peaked or is continuing to generate outperformance. Let's think about what might happen with that stock over that time frame. Let's start with what won't happen: it won't be diluted with new issuance between now and December. According to AMC CEO Adam Aron in the interview below, the company only has another 46,000 shares its authorized to sell this year.
\n
As we mentioned in our previous post, if you haven't heard him speak, the interview is worth a watch. Except for the brief moment where he accidentally reveals that he's not wearing pants, Adam Aron handles himself and social media pretty well. Elon Musk could learn a thing from him.
\n
Like Musk, Aron is trying to generate some synergy from shareholders who are also customers.
\n
Whether this is enough to take AMC shares higher over the next several months remains to be seen, but the cash Aron has on hand from recent stock sales gives him the potential for some positive surprises such as acquisitions of the theaters of distressed competitors.
\n
Safety First
\n
Finally, if you're going to buy AMC at these levels, please consider hedging. You can refer to this video for the general approach, though obviously, you'll need updated hedges given the stock's run over the last week.
\n

","collect":0,"html":"\n
\n
\n\n\n\n
AMC CEO Gets Caught With His Pants Down
\n\n
\n
\n
\n
\n
\nAMC CEO Gets Caught With His Pants Down\n
\n\n
\n\n\n2021-06-07 15:30 GMT+8 zerohedge\n\n\n
\n\n
\n
\n
\n
AMC Hits Our Top Ten Again\nI hadn't planned on writing about AMC Entertainment Holdings (AMC) again this weekend, but the stock hit our top ten names again on Friday.\nThat's the first time AMC has ...
\n\nWeb Link\n\n
\n\n\n
\n
\n
\n
\n","type":0,"thumbnail":"","relate_stocks":{"AMC":"AMC院线"},"source_url":"https://www.zerohedge.com/news/2021-06-06/amc-another-chance-be-wrong","is_english":true,"share_image_url":"https://static.laohu8.com/e9f99090a1c2ed51c021029395664489","article_id":"1175289580","content_text":"AMC Hits Our Top Ten Again\nI hadn't planned on writing about AMC Entertainment Holdings (AMC) again this weekend, but the stock hit our top ten names again on Friday.\nThat's the first time AMC has appeared in our top ten since April 1st, when it was trading at $9.36.\nSince then, AMC is up about 412% as of Friday's close.\nBut our top names cohorts are estimates about performance over the next six months. So now we have two chances to be wrong about AMC: if does poorly from April 1st to October 1st and if it does poorly from June 4th to December 4th.\nThis is also another public test of a gauge of options market sentiment we've been using to select our top names, a factor which may have peaked in February of this year. Let's talk about that factor, why the AMC's in our top ten again now, and what might happen over the next several months.\nWhy AMC Is In Our Top Ten Now\nReaders might wonder what AMC has in common with our top name on Friday, First Majestic Silver Corp. We can speculate on why options market participants seem to be bullish on them though: AG is obviously an inflation play; the next three are Bitcoin names, so in a sense also inflation plays; RH, the chain formerly known as Restoration Hardware, is a beneficiary of the COVID lockdown-fueled home improvement boom we've written about before (The Lovesac: Where We Can Get Together).\nBut what all these names have in common is they scored highly on one particular gauge of options market sentiment we call the cash substitute adjustment factor. This comes from a cash minimization strategy we use in hedged portfolios, that turned out to select for securities that generated significant alpha -- at least until earlier this year.\nCash Substitutes In Hedged Portfolios\nThe idea behind minimizing cash in hedged portfolios is this: in a portfolio where every position is hedged according to your risk tolerance, you don't need to hold cash to minimize risk, or to provide dry powder in the event of a crash -- the hedges serve those purposes. The way we minimize the leftover cash in our hedged portfolios is by putting as much as possible into a \"cash substitute\": that's a stock or exchange-traded-product that when tightly collared, generates a significantly negative hedging cost.\nSpecifically, we test each security in our universe by attempting to collar it against a greater-than-9% decline over the next several months while capping its upside at 1% or the current money market yield, whichever is higher. For AMC, that looked like this on Friday.\nScreen captures via the Portfolio Armor iPhone app.\nThat hedging cost of -7.83% of position value was one of the ten most negative hedging costs of any of the thousands of securities in our universe on Friday.\nWhy This Factor Matters\nIt matters because stocks and exchange traded products that generated large net credits/negative hedging costs when collared that way have dramatically outperformed our other top names in aggregate. As of Friday's close, they've outperformed by an average of about 28.9% over six months. That average takes into account the 6-month performance of every top name we've selected daily since we started tracking this signal in August of 2019. It's possible ~32% was the all-time peak and it will be generating underperformance again in the near future; we update the factors we use daily though, so we will adjust our security selection process accordingly.\n\nScreen capture from our site's admin panel showing how the average outperformance of the cash substitute adjustment factor has declined over the last couple of weeks. The most recent figure is the one we used in selecting our top names on June 4th.\nThings To Come\nThe performance of AMC over the next several months will tell us something about whether the cash substitute adjustment factor has peaked or is continuing to generate outperformance. Let's think about what might happen with that stock over that time frame. Let's start with what won't happen: it won't be diluted with new issuance between now and December. On July 8, the Tesla CEO confirmed that he planned on terminating his agreement with the social media giant. While Twitter has made it clear that it intends to challenge Musk’s attempts to void the deal, it seems that the acquisition will not be going through. TSLA stock is down today, but this development should help boost shares in the long term.

What’s Happening With TSLA Stock

Both TWTR and TSLA stock have been falling all day. TSLA is down 6.55% for the day, though its current pattern hints at a rebound. TWTR’s performance has been worse. The stock is down more than 11% on Monday.

It is not unexpected that TWTR is down following this news. Musk has called considerable attention to the platform’s bot count through his negotiations. But while Twitter’s future remains uncertain, the deal’s termination is likely to boost TSLA stock. Let’s take a closer look at the reasons why.

Why It Matters

It’s no secret that Tesla shareholders weren’t happy when Musk announced his plans to acquire Twitter. There were multiple reasons why TSLA stock didn’t react well to the news. The X Holding Company that Musk planned on launching sounded like exactly the type of conglomerate that Wall Street doesn’t like. But more importantly, Musk taking over a different company in a different sector stood to compromise his leadership of Tesla. Experts agreed that if he were to acquire Twitter, it would sink TSLA stock.

Now that Musk appears to have abandoned his mission of taking over the social media platform, he can refocus his efforts on Tesla. At a time when supply-chain and labor constraints are forcing Tesla to pause production across multiple factories, the electric vehicle (EV) leader can’t afford any more setbacks. Musk turning his attention back to it could be exactly what the company needs to start growing again. Even the recent sales bump from China still has some experts worried. Tesla’s recent Q2 deliveries didn’t thrill many investors, but as analyst Dan Ives of Wedbush notes, much of Wall Street is focused on the coming quarter.

What It Means

There has never been a more opportune time for Musk to remind Tesla shareholders that he is focused on growth. And assuming he is successfully able to terminate the deal, there will be nothing stopping him from helping Tesla pull back onto the road and start roaring again. TSLA stock could easily be the biggest winner of the deal falling through. There’s no reason it shouldn’t be.

Musk pulling out of the deal will likely generate the type of momentum that TSLA stock needs to start rising again. Additionally, the pending Tesla stock split will also likely be a positive growth catalyst when it receives shareholder approval on Aug. 4. TSLA’s current downturn makes for an ideal buying opportunity before these trends push it back up.

","source":"lsy1606302653667","collect":0,"html":"\n
\n
\n\n\n\n
TSLA Stock Will Be the Winner of Musk’s Twitter Deal Termination
\n\n
\n
\n
\n
\n
\nTSLA Stock Will Be the Winner of Musk’s Twitter Deal Termination\n
\n\n
\n\n\n2022-07-12 07:22 GMT+8 InvestorPlace\n\n\n
\n\n
\n
\n
\n
Elon Musk has confirmed he no longer plans to buy Twitter. For Tesla investors, this is excellent news.Musk will be able to fully focus on the electric vehicle (EV) leader.Elon Musk’s negotiations to ...
\n\nWeb Link\n\n
\n\n\n
\n
\n
\n
\n","type":0,"thumbnail":"","relate_stocks":{"TSLA":"特斯拉"},"source_url":"https://investorplace.com/2022/07/tsla-stock-will-be-the-winner-of-musks-twitter-deal-termination/","is_english":true,"share_image_url":"https://static.laohu8.com/e9f99090a1c2ed51c021029395664489","article_id":"1114242279","content_text":"Elon Musk has confirmed he no longer plans to buy Twitter. For Tesla investors, this is excellent news.Musk will be able to fully focus on the electric vehicle (EV) leader.Elon Musk’s negotiations to acquire Twitter) have reached a tentative end.
