Central China Securities Co., Ltd. (01375) has announced plans to appoint three new Independent Non-Executive Directors, subject to shareholder approval. An Extraordinary General Meeting is scheduled for 22 December 2025 at 9:30 a.m. in Zhengzhou.
The proposed appointees are Wang Hui, currently chief financial officer at another Hong Kong-listed company; Wang Huixuan, who has a background in insurance and corporate management; and Du Xiaotang, who has legal and investment management experience. Each nominee has affirmed compliance with independent director requirements under relevant listing rules.
Under the outlined terms, each proposed Independent Non-Executive Director would receive a base annual allowance of RMB100,000 and an additional RMB50,000 assessment allowance. Those serving as special committee chair would receive an extra RMB30,000.
Shareholders registered by 17 December 2025 may attend and vote at the meeting in person or by proxy. The voting will be conducted by poll. The meeting will take place in the Company’s Conference Room in Zhongyuan Guangfa Finance Building, Zhengzhou. Shareholders are advised to submit proxy forms in accordance with the instructions in the official announcement. The Board recommends approval of all proposed appointments.
