KUAISHOU-W (01024) announced that the company will issue USD notes with a total principal amount of $600 million maturing on January 22, 2031, USD notes with a total principal amount of $900 million maturing on January 22, 2036, and RMB-denominated notes with a total principal amount of RMB 3.5 billion maturing on or around an interest payment date on January 22, 2031, unless redeemed earlier according to the note terms.
The issue price for the 2031 USD notes, 2036 USD notes, and RMB notes will be 99.402%, 99.153%, and 100.00% of their respective principal amounts.
The 2031 USD notes will carry an annual interest rate of 4.125%.
Interest on the 2031 USD notes will accrue from January 22, 2026, and is payable semi-annually on January 22 and July 22 each year, starting from July 22, 2026.
The 2036 USD notes will carry an annual interest rate of 4.750%.
Interest on the 2036 USD notes will accrue from January 22, 2026, and is payable semi-annually on January 22 and July 22 each year, starting from July 22, 2026.
If any interest payment date falls on a non-business day, payment will be postponed to the next business day.
Interest will be calculated on the basis of a 360-day year consisting of 12 months of 30 days each.
The RMB notes will carry an annual interest rate of 2.450%.
Interest on the RMB notes will accrue from January 22, 2026, and is payable semi-annually on January 22 and July 22 each year.
If any interest payment date for the RMB notes is a non-business day, payment will be postponed to the next business day, unless that day falls in the next calendar month, in which case payment will be brought forward to the immediately preceding business day.
Interest will be calculated based on a 365-day year and the actual number of days elapsed.
Before deducting underwriting commissions and certain estimated offering expenses, the gross proceeds from the USD note issuance are approximately $1.489 billion.
