HSBC trims share count; cancels 0.32 million shares and repurchases a further 0.37 million on 2 September 2026

HSBC Holdings plc disclosed fresh progress on its 2026 share buy-back programme, confirming both a reduction in its issued share capital and additional market repurchases executed on 2 September 2026.

The bank cancelled 320,415 ordinary shares previously repurchased on 27-28 August, cutting the number of issued shares (excluding treasury shares) to 17.17 billion as at 2 September 2026—down 0.002% from the 1 September opening balance of 17.17 billion.

On the same day, HSBC repurchased another 368,400 shares for cancellation: • United Kingdom venues (London Stock Exchange, Cboe Europe – CXE, Aquis): 10,000 shares at a volume-weighted average price of approximately GBP 15.39, for total consideration of GBP 0.15 million. Transaction prices ranged between GBP 15.304 and GBP 15.494. • Hong Kong Stock Exchange: 358,400 shares at prices between HKD 160.20 and HKD 162.40, with aggregate consideration of HKD 57.72 million (average c.HKD 161.08).

Following these trades, 8.28 million shares remain in the pipeline for cancellation, representing about 0.05% of the current issued share base. Once cancelled, the outstanding share count would fall further to roughly 17.16 billion.

Since shareholders renewed the buy-back authority at the 8 May 2026 AGM (authorising repurchases of up to 1.72 billion shares), HSBC has acquired 25.17 million shares, equivalent to 0.15% of shares outstanding at the mandate date. Under Hong Kong Listing Rule 10.06(3), the bank is subject to a 30-day moratorium—up to 2 October 2026—on issuing new shares or selling treasury shares following these repurchases.
