HSBC Issues USD 6.75 Billion Senior Unsecured Notes Across Three Tranches, Plans NYSE Listing

HSBC Holdings plc (HSBC) announced on 14 August 2026 the successful issuance of senior unsecured notes totalling USD 6.75 billion under its 26 August 2009 indenture, most recently amended on the same date as the offering.

Key terms of the new debt are as follows:

• USD 2.50 billion 5.243% Fixed-to-Floating Rate Senior Unsecured Notes maturing in 2032. • USD 3.25 billion 5.729% Fixed-to-Floating Rate Senior Unsecured Notes maturing in 2037. • USD 1.00 billion Floating Rate Senior Unsecured Notes maturing in 2032.

Application will be made to list all three tranches on the New York Stock Exchange. The securities were offered under an effective shelf registration statement (Form F-3) filed with the U.S. Securities and Exchange Commission and distributed via a prospectus supplement and accompanying prospectus.

With total assets of USD 3,438 billion at 30 June 2026, London-headquartered HSBC operates in 56 countries and territories. The issuance represents the 40th supplemental use of the 2009 indenture and reinforces the group’s ongoing access to U.S. dollar funding markets.
