Central China Securities Co., Ltd. (Stock Code: 01375) announced that on 1 December 2025, its Board resolved to nominate two candidates, namely Mr. Wang Huixuan and Mr. Du Xiaotang, as independent non-executive directors of the seventh session of the Board. Their appointments will take effect upon approval at a forthcoming Shareholders’ Meeting, with terms extending until the next Board re-election. Both nominees will receive a fixed allowance of RMB100,000 per annum plus an assessment allowance of RMB50,000 per annum; an additional RMB30,000 per annum applies if either serves as chairman of a special committee.
Mr. Wang, born in 1966, holds a doctoral degree from Tianjin University and has extensive management experience in government and the insurance sector. Mr. Du, born in 1974, holds a doctoral degree from Fudan University, with a professional background spanning legal practice and corporate investment roles. Both nominees meet the independence requirements under the Hong Kong Listing Rules.
In a separate announcement, the Board confirmed the appointment of Mr. Shi Hongxing as Chief Risk Officer, effective immediately, succeeding Mr. Li Feng. Mr. Shi, the current Chief Compliance Officer and a member of the Executive Committee, previously served in various roles at the Henan Branch of the China Securities Regulatory Commission and Central China Equity Exchange. The appointments align with the Company’s integrated development of compliance and risk control, and are effective until the Board’s seventh session re-election.
