Alibaba Group Holding Limited (Alibaba) has set Wednesday, 5 August 2026, as the record date to determine shareholder eligibility for its forthcoming virtual annual general meeting (AGM). Holders of ordinary shares must ensure all transfer documents and share certificates reach Computershare Hong Kong Investor Services Limited by 4:30 p.m. Hong Kong time on the record date to qualify for AGM attendance and voting rights.
American depositary share (ADS) investors will be recognised based on holdings at the close of business on 5 August 2026, New York time. Although ADS holders cannot vote directly, they may submit instructions to Citibank, N.A.—the ADS depositary—to vote the underlying ordinary shares. The announcement cautions that ADS cancellations executed on 5 August 2026 (New York time) will render the converted ordinary shares ineligible for AGM participation due to the time-zone gap.
Alibaba reiterates that its single-class share structure is treated as a weighted voting rights (WVR) arrangement under Hong Kong Stock Exchange rules, and it highlights related investment considerations.
