Elon Musk refuses to honor his obligations to Twitter and its stockholders because the deal he signed no longer serves his personal interests.

Elon Musk tried to back out of the acquisition altogether. In a regulatory filing prepared by his lawyers, Elon Musk said he was terminating the Twitter deal because of a continuing disagreement over the number of spam accounts on the platform and he feel that all indications suggested that several of Twitter's public disclosures regarding its mDAUs [monetizable daily active users] are either false or materially misleading,"

I believe Elon Musk will let the legal battle to drag on for a long time until $Twitter(TWTR)$ has problem to pay for the legal fees and it will also cause Twitter share price to drop tremendously.

Elon Musk has planned in such a way that Twitter will be left with no other choice but to settle the lawsuit out of court and Elon Musk do not need to pay for the breach of contract that could cost the world’s wealthiest person many billions of dollars.

The only big winners of the court case will be the lawyers. In the whole process, Elon Musk will be in the limelight which he always enjoy it and he is willing to pay the lawyer rather than paying Twitter for the breakup fee.

Will Elon Musk Pay for Twitter Breakup Fee?

Twitter will battle Musk in an elongated court battle to recoup the deal and/or the breakup fee of $1 billion at minimum. Will Musk pay for it?

EM has to deal with Twitter lawyer, also with SEC. I have seen a couple of OZ companies viz Caltex, were offered to buy out by a Canadian company and after a while they walked away from the deal.
